RECOMMENDATION Staff recommends that the Planning and Transportation Commission (PTC) provide initial comments/feedback and consider forwarding the proposed project application to the Architectural Review Board (ARB) for review of the development plan. EXECUTIVE SUMMARY The applicant proposes to rezone the subject properties from RM-40 to a new Planned Community/Home Zoning (PC/PHZ) and to demolish the existing two-story 16-unit residential building and redevelop the site with an 82-unit residential housing development. Council reviewed a prescreening application for this project on August 11, 2025, as detailed in this report. In accordance with Palo Alto Municipal Code (PAMC) Section 18.38.065(a), for a PC/PHZ rezoning the PTC must first review a conceptual plan, provide feedback, and recommend that the project be forwarded to the ARB for further formal review. The project will return to the PTC, following ARB review, for a formal recommendation to Council. BACKGROUND The proposed project, as depicted in the architectural plans included in Attachment F, consists of an approximately 105,371-square-foot, eight-story multifamily residential building with 82 dwelling units (30 one-bedroom, 41 two-bedroom, and 11 three-bedroom units) on a merged 31,398-square-foot (0.72-acre) site. The project includes three levels of parking, one of which is below grade, providing a total of 113 parking spaces, with parking garage access and the primary pedestrian entrance located on Forest Avenue. The project site is located less than Item 2 Item 2 Staff Report Packet Pg. 8 Item No. 2. Page 2 of 8 one-half mile from the University Avenue Caltrain station. Across Forest Avenue, to the north of the property is Lanning Chateau/Staller Court, a five-story 85-unit apartment building. To the east, there is a two-story 19-unit condominium development. To the south, there is a four-story 30-unit condominium development. To the west of the property, there is a 40-unit apartment building, Casa Real, listed as a Category 4 Historic Resource on the City’s Historic Inventory. When completed in 1930, Casa Real was the only seven-story building in the City. Planned Community (PC/PHZ): The process for evaluating this type of application is set forth in PAMC Chapter 18.38. Planned Community is intended to accommodate all types of developments, including combinations of uses appropriately requiring flexibility under controlled conditions not otherwise attainable under other districts. The planned community district is particularly intended for unified, comprehensively planned developments that are of substantial public benefit and which conform with and enhance the policies and programs of the Palo Alto Comprehensive Plan. The application requires initial review by the PTC, followed by review by the ARB. Upon recommendation from the ARB, the draft ordinance for the project is presented along with the development plan to the PTC for recommendation to the City Council for final action. Page 4 of 8 Council held a prescreening on August 11, 2025, for the proposed rezoning of this property. The initial proposal included 82 rental units in an eight-story building. Overall Council expressed general support for the proposed use at this location. Feedback included considerations to improve building scale, massing, transitions, and compatibility with adjacent residential properties, as well as requests for clarification regarding shared open space, shared parking, tenant protections, and the evaluation of building’s historic significance. The applicant originally proposed on-site BMR units but now requests to satisfy the requirement with existing off-site deed-restricted units. This change was not presented during the City Council prescreening, so the Council did not have an opportunity to comment on it. ANALYSIS 3 The property is located within the boundaries of the South of Forest Area (SOFA) 1 Coordinated Area Plan (CAP).4 The Comprehensive Plan designation is SOFA 1 CAP. This CAP implements the City of Palo Alto Comprehensive Plan and provides more detailed programs and policies for the specifically defined SOFA 1 CAP. For the subject property, the SOFA 1 CAP simply designates the site as "RM-40." During the 1999-2006 Housing Element cycle, the City Council adopted SOFA 1 CAP as a planning tool to address a specific nine block area comprised of 19 acres. The policy framework for SOFA 1 CAP is for a walkable and livable neighborhood that is compatible with the surrounding area, transitioning from a low-density detached housing in the south-east to higher density closer to downtown. The SOFA 1 CAP also envisions a neighborhood that takes advantage of the opportunities presented by its close proximity to Downtown Palo Alto and the regional transit center at the University Avenue/Downtown train station. Some existing zoning designations remain in effect, e.g. RM-30, RM-40, R-2, and PF, which largely retain the current associated zoning designation and development standards. Maintaining housing on the site would align with Comprehensive Plan Policy B-6.2 that provides uses in SOFA 1 CAP should be maintained that complement the downtown business district. Page 5 of 8 in a net increase of 66 units which would count toward the City’s Regional Housing Needs Allocation (RHNA). 7 The site is currently zoned RM-40 (medium density multi-family residential). Multi-family housing is identified as a permitted use in the RM-40 Zone District. The proposed project exceeds the standards under the RM-40 zone district and proposes to deviate from these standards in a manner consistent with the zoning ordinance through the PHZ rezoning process as set forth in PAMC Chapter 18.38. For projects proposing to rezone to PHZ, Council has the authority to set the parameters for most development standards, which would be reflected in the tailored ordinance for the new Planned Community District. However, for informational purposes, Attachment B compares the development standards under the current RM-40 zone district with the proposed project in order to assist the PTC in considerations of how these deviations relate to the proposed public benefits of the project. A 3.36:1 FAR where a maximum of 1:1 FAR is allowed in the RM-40 zone. A 85-foot height where a maximum of 40 feet is allowed in the RM-40 zone. The private open space meets the 50 square feet per unit average; however, the project proposes common open space be provided through a shared common space located on the adjacent parcel. Does not comply with the required side and rear daylight planes. Includes 113 parking spaces where no minimum parking is required [Assembly Bill (AB) 2097] and 134 would otherwise be required pursuant to PAMC Chapter 18.52. The building massing is not stepped back where it is more than 20 feet taller than the average height of an adjacent building. This step back standard starts within two vertical feet of the height of the adjacent building. The step back would be a minimum depth of six feet along both the façade on the primary building frontage and the facing façade of the adjacent building, and the step shall occur for a minimum of 70% of each façade length. This project proposes ground-level parking as well as a portion underground. In order to do so, it must also be lined with commercial or habitable uses with a minimum depth of 20 feet along the street frontage. Page 6 of 8 It should be noted that the objective standards do not specifically apply to PHZ zone districts; therefore, these standards are used as a guidepost to inform the site planning and architectural design, considering aspects such as transitions between uses, massing, and privacy, but strict adherence to the standards is not required. FISCAL/RESOURCE IMPACT Processing of this application has no fiscal impact as applicants are responsible for staff and consultant costs through applicable fees through the deposit-based cost recovery program. This project is also subject to Development Impact Fees currently estimated at $6,332,957.61, plus the Public Art and Transportation fees STAKEHOLDER ENGAGEMENT Daily Post on July 30, 2024, which is 12 days in advance of the meeting. Page 8 of 8 ENVIRONMENTAL REVIEW The City, acting as the lead agency, is currently analyzing the project in accordance with the authority and criteria contained in the California Environmental Quality Act (CEQA), the State CEQA Guidelines, and the environmental regulations of the City. Specifically, the City is preparing an analysis of the project in accordance with CEQA Guidelines Section 15183, which evaluates the project’s consistency with the Comprehensive Plan and the Comprehensive Plan EIR. The 15183 exemption allows for streamlining of infill projects where the previous adopted EIR for a Comprehensive Plan has been adopted and adequately addresses the impacts of the proposed project. Plan level technical reports are being prepared to confirm that the Comprehensive Plan EIR, including any mitigation that would be addressed as required through that EIR, would adequately address the impacts of the proposed project. In addition to the recommended action, the Planning and Transportation Commission may: 1. Continue the item to a date uncertain, to return to PTC before moving the project forward to the Architectural Review Board. The Applicant is pleased to submit both (I) a SB 330 preliminary application and (II) a full development application for a Planned Housing Zone (“PHZ”) application and lot line adjustment for a new 82-unit residential community (“Project”) at the Property.1 The following provides legal background regarding the applications. In addition to the laws identified below, the Applicant further wishes to preserve rights to additional housing and other applicable laws, particularly those that apply to projects in close proximity to transit. (I) SB 330 Preliminary Application The Project’s SB 330 preliminary application provides all information required by law.2 SB 330 amended the PSA, including adding Section 65941.1, which created the preliminary application process for housing development projects. Specifically, Section 65941.1 provides that a preliminary application for a housing development project that meets the statutorily enumerated criteria is deemed complete upon submission. (Gov. Code §§ 65941.1, subd. (a), 65589.5, subd. 1 Pursuant to Gov. Code § 65941.1(a), the Project is a qualifying “housing development project” as defined in paragraph (3) of subdivision (b) of Section 65905.5. 2 Pursuant to the Housing Accountability Act, Gov. Code § 65589.5 (“HAA”), and the Permit Streamlining Act, Gov Code § 65920, et seq. (“PSA”), both as amended by the Housing Crisis of 2019, also known as “SB 330.” Stats. 2019, Ch. 654. A housing development project is then subject only to the “ordinances, policies, and standards in effect when the preliminary application is submitted” (§ 65589.5, subd. (o)).3 Certain statutory provisions enacted by SB 330, Gov. Code § 65589.5(o)(1), (o)(2)(A) & (o)(4) (hereinafter, the “Vesting Provision”), provide that a housing development project can only be made subject to “development impact fees, capacity or connection fees or charges, permit or processing fees, and other exactions” that were adopted and in effect at the time a preliminary application is submitted. We note that these provisions are applicable to projects that seek legislative amendments, such as this Project. The HAA applies generally to “housing development projects,” as defined. Gov. Code § 65589.5(h)(2). Some provisions within the HAA do apply more specifically to certain more limited species of “housing development projects.” Subdivision (d) of the HAA applies specifically to housing development projects “for very low, low-, or moderate-income households,” as defined. Gov. Code § 65589.5(h)(3). Subdivision (j) of the HAA governs the specific situation in which a “housing development project complies with applicable, objective general plan, zoning, and subdivision standards and criteria.” Gov. Code § 65589.5(j)(1). Both of those subdivisions were part of the HAA when the Legislature enacted SB 330. If the Legislature had wanted the Vesting Provision to apply only to those more limited species of “housing development project,” the Legislature could have added the Vesting Provision to either of those subdivisions. But when enacting the Vesting Provision in SB 330, the Legislature chose to place them in their own separate and new subdivision of the HAA: subdivision (o). Nowhere within subdivision (o) is there any reference to the more limited categories of “housing development project” described in subdivisions (d) or (j). Subdivision (o) only uses the term “housing development project” to define the type of project to which it applies. The same is true with respect to the revisions SB 330 made to the PSA, which is where the requirements of a “preliminary application” are defined. Here, again, the law refers only to the term “housing development project,” without providing any further limitation on its scope. Gov. Code § 65941.1(a). This Project is a “housing development project” as defined by Gov. Code § 65589.5 and is therefore subject to the Vesting Provision through the submittal of the SB 330 preliminary application. Because the City does not have its own SB 330 application form, the Applicant has used the California Department of Housing and Community Development’s eligibility form. The existing building at 332 Forest Avenue contains just 16 dated residential units, is not historically designated, and occupies a mere 27% of the lot. The 350 Forest Avenue site is primarily a gravel lot, with some low-quality miscellaneous storage structures and no residential units. Together, the combination of these two vastly underutilized parcels represents a ready-to-deliver opportunity for housing creation within Palo Alto’s Downtown area. The proposed project would demolish the existing structures on both lots and would develop a new residential building with 82 apartment units and 101 car parking spaces. This application seeks a Planned Housing Zone (PHZ) application for this 100% housing development. Unfortunately, viable sites for new housing in the Downtown are extremely scarce due to small parcel sizes, historic designations, and existing high‑intensity uses. So strong are the headwinds, that despite the City’s extensive efforts to identify potential housing opportunities in the Downtown, Palo Alto’s Housing Element identifies just four potential viable housing sites within RM‑40 zoning. Forest Commons will serve as an exemplary demonstration of Palo Alto’s commitment to achieving its Downtown housing goals. The planning project (26PLN-00043) is still under review. The current application has yet to be determined to be complete since the applicant did not provide all of the necessary information. This means it will be sometime before the item is scheduled for a public hearing. That likely will not occur until later in fall of this year. As for the notification to existing tenants, that would be governed by our Chapter 9.68 RENTAL HOUSING STABILIZATION. This chapter includes the items the landlord would need to provide to existing tenants. Staff have reviewed the City Council’s Priorities and Objectives and added some relevant project under these Goals. No other additions were identified. Attachment A includes the additional Goal 8 and Goal 9 shown in track changes.
