The a11ached Progrnm Supplement Agreement wi1h the State of C<ilifornia covers financial
reimbursement of project specific c:onditioos related to construction of the Page
MiM'ootbilllnrer.;ection Improvement Project (1993-94 Cil' No. 19073). Major funding
for !his project is being prO'Vided by federal funds, which are administered by CaltraDs on
behalf of the federal government. The Program Supplement Agreement serves as a
mecllanism whereby the State formally agrees to provide project funding. The purpose
of this report is to request Cooncil approval of the Program Supplement Agreement.
RECOMMENDATIONS
Staff recommends that Council adopt the attached resolution approving the Program
Supplement Agreement between the City of Palo Alto and Caltrans.
POLICY IMPLICATIONS
The recommendalioo of this report is CVDSistent with existing C<>mprebensive Plan
Transportatioo Policy 8, Program 17: Make operational and intersection improvements
to ease Iraffic!low on major streets. Improvement of the Page MilliFoothill intersection
was endorsed by the City Council in 1989, as part of the C~ Land Use and
Transportation Study.
EXECUTIVE SUMMARY
For the las! three years, Palo Alto has pm-sued federal thnds to develop a project to make

When the funding app!icatioo fur this project was originally submitted, 10 the Metropo'.itan
Transpcxtation Commission (MrC) fur evaIuatioo fur Ihe use of federal furuls, this project
scored weD, but did not make the cut-<:>lf for inclusioo in the 1994 Transportation
Improvement Program (TIP) thai was subsequently approved by the stale and federal
ageucies. Howev&. it was ranked as the second highest back-up project in Ibe nine
county Bay Area. Accocdingly. staff recommended to Council a strategy 10 use 1 ()()
perr-enl Ioca1 furuls (Stanford Research Park Traffic Impact Fees) to fimd the design
pOOion, so Iha! the project could be advanced to a stale of readiness that would qualify
it for insertioo into the 1994 TIP. if some oIher project(s} were removed.
Subsequently. as part of the 1994 TIP Amendment No. I. the state and federal agencies
approved the deletion of some projects and !be inclusion of Palo Alto's Page MiMoolhil1
Intersectioo Improvement Project. Since we had proceeded with !be design without
:federalfsta!e prioc approval, as we bad advised the City Cooncil earlier, t1ua portion of the
work is no( eligible for reimbursement The construction work is. however. eligtble for
reimbursement up to specified limits.
FISCAL IMPACT
Funds for this project were budgeted in the 1993-94 CIP. Approval of this Program
Supppletnellt Agreement will allow the City to be reimbursed by federal furuls up to 885
pen;enI of!be aclual construction cost. fou IoIaI reimbursement ofS7IS,865. Originally,
5792.000 in federal ftmds was avaJlable b-this project. The decision 10 proceed with
design work OIl this project without fe&eravstate prior approval. however, resulted in that
portion of the work ($76,315) not being eligtble for federal reimbursement. Stanford
Research Park Traffic Impact Fees were used fur the design work.

WHEREAS, the City of Palo Alto and the California
Department of Transportation ("'Cal trans'" t have entered into an
agreement entitled "'Local Agen~y-State Agreement ~cr Federal-Aid
Projects,." No. 04..-510.0.. da.ted J,.pril 10.. 1918 (the "'Mast.er
Agreement'" i: and
~. the Master Agreement sets forth the general terms
and conditions under which all federal aid projects shall be
performed,. but provides ~~t terms and conditions for each specific
federal aid project sball be set out in a ·Supplemeiltal Loo::al
Agency-State Agreement.... also referred to as a ·program
supplement..---which is adopted by the City and approved by Calt-rans;

WHEREAS, the City has re~Jeeted federal funds to finance
preliminary engineering. constru'Ct.iOD engineering and construction

project (the ·project·J~ which requires the City Council to adopt
a program supplement (NO. O'06} for the project; and
WHEREAS..-the City Council desires that necessary work be
done rela~ive to the project, and to adopt Program Supplemeut No.

NOW~ THEREFORE..-the C~Jncil of the City of Palo Alto does
RBSOLVB as follows:
SECTION 1. The City COuncil bereby adopts Program
Supplement No. 006 to the Master Agreement between the City and
'Caltrans, and authorizes the ~yor to execute said Program
Supplement for aDd on behalf of the City of Palo ~to.
SECTION 2. Adoption-of t.he Program. Supplement dc-es not.
constitute a project for purposes of the California Environmental

tant or sub-contractor incurring over $25,000 on the project.
The audit report. must state the applicable cost principles utili
zed by the auditor in deteT1:rlining allowable costs as referenced in
CFR 49 1 part: 18 .. So.lbpart C -22 .. Allowable Costs.
