POUCY IMPLICATIONS.
The recommended action is consistent \\'ith the City Coundl rel.:ommendarion tor approval
of a November 1993 advisory referendum to consolidate the Santa Clar:l County
Cong.!stion Management Agen;.;.v with the Santa Clara Count)' Tran:-.it District. Th.::
impacts of this action include moving respomibiliiy for the Transit District trom thr
County Board of Supervisors to the 12-mcmber Congestii.m Managemc-nl Agency Board.

On November 1993, Santa Clara County voters approved an advisory baJJot measure to
consolidate the Santa Clara County Congc'Sticm Managt!mt'nt AgL'nc), \"lth the S:::.nla Clara
County Transit lJistTict Tne attached Joini Powers Agreement (JPA) is a re .... ision of the
original JPA, approved by the City in 1991, that established the Congestion Management
Agency. The new JPA implements the 1993 advisory measure.
Members of the Santa Clara County Board of Supervisors, Congestion M:l.i1agcm('nl
Agency Governing Board, Transi! District and CtvlA staff, along "ith numerOus City stafr,

r«:ommended new JP A will bring about the merger, while protecting the important
transportation planning and programming activities of the CMA,
The CMA Govrming Board approved the attached JP A on November 3, 1994, The Board
requested that the 1 S cities in the County and the Count)' Board of Supervi,ors approve
the JPA b)' December 9, 1994, The JPA will be effective January I, 1995, if approved
by the Count)' Board and a majorit)' of Ih. 15 eilie, wilh a majority of the County's
populati on.

THIS JOINT POWERS AGREEMENT (hereinafter "Agreement"') dated as of

RECITALS
WHEREAS, Chapter 2.6 (commencing w~h Soclion 65088) 01 Division I of T,ti~
7 of the Califomis Govemment Code provides that every -co!.mty that includes an
urbanized area and every city within such county shall imp!erMnt and comply !"'I'ith a
Congest;on Management Pro-gram ("CMP") a!! a condition of receiving certain gas tax

WHEREAS, on August 14, 1991, the parties to this Agreemenl enler&j inlo a

Congestion Management Age:"1Cy (hereinafter "eMA") as tho agency responsible lor
impt.menting the CMP in Santa Clara County; and
WHEI'lEAS, the August 14, 1991, jOint powers agreement set lorth Ihe powers,
functions and respon$ibiJrties by whicn the CMA was to prep'''', adopl, update.
administer and enforce the CMP in Santa Clara County; and
WHEREAS, on March 30, 1994, AS$4!IIlbly Bill 1619 was enacted amending
Section 665.31 of the CalHomia GO\Iemment Code to vesl the agency r"spons ibl" 10 r
prepa<ing a county's CMP w~ preparation of lhal county's long-range I1ansportation
plan; and
WHEREAS. Part 12 (commencing w~ Section 1000(0) of Division 10 of the
California Publk: Ut,nies Code authO<ized craation of the Sanla Clara County Transit
District with tile general power to acquire, construct, operate and finance IransH
lacilities w~in Santa Clara County; and
WHEREAS. In 1972 the Santa Clara Coonty Trans~ District was crealed by the
voters of Sanla Clara County pursuant te Part 12 (commencing w~ Section i 00000)
of Division 10 of the California Public Utilitie. Code; and

WHEREAS, on July 20, 19\14, Assembly 9ill 2442 (Cortese) was enacted
amending certain provisions of Par112 (commencing with Section 100000) of Division
10 of the CaIlIomIa Public Uti lilies Code to allow for the assumption by the S811ta Clara
County Transit District of the imp/erMntation of the CMP; and
WHEREAS, tile parties to this Agreement desire to designate !h9 Sante Clare
County Tntnsit District u 1I!e agency responsible tor impfe~nting the CMP in Sante
Clara County; and
WHEREAS, bec.M'" of the importance and unique nature of the CMP
ru nctions, whiCh Include evaluating competing project and flmding proposars
submitted by all parties to this Ag,eemer!!, th. parti •• desire thaI these funC1iOM be

WHEREAS, this Agreement sels fortn the terms and condr.:ons pursuant 10

agencies shall be deemed to be members of the Sanla Clara County CMP,
subj<lct to the lenms of this Agreement.

Agencies, from 1he Trans~ District and from such other agencies as designated by the

FUNDS AND ACCO~
A. The Control!e,-Treasure, of the Tran.rt District is designatsd to be the
depos,1ory and 10 have cuslody of all funds, including the annual iee descnbed
jn SecUon 9 of this Agreemer,t, collected or rec.eived by the Tiansn 01$lr..c1 for
the use and benefit of the CMP (hereinafter "CMP Funds"). The CMP Funds

commingled witt! other Transit District funds. P'te separate tund containing the

Member Aggncy shall be considered ope rationa I expenses and apportioned
pursuant to Section SA(!) of this Agreement. This obligation and apportionment
shall not encompass claims regarding matters other tI1an mon~oring,
preparation, administration, and enloreemen, of the CMP. ,~II Transit District
obligations ""related to CMP f1mctions shali nol in any way be the obligations
of any Member Agency.
SECUON 11. ANNUAL AUDfI,

public aooountants. The minimum requirements 01 this audn shaH be Illose prescn'bed
by the State Controller for special districts under Section U909 of the California

standards. Aud~ reports shall be made ava:lable to the Member Agencies upon
request.
SEC!lQN 12.
in the event 01 termination of the CMP or transfer of the CMP to anofher agency, eMP
funds, including any in:erest earned on deposits rem9.in:ng upon termination or
transler of the CMP and after paymanl of ailcoligations, shall either be returned to
each Member Agency in proportion to the contribution of each Member Agency during
tl\e term of this Agreement or tran~IQrred to th~ successor agency a. d<!\ermined "Y tl1e
Trans~ Dislrio1 Board of Dim."'!ors. All decisions of tile TrensH Distric1 Soard of
Directors with regard ,0 determination 01 amounts 10 bo returned to Ihe Member
Agencies or transferred to the successor agency shall be final.
SECTION 13. PROCEDURE FOR BECOMING A MEMBER OF THE SANTA
CLARA COUNTY CONGESTION MANAGEMENT PRQGRAM.
The County and crties who ratify and sign this Agreement and who pay the annual
tee(s) according to Section 9 of this Agreement shall become members of the Santa
Clara County CMP, as Implemented by the Transrt District. Fallure by the County or
any city in Santa Clara County to become a signatory to this Agreement shall make the
County Of ttlat city ineligible '<lr inclusion in the CMP. Crt;&$ incorporated atter the
effective date 01 this Agreement may b. included in tile CMP by becoming SignatOries
to this Agreement.

SECTION 14. WITHDRAWAL AND TERMINATION OF MEMBERSHIP IN !HE

A. A Member Ager><:y may elect to withdraw from the CMP by giving no less Ihan
90 clays written notice, Arty such withdrawal shall be effectiVe only on July 1 0'
the fiscal year folk>¥ling the liaeal year wilhin which notice at withdrawal is
given. Said withdrawing Member Ager><:y sh,,11 be I iable for all ouIstanding
charges and annual fees due ana payable up 10 and including the final dste of
membership in Ifle CMP.
B. A Member Agency which withdrav.'S from the CMP shall be excli.tded from a city
grouping under SeetioI1 6 of this Agreement and shall be deemed Inellg Ible for
nepre$8n1ation 00 the Trans.t District Board 01 D I rectors.
C. Wrthdrawal of membership tram IIle CMP automatically conslrtutes non·
confom"tsnce with the reqUirements 0' the Congas1ion Management Program.
The Transit District Soard 01 Directors shall notify tha State Cont,ollsr 01 the
w!thdrawing Member Ag$ncy's non-contormance.

SECTION 16.
Ali notices to Member Agencies shall be deemed to have been give" when mailed,

body of each Member Agency.
