Staff recoJrl.rnends that the City Council:
L Find that the-Me.dical Voundation ha" complied in good faith with the lenn~ r..nd
conditions of the Agreemem; and
2, Direct staff to issue a Certificate of Complia.'1ce to the Medical Foundation.
according to the provision of Section 9(1) of the Agreemen~ stating Loat:
a. The Agreement remains in etfect, and
b. The Foundattan is not in default.

EXECUTIVE SUMMARY
The attached letter dated October 14, 1994, from Robert W. Jamplis, President and Chief
Executive Officer of the l'al0 Alto Medical Foundation, describes the activities of the
Medical Foundation, relating 10 the Development Agreement between the City of Palo Al!o
and the Medical Founcb\tion for development of the existing Medtcal Foundation properties
in the vicinity of 300 Homer Street. Tnese activities focused. on deferral of planning and
construction activities because of litigation of the Development Agreement and subsequent

planning.and: design on an alto!mative site, Until the conclusion of reviews on the altemate
site, the Medical Foundation i5 not in a position to consider further activities pursuant to
