Staff rewmmends that Council approve and authorize the Mayor to execw the attached

Committee teViewed and aw<",'ed the draft Request 1Qc Proposals 1Qc a pubfK: outreach
coosultanl (CMR:479:94).
The Request 1Qc PrIlJ"l63l. was issued 10 eigbt public facilitation firms tl-.at appeared
qualified to perform the required ootreaclI wad: and expr~ interest in proviQmg services
10 the Ci!y. Five firms respooded with proposals O!l February [4, 1995_ A s<:lection advisoly
committee <X>I\Sisting of staff from the Engineering and Operations Division. of the Public
Wods Department and the Transportation Division reviewed the propo<als and invited an

The City Manager shall ~~ representative of CITY for all
purposes under this Agreement. JOE TERESI is designated as the
Project Manager fo.r the Cicy Manager .. and he or s.he s~.al.l si,J.pervise
the progress a....rXl exe~ution of this Agreemen.t. and shall be assisted
by MATT ~TlGANI the project Engineer.
2 .2 CONStIT.,TANT
CONSLTLTANT shall assign a single Project Oirector to have
overall responsibility for the progress and e.."ltecution of this
Agreement for OON-~TANT. JANET cox hereby is designated as the
:Project. Director for CONSULTANT and shall represent C!).NStTLTANT
d-.lring the day~to~day work on tbe Project. snould circumstances or
conditions subeeqJent to the execution of this Agree~ent require a

The scope Of the Project to be executed by CONSULTANT

Payment snaIl be made by C.ITY only for services rendered
and wit.hin thirty OO} days of submission in triplicate of 1JIOnthly
progress payment requests.. Each invoice shall be itemi~ed as to
the type of payme~t described in tbis section.

The amouot of CONSULTANT's compensation shall be
calculated as set forth in EXhibit ·B·~ entitled -Rate Schedule#·

7.1 TeRM op AGREgMRNT. TIME IS OF THE ESSENCE

execution by CITY. Folloving receipt of a Notice to Proceed,

are not completed by CONSULTANT vithin the time specified l C!TY
shall. l"..ave the option t.o extend the time of completion. This
paragraph does DOC preclude tbe recovery of damages for delay of
either party.

CITY may order major changes in scope or character of

se~ces. In the event that such changes are ordered~ CONSULTANT

to receipt. of notice of change. Increased compensat.ion tor major
changes shall be determined in ac~ordance with Section 6 of the

In the event that ~ajor changes are ordered pursuant to

CONSULTANT Dlr!ly terminate this Agreement or suspend work
on the Project by providing thirty (30) days' written notice
tbereof to CITY~ but only in the event of eub~taccial failure of
perfonnan<:e by CITY .or in t.he event:: eIn abandons or indefinitely
postpone. the Project.
9.2 fANCBI.t,ltTIQll BY crTY
Witbout limitation to such rights or remedies as CITY
shall ~herwise ~~ve by law~ CITY may terminate this Agre~ent or
suspend work on the Projact with or without cause~ by provi~ing
fifteen (15J days' written notice thereof to CCNSr.i·! .. TM"T~ or

it~ of service specified in Secti~ 4 of this Agreement.
CONSULTANT agrees to cease all work under this Agreement upon

9. 1 <:oMPRNSATIDN' ClF CONSpLTANT IN TI03 EVENT OF
'fA&MINATtON OF THIS AGRBFMSNT
In the event of termination of this ~greement or
suspension of work on the project by either CITY or CONSULTM"'l' as
~ovided hereiD z CONSUL~~ shall receive compensation as follows:
9.3.1 For approved items of service under
Section 4 Qf this AgreemenC~ compeneatioc shall be in the ~~t
~tltned under Section 6 of this Agreement for the items o£ service
fully performed by CONSULTANT •
.9.3.2 For items of service oa wich a Notice to
.Proceed has been i.ssued by CITY. but which have not: been fully
completed and approved .. CONSULTAN'l' shall be compensated ter the
service in an amount which bears the same ratio to the toeal fee
othe:r:vise payable: for the performance of the service as the service
actually rendered bears to the toeal service necessary for the full
perfonnance of th!: item of service.
9.}.3 In no eveot shall the total ~ompensatioo
pa.id in t-he immediately preceding paragraphs exceed the payment
specified in sectioc 6 for the respective items of service to be

upon termination of this Agreement or suspension of work
on the project by either CITY or CONSULTANT as provided herein, all
duties of CITY and CONSULTANT, as set forth in Sections 4 and 5
hereinabove, shall terminate.

Upon termination under Section 9 of this Agreement and
