3.7 COMpLIANCe WITH ADA
CONTRACTOR states that it is aware of the requirements of
tbe federal Americans with Disabilities Act of 1990, and tbe
C-overJlDie:J.·t -Code and t.he Health and Safety Code of the State cf
CalifornIa.. relating to access to public-buildings and
acoommodatioas f~ disabled persons, and relating to facilities for
disabled persons. CONTRACTOR shall comply ~ith or ensure by its
advice that compliaoce with su..;:h provisIons will be effected
pursua~t to the terms of this Agreement.
SECTION 4 -~RNSATION.
For the full performance of the services described herein

Exhibit A.

performan<::e by CITY or in tbe event CITY abandons or indefinitely
postpones the Project.
8.2 PAYM!!!{l'
Upon such suspension or t.ermination by CITY,. CONTRACT-OR
shall be paId for all services actually rendered to CITY co the
date o·f such suspension or termination; provided. hoYever .. if this
Agreement is susperlded or terminated for fault of CO~CTOR~ CITY
shall be obligated toO compensate-CONTRACTOR .only for that portion

the exce~i~~ cf workers' compensatioo ... employer's liability. and
professional liability insurance. naming as ae<iitional insureds

All insurance coverage required. here'.mder shall be
provided through carrie~s with a Best rating of A:X or high~r that
are a~~tted to do business in the State of California. Any and

15.2 E'\rIDENCE OF COVERAGB
Certificates of su~h insurance, preferably on the forms
provided by CITY, shall be filed with CITY con~rrently with tbe
execution of thie Agreement. The certificates shall be subject to
t~e approval of the ~isk ~~ger and shall coctain an endor9~~ut
stating t.hat. the insurance is primary coverage-and will not be
cancelled or altered by the insurer except after filing with the
City Clerk tbir~y t30) days' prior written _~ice of such
cancellation or alteration, and that the City of Palo Alto is named
as an additional insured except in policies o,f workers'
cornpensat.iOD8 empJoyer's liability, and professional liability
insurance. Curren,t cert.ificates of such insurance shall be k.ept. on
file at all tL~es during the term of this Agreement with the City
clerk.
15.3 NO LIMIT Qr LIABILITY
The proo.lring of such required ~licy or policies of
insurance shall DOC be construed to limit CONTRACTO~'s liability
here~er nor to fulfill the indemnification provision and
requirements of this Agreement under Section 13 ber-eof.
