This report recommends that the city Coun~il approve and
authorize the Mayor to execute the attaohed Amendment No. 1 to
the Agreement by and between the City of Palo Alto and varian
Associates., Inc~ The amendment allows Varian to convert sOlIe
additional 4~16JcV equipment to 12.47kV under 'the terms of the
aqreementl which will improve Varian and the City's electrical
systems. Tbe amendment also contains some clarifications to the
revenue aeterinq requirements and the service start date.
Background
On December 12, 1991, council approved an aqre~ent (CKR:549:91)
with Varian Associates which authorized the City to install
additional 12.47kV capacity at the Hansen way Substation. The new
capacity was intended to serve a new test faGility {Test Set),
that Varian was constructinq under It Department of Energy {DOE)
contract. Varian has reimbur&ed the city under the terms of the
agreement for all expenses to date for the installation. Varian
is currently 3waitinq reimbursement from the Electric Utility
under the agreement, which is based on the quantity of electric
energy consumed by the Test Set~
On March 22, 1993, Varian noti~ied staff that its DOE funding had
been delayed for the Test Set project and expressed concern that

Varian requested that the City postpone the start date of the
reimbursement for two years, in an effort to quarantee that the
electric energy will be used as planned and a full reimburse.ent
would be pos&ible. Statf did not want to extend the contract
beyond the tive year interval since all accounting for the
reimburs~t formula is done manually. Staff also recognizes
the difficulty with the DOE funding and the need to work with
Varian to retain a valuable business.
For these reasons, staff began lookinq tor other ways to utilize
the spare 12.47kV capacity and requested Varian to consider
connecting additional electric loads to the new capacity. While
Varian has no new electric loads, it does have significant
existinq loads which are presently served frem the City's older
4.16kV system. Some of the City's old 4.16kV equipment, which
serves Varian, is quickly approaching the end of its QQsign lite
and needs to be retired. Staff realizes it would be in the best
interest of both t.~e City and Varian, if Varian would convert
some of its electric loads from the old system to the new l2.47kV
system. This would enable the City to reduce Its maintenance
costs and the inherent risk of failure of the old equipment, and
it would allow Varian some reimbursement on their investment of
new electrical equipment. To accomplish this~ varian must
convert some equipment to the new 12.47kV system at its own
expense. Staff is confident that Varian and staff can agree on
the conversion plans so as to maximi~e benefits to both parties.
Staff proposes to allow approved newly converted loads to be used
in the reimbursement formula, ~r.der th~ terms of the agreement.
Tbe attached amendment will expand the reimbursement formula to
allow this. The amendment also clarifies the start date and
.etering requirements for the reimbursement formula.
Funding
Varian ~ill fund all voltage conversion expenditures on their
site4 Tbe City will SUPPOlt the voltaqe conversion effort with
associated service cabling and connections. Fundin~ for
miscellaneous city work will be from the Capital Improvement
Program annual major project, Electric Meters and Service5.
Environmental
This project is an eXisting one under CEQA and therefore, is
categorically exempt from any requirements.

CITY OF PALO ALTO AND VARIAN ASSOCIATES. IN'C.
This Arr.cndrnent No+ 1 to Agreement, dated
1993, is entered into by and bet'wro'ee.n the City of Palo Altc, a
chartered city and a municipal corporatiGn ("City") a:1d Varian
Associates, Inc., a Delaware corporation, witr-~ offices at 3100
Hansen Way. Palo Alto , Califo:rnia (-Varian").
WHEREAS, the parties have entered into an agreement,
dat~d January 16. 1992; and
WHEREAS. the parties wish to amend thi~ agreement as set
forth herein;
NOW. THEREFORE. in consideration of the covenants, terms.
and conditions set forth herein, the parties agree:
.5...ECTION 1. The partie.s hereby incorporate by reference
the letter of September 23. 1991 <attached hereto as ·Exhibit A"l.
under which City has agreed to use the meters of Varian to
determine electric usage credits under this Agreement under the
terms and conditions set forth in such letter~ and the letter of
Varian responding to the City's letter of September 23. 1991
{attached hereto as "Exhibt,t: B-). The two letters are intended to
modify the terms of the last sentence of Seccian 1{a). paragraph
two.
SECTION 2. The first sentence of Section 2(e) is hereby
modified to read as fallows:

"One year after said service begins and annually
thereafter, City shall pay to varian twenty percent (20t)
of the g:ross annual revenue received by City from the
sale of electric po~er for the new Test Set and/or othe~
electric power loads mutually agreed upon by the parties,
includir.g electric power loads resulting from the
shifting of power loads from varian'S 4 KV power system
to the new Test Set l2 KV system .•
SECTION 3. Section 4. (c) is hereby added to read as
-For the purposes of this Agreement, the tenn "date of
init.ial operation" and the date by which service is
deemed to begin shall be deemed to have conunenced on
January 1, 1993."

Dear Mario,
During our meeting on september 17t.h, you nentioneci. that you did
not provide any metering space for the City to inst.all metering
equipment. As you knm,,', the City needs to measure energy
consu11lption .by the new Test Set in order to determine Variants
annual credit under the Agreement being finali~ed. We understand
that Varian would rather use the Varian watthour dem.>:lnd :meter
currently e.}(isting in the feeder break~r cotlpartment (to be
desiqrlated D33). We understand that the D3) feeder will be
dedicated to the ne~ Test Set.
We can allow the existing meter to be used if Varian agrees to the
following;
1. Before varian installs the new 12.47kV potential transformers
to replace the 4; .16kV units, please Iilake arrangeme:.ts to give
the new PT's to the City's metering department for testing.
The city reserves the ri9h~ to test and re-test any of the
associated metering transforlll.ers at any time. Any outages
required for testing 'Will only be done .... ith prior notification
of Varian.
2. Va.rian shall allow the City metering department to test,
calibrate, and seal Varian's t ..... a we.stir.~hc'...!~e '":.'"a-t.thOL<I derr.a..!"'ld

At the end of the five year contract, the city will remove the

Varian can install windows in the outer doors of feeders D32

The following is an item by item description of Varian's response to
your letter dated september 2], 1991.
Item 1. New 12.47kV·potential transformers should be forwarded to
CPA for testing.
ACTION: PT's have been forwarded to Ken Schwab of your Metering
Department and have been tested/calibrated~
Item ~. City reserves the right to retest any of the metering trans
formers at any time.
RESPONSE: We understand that varian will be given ample prior
notification in order to coordinate shut down of
equipment with the Building occupants.
Item 2. Existing Westinghouse watthour demand

se~arate access for CPA entry. Meters are now
accessible via switchgear doors ~hich are presently
unlocked. We will work yith the City to assure con
trolled access to the meters.

This report recommends that Council approve and authorize the
Mayor to execute the attached agreement by and between the City
o~ Palo Alto and Varian Associates, Inc., allowing the City to
design and install n~w elect~ic substation e~~ipment for serving
power to a new Varian Associates electric load.
Discussion
In A~qust 1988, varian Associates met with Utilities staff to
request an increase in electric power capacity to serve a new 6
Meqawatt (6,000,000 wattJ test facility. At that time, Varian
wanted the new facility to be ready in late fall of 1990.
staff estimated the project cost at $750,000 to design and
install the necessary electric power distribution equipment to
serve Varian's new facilitY4 Staff determined that the energy
consumption of the new test facility was somewhat speculative;
and therefore, the project cost may not be economically
justified, as discussed under Uti~ity Rule and Regulation 17~
Varian agreed to reimburse the City for its expenses, provided
Varian could reco'\~er some of the cost depending on enerqy
consumption and subsequent associated revenue to oe received by
the City.
On August 3, 1989, Council approved a preliminary Reimbursement
Agreement vith varian Associates (ref. CMR:4CO:9) that allowed
staff to begin enqineering and purchasing lonq leadtime
electrical equipment. To date, staff has purchased and received
about $400,000 worth of equipment needed for this project. Varian
bas reimbursed the City in accoraance with the Preliminary
Agreement.
Since the preliminary Agreement was approved, staff bas been
negotiating the terms of the attached Agreement with Varian. Due
to the long negotiation process with varian (two years), staff
revised the estimated cost of the project to $820,OOQ~OO to

"Test Set"), City will add the new substation capacity at the
Hansen Way S~bstation as described below (referred to hereinafter

space at the Hansen Way Substation to add this new capacity without
modifying the Substation layout~ To create space, City must first
