Members of the council:
On May 24, 1994. the Finance Committee recommended aptlroval of 18
HUmiln Service Contracts as part of the HSRAP (Human Services
Resource Allocation Plan) process. Of these recommended cont2;acts,
s.\x of them exceed $25,000 and thus require individual approval.
Council action is requested to approve the attached amendments to
Cent-I."acts No. C0006~?9. CO[)06277. and C0001714 for sei"vices between
the City of Palo Alto and the following respective agencies:
Referral Services, Inc. (PAAIRS), and the Senior Coordinating
Council of the Palo Alto Area, Inc. (SeC). A new contract bet ..... een
th~ City and Pal~ Alto Community Chi ld Care (PACCC) is also
il~cluded and is entitled IIAgreement betWeen the City of Palo Alto
and Palo Alto Community Child Cat"e r Inc. for a Child Care 'Subsidy
Program. II Council is requested to approve this new contract as
well. Under the amendments, each of the existing contracts will be
reneWed for another year and a new contract will be entel."ed into
between the City and PACCC. In additioJl r Council action is
requested to approve r,he attached short form agreements bet ..... een the
City and the Community Associat.ion for Retarded, Inc. (CAR). and
between the City ar:d the Palo Alto Unified School District (PAUSD).

The Human Services Division, in conjunction with the Human
Relations Commission (HRC} r' 'arrived at funding recommendations
through the Human Services Resource Allocation Plan (HSRAP) process
for the 18 Human Services contracts.
Based on Council policy enacted last year, the amount available for
allocation is $963.906 r or a 1.9 percent cost of living adjustment
(COLA). This figure was based upon the year-end Bay Area Consuw,~r
Price Index {CPr) figure provided in late December of 1993.

In Bum.!'lHn~y, 14 agcnciee out of. the currently City-funded 17
agencies were recommended for a 1.9 percent COllA. Two agencies
were recort'.mended for a small amount of additIonal funding beyond
the 1.9: percent baro."neter (Mid-Peninsula YWCA Rape Crhlis Center
and f'o'.ayfiold Corr.munity Clinic). One currently-funded agency did
not reapply (Bayshore Employment services) and one new agency
[Youth Coo;.'l.unity S~rvic'eul was recommended for funding.
In addition to the l? agencies listed. a small amount of funding' is
to be made available to the American Red Cross from the City
Mana9cr~o: contingellcy. fund. 'this funding, flot to exceed $5,000, is
to be used for reillwut"seroent only for people with disabil i ties or

THIS AGRBRMBNT is made and entered into this ___ day of

'CiTY', and the PALO ALTO COMMUNITY CHILD CARR, I~C .• a nonprofit
corp'oration of California, whose address is 3990 ventura Court,
Palo Alto, CA 94303, hereinafter referred to as "PACCC";
WIT H E S S B T H:
l:mSREAS. CITY recognizes the continuing need for child
care services for all those pe,reons who live in the City of Palo
Alt.o; and
WHEREAS. in response to the need for eubsidized child
care services, CITY desires to support the coordination and
operation of a child care subsidy program; and
WHERBAS, Contract No. C0001712 was previously entered
into between crTY and PACCC for the p~ovision of" ,c:luch SUbsidized
child care services; and
WHRRRAS, CITY desires to engage PACCC to provide these
services by reason of its qualifications and experience in
perfQ.rming such services. and PACCC has offered to provide the
required services on the terms and in the manner set forth herein;
NOW, THEREFORR, in conaid~ration of their ~utual
covenan'tB, the parties h(>.reto agree as follows~
1. DEFINITIONS.
(a) The word '!!Cityrt as used in this agreement shall
mean and include all the territory lying within the municipal
boundaries of the City of Palo Alto, California, as presently exi~
sting, plus all territory which may be added thereto during the
term of this Agreement by annexation or otherwise.
(b) The term "City Council ~ shall mean the duly
elected or nppointed members of the City Council of the Cit}" of.

Palo Alto MUnicipal Code and the Charter of the City, of Palo Alto.
(c) The term "City Manager" shall mean t.he duly

(d) 'fhe term ·City Risk Manager" shall mean the
duly appointed Risk Manager of the City of Palo Alto, California.

{h) The tenn "fiscal yeal.-" shall mean the period
fr~~ July 1 to June 30.
(1) The telm ·P.A.CCC Affiliate Centexs~ shall mean
those licensed child care centers. licensed family child care homes
and child care centers that are legally exempt from licensure,
~lhich are affiliated 'o\'ith PACCC, in PACCC~ B sole discretion, and
which receive child care subsidy funds from PACCC under the PROGPJU1
defined in paragraph 31a) hereof.
(a) ~. 'fne City Manager shall be representative
of CITY' tor all purposes under this Agreement. The Child Car~
Coordinator ()f the Human Selvices Division is designated as the
PROJECT MANAGER for the City ~~nager, and shall supervise the
pl."ogress and execution of this Agreement' for CI'l'¥.
{b} ~~n. The Acting Executive Director of
PACCC is designated as the PRO\IECT DIREC'roR for PACCC. The PROJECT
DIRgCTOR shall have overall responsibility for the progress and
execution 'of this Agreement for PACCC. Should circumsta.nces or
conditions subsequent to the execution of this Agreement re-quil"e a
9ubstitute PROJECT DIRECTOR, PACCC: shall notify CITY iftunediately of
such OCcurrence.

Dpecified services as set forth in the documBnt entitled '1994-95
SCOPE OF SBRVICES,' .... hich is attached hereto as E"xhibit B.A."" and

PACCC's eerviees hereunder ahaU include the administration of a
child care subsidy program 1ll1d th~ provision of SUbsidized ~~1ild
care gerv.h~c8 under the progl"am at PACCC chi 1d ("are centers and
PACCC Affiliate Centenl (he:rein1\fter th~ "PROGRAM") _ The PROORAr1
ahall be provided in accol'dance with the specificat.ions set forth
in the docwnent. entitled "SUBSIDY PRCX;RJL\.! SPECIFlCA1'IONS .. • which is
attached hereto as B'xhibit -B· (vith its. Attachrn€mt.s 1-3) and made
a part hereof by thi& reference.
(b) A>Il1.U~Q.nal~~IYi~!ti!. In addition to providing
the services set fOl"th in "E:xhib.lt A herflo!~ P"A.CCC shall U8e its
best effct"ts: to do the follo""lng undor this Agreement:
(i) Sll".C9Jlt=li. ~1here it is necessary and
appropriate that VA-CCC enter into a subcontract to implero2nt a
service under this A9ree:nent I any $uch subconu"act $hnll be subject
to the provisions of PAragraph 11 rh) of this Agreement.
(il) :lll~ __ ~rul facllity LocaUQn. PNXC shall
locate all facilities and sites to be used by PACCC within eXT\',
except: as approv-ed by eI'n'. Said sites and facilities at which the
services of the PROGRAM are ,offered shall conform to all federal,
state and local la"'8 an4 l"cgulations regulating thf! use of said
sites and facilities for child care services.
(Hi) J:QQJ.:9iIlillQO. PACCC shall coordinate
its se:tVices with other existiJlg o(ga:ni2ations providing similar
se:rvices in order to foster co.1Ulunity cooperation and to avoid
unneceasary duplication of services.
(iv) .!'.r9j~c'JdIlli!Stl. PACCC shall fully
cooperate and c6Inmunicate ..... i th the PROJECT ?-'ANAGBR relating to the
PROGRAM, areas of concern, and the impact of the PROORAM on the
residents of CITY', PAC(""C shall confer with the PROJECT' MANAGER
concerning the operat.ion of services under this Agreement and shall

quly consider rea90nable directions and suggestions made by the
PROJBCT MANAGER ~t such conferences.
(v) Other funding. PACCC shall seek out and
apply for other sources of revenue in support of itD op~ration or
services from county, state. federal, and private sources. Unless
deemed inappropriate by the PROJBCT ~mNAGBR. CITY shall support
PACCC in its search of grants, funding, or inc~ne by serving as a
sponsoring agency, by providing letters of Bupport~ or bi' rendering
advice btl applica.tion.s for grants. The receipt of such funds ghall
be reported as provided in paragraph 6(h) heraef.
(vi) l1llJ:/tt): _ PACCC shall adhere to all appli
cable :1afety standards and regulations to ~n8\Jre that the PROORA.Y,
and all of PACCCis services are provided in a safe maoner. PACCC
shall make periodic safety inspections and provide training to
staff ueing fire prevention, safety, building inspections and othel"
consultants as available.

shall include an acknowledgment of City funding and SUPP0l"t in all
appropriate publicitj' or publications reganiing the PROGRN .... us lng
words to the effect that "subsidized child care services are

approved by the PROJECT MANAGER.

PACCC shall provide the PROORAN according to the policies ilild
operating principals set forth below:
(1) Parents or guardians of children i ....
the PROGRAM shall have the opportunity and be acth'oly encouraged
to choose the child ca:r.e services that best m&et th~ir needs.
(2) Inclusion of children in the PROO!ti\,'l
~ith differing social, cultural, ethnic and economic backgrounds
shall be actively encouraged.
C3} PACCe shall use ita beat efforts to
serve the maximum numbel' of childi"t~n in all age categories under
the PROGRAM.
(4) Client payment of fees for services
in the PROGRAM will be related to ability to pay I using <\s a guide
PACCC's Family Fee Schedule included in this Agreement as
Attachment 1 to Exhibit B hereof.
(5) General and income eligibility for
participation in the PROORAN as a reCipient of child care subsidy
funding shall be as set forth in Exhibit B hereOf.

(c) ~r9hibition Against F1mding of Religious
l1sln.W.JLQ.t..Actiyitiltl;!. PACCC shall ensure that all. PACCC chHd
care centers and all PACCC Affiliate Centers that receive any
subsidy funds under the PROGRAM use such funds for secular purposes
only. PACCC shall fU'("ther ensure that all such Cllild care centers
r.efrain from offering religious inst~uction, worship or other
religious activities while providing child care services. in
accordaiice with the provisions of the California and United States
Constitutions.

correction. CITY may forward to PACCC requests for corrective
action. Such requests shall indicate the nature of issue \<o'hich are
to be reviewed to deu~rmine the need for cO}'Tective action and rnay
include a recorrrnendation as to appropriate co.rrective action,
Within thil.'ty (30) days of CITY's request. PACCC shall submit its
response, which shall inclUde its views of the probl~ms and
proposed action, if any. Upon requests of either party~ the
parties shall meet to discuss any such request and response within
the thirty (3:0) day period specified.
{c) Right to Suspend or Te~. Either party
may suspend or terminate this Agreement. with or without cause, by
giving thirty (30) days I written notice thet'eo! to the other party.
Upon the expiration of flUCh notice, performance of the services
het'eunder shall be immediately discontinued.
(d) Taminating Compensating. CITY shall make full
payment for all services actually rendered by PACCC and all
expenses to the date of termination; provided, however, that thp.
total compensation to be paid during any partial year of service
shall not exceed the proportionate share of time elapsed during the
term of this Agreement to the date of termination, plus other
expeonses approved by CITY necessary to tertninate services and
obligations incurred in carrying out. this A~reement..
(e) Extension of Services. In the event of termi
nation of thi9 Agreement by CITY, PACCC shall forthwith close CIT¥
funded portions of the PROGRAM; provided, however, due regard shall
be given to the ne~d for PROORAM recipients to locate alternate
forms of care for their children. CITY shall pay a reasonable

amount for services rendered by PACCC ""hile closing CITY· funded
portions of the PROGRAM for a period not to exceed thirty (30) days
from the date of any termination.
(f) Surrender of Mate~. Upon any suspension or
tEllmillation Of this Agreement, PACCC shall turn OVel" to CITY
itMlediat(~ly any and all copies Of studies, report.s. and other data,
eXt~ept confidential records, whether or not completed, pz:epared by
PACCC or its subcontractors. if any, in connection with this
1l.graement. Such materials shall become the property of CITY.
PACCC, however, shall not be liable for City's use of incomplete
materials or for CrTY's use of complete documents if used for other
tllall the aeI"'Jices contemplated by this Agreement. Nothing in thi(.)
.Agreement shall be construed to deny parents or legal guardia~1s
access to .any information or records concerning their own children~
(9) J.ruie~.nLJ\ldgement. Failure of CITY to
agree with PAcee's independent findings, conclusions, or
recOllTrtendations, if the same are called for under tJ:lis Agreement,
on the basis of differences in matters of jUdgement, shall not be
constlued as a failure on the part of PACee to meet the
requi:n:'ments of this Agreement.
Ca) ~. PACCC' s budget fOl· the PROGRAtof ouring
the term of. this Agreement is attached het·eto as Exhibit "e" and
fM.de a part hereof by this reference. Expenditures by PACee for
services hC!reunder shall substantially conform to said budget
unless the prior written approval of the PROJECT MANAGRR is
obtainod. The buc.1get must be developed in accordance with the
s~hedules. processes and format established by CITY staff.
(b) Compeneation. CITY agrees to cornpens,at.? PACCC
for the full perforrM.nce of its services under this Agreement in a
total sum not to exceed Three Hundred Pifty·two Thousand Sixty· Five
Dollars ($352,065) in general fund money.
ee' Paw,ents by CITX. On the billing form provided
by CITY, PACCC shall submit a bill by the fifteenth (15thl working
day of each month for services provided under this Agreement during
the preceding month. The bill shall specify actual expenditures
directly related to this Agreement as follows, in accordance with
Exhibit B:

the expiration of three 131 years following either the date of

information about. any Ventura School rental revenue, shall be

accountant shall submit the repo~t to both parties. The cost of
this audit Rhall be borne by PACCC.
(g) Reimbursement of OVerpayments. Payments by

obligated by expenditure commitments by PACec to third parties fot'
items shown in PACCC' B budget (Exhibit B) or payments .",hich were
made for items or. services for which PACCC received, or will

audit provided for above or otherwise, are deemed to be
overpayments, and PACCC shall reimburse CITY for such overpayrnel~tB
within thirty (30) days of notification thereof.
(h) FuMs Re~d.t.t:Qj)LQ.~=~\lll. Funds which
are made available to PACCC or the PROGRAM from sources other than
CI'I'Y through a contract between such source and CITY or between
such source and PACCC shall be subject to the same fiscal procedure
stated herein unless special procedl.ll:es are c\' '.led for by any such
source. Income to the PROGRAM in the form oC fees, direct

financial or operational audit or review of PACCC by CI'J'Y.
7 . PROORI\M REPPRTUllll. R ECORPS .
(a} Quart.er..l:L.M\d ADnuaLReports, PACCC shall file
with CITY quarterly activity reports on the fiftee~th (15th) day
after the close of 'each three (3) month period, covering' the
preceding qtlarter and such other infolmation as the PROJECT MANAGER
may request. The final quarterly report shall cover not only the
preceding three {) months. but also contract ser"Jices for the
entire year. Each report shall be prepared in the form agreed upon
,l:;>y the PROJBCT MANAGER and PACCC, On reasonable notica, PACCC
shall grant. the PROJECT MANAGRR access; to all PACCC records, data,
statements, and reports, but excluding any confidential records of

(c) ~rlfidential Information. CITY and PACCC agree
to maintain the confidentiality of any confidential communication
between PACCC and an applicant forj or a participant in, the
PROGRAM. As used in this Agreement, the term "confidential
cOlOO1unicationli: means information transmitted between such a person
and an agent or employee of PACCC in the course of that relation
ship and in confidence by means which, so far as the applicant or
the participant is aware I discloses the infonnation to no third
person other than those who are present to further the interest of
the applicant 01:.' the participant or those t.o whom disClosure is
reasonably necessary for the transmission of the information or the
accomplishment of the purpose for which participation in the
PROGRAM is sought. The term ~confidential communication~ includes

application forms, interviews, tests. reports, counseling, or any

aware of the provisions of the Labor Code of the State of
California which :require every employer to be insured against
liability for work.ers' compensation or to 'undertake eel f -in8ura'nce
in accordance with the provisions of that cOde, and it certifies
that it will comply with such provisions before cCftl'l".encing the
perforrnan'ce of the 8ervice~ under this Agreement.

Said certificates shall be subject to the approval of the City Risk
Manager a.nd shall contain an er.dorsement stating that said
insurance is primary coverage and will not be cancelled or altered
by the insurer except after filing with the City Clerk thirty (30)
daysl written notice of such cancellation or alteration~ and that
the City of Palo Alto is named as an additional insured, Current
certificates of such insurance shall be k.ept on file at all times
during the te~ of this Agreement with the City Clerk.

17. ~STS AND ATTORNEYS' PBES, The prevailing party in
any action brought to enforce the terms of this Agreement or
arising out of this Agreement may recover its reasonable costs and
attorneys' fees expended in connection with such an action from the
other party.
18. NQUDISCSn.UNATION. No discrimination shall be made
in the employment of persons under this Agreement because of thf\
race, color~ national origin, ancestry, religion, sex, age,
disability 6:: sexual preference of such person. Similarly, no
person shall be denied the b,enefits of the PROGRAN, be excluded
from the PROORAM, or be subject to discril\lination under any part of
the PROGRAM on the basis of the race~ color, national origin,
ancestry, sex, religion. age, disability or sex\lal preference of
such person. PACCC shall comply with the Americans with Disabili·
ties Act of 1990. as amended, and shall eneure that all of the
PACCC Affiliate Centers and any subcontractors of PACCC also fully
c<.w.ply with said Act. PACCC further agrees to meet all require'
ments of the Palo Alto ro1unicipal Code pertaining to nondiscrimi·
nation in employment and to complete and submit the ~certification
of Nondiscrimination-on the form furnished by City, A copy of the
completed certificate is attached heret.o as Exhibit "E" and made oft
part hereof by this reference,
PACCC agrees that each agreement for services fLom any
independent providers or subcontract.ol:s, including the PACCC
Affiliate Centers. shall' contain a provision substantially as
follows:
"PRovrOER shall provide PACCC with a certificate stating
that he (or she) is currently in compliance with all federal and
State of California laws covering nondiscrimination in emp~oyment;
that he (or she) will pursue an affirmative course of action as
required by the Affirmative Action Guidelines of til. City of Palo
Alto; and that he {or she) will not discriminate in the employment
of any person under this contract because of race, color, national
origin, ancestryl sex, age, disability, sexual preferenc:e, 01'
religion of such person,"
If PACCC is found in violation of the nondiscrimination
provisions of the State of California Fair Employment Practices Act
or similar provisions of federal law or executive order in tho
performance of this Agreement, it shall thereby be found in
material breech of this Agreement. Thereupon, CITY shall have the
pow~r to cancel or suspend this Agreement, in whole or in part, or
t.o deduct from the amount payable to PACCC the sum of 'l'wenty-Five
Dollars ($25) for each person for each calendar day du~ing which
such person was discriminated against, as damages for said breach
of contract, or both, Only a finding of the State of California

CI'I''t' arid PACCC and supersedes all prior negotiations,
representationa or agreements, whether written or oral between the

Change of Statu, Notification:
Subsidy recipients under the Program shall be advised thaI. should their eligibility circum

PACCC employees are not eligible for the Cil)' subsidy as of Ju.ly I, 1992. fuceptions have

2. Ensvre that the identified s<aff members are. actively invol ved in managing
a minimum of three human services programs on site, which aN!' speci flc,11y
deSigned to increase visibil tty of available senices to ~tud~nts and
maximize personal counsel jng services.
3. Coordinate site·based programs which incre.se personal counseling options
for students by "'P<"'ering various role groups to .ss~ counsellng
responslbil itieswithin their own spoores of Influence or specifiC
projects which are counseling-based to serve no f~~er than 200 students
per site during the school year.
4. Facilitate the I denti fi CGt ion and referral of students to app,oprl ate
COlT'munity mental health providers and serve no fe>ler than 25 students per
site during the term of this agreement. .
REPORTS: Contractor shall provide ,ctivity reports relating to this Scope of
Services for the periods ending November 30. 1994. february 28. 1995. and June
30. 1995. within fifteen d.ys .fter these dates. Each report shall cover the
preceding period. and other such inform.tion as the Project Hanager ~ay reqvest.
The final report shall focus on the fin.l four months. but also shall pl'Ovide
information on contract services for th, entire term. Each report shall 00
prepared in the form .greed upon by the Project Han.ger and th, Contractor.
