On May 20,1991, CouncU adopted Resolution No. 6987, approving lIle use of CDDG funds
for f,scol year 199111992 and authorizing a funding allocation of $5,000 for repairs to the
decking surface on !.he uppcr·levcl walkways of Stevenson House. After careful
con~ideration, however, it \ .... as detemttned that the material covering the decks could not he
repatre-d properly, and would have to be removed and replaced with a more durable

NOW, THEREFORE, in consideration of the foHowing covenanls. lerms and

This Agreement shall commence on the da[e above wrirten, and shall expire on

BORROWER shall renovate the Facility's play area and i"'tall new
playground equipment, as more fully described in Exhibit A auached llereto and incorpomted
herein by this reference.
This Agreement is subject to the agreements-~,~tweeI1 CJT~,~'I:1 HUD on
behalf of the United Stales of America pertaining to tile h"g~"", and alilaws,rules,
regulations, p-Jlicies. guidelines, and requirements with respecno the acceptance and use of
f""eral funds under the Program, including Ihe CDBG ,$Suranets set forth in Exhibit B
attached hereto and incorporated herein by this relere nee.
$ECIION 4. Grant of Funds allil Serurity.
CITY shall grant BORROWER a sum of money in an amounl not to exceed
FIFTY-BVE THOUSAND DOLLARS ($55,000) for the purposes set forth in Section 2 and
E:r.hibir A. Payment of such sum shaH be evidenced by a promissory note ("NOleN). in the
fontl attached hereto as Exhibil C and incorporated herein by this referencc. The payment of
the sum. and any part thereof, granted and advanced hereunder shall be made contingent
upon, and, at the option of CJTY, shall become immediately due and payable upon, the
occurrence of any of the following conditions:
(a) The failure by BORROWER CO commence (he Project services or [0 complete
the Project services set forth in this Agrecment within a period of two (2)
years after the date of thi.'\: Agreement;
(b) The ",Ie, transfer, or other disposition by BORROWER of the Facility without
the prior writlen consent of CJTY prior to the expiralion of a period of fh'e (5)
years after the date of the, Agreement;
(e) A use by BORROWER of the Facility, prior to lIle expi,,'ion of a period of
five (5) years aner r.,'e dale of the Note, which violates the applicable
provision'S of CJTY's Charter, ordinances, OT regula lions. or which is not an
"eligible aclivity" under the Program of the Housing and Community
DevelDpmenl Acts of 1974 <l.nd J977, 35 amended. and the regulations issued
pursuant thereto; by HUD, or a successor ageocy; or
(d) An uO<:\Jred defau[t under this Agreement or rhe Note.
The fuooing of any part 'of the sum conditionally granted tJereunder will not
remain condil1onal. provided that none offhe conditions sel forth in Ihe preceding paragraph
have occurred. AI CHY's option, whenever the sum or any pan thereof becomes an

SCOPE OF SERVICES
Peninsula ChHdre-n's Center (pCC) is a nonprofit special cauc.'ltion. day treatment, and
counselillg facility for severely disturbed children, ado!e""," .. and their families. Specific
proglams include classroom training. therapeutic recreation and outpatient, cour.,seling. With
funding from the 1993194 CDBO Program of the City of Palo Allo, PCC will renovate the
playground area used by the children who a~.nd classes and programs at the facilily located
at 3860 Middleneld Road, Palo Alto, California.
The major tasks which PCC wtll perform in coruleCtion with the playground renovations
intrude, but are nol limited to, the following:
1. Demolition, removaJ and proper di!ioposat of existing wooden play structure,
old play equipment and existing .;;:oncrete.
2. Excavation. grading and other w:>rk ne<:essary to prepare the site fO/:'
installallOn of new pJayground equipment and illStallalton of new concrele in
playground area.
3. Provision and installation of S<and or other suitable m,ueri::ll dircclly underneath
the play structure.
4. Design ond installation of new playground structure which meets applicabte
safety and access.ibility standards, including any requirements urKfer the
Americans winl DiS<lbilitics Act of 1990.
5. Provision and installalion: of new concrete in play area.

foreclose upon the Facility, (I) CITY shall have the right, but not the obligation, to cure (be

WHEREAS, BORROWER has requested funds to replace the ".I<way
surfaces and upgrade the fire alOlnn system at Adlai E. Ste .... enson House (the "Facility")
located at 455 r--,.ast Charleston Road, Palo Alto, California; and
WHEREAS. BORROWER provides .ffordable, qu'li!)' hOUSing for low
income, senior adu lrs; and
WHEREAS, CITY wishes to grant funds to nORROWER for the purposes set
forth in th1s Agreement, and any exhibits therero; and
WHEREAS. CITY has approved and authorized the provi,ion of up to FIFTY·
FIVE THOUSAND DOLLARS ($55,000) drawn fromCDRG funds to BORROWER,
($5,000 from FY 91/92 fi(nd, and $50.000 from FY 93/94 funds) for the purposes ,nd under

NOW, THEREFORE, in consideration of the following covenants, temls and

system (the 'ProjOCl') with respect to Adlai B. Stevenson House (the "Facility"), as more
fully described in E1th:ibit A attached herclo and incorporated herein by this reference.
