Background
On May 2, 1994. Council reviewed the proposed agreement between the
City of Palo Alto and MFS ,fo)" the inatallation of fiber optic
cables in designated areas within the city limits of Palo Alto.
Initially, COuncil ref'3rred the agreement to the Policy and
ServicoD ~ittee for further discussion with an option to return
directly to the City Council it circumstances are warranted.
Thoro·fo't"e~. in ord~r to facilitate this issue, staff, at the request
of the City Attorney, following a r.'losed session, subsequently
agendized the a9l."eement for their action on June 6, 1994.
During the couroe of the May 2, 1994 meeting, Council asked staff
to address the following issues:
• What rights do fiber optic companies ha':') in utilizing the
public right-of-way for their illatallat,~bn6?
MPS h~B be(m granted a "cc:t'tificate of publ ie convenience and
necessity" by the State Pub] ic Util ities Commission ((,PUC).

• Why is staff l'ecom."T'iending that fiber 0pt ic ·cables be placed
under the sidewalk?
The placement of the cables under the sidewalk has' c:\any
benefits. First of all. it lirt,ita the number 'of potential
conflicts ~ ... ith existing underground ulilitit::R, beCa\lSe only
service lines (and not main lines) are likel)' to obstruct the
path of the proposed fiber optic conduits. Second, the cable
will be placed beneath existing utilitieo. using Blate-of·thl)'"
art directional boring methods rathel" than the invcloive mothod
of trenching. This trenC'-hles9 t.echnology avoids aud
eliminates many problems often associa.ted with trenching, such
as settlement of the trenches, a.dverse traffic impacts and
delays in surface xestoration. This impact method will aloo
require less inspection monitoring by Public Works and
Utilities Inspect.ors.
• What would be the impact to the City if several other fiber
optic companies requested access to the same ri9ht-of-way?

The question' of limiting the number of companies installing
multiple conduits over the course of time is a difficult one
to answer with assurance, Noile the City must allow cpuc
approved communication companies access to public right-of-way
areas, the City has some flexibility to de tel-mille th~ number
that may be accommodated _ Space limitation is a; val id
criterion_ Unless there are technical, environmental or
engineel.-ing conflicts with the proposal, the City must approve
the project. It has been suggested that extra conduits be
installed, in order to minimize future construction activities
on the came street _ The City may not require MFS 'or other
compet.itive access providers) to install additional, conduits
for the· City Qr a competitor of NE<'S. Also r in view of the
relatively minor impacts on the public right-of-way pxeaented
by the directional boring method, the concerno about majol
disruption to residents and businesses rr>.ay not be C'lS
8\.1.bstantial as was initially anticipated. In surr.marYl
available space and the market place will ultimately determine
how many cables will be placed in a public right-of-way_ In
the future I if the City should create a telecommunicat ions

pr.oblems.

Yes l the City may impose reasonable time const.raints on !'-IPS
activities _ These constraints are usually arrived at by
mutual agreement _ Since MFS and City staff have a great
interest in executing the work as quickly as posaible r weekly
meetings will be held to discuss schedule and construction
rt'!:lated pr'oblems. The Public Works and Utilities Depa:t.·tments
will' mo'nitor the four-month project on a daily baSitlr and
provide the Council with a status report. A four month
construction period has been agreed upon in order to
accommoda.te the World CUp schedule.
Recommendations
1. Authorize the City Manager to execute the attached agreement
between' 'the City of Palo Alto and r1et.ropolit,an Fiber Systems
of California, Inc. for the installation of fiber optic cable
in designated areas within the city limits of Palo Alto.

pl-eclude the City f.roM developing its own fiber optic system r a
subjoct which will l,e discussed further in a companion report
sd)eduled to be considered by the City COuncil on May 23, 1994. It

amendment a to the agreement.
hate last year tho City was approached by ME"S Network Technologies
eMf'S} requesting approval to inatall a fiber optic line through
Palo Alto. linking-certain cities in the South Bay with San
Fr~nciGco. The cable would be located in approximately 18 miles of
City atreeta, with services to commercial customers as indicat.'ed in
the attached plan,
Staff, in oonaultation with other cities, has researchp.d the legal
and technical issues relating to the proposed fiber optic
installation. Based on that research, the City Attorney has
determined that the City must grant f'olFS (and other
tel(lcoffitilunication companies) the right of access to the Cityl s
public right-or-way provided they comply with the applic~ble City
ordinances, regulations, and specifications.

by MFS, located or to be located in the Public Right-of-Nay, and
used or useful for and, in connection with the rendering at
Telecommunications Services by MFS.
1.10 "Fee" means ally assessment, license, charge, fee,

lawfully imposed by any governmental body.

2.0 T8RN.

3.0 SCOPE OF PERMIT.
3.1 Notwithstanding any other Provision of this
Agreement, any and all rights expressly or impliedly granted to NFS
under th;.6 Agreement, which shall be exercised at MPS's sole cost
and expense .. shall be subject to the prior and continuing right of
City under applicable Laws to US'9. any and all parls of the P\lbl ic
Right-of-Way exclusively or concul."l"ently with any othar Person or
Persons, and further subject to all deeds r easements. dedicat iOl)s~
conditions, covenants. restrictions, encumbrances and claims (If
title which may affect the Public Right-of.Way. Nothing in this
Agreement shall be deemed to grant. convey, create, or vest n
perpetual real property interest in land in MFS, including any t€e
or leasehold interest in land, easement, or any franchise. rights.
3.2 Subject to the Provisions of this Agl·eement~ City
hereby licenses and PCk.·L:l1its MFS to constructr install, rralntaill~
locate, move, operate, place, protect, reconstruct. reillst~"\ll}
relocate, remove, and replace the Facilities underground or on
eX.1..9t:ing poles, to the extent f1FS [flay gain access to these poles
consistent with the rights of third pa:rties under appljc~lble tal"S
and all existing and futlu.'e agl:eements, ·~ith:i..n the Public Right-o!·
Way for. the purposes of providi ng Telecommunicat ions Setvices to
Perflons located within the limits of the city of Palo A1 to. AllY
work performed pursuant to the rights granted to MFS under. thi~

3.3 Except as permitted by applicilble Laws Ok.' thi~
Agreement, in the perfomance and exercise of its rights ~nct

3.,4 MFS shall comply with all applicable I,aws in the
exercise and performance of 'its rights and obligations under this
Agreement and any City permit issued pursuant hereto. If requirect
by applicable Laws, MPS shall obtain the approval of the
Facilities' design by City's Architectural Review Board and· any
other City board or commission, and secure an assessment of the
impact that the Facilities may have upon the environme.nt.
3.5 NFS repk.·csents that its Facilit ies, will be util ized
for the rendering of Telecommunicettions se:rvices. If the nature
and character of the uses of the Facilities changes in the futt.n:e
to include the offering-of cOTi1ffitmity antennae television systems
or any other scr.;ices net exr,H~essly permi t r_cd :",:lder thi.s Agreement
or permitted to be offered by Ml-'S under appl icabl e l-aws. then. MFS
shall notify City in writing as soon as practicable. Such notice
shall be selved at least three (3) months prior to the effective

3.6 To the ext~nt permitted by applicable Laws, Cit.y may
exercisE> the authority to extend its .r.egulatol"y jurisdiction over
any change in the character or nature of the Telecommunications.
Services offered by MilS, and in such case, the Provisions of this
Agreement shall be rellegotiated as required by applicable ha.ws.
4.0 FEES AND TAXES.
4.1 ~'FS shall cOllect and distribute to City the
telephone users tax from its service users pursuant to Section
2.35,090 of Chapter 2.35 of 1'itle 2. of the Palo Alto f'.lunicipal
Code, as amend~dr if the Facil ities are used to provide revenue"
producing teleco[l1J'[lunicatioos selv;.ces that wOllld be subject to
Cityrs telephone users tax.
4.2 :"PS shall be solely respons lhle for the payment of
all la."ful Fees charged l.n connection with the exercise of toWS's
right, title, and interest in, and the construction, installation,
maintenance and operation of, the Facilities and the rendering of
Telecommunications Services under this Agreement. City shall be
required to provide ?-iPS with documentation supporting only those
FE',es in excess of seven thousand dollars ($7,000) to be charged to
MFS in connection with City's costs of inspecting an,"\ reviewing the
original construction wo~k. The limitation set (orth in the
preceding sentence shall not apply to any Pee charged by the City
for underground utility marking or removal of utility marking
services.
5.0 REMOVAL AND RELOCI\'CION OF FACn,ITIES.
5.1 Upon the receipt of a demand at City, and subject to
all applicable Laws, wit.hin 90 days or within t.he period of time
determined by City in the event of an emergency, MFS, at its sole
cost and expense, shall remove or relocate any Facilities
constructed, installed, maintained, owned, or operated by MFS under
this Agreement if and when the removal or relocation of the
Facilities, or any' pa-::::'t: thereof, is made necessary by City acting
pu:csuant to any lawful governmental or proprietary' purpose,
including, without limitation r any lawful change of grade,
alignment, or width of any City street or highway or other Public
Right·of-'Hay in the citr of Palo Alto, or any construction,
installation, or replacement of City's Underground Facilities ~as
such term is defined in the Standard Drawings and Specifications
(1992)) I or any pal."t thereof. 'I'he const.ruction, installation,
maintenance, ownel"shipr or operation of any underground or aerial
facility or stl'ucture by City is expressly contemplated herein.
5.2 Upon the receipt of (l derlland of City, pursuant to
Chapter 12.:;,,6 of: l.he Palo Alto Municipal Code, as amended from timG
to time, and all applicable Laws, MFS shall replace any oe its
aer.ial Facilities with undergrol,lnd facilities in accordance with
all applicable [,aws, including, without limitation, any Laws which

apply to any dominant or non~dominant telephone corporation, as
such term is defined in Section 234 of the Public Utilities Code of
the State of C~lifornia~ as amended from time to time.
S.3 In the event that the Facilities, or any part
thereof. is abandoned or no longer placed in se:rvice for a period
of flix (6) months or more, MP,C; prompt.ly shall notify City, and, at
City's option, promptly shall vacate or remove the Facilities, or
any part thereof. at MFS's sole COt:lt and expense, or abandon the
same in 'place and dedicate the same to City. If MPS shall tail to
vacate or othel-wise remOve the Facilities as required by City, City
shall be-entitled to vacate or otherwise remove the Faci lities at
P-WSlg Hole cost and expense. t"FS shall execut~ such documents of
title ;).s will ccnvey all right, title. and interest in the
dedic.ated Far::ilities, or any part thereo!, to City.
5.4 rn the event that City needs to occupy the Public

6.1, MFS shall completo the original ('onstruction of the
Facilities within a period of one hundred t'wenty (20)" £Jays
commencing from the date on which the requlred constl:uct ion p~nnits

that MPS ceases to engage in construction work or-engages in SIJCh

actions of any kind, all costs and expenses incurred in connection

directly or indirectly, in whole or in part, out of the activities
or facilities described in this Agreement and not a:dsing out of
the Bole negligence of City, provided, however. City shall be
liable only for the cost of repair to the damaged Facilities
arising from City's sole negligent acts or omissiolla, and City
shall not be responsible for any damages, losses, or liability'of
any kind occurring by reason of anything done or omitted to be done
by City or by any third party, including. without limitation,
damages, losses l or liability arising from the issuance or approval
by City of a permit Lo any third party or any interntption in
Telecoffili1unications Services,
8.2 The waiver by a pa~:t}' of any breach or viole_tion of
any Provision of this Agreement by tile other party shall not be
deemed to be a waiver or a conr.inuing waiver b~' that party of allY
subsequent breach or violation of the same or any other Provision
of this Agreement.
9.0 INSURAlICE.
9.1 t-lFS shall obtain and m.:tintain at a 11 tin',es durillg
the term of this Agreement comprehensive general liability
insurance and comprehelH>ive automotive liability insurance
protecting MFS in an amount of not less than two million dollars
{$2,OOOIOOO) per occurrence (combined single limit), including
bodily injury and propel-ty damage, al'l.d not less than two million
dollars ($2,000,000) aggregate I for each personal injury 1 iabilit.y,
product$;' completed operations I and each accident. Such insut"ance
shall name City, its council member9, officers, employees, agents,
and contr~ctors as additional insureds a~ respects any liability
arising out of :o1FS' s perfonnance of work under this Agreement
pursuant to ISO Form. No. GC2010. Coverage shall be provided in
accordance with the limits specified and the Provisions indicated
~erein. Claims"t113de policies are not acceptabl,e. Wh~n an umbrella
or excess coverage is in effect, coverage shall be provided in
following form. Such insurance shall not be cancelled or
materially alt.ered to reduce coverage until City has received at
least thirr.y (3D) days advance written notice ot such call(:ellation
or change. MFS shall be responsible for notifyi ng City ot such
change or cancellation.
9.2 MFS shall file, the required original certificate (s)
of insul-anee with endorsements wi.th City'S :t:isk managel-, copy to
t.he PW Dh-ector, subject to City's prior approval, which shall
clearly state:
9.2.1 Policy number, name of insurance company; name,
address and telephone number of the agent or authorized
representative; name, address and telephone Ilumber of insured;

9.2.2 That thirty (30) days prior notice of
cancellation is unqualified as to the acceptance of liability
for failure to notify City; and

including any self-insured retentions City may have, and any
other insurance City does possess shall be considered excesa
insurance' only ;;md shall not be required to contribute with
this insurance.

showing proof of such coverage.
9'.4 Any insurance provider of MFS shall be admitted and
authorized to do business in California aud shall be rated at least
A:X in A. t-i. Best and Company's Insurance Guide. Insurance
certificates issues by non·admitted insurance companies al":e not
acceptable.
9.5 Prior to the execution of this Agreement, any
deductibles or sel f· insured retentiolls must be stated on the
certificate{s} of insurance. which shall be sent to and approved by
City. ·Ct:oss liabilitY"1 "severability of interest" or "separation
of insureds" clauses shall be made a part of t.he comprehensive
general liability and comprehensive automobile liability poliCies.
10.0 PRRPORMANC~ BO~D.
On or before the Effective Date and 'for the. duration of
each construction project and othel' work to be perfonned by or 011
behalf of NFS, which costs in excess of $5·01000~ MFS shall procure
and provide City with a surety bond naming City as obligee in the
amount of fifty thousand dollars ($50,000) to guarantee and assure
the faithful perfom.ance of ME"S' s obligations under this Agreement.
City shall have the right to draw against the surety bond in the
event of a default by ME"S or in the event that r·1FS fails to meet
and fully perform any of its obligations. Within ten (lO} Days of
receipt of written notice from City. f'olFS shall ren~\ll or replace

MFS shall not be deemed an aBsignm~nt. MFS shall give to City

in this Agreement shall be deemed to prohibit MF'S from assigning
any mcnies that rnay be payable to lolPS under the Provisions of this

32·3 Condul! Excavation and Backfill
32-3.1 Description· Tn. Contractor shall instalilhe fiber optic condu!! In accordance
with the approvad straet opening permit. All conduit shall be installed underground using
directional boring or micro·tunneling methods uniess olherwis. approved by Ihe Engineer.
No above ground service boxes will be permilted. The conduits shall b. instelled w!!h
cathodic· protected I'acer wire approved by the Engineer.
32-3.2 Saw·Cutting • Prior to excavation of potholing or sending/receiving "Irs, the
asphalt concrete or portland cement concrete shan be cut to a neat line to full depth with
a saw-cutting device approved by the Engineer, The edges of excavations broken during
constwction shall be saw-cut neatly and removed before surface restoration. Cutting details
are shown in Standard Drawing, Number 401. The disposal of slurry from saw-cutting shall
conform 10 Section 3.3 1 Pollution COnlrot of the Standatd Drawings and Specifications.
32·3,3 Safety -Bracing and Shoring· Excavations shall be supported and excavation
operations conducted in accordanco with the rules of the California Occupationai Safely &:
Health Administration (OSHA). 11, in the opinien of the Engineerl there exists 8 situation of
imminent danger to the workers, the Engineer may order the Wo,k stopped and the
Contraclor shall comply with the rules of Ihe California Occupational Safety & Health
Administration (OSHA).
32-3.4 Damage -Excavations in the street shall be performed in such a manner as. to
prevent unnecessary damago to streets. sidewalks, ~andscaping and other existing Improve·
ments or underground utilities. Remedial measures required because of Contractor's
negligence shall b. at the Contractors's expense,

public rlght·of·way is not allowed.
32·3.6 Backfill -Backfill material shall be compac1ed to 90 p~Hcent minimum rerat1ve
compaction except tho top 24 inches, which shall be mechanically compacted to 95 percent
mrnlmum relative compaction. Mechanically compacted backfill shall be placed in ~lOrizontal
layers n01 sxceedingeight (8) inches. Thicker compaction lifts using alternative equipment,
complying with the manufacturer's specHicalion r will require 1ne approval of the Engineer.
Use of alternative compaction equipment shall n01 relieve tile Contractor from responsibitilY
for any damage 10 the conduit, surrounding ground, or existing and new improvements.
