Approval of a Consultant Agreement for Metals~ce Reduction
Enqingering Services
Members of the Council:
Report in Brief
This report requests that Council approve a one-year agreement,
with options for annual renewals of two additional years, with
Thomas S~ Barron~ P.E., in the amount of $137,000 for the first
year, to perform en9ineering services to support the Regional Water
Quality control Plant (RWOCP) metals source reduction program ..
Funds for the first year are available in the Wastewater Treatment
F\L,d FY 1993-94 operating budget. Funding for years two and three
is contingent upon Council approval of the budgets for each
subsequent year.
Background
On July 21, 1993, rhe Reqional Water Quality control Board issued
a Cease and Desist OrdE!r'" to the Palo Alto RWQCP in relation to
discharges of metals that exceed permitted effluE!nt limits. The
Cease and Desist Order requires a series of technical studies to be
conducted over the next several years and specifies due dates for
each study. The RWQCP staff needs engineering support to complete
these studie:>, which will have important implications for the
status of the RWQCP"s permit and for 'the continued operations o"f
ind~stry in the RWQCP service area.
On September 21, 1993, the finance Committee determinE!d that it
would. not re.vie ... the consultant selection for the. Metals Source
Reduction Engineering services project. This will enable staff to
initiate engineering studies as soon as possible, as reqUired by
the Cease and Desist Order.
Discussion
Eight Requests for Proposals (RFPs) were sent to consulting
engineering firms with experience in metals source reduction
enginee~inq work. proposals were received from two teams,
representing five ot the fir~s that received RFPs. One team was
led. by Kennedy/Jenks Con5ultants~ who was joined by three other
firms. The other team vas led by Thomas S. Barron P.E., who
suJ:nnittsd a proposal in conjunctior, with t'l-'O other fir1l1s~ The
proposals were reviewed, and interv ~ ~ws wert conduct.ed by three

Public Works Department managers. Both teams deconstrated
familiarity ~ith the specialized technical issues relating to the
scope of worit: e.nd are technically qualified to do the ~·ork. ·,rhe
Barron team was selected because:
• Its proposal, intel:view and prior work. demonstrated a
superior dbility (as compared to the other team) to
orgenize and present materials both orally and in
writingj
• As a Whole, the team had more experience working in the
specific technical areas required by the scope; and
• The Barron team offered lo~er actual billing rates for
key participants than did the Kennedy/Jenks team.
The consultant scope of work includes a series of technical studies
require.d by the Cease and Desist Order. The.sE! studies, which m'lst
be conducted OYer ~~e nExt several years, will identify control
strategies for discharges of metals that exceed p~rmitted effluent
limits. Specifically, it is envisioned that follo"ll.·-up analysis
will be needed at six manufacturing facilities .here ~aste
min.imization wor-k was previousl)' conducted, that new facility
reviews will be needed, and that related Best Management Practices
and ~egulatory requirements will have to be developed. Th~ first
task in the co~tract will be to develop Best Management Practices
for metal finishing and printed circuit board manufacturers.
Conflict of Interest
Statt, with the concurrence of the City Attorney, h~s determined
that the consultant is exempt from complying with the financial
interest disclosure provisions of the City's conflict of interest
code, because the consultant's range of duties and services to be
provided under the agreement are lim~ted in scope or are primarily
ministerial in nature.
Environmental Impact
Adoption of the attached agreement is categorically exempt from the
C3.1ifornia Environmental Quality Act (CEQA} '.Jnder Section 15306 of
the CEQA guidelines.
Recommendations
Staff recommends tnat council:
1.. Approve and authorize the Mayor to execute the attached
agreement, with options for up to two annual renewals of the
agreement, with Thomas S. Barron, in the amount of $137.000
per year, for metals source reduction enqineering services for
the RWQCP.
2. Authorize the city Manager or her designee to negotiate and
execute amendmeuts ~or services related to or incidental to

• the scope of work or services j the total value of which shall
net exceed $20,000 Quring the first year of the agreement.
3. Authorize the City Manager or her designee to execute, at her
discr-etion, the following: (1) the renewal options for the
second and third years, contingent upon City Council budget
approvalsj (2) amendments for services related to or
incidental to the scope of work or services, the total value
of which shall not exceeQ $20,000 per year for years two and
thr-ee; and (3) any other documerts necessary to implement the
second and t.hird years of the agreement.

THIS AGREEXENT is made and entered into this day of
October, 1993, by and between the CrTY OF pALO ALTO. arm::lnicipal
corporation of California, hereinafter referred to as wcrTYr~ and
Thomas S. Barron, P.B. (Taxpayer Identification N04 526 4 66-7273).
a sole proprietorship, with offices at 3]51 Beechwood Drive,
Lafayette, CA 94549, ~lereinafter referred to as "CONSU~TANT";

WHEREAS. CITY desires to engage CONSULTANT to provide
these services by reason of its ~~alifications and experience for

NOW. THSRBPORE, in consideration of their mutual
covenants, the parties hereto agree as follows:
~ECTIQN 1 DEFINITIONS
1.1 CITY
The term WCity· ahall mean the: Ci.ty of Palo A1 to,

The tenm "City Manager-shall mean the duly appointed
City Manager of the City of Palo Alto. California, or his or her
designated representative4

The term ·Project-shall mean the services described in
Exhibit ~A· entitled "Scope of project and Time Schedule,· attached
hereto and made a part hereof by this reference.
SECTION 2 -: PROJECT COORDINA'I'IQN
2.1 an:
The City Manager shall be representative of ClJif for all
purposes cnder this Agr~ement. Phil Babel is designated as the
project M:m.ager for the City Manager, and he or she shall supervise
the progr~sg aod exe~tion of this AgrEement, and shall be assisted
by Kelly D. Maran. the project Engineer.
2.2 j:ONSYLTANI
CONSULTANT shall assign a single Proj ect Director to have
overall responsibility for the progress and execution of this
Agreement for CONSULTAL~. Thomas S. Barron hereby is designated
as the Project Director for CONSVLT~~r and shall represent
CONSULTANT during t.he -:lay-to-day work on the Project_ Should
circumstances or conditions subsequent to the execution of this
Agreement require a substitute Project Director for any reason the
Project Director designee shall be subject to the prior writteu
approval of the Project Manager_
SECTION 3 -=--....S..COPR OF PRO,1"ECT
The scope of the Project to be executed by CONSULTANT
under the Basic Services described in Section 4.1 of this
Agreernent~ and the time sched'Jle for the Project, are described in
Exhibit A.
S6CTION 4 -DUTIES OF CONSULTANT
4.1 BASIC SE~
Unless otherwise indicated, CONSm..:rANT shall perform each
task and accomplish each objective described io Exhibit A.
CONStrLTANT's Basic Services shall be furnished as described in
Exhibit A.
4.2 GENEP.AL DUTIES OF CONSULTANT
4.2.1 CONSULTANT represents that it has the
expertise and professional qualifications to furnish the services
described under this Agreement. CONSULTANT further declares that
one or more members or employees of its firm and t.hat of its
subconsultants, if any, are licensed by the State of California to
perform tbeir services and that these services will be perf armed by
them or under their supervision. CONSULTANT shall furnish to CITY
for approval i prior to execution of this Agreement, a list of all
firms or corporations to be employed as subconsultants.

4.2.2 CONSULTANT states that it is aware of the
reqt.::irements of the federal Aonericans with Disabilities Act of
1990, and the G<::>vernment Code and the liea 1 th and Safety Code of tr.e
State of California, relating to aCt;ess to public buildings and
accommodations for disabled persons, and relating to facilities for
disabled persons. CONSULTANT shall comply with such provisions i~
carrying out the terms of this Agree~ent.
4.2.3 CONSL~TANT shall furnish CITY with everj
reasonable opportunity for CITY to ascertain that the services of
CO~~ULTANT are being performed in accordance with the requirements
and intentions of this Agreement.
SECTION 5 -DUTIES OF CU:r
5.~ CITY shall provide full information regarding its
requirements for the Project.
5.2 CITY shall examine documents submitted by CONSULTANT
and shall render decisions pertaining thereto promptly, to avoid
unreasonable delay in the progress of CONSULTANT's work.
5.3 CITY shall furnish all such relevant infor.mation as
are in CITY's files or are at its disposal.
5.4 CITY shall furnish all services listed in Exhibit A,
if any, providing sufficient notice is given by CONSULTANT.
5.5 The services~ information, surveys and reports
required by paragrapbs 5.1 and 5.3 through 5.4 inclusive shall be
furnished at CITY's expense, and CONSULTANT shall be entitled to
rely upon the accuracy thereof.
5.6 If CITY observes or otherwise becomes aware of any
fau~t or defect in the Project, crTY shall give prompt written
notice thereof to CONSULTANT.
5.1. CITY shall furnish information required by CONSUL
TANT as expeditiously as possible.
SECTION 6 -PAYMENT
Payment shall be made by CITY only for services rendered
and within thirty (30) days of submission in triplicate of monthly
progress payment requests. Each invoice shall be itemized as to
the type of payment described in this section.
6. 1 CQNSID/TA.NT' S FE~_~
In consideration for the full performance of the Basic
Services and reimbursable expenses described in Sect.ion 4.1 of this
Agreement. CITY agrees to pay CONSULTANT a total fee no~ to exceed
One Hundred Thirty Saven Thousand Dollars ($137,000) for the first
year of the term of this Agreement.

The amount of CONSULT&VT's compensation shall be
calculated as set forth in Exhibit "B", erltitled "Rate Schedule, ~
atr.ached hereto and made a part hereof :by tnis reference, on a time
and materials basis, up to the maximum amount set forth in this
paragraph 6.1.
6.1.1 Subccns:u1-~. Fees for SubcOo.sul tants,
hired dir~ctly by CONSULTANT, shall be approved by C!TY in advanc~
of incurring such fees.
6.1.2 For Extra Werk or C~~. Payment tor
extra work or changes in the 'lI'ork not icitiated by CONSULTANT a:J.d
authorized in writing by the Project Manager shall be made within
thirty (30) days of submission by CONSULTANT of a statement in
triplicate of itemized coets covering such work~ Prior to
commencing such extra work or changes. CONSULTANT an,:1 CITY shall
agree upon an estimated not-to-exceed cost for such extra work. In
no event shall CONSL~TANT be paid for design ~ork or change order
preparation which is necessary because of CONSULTft~'s errors or
oversights_
6".1.3 Calculation _of Direct: Personn-=-l ;:1W.e.nse.
Direct personnel expens~ of employees engaged 00 the project by
CONSULTANT shall include only the work of architects, engineers I
designers~ job capcains, draftspersons l specification writers and
typists I in consultatioD 1 research and deSign, in producing
drawings, speCifications and any other documents pertaining to the
Proj~ct. Included in the cost of direct personnel expen~e of these
employees are salaries and mandatory and customary benefits such 3S
statutory employee benefits l insurance, sick leave, holidays and
vacaeion9~ pensions and similar benefits.
6 . 2 PAYMENT S CHEDVLll
6.2.1 For Bas.~eryic?s. Payments for the
Basic Services shall be made in progress payments in propo~tion tC
services performed l in accordance ~ith Exhibit B.
Final paym~nt shall be ~~de by CITY after CONSULTANT has
submitted all required products and reports and received approval
thereon trom CITY.
6.2.2 Deductions. No deductions shall be made
from CONSULTANT's compensation on account of penalty, liquidated
damages~ or other sums withheld from payments to contractors,

months or abandoned in whole or in part, CONSLlLTANT 5hall be paid

resumed after being suspended for more than sixty (60) da:y-s, any
change in CONSULTANT's compensation shall be subject to renegotia

·City Council-). If this Agreement is suspendec or terminated for
fault of CONSULT~~, CITY shall be obl~gated to compensate
CONSt.r:..TANT only for that portion of CONSULTANT~ s services which are
of benefit to CITY, as such determination may be made by the City
Manager in the reasonable exercise of his or her discretion.
~IQN 7 • PRQGRE$.S-ANP CQMPLETInN
7.1 nRM OF AGREOOJIT; TIM:L_IS OF TEE ESSENCE
The tErm of this Agreement shall commence upon its
execution by CITY. Following-receipt. of a Notice to proceed,
CONSULTANT shall commence work on initial tasks in accordance with
the time schedule described in Exhibit A. Work on subse~Jent tasks
sr~ll proceed in accordance with the time schedule. The parties
hereto agree that ti~~ is of the essence af this Agreement. The
initinl ter~~m of this Agreement shall be twelve (12) months from the
date of its commencement.
However, notwithstanding Section 9.2 hereaf. CITY
reserves the right to cancel or modify this Ag.r:'eement according to
any changes or deletions in regulatory agency requirements far
CONSULTANT~s services. CITY may also renew this Agreement with
CONS~~T~~ on an annual basis for up to two {2) additional years
following the first year of the Agreement~s term. The renewal of
the Agreement is subject to whether CONSULTANT~s performance under
the Agreement is satisfactory to CITY and whether the Palo ~to
City council appropriates funds for the Agreement for each of the
subsequent two (2) Years of the term. Prior to the renewal of this
AgreemeDt, CITY and CONSULTANT shall negotiate a mutually
acceptable escalation factor for fees to be paid to CONSULTANT fer
its services under the renewed Agreement. If no agreement can be
reached on an acceptable escalation factor, the Agreement shall not
be renewed.
7.2 TIME OF ~M?LETIQN DF EAC<LJ:'!!Aml
CONSULTANT agrees to perform the services 'Within the time
limits set forth in Exhibit A provided. however~ that any change in
the scope of services or other changes due to CITY's operating
requirements, or in connection with other contractors' or
consultants~ operations, ~~y require a revised time tabl~.
CITY agrees to exercise due diligence in perform:J.ng its
tasks to implement CONSULTM'T's time table pI.-ovided under Exhibit
A.
CITY shall exercise due diligence in reviewing
CONSULTANT's work products; how€::ver, it is recognized that the
interrelated exchange of information among CITY's various
departments makes it Lmpossible to set a ~ ~cific time schedule.

furnished to CONSULTANT at the time of submission of each item of
the work.
7.4 ~IQN OF TIME _OF COMPLETION
In the event the ser.rices called for under this Agreement
are not completed by CONSULTANT within the time specified, CITY
shall have the option to ext'Snd the t1me of completion. This
paragraph does not preclude the recovery of damages for delay 'Of
eit.her party.
SECTION 8 ~ CHANGES IN WORK
CITY may orde~ major changes in scope or charactpr of
work, either decreasing or increasing the amount of CONSULTANT's
services. In the event that such changes are ordered, CONSULTANT
shall b~ entitled to full compens~tion for all work performed prior
to receipt of notice of change. Increased compenEation for major
changes shall be deter.mined in accordance with Section 6 of the
Agreement. but in no event shall CITY be liable for payment unless
the amount of such ext~a compensation shall first have been agreed
to in writing by CITY.
In the event that major changes are ordered pursuant to
this section. the schedule for progress and completion under
Section 7 of this Agreement. and compensation under Section 6 of
this Agreement, sr..all be adjusted by negotiation between CONSULTANT
and CITY; subject to approval if necessary by the City Council.
SECTIQN 9 -TERMINATION OR SUSPENSlmi. OF AGREEMENT
9 . 1 CANCELLATION BY-=SULTANT
CONSULTANT Ill4\y terminate this Agreement or suspend 'Work
on the project by providing t:.hirty {30) days' written notice
thereof to CITY. but only in the event of substantial failure of
perfor.rnance by CITY or in the event CITY abandons or indefinitely
postpones the Project.
9.2 CANCELLATION BY lITX
Notwithstanding Section 7.1 hereof. and without
limitation to euch rights or remedies as CITY shall otherwise have
by law, CITY may terminate this Agreement or 9uspend work on the
project with or without cause~ by providing fifteen (lS) days'
written notice thereof to CONSULT~~, or immediately after
submission to CITY by CONSULTANT of any complet~d item of service
specified in Section 4 of this Agreement. CONSULTANT agrees to
cease all work under this Agreement upon receipt of said written
notice.

9.3 COMPENSATION QL __ CONSULTA.."'1I' IN THE E"VElIT OF
TI!.RMI1lATION OF THIS AGREEMENT
In the event. of terminat.ion of this Agreement or
suspension of work en the Projecc by ~ither CITY or CGNSULT~NT as
provided herein, CONSULTANT shall receive compensation as follows:
~.3.1 For approved items of se~·ice ~~der
Section .; of this Agreement, compensation shall be in the amount
outlined under Section 6 of this Agreement for the items of service
fully performed by CONSULTANT.
9.3.2 For items of service on whi<:h a Notice to
Proceed has been issued by CITY, but which have not been fully
completed and approved, CONSULTANT shall be compensated for the
service in an amount which bears the same ratio to the total fee
otherwise payable for the perfo~nce of the service as the service
actually rendered bears to the total service necesElary for the full
performance of the item of service.
9.3.3 In no eveot shall the total compensation
paid in th.e immediately preceding paragraphs exceed the payment
specified ~n Section 6 for the respective items of service to be
furnished by CONSULTANT.
9.3.4 Notwithstanding anything in the preceding
paragraphs, upon termination for fault of CONSULTANT, CITY s1'..a11 be
obligated to pay for only that portion of the service which can be
incorporated in the Project.
9.4 QlJ.TIES OF CITY AND CONSULTANT
Upon termination of this AgreeIl'l.ent or suspension of work
on the Project by either CITY or CONSULTANT as provided her5in~ all
dl!t.ies of CITY and CONSULTANT~ as set forth in Sections 4 and 5
hereinabove, shall terminate.
$ECTIQN 10 . CONSULTANT'S ACCQUNTING R~C0RP~
Records of che following expenses pertaining to the
project shall be kept by CONSULTANT in accordance with generally
recognized accounting principles and shall be made available to
CITY at mutually convenient ti~~s during the term of this Ag~eement
and for th=ee (3) years following the termination of this
Agreement:
(a} Direct personnel expenses, including consultant
expenses.
(b) Expenses pertaining to any Additional Services.

SECTlON 11 -OWNERSHIP OF ~~
11. 1 QWNERSHI P OF ORrG INAI, ~!frS
Subject to the provisions of Paragraph 11.2 below, the
original drawings, maps, plans, designs, records of survey, work
data, specificatioDs, and allY other documents prepared oy
CONSULT~~ in the performance of this Agreement. although instru
ments of professional service. are and shall De the property of
CITY. Notwithstanding the foregoing. CONSULTANT may retain, for
refe£eoce purposes, paper and electronic copies of each document
prepa.red by CONSULTANT hereunder. Subject to the l."equirements of
tnis Agreement I CONSULTANT shall also have the right to use the
information contained in each such document on CONSULTANT's
projects tha.t are not related to tt.is Agreernent~
11.2 TRAN$PER TO CITY
upon termination under Section 9 of this Agreement and
upon CITY's payment of the amount required to be paid under same
section, the originals and all drawings, =alculations,
specifications and any similar documents shall become the property
of CITY, and CONSl~TANT shall transfer them to CITY, upon request,
without additional compensaticn. CITY shall hav'9 the right to
utilize any cornp.leted or uncor:1pleted dra\liing5~ estimates.
specifications. and any other documents prepared hereunder by
CONSULTANT. However. CITY shall be responsible for any use of such
documents for purposes that are not consistent with the purpose of
this Agreement.
SBCTION 1:2
INDEPENDENT OF CITY
INTEREST OF coNSULTANT: CON$UL~ANT
In accepting this Agreement, CONSULTANT covenants that it
presently has no interest. and shall not acquire any int.erest ..
direce or indirect, financial or otherwise. which would conflict in
any manner or degree with the perfo~ance of the services here
under. CONSULTANT fuz:ther covenants that. in the performance of
this Agreement. no Sl:..bcontra:::tor or person having such an interest
sr.all be employed. CONSULTANT certifies that no ooe who has or
will have any financial interest lL~der this Agreement is an officer
or employee of CITY.
It is expressly agreed that in the performance of the
profeSSional ser ..... i.ces required under this Agreement CONSULTA."IT. and
any of its subccnsultants or employees. shall at::. all times be
considered independent contractors and not agents or employees of
CITY.

CONSOLTANT shall. be responsible for employing all outside
consul taots {subconsultants) necessary to· aid CONSULTA,."IT in the
perfor.mance of the services listed in Section 4 of this Agreement;
provided. however, that all such subconsultants shall receive prior

approval of CITY in writing and shall remain acceptable to CITY
during the term of this Agreement.

CONSULTAN7< agrees to protect, indemnify; defend and hold
ha:rmless CITY, its Council members, officers. agents and employees
from any and all demands, claims, or liability of any nature,
including death or injury to any person, property damage or any
other loss. caused by or arising out of CONSULTP .. .I",IT's, its
officers'; agents', subcontractors' or employees' negligent acts,
errors, or omissions, or willful m:i.scond\lct, or conduct for which
the law may impose strict liability on CONSULTANT in the
performance of or failure to perform its obligations under this
Agree..l1e n t.
SECTION lS .. INSURANCE
15.1 INSURANCE COV~RAGE
CONSULTANT, at its sole cost and expense, shall obtain
and maintain, in full force and effect throughout the entire term
of this Agreement, the insurance coverage described in Exhibit ·C~
to this Agre@ment, attached hereto and made a part hereof by this
reference, insuring not only CONSULTANT and its subcontractors, if
anY4 but also, with the exception of workers' compensation.

and employees, and each of them, concerning this Agreement and the

All insurance coverage required hereundez shall be
provided through carriers with a Best rating of A:X or higher that
are admitted to do business in the State of California. k~y and
all subcontractors of CONSULTANT under this Agreement shall obtain
and maintain~ in full force and effect throughuut the term of this
Agreement, identical insurance coverage, with CITY named as
additional insured under such policies as required above.

City Clerk thirty (30) days' prior written notice of such
cancellation or alteration, and that the City of Palo Alto is named
as an additional insured except in policies of workers'
compensatio;J, employer'S liability, and professional liability
insurance. Current certificates of 6uch insurance shall be kept on
file at all times during the term of this Agreement with the City
Clerk.

15.3 NO LIMIT OF LIABILITY
The procuring of such r-::quired policy or policies of
insurance shall not be construed to limi t CONSUI.TANT's liabili ty
h~reunder nor to fulfill the indemnification provision and
requirements of this Agreement under Section 14 hereof.
Notwithstanding said policy or policies of insurance; CO~~CTOR
shall be obligated for the full and total amount of any damage,
injury, or 109s caused by the services perfor:ned under this

CONSULTANT, by executing this Agreement, certifies tha~
it is aware of the provisions of the Labor Code of the State of
California which require every employer to be insured against

SECTION 17 -AUQITS
CONSULTANT agrees to permit CITY to audit.. at any
reasonable time during the term of this Agreement and for three (3)

covered by this Agreement. CONSu~TA-~ further agrees to maintain
such records for at least three (3) years after the termination ot
this Agreement.

CONSULTANT shall be responsible for employing or engaging
all persons necessary to perform t.he services of CONSULTANT
hereunder. No BuhcoDsultant of CONSULTANT will be recognized by
CITY as such; rather, for CITY's purposes CITY shall work with any
subconsul tants as if they were employees of CONSULTANT. CONS{"'rr.TANT
agrees to be responsible for the performance of all the
subconsultants under this Agreement_ CONSULTANT shall give its

personal attention to the fulfillment of the provisions of this
Agreement by all of its employees and subconsult.ants, if any, and
sllall keep the 'Work under its control. If any employee or
subconsultant of CONSULTANT fails or refuses to carry out the
provisions of this Agreement or appears ~o be incompetent or to act
in ~ disorderly or improper manner; he or she shall be discha~ged
immediately from the work under this Agreement on demand of CITY.
SECTION 20 -RELIANCE UPON P~.OP~SSIQNAL SKILL OF

It is mutually understood and agl.eed by and be~ween the
parties hereto that CONSULTANT is skilled ir~ the professional
calling necessary to perform the work agreed to be done hereunder
and that CITY relies upon the skill of CONSULTANT to do and perform
the work in the most skillful manner; and CONSULTANT agrees to thus
perform the work~ The acceptance of CONSULTANT's work by CITY does
not operate as a release of CONSULT~~ from the obligation.
SECTION 21 -WAIVERS
The waiver by ei ther party of any breach or violation of
any term, covenant, Dr condition of this Agreement or of any
provisions of a'1y ordinance or law shall ilot be deemed to be a
waiver of any such term, covenatlt, condition; ordina,nce, or law or
of any subsequent breach or violation of the same or of any other
tenn, covenant~ condition; ordinance or law~ The subsequent

any of its rights under this Agreement.

The prevailing party in any action brought to enforce the

Conduct engineering work: to foHow up five {5) Pollution Prevention Reviews for jndLismcs
in the Palo Alto Regional Water Qualiry Control Plant (RWQCP) service area. The
industries included four (4) printed circuit board manufa<turer, 31ld one (1) electroplate!.
The following !aSks shall be conducted for one or more of the facilities evaluated:
• Bencb. test pollution prevention technotogyfsystem(s) recommended for
installation lo detennine the technical feasibility of the system.
• Conduct a demonstration project to determine a system·s ~hnicaI feasibilicy.
efficiency, operational cost, installation crist, ar:d cost savings.
• Provide technical consultation with the affecled business and the City during
the pilot testing and demonstra.tion project.

Conduct reviews of industrial facilities: in tile RWQCP s.ervice area to evaluate potential
pollution preventlorl, water, and energy conservation opponunities. Facilities to be
reviewed will be chosen on the basis of potential opportunities to red~ce metals discharge to
t.ioJe sewer, water use, and energy use. Specific f.acilitles or facility type~ to be reviewed will
be identified by the Projecl Manager.
The purpose of :"i.ese studies is to explore waste minlmiation techniques, wastewater
treatment improvements, and water and energy use reduction. The purpose of the review is
to ensure that aU opportunities for source reduction have been thoro'Ughly explored and to
recommend feasible methods. The rc\.ieW5 shall roHow standard poIli.ltion prevention
evaluation methods, including contaminant source identification and mass 'b.al.Mce evaluation
as a first slep in the evaluation. The consultant shall obwn infcrmalion directJ y from site
visits, interviews and data provided by the facih'J. and process chemical samples collected
and analyzed by the consultanL Waste minimization techniques to be explored include
product substitution, process modifications, water use reductions. segregation, recycling, and
reuse. Methods suggested in the review must: avoid dilution and ensure discharge mass
reductions.
The consultant sh..~n prepare a brief technical repon for each facility presenting the results of
the review. The repon shall inciude: description of the poll\ltant source identificatioD
analysis; e:;:pJontion and .seJectlon of waste minimization techniques for evaluation;
identification of major pollution prevention~ energy conservation, and water COrtsetvalion
measures current1y in place at the facility; evaluariorll of the feasibility Clf selected aechniql.Jp..s
specifJC tQ the facility under review; and cost eva] uation of the selected methods to determine
f'.nand 1 feasibilily. The report sball not disclose ini<>rmalion designated as trade secret by
the fao.1ily. Estimates of anticipated sewer discharge reductions of metals (bolh on a
roncentratioo and mass basis). water use reductions. and energy use reductions s~ .• ll be
required.
A Dumber of facility visits and meeiings with facility personnel, RWQCP staff, a.l1d City of
Palo Alto Utilities Depanment staff will be needed in the COUl"Se of the-review. Results of
the consultant's review will be made avallabJe to :.'le facility, but will nOi constitute
recommendations for, or consulting service to the facility. All recommendations of the
consultant .balI be made to the RWQCP.
The scfledLile for each facility review will be detennined .at the ti me the review is requested
by the City and must be approved by the Project Manager.

[1] round of City review prior to publication of Draft.)
• Participate in up to three (3) public/industry/advisory commIttee workshops !O
review Draft BMPs.
• Organize and participate in l!p lO two (2) technica1 review pa.'1eI sessions wlth
tec.lmical and industry experts '" evaluate Draft 8MPs.
• Revise and finalize BMPs on the basis of comments. received in the revi....~
