This report requests Council approval of the Resolution Authorizing
the City Manager, the Assistant city Manager, or desiqnee of the
City Manaqer, on behalf of the City of Palo Alto, to accept all
deeds and grants conveying any intere~t in or easement upon real
estate to the City of Palo Alto and to consent to their dedication.
Background
The Municipal Code currently provides that the City Manager or, in
his/her absence or disability, th.;. lt~sistant City Manager Ray
accept, on behalf of the City of Palo Alto, all deeds or grants
conveyinq any interest in or easement upon real estate to the city
of Palo Alto.
This section of the Code iz twenty-two years old and needs to be
cbanged to conform to the rest of the code in terms of authorizing
a designee to sign or accept deeds or grants on behalf of the City.
The attached Resolution will amend the previous resolution to
provide for the City Manager, Assistant City Mi\naqer or any
designee of the City Manager, to accept deeds and grants or other
instruments of conveyance transferring any interest in or easement
upon real estate to the city of Palo Alto. This new resolution

both the City Manager and Assistant City Manager are not 8vailable,
to eign Certificate of Acceptanc& forms.

WHEREAS. Section 21281 of the California Government Code I
as amended ... provides t.hat deeds. grants} and other instruments of
conveyance ot any real esta~e interest, including easements ... to a
governmental agency for public purposes shall not be accepted for
recordation without the consent of the s-rantee evidenced by it.s
certificate or resolution of acceptance attached to or print on the
deed} grant. or instrument of conveyance, and
MHE"REAS, Section 2728l. further provides that a governmental
agency, by a general resolution, may authorize an officer or agent
to accept and consent to such deeds, grante. or other instruments
at conveyance;
NOW I raERBFORE r the Council of tLe City of Palo Alto does
hereby RBSCLVB as follows:
SECTION 1. The City Manager or, in his or her absence or
disability, the Assistant City Manager or any designee of ~~e City
Manager l is authorized and directed to accept. for and on behalf of.
the City of Palo ~to. all deeds, grants I or other instruments of
conveyance transferring any interest in or easement upon real
estate to the City of Palo ~to and to consent to their recorda-
tion_ -
SECTION 2 _ The City Clerk. shall certify to the adoption of
this resolut.ion and shall record a copy thereof with the County
Recorder of Santa Clara County_
