CIP 47702 -consultant Agreempnt Members of the Council: ~t in Brief This report recommends that Council approve and authorize the Mayor to execute the attached (Attachment A) consultant agreement with Brown and Caldwell in the amcunt of $483,7QS for design services for the Storm Drain Pu.np Station and Pipeline Rehabilitation project. Funds have been appropriated in CIP 47702. Collection System Improvements. Background This consultant agreement will provide for three separate but related services. Firet, the Capital Impro ..... ement Program included funding in FY 1993-94 to retain a consultant: to design a project to replace or repair damaged sections of the existing storm drain system, as identified in the Storm Drainage condition Assessment report. Second, funding i& also included for a consultant to design storm drain pump station improvements. Thirdly, in 1992, the £tate of California Office of Em~rgency Services requested that the Cit.y prepare a. flood inundation map to identify areas that would be flooded in the event of the failure of the Foothills Park Dam. In order to expedite the implementation of these necessary improvements, staff has consolidated these tasks into a single consultunt agreement. Discussipn of Consultant Selection A Request for Proposals was issued to twelve e~1gineering firms that appeared qualified to perform the required storm drain deaign work and that had expressed interest in providing services to the City. Four firms responded with proposals on June 29, 1993. A selection advisory committee consisting of staff from the Engineering and Operations Divisions of the ~~lic Works Department reviewed the proposals and invited three firms to participate in an oral interview on July 12~ 1993. Based on the quality of the written proposals and the oral presentations, Brown and Caldwell was selected by the committee because of the depth and quality of thei.r experience on projects of a similar nature, the strength of their proposed consultant team. and their well-defined approach to the project design. CMR,454 ,93 -1- In July :1-993, the Finance Committee and the Policy and Services Committee reviewed all consultant agreements to be awarded in FY 1393-94, in order to determine if they wanted to review staff's consultant selection prior to Co~ncil award of an agreement. The Storm Drain pump Station and Pipel ine-Rehabil i tation Proj ect consultant agreement was not selected by either Committee for review, Discussion of Agreement: The attached agreement with Brown and Caldwell is for the following scope of work! • Storm Drain Pump Station Rehabilitation The consultant will identify options for the replacement of the Airport Purep Station, which has inadequate pumping capacity and is in poor operating condition. Issues to be res':llved include the location. of the pump station and its discharge point~ the possible use of a stormwater detention basin on the Palo Alto Golf Course to reduce peak flows, and coordination witb proposed paving and drainage improvements at the Palo Alto Airpcrt+ The consultant will perform an environmental assessment of the project and assist staff in obtaining project approvals, including Site and Design Review appr~val and regulatory agency permits. The consultant will also visit and evaluate seV'"en other pv.:rtp stations throughout the City and recorr.mend operational and safet.y improvemen.ts. The evaluat.ion ,.,il1 include pumps, structures, wiring~ instrumentation, lighting, security, safety devices, and other related items. The consultant will prepare a single construction documents package (plans, specifications, and estimate) for the work at all of the pump stations. The agreement also includes a provision fer adding constn.lction administration and i~spection services to the scope of work at a later date. • Storm Drain Pipeline Rehabilitation The consultant will prepare a second construction documents package (plans, specifications, and estimate) for the repair or replacement of 19 damaged storm drain pipeline segments as identified in the Storm Drainage Condition Assessment report. The consultant will review the existing video tapes of the interior of the pipelines and recommend replacement or a specific rehabilitation technique for ea~h segment based upon the pipeline condition and the above-ground constraints (traffic~ accessibility, hydraulic capacity, etc.). • Foothills Park Dam Flood Inundation Map The consultant will prepare a rr~p identifying areas that would be flooded in the event of the failure of the Foothills Park CMR,454,93 -2- '.-; ' •... , '.- .@ "P Dam. The map wi 11 be submitted to the State of California Office of 2mergency Services for their revi€'!w and approval and will be modified, as necessar/, to meet their req~irements. EnyironIDf:Ilt' a1 Assessment As part of the 1992-97 elP Program, staff indicated that improvements to the storm d:tainag-e system might require further e~vironmental assessment prier to implementation. A formal evaluation of the environmental il:lpacts of the reconstruction of the Airport Pump Station is included in the scope of this agreement. Recommendations Staff recommends that Council: 1. Approve and aut.horize the Mayor to execute the attached consultant agreement with Brown and Caldwell in the arr.OU:1t of $483,70~ for design services for the Storm Drain Pump Station/Pipeline Rehabilitation Project, CIP 47702. 2. Authorize the City Manager ~r he~ designee to negotiate and execute amendments for services related to or incidental to the scope of work: or services. the total value of which amendments shall not exceed $70,000. SECTION 2 -PRQJECT CooRDINATTON 2.1 CITY The City Manager shall be representative of CITY for all purposes under this Agreement. JOE TERESI is designated as the Project. .Manager for the City Manager, and he or she shall superv-ise the progress and execution of this Agreement. and shall be assisted by MATT OOSTIGAS, the Project Engineer. CONSULTANT shall furnish to CITY for approval," prior to execution of this Agreement; a list of all firms or corporations to be employed as subconsultants. 4.3.2 CONSULTANT states that it is aware of the requirements of the federal Americans with Disabilities Act of 1990. and the Government Code and the Heal th and Safety Code of the State of california, relating to access to public buildings and accommodations for disabled persons~ and relating to facilities for disabled persons. CONSULTANT s:C~ll comply with such provisions in carrying out the terms of this Agreement. to the extent such provisions are applicable. 4.3.3 CONSULTANT shall furnish CITY with every reasonable cpportunity for CITY to a8ce~tain ~hat the services of CONSU!.,TANT are being performed in accordance with the requi:rements and intentions of this Agreement. 4 . 4 BIDS IN EXCESS OF FINAL ESTIMATE p.p COt'lSTRUC'IIQN If the lowest responsible bid for the Storm Drain Pump Station Rehabilitation or the Stor:m Drain pipeline rehabilitation project received by CITY exceeds one hundred ten percent (110l} of t.he amount: of the approved final detailed estimate of construction cost (-fixed limit-l. The amount of CONSULTANT's compensation shall be calculated as set forth in Exhibit ~Bw, entitled WRate Schedule,n attached hereto and p'.ade a part hereof by this reference" on a time and materials basis, up to the maximu~ amount set forth in this paragraph 6.1. CONSULTANT's Rate Sche~~le is attached to Exhibit ·B· and shall be updated and be etf~ctive as of Sept~ber 26 of each year. 1;.1..1. Subconsultants. Fees for S\lb.consultants. hired directly by CONSULTANT. shall be approved by CITY in advance of incurring such fees. 6.1.2 For Addi t10nal Servic~. For CONSULTANT's additional se.ndces, as described in Section 4 of tr,is Agreemant. compensation shall be as set forth in Exhibit -B~ but shall not exceed eighly thousand dollars ($ 80,000.00). The amount of CONSULTANT's compensation for the additional services shall be calculated as set fortb in Exhibit -B-, on a time and rr.aterials basis l up to the ~aximum amount set forth in this paragraph 6.1.2. 6.1.3 for Extra Wor)c.......Q+ Changes. Payment. for extra work or changes in the work not initiated by CONSULT~~ acd authorized io writing by the Project Engineer shall be made within thirty (30) days of submission by CONSULTANT of a statement in triplicate ot itemized costs covering such work. Prior to cammeficing such extra work or changes, CONSULTANT and CITY shall agree apon an estimated not-to~exceed cost for such extra work. In no event shall CONSULTANT be paid for design .,ork or change order preparation which is neceesary because of COUSli'LTANT"s errors or oversights. 6.2 PAYMENT SCHEDULE 6.2. ~ For Basic Services. Payments for the Basic Services shall be made in progress payments in proportion to services performed in accordance with Exhibit '8". Final payment shall be made by CITY after CONSULTAl'IT has submJtted all required products and reports and received approval thereon from CITY~ 6.2 . .2 For Additional Servic~+ payments for additional services of CONSULTANT as defined in Section 4 shall be made as part of the monthly progress payments for services rendered. 5 C~·Sbo(l (Uv, JIlIy 15, 1993 ".< 6.:2.3 Payment Upon Suspension or Abandonment of Project. If the I'roject is suspended for more than three (j) months or abandoned in ... hole or in part. CONSULTANT shall bE paid ies compensation for services perfor.med prior to receipt of written notice from CITY of such suspension or abandonment, together with additional expenses then due. If the Project is resumed after being suspended for more than ninety (90) days, any change ir.. ~~ULTANT's compensation shall be subject to renegctiation and. if necessary, approval by the Palo Alto City Council (the IIICity council-). If this Agreement is suspended or terminated for fault of CONSULTANT, CITY ahall be obligated to compensate CONStJLTANT only for that portion of CONSti"L7A.?IT' 8 services which are of benefit to CITY, as such deteru~nation may be made by the City Manager in the reasonable exercise of his or her discretion. SECTION 7 -PRQGRESS ~~ COMPLETION 7.1. TERM __ OF AGR2~; '1'1$ IS OF T"rlE ESSENCE The term of this Agreement shall corranence upon its execution by CITY. Following the receipt of a Notice to Proceed, CONSUL~ANT shall commence work on initial tasks in ac=ordance with the time schedule set forth in Exhibit -Alii, Section IV. Work on subsequent tasks shall proceed in accordance with the ti."ne schedule. The parties hereto a·9ree that time is of the essence of this Agreement. This Agreement shall terminate upon the completion of all obligations required to be performed hereund~r by CONSULTANT • 7.2 TIME OF COMPLETION OF EACH PHASE CONSULTANT agrees to per:::oz."D'I the services within the time Itmdts ~et forth in Exhibit -Alii provided, however r that any change in the scope of services or other changes due to CITY's operating requirements. or in connection with other contractors' or consultants r operations, may require a revised time schedule. CITY shall exercise due diligence to complete these tasks; however r it is recognized that the interrelated exchange of information among CITY's various departments makes it impossible to set a speCific time schedule. Ncrmally, CITY'S estimated period ot review and approval will be furnished to CONSULTAh~ at the time of submission of each product of the work~ 6 -. 7.4 EXTENSION OF TIME OF COMPLET~ __ QN In the e?ent the services called for under this Aqreement are not completed by CONSULTAl."IT within the time specified, CITY shall have the option to extend the time of completioIL Th:i s paragraph does not preclude the recovery of damages for delay of either party. CONStTLTANT shall not be responsible for delay caused by circumstances bE:yond its reasonable control, including (1) strikes .. lockouts, work sluwdowns, or stoppages, or accidents, (2) acts of God~ and (3) failure of CITY to furnish information within a reasonable time. SECTION 8 -CHANGES IN WORK CITY may order major changes in scope or character of work~ either decreasing or increasing the amount of CONSULTANT's servlces. In the event that such changes are ordered I CONSULTANT s~ll be entitled to full compensation for all wo~k performed prior to receipt of notice of change. Increased compensation for reajor changes shall be dete~_ined in accordance with Section 6 of the Agreement~ but in no event shall CITY be liable for payment unless the amount of such extra compensation shall first have been agreed to in writing by CITY. SECTION 9 -TlSRMlNATION OR sus ~S_IQN OF AGREEMBNT 9.1 CANCELLATION BY CQNS~~TANT CONS~~TJUVT may ter.minate this Agreement or suspend work on the Project by providing thirty (30) days' written Dot.ice thereof to CITY, but only in the event of substantial failure of performance by CITY or in the event CITY abandons or indefinitely postponee the Project. 9.2 CANCELLATION BY CITY Without limitation to such rights or remedies as CITY shall otherwise have by law, CITY may terminate this Agreement or suspend work on the Project with or without causer by providing fifteen (15) days~ written notice thereof to CONSULTANT. or immediately after submission to CITY by CONSULTANT of any completed item of service specified in Section 4 of this Agreement. CONSULTANT agrees to cease all work under this Agreement upon receipt of such written notice. 7 COII:aIlIanI-SOOn a.,..., July 15, J99J 9.3 COMPENSATION OF CONSULTANT IN TJi.~~_EVE_NT __ .oJ: TEBMINATJ,PN OF THIS AGR EEMEh'T In the ev~nt of termination of t~is Ag~eemeGt or suspension of work on the Project by eithe~ CITY or CONSULTANT as provided herein, CONSULTANT shall receive compensation as follows: 9.3.1 For approved items of service under Se~tion 4 of this Agreement, compensation shall be in the amount outlined under section 6 of thie Agreement for the items of service fully performed by CONSULTANT. 9.3.2 For items of service on which a Notice to Proceed has beeD issued by CITY, but \oJhich have not been fully completed and approved, CONSULTANT shall be compensated for the service in an amount which bears the same ratio to the total fee otherwise payable for the performance of the service as the service actually rendered bears to the total serv~ce necessary for the full perfo~ce of thg item of service. 9.3.3 In no event shall the total compensation paid in th,e immediately pr-eceding paragraphs exceed the payment specif~ed 10 Section 6 for the respective items of service to be fUrnished by CONSULTANT. 9.3.4 Notwithstanding anything in the preceding paragraphs, upon tennination for fault of CONSULTANT. CITY shall be obligated to pay for only that portion of the service which can be inco~rated in the Project. 9 • 4 DUTIES OF CITY AND CONSULTANT Upon tennination of this Agreement or suspens ion of work on the proj ect by either CITY or CONSULTANT as provided herein. all duties of CITY and CONSULTANT, as set forth in Sections 4 and 5 herei~~; shall terminate. SECTION 1Q -QQNSl~T~(S ACCOUNTING RECORD$ Records of the following expenses pertaining tc t:te Project shall be kept by CONSULTANT in acccrdance with generally recognized accounting prinCiples and shall be made available to CITY at mutually convenient times during the term of this Agreement and for three (3) years following the te~~nation of this Agreement~ (a) Direct personnel expenses r including consultant expenses. {See Section 6 of this Agreement.) SECTION 11 -O~ERSHIP OF DOCu~NTS 11.1 Q..WNiRSH!P OF QRIG1'NJUd OOCUMENTS Subject to the provisions of Paragraph 11.2 below, the original drawings, maps, plans~ designs, records of survey, work data, spe~ifications, and any other documents prepared by CONSULTANT in the performance of this Agreement, although instru­ ments of professional service, are and shall be the property of CITY whether the project for which they arE made is executed or not. 11.2 ~~SFER TO CITY Upon termination under Section 9 of this Agreement and upon CITY's payment of the amount required to be paid under same section. the originals and all drawings. calculations, specifications and any similar documents shall become the property of CITY, and CONSi.JLTANT shall transfer tbern to CITY~ upon request~ without additional compensation. CITY shall have t.he right to utilize any completed or uncompleted drawings, estimates, specifications, and any other docureents prepared hereunder by CO~~LTLTANT. CITY agrees not to use or reuse the docum~nt9 for any purpose other than the project and scope of work for which they were prepared. SECTION 12 INDBPSNDKNT OF CIT"! INTEREST OF CONSULTANT; CONSlThTAITI 'In accepting this Agreement, CONSULTANT covenants that it presently has no interest, and shall not acquire auy interest. direct or indirect, financial or otherwise. which would conflict in any manner or degree with the performance of the services here­ under. CONSULTANT further covena.nts t.hd.t, in the perforn-mce of this Agreement, no subcontractor or person having such an interest shall be employed. CONSULTANT certifies that no one whQ has or will bave any fiLancial interest under this Agreew.en= is an officer or employee of CITY. It is expressly agreed that in the perfonna.nce of the professional services required under this Agreement CONSULTANT. and any of its tfI..IDconsul tants or employees, shall at all times be considered independent contractors and not agents or employees of CITY.
