Material Testing Services Agreement

Report jn Brief
This report requests that Council authorize the Mayor to execute
the attached consultant agreement with Consolidated Engineering
Laboratories in the amount of $~47,200 for materials testing and
inspection sErvices. These services a.re required if' conjunction
with various construction projects in the adopted CIP. Funds have
been appropriated in the specific capital improvem~nt. projects
listed below and in the Public Works Opera'Cions Dhrision IT 1993-94
operating budget.
Backgrgund
construction projects in the Capital Improvement Program and
Utility Department operating budget often require inspection ana
testing of construction materials for quality assurance. Examples
include ste~ll we~ding, concrete, insulation, asbestos, bui~ding
and road construction materials. Some tests are requj,red by
government regulation and others a-::e standard quality control
procedures. In order to provide these services, staff periodically
solicits proposals from certified testing fi['tr'..B. The timing and
scope of these services varies based on the projects approved in
the capital Improvement: Prog:r-aro. It s;hould be noted that these
services are of a one-time nature related to elF pro~ects and are
not ongoing annual activities for operational or maintenance needs.
Discussion
Staff sent requests for proposal to eight qualified testing firms
and received seven responses. The firm of Consolidated Engineering
Laboratories was 9~lected in accordance with the City's procedures
for consultant: selection. The conunittee was made up of three
representatives of Public Works Engineering Division. The
selection of Consolidated Engineering Laboratories was based on
previous work experience with other cities and 6i~ilar projects for
materials testing. laboratory capabilities and their lowest overall
schedule of rates. Consolidated Enqineering Laboratcries' staff
has also worked previously ~ith the City of Palo Alto on
public/private projects.

The consultant selection agreement involves routine services only
and, therefore, does not require consideration by the Finance or
Poli.-:y and Services Committee. The two-year agreement provides
material testing and inspection services through June 1995. The
second yeat funding is subject to Council approval of thp PY 1994-

The agreement also provides $40, 000 for utility trench testing
services I $20,000 in FY 1993-94 and $20.000 in ~f 1994-9S, to be
funded in trie Public Works Department Operations Division operating
budget and reimbursed annually by the Utilities Department. The
total value of the two-year agreement is $147,200. The second year
funding is su.bject to Council approval of the FY 1994-95 budget+
Ccuflict cf Interest Code Exemption
Staff l with the concurrence of the City ActorneYI has determined
that the consultant is exempt from complying ~ith the financial
interest disclosure provisions of the Cityls conflict of interest
code, because the range of duties and services to be provided under
the agreement are limited in scope or primarily ministerial in
nature.
Recgmmendation
Staff recommends that Council approve and authorize the Mayor to
execute the attached consultant agreement with Consolidated
Engineering Laboratories in an amount not to exceed $147,200. to
provide material testing services for various construction
projects.

only with prior approval of the City's project manager.
Verbal reports on test results shall be issued (0 the coordinating Project
Engineer within 24 hours ofthe 1ests taken. A!I written laboratory reports shall
be issued to the Project: Engineer within one week after the tests are
performe<l.

The unit fates listed in Exhibit "'S"' are prk:ed on a pe( test basis, except for In·
Place Nuclear Oensrty Testtl1Q, Steel FabfJcation and Wetd Inspection which are
priced on an hourly rate ba!is. The hourly rates also apply to trave' time to and
from the job sits, but only for these three hourty rate acti\'ities.
The Exhibit ·8-unit rates are to ir)Clude all necessary fteld activities, fret{l and
laboratory testing, scheduling of testing. report preparation and postage,
vehicle mileage, travel time (except as noted above) and other indirect
expenses.
Other service will be paid at rates kJentified 1n the Contractor's General Fee
Schedule Exhibit "C". All quoted rates shan be fixad for a period of one year
following execution Of an agreement between Contractor and the City.
Tests and inspections identified in Exhibit ·c· may be performed only with prior
approval of tha project manager.
C. COMPENSATION
The services to be procured by this agreement have a estimated total va rue of
$147,200. Note that $127,200 in funding is currently available. Expeneiture
of the remaining $20,000 of t:.e stated contract amount is contingent upon
Crrv Council approval of the 1994-95 fiscal year budga!.
O. SCHEDULE
The work under this Agreement will be for a two year perioC and will run from
July 26, 1993 to July 26, 1995. The contract may be extended, depending
on budget approval for the Capital Improvement Projects ICIPI for the given
fiscal year.

of the Terms and COndiOOns.
The CITY has the ri9ht to tarminate the Agreement in whole or In part at any
time. tor any reason. at CITY's convenience. in writing as stated in the Terms
and Conditions.

Jt is required that Contractor's firm ~nclude at least one individual on staff
pos~essing a Civil Engineering License. It is desirable that Contractor's firm
incrude at least one mdividualon staff pos~essin9 a Geotechnical EnQtneering
License. Inspectors should possess an ICBO or tfQuivalent certi'flCation for eacl1
req uired area of specia fly.
G. PROJECT ADMINISTRATION
The Agreement win be to provide lesting services on various CIP and utilities
pro]ecu during the life of this contract.
An requests fOf testing, services will be made by e!ther that Project Engineer or
the PUbriC Works Inspector with the approval of the Project Manager.

All test results and invoices shall be dir9r.~ed to the Project Manager and should
list the person requesting the test and the corresponding project. The invoices
should itemize the services rendered, the date pefformed and fees charged.
H. SELECTED CONSULTANT
The selected consultant {referrert to as B "Contractof· within the executed
agreement} will be used for compaction testing of u!ility projects and various
testing ern] inspections on the Capital Improvement Program Projects. The
.selected firm will sign an Agreement with the City of Palo Afto and campPy with
the City insurance requirements.
The award of this contract win be ba50ed on budget approval by the City of Palo
Alto City Council for the various elP ?rojects and fiscal year funding.

The a.greement also provides $40, 000 for utility trench testing
services, $20,000 in FY 1993-94 and $20,000 in FY 1994-95, to be
funded in th~ Public Works Department Operations Division operating
budget and reimbursed annually by the Utilities Department. The

d. The City Manager will analyze the MEP submitted by each bidding
contractor w.th the objective of determiriing if the program submitted by
the contractor for himself and his subcontractors presents a reasonable
effort to further minority empfoyment.
e. If the Cfty M~l1age:-has questions about a particular bidder's
proposal, he may address such questions to the bidder. The City
Manager win be available to answer questions relative 0 1,he guidelines
and to advise those seeking assistance of resources known to him. He
shall not be responsible for the service or lack oi service rendered by the
resources recommended, nOI shall he be responsibte for db,.Joping an
MEP for any bidder, or to serve as a lecruiter for any bidder.

b;dders withdraw their MEP for revision, their revised program must be
resubmitted by a date which shall be established by the City Manager.
Bidders failing to have their revised MEP s-.Jbmitted by the established

g. The City Manager, pursuant to the guidelines, shall make a decision
as to the responsibility of each bidder.
B. AWARD PHASE OF CONTRACT:
Upon award of the contract by the City, the recipient's MEP which has b~en
approved and accepted by the City shari be an Integral part of the contract and subject
to Section 2.30.093 of the PAMC. No contractor shar! be deemed in material breach
of contract under PAMC Section 2.30.093 when he has made a reasonable and
substantial effort to comply with the MEP.
C. POST-AWARD PHA~LCONTRACT:
1. The co~tractor shall post in conspicuous places, 6vailable to employees and
appricants for employment, notices 1'0 be provided, setting forth the law prohibiting
discrimination and advising anyone who feels he is being dtscr~mfnated against to
advise the FEPC.
2. The COt1tractor shan make written progress reports on the performance of
his McP at intervals established by the City Manager. The contractor, however, is
encooraged to submit written reports as often and when he deems it relevant to his
MEP.
3.' The City Manager shall monitor the performance of the MEP untit
completion of the contract and win report 10 the PAHRC on the progress of the
contractor in riving up to his MEP.
4. Any Questions of possible breaching of MEP shall be discussed with the
contractor by the City Manager.
