In August 1989, the City 'Nas notified that Hhona Williams had
villed her property, located at 351 Honer Avenue, to the City of
Palo Alto~ On Januar:l 13, 1992, COUncil accept.ed the \ilillian-.,s.
property, and directed staff to prep3.re a Re.quest for Proposals
(RFF} for an option to lease the site. On April 13, 1992. Council
approved the RFF package, and direc~ed staff to Eolici~ proposa15.
On July 14, 1992 ~ proposa15 't,'ere received from the Peninsula
Conservation Center (pee) and the Lace Museum. On October 5, 1992,
Council directed staff t.o pursue an option to lease r.rith the PCC,
provided that ·wdthin 90 days thl;; PCC revise its plans to better
conforT:: to the Historic Hesout"ces Report and retain the historic
integrity of the structure and garden. The Council stated: ...
if the revised plans do not satisfy th~ ~ouncil conditions, the
Council \itlill consider the award of the option to tbe Lace Museum."
On November 9, 1992, Council approved a motion ..... hich set the PCC's
rent and liability fot" L.Jnoergrr.;;und tar~k re!':loval and cleanup costs
and which appt"oved the timing provision that tile PCC subnl1t revised
plans 'Within 60 days of November ~, 1392 and that staff make eve.ry
effort to return to council within 120 days after receipt of the
revised plans.

~ere reviewed by the Historic Resou~ces Board (HRB) a~ its ~eetings
on February 2, 3. 17 and l-:.=::cl"', -;. 1993. During February anc. March I
staff conducted negotiations with the pee conc~rning the timing of
the tank removal and the pec's share of the costs and responsibili
ty fer security arlO mainter:anc€ of the property o'.Jrir.g the option
period. In Apt:"il the PCC notified staff that it had r-e:ceived
notice that its curr~nt mOnth-to-nonth lease ~ould terminate June
15. 1993, and d~e to the tine and rcsourc~s needed for its search
for new space, it ..... ould be delayed in pro'.liding staff with
info~ation required prior to returning to Council ~ith the revised
proposal. staff ir,for-r;,ec CO;Jncil (CMR:305:93 dated May 20,1993)
th~t due to this delay, it was not possible for staff to return to
Council within the 120-day time period Council had directed.
Withdrawal ot the Peninsula conservation Center proposal
On May 27, 1993, the pee notified the City council that the
Peninsula ConsErvation Trust Fund Board had decided to PQrchase an
office building instead of p~rsuing the renovation of the Williams
house (see letter attached). The decision to purchase another
property " .. as due to cost, more advar,tageou5 timing~ the superior
coltlpatibilit.y of the space 'With the PCers n'=''?cs and the fact that
the pee '\fro'ill own rather-than lease the office building.
Ne90tiation of option to Lease with the Lace Museum P~oposal
As mentioned previously I council dete.rr:l.ined that if the PCC's
revised plans did not satisfy the CQuncil conditions, the Council
'Would consider th€. award of the option to the Lace Museum.
(CMR:435:92 includes copies and s~rnmaries of the proposals and a
discussio~ of the issues conce.:-rdng each proposal.) The PCC has
now ~ithdrawn its proposal. Further, as stated in the attached May
5, 1993 letter fron .lames H. Dozier, the Lace Museu!':'., together .....,ith
the Women's Heritage l-1useuI!'. and Palo Po.lto Sta!'lford Heritage, are
still very interested in being awarded the option to lease for ~he
Williams property.

Staff requests council confirmation that staff should proceed to
negotiate 'With 'the Lace Museum the option to lease the Wi 11 iams
property and return to council f::lr the award of the option to
lease. If Council does not endorse this action, staff requests
further direction on ho~ to proceed with this matter.

This letter is written on behalf of The Lace Museum. The Women's Heritage Museum.
and P.A.S.T t'The Lace Museum Consortlum"j. Its purpose is to assure the Council
that these organizations in part1ership still stand ready, wffnng and able to accept the
lease for the Rhona Williams Property should the Peninsula Conservation Center
withdraw its proposal. We (rUSt the Council will honor thei: commitment ~o The Lcce
Museum Consortium as expressed at the Council meeting herd to evaluate the lease
proposals,
The Lace Museum Consoftium proposal meets alJ of the requirements as previously
presented ir. response to the Council's request for applicatiOns to lease the Rhona
WH',iams Property. The Council is assured tha'! the fjnanc:a! position of The lace
Museum Consortium has improved and 115 leadership has been strengthened. It is also
pointed out that i,. is ver, important that an early deosior be made to ensure this
group acq'Jiring additional grants and funds. The majnr grant has an Oc!cberdeadline
and requires the City to zone the property for parl<: use,
