This report recommends that council adopt the attached resolution
approving a Program supplement Agreement between the city and
Caltrans, for the Embarcadero Bridge and Bike Path Extension
Project. since this project involves the use of feder~l funds,
palo Alto is required to ~ollow procedures and standards
esta.blished by the federal goverlmlent and administered, on its
behalf, by Caltrans. caltrans uses proqLem Supplement Agreements
to cover financial reimbursement and conditions that are project
specific.

During the past year, Palo Alto has pursued the development of a
project to construct a bike path along the ""est side of the Joint
Fo .. ~rs Board/CalTrain tracks, from Churchill Avenue to University
Avenue, as proposed in the Palo Alto Bikeways Master Plan and
illustrated in Exhibit 1. Federal and state funding for the
project have been approved, and the project is included in t.l)e
1993-94 Capital Improvement Program (No. 19]10).
since this project involYes the use of federal funds, Palo Alto is
required to follow procedures and standards established by the
federal government and administered on its behalf by Caltrans.
The.se include Calt-rans review and approval of t:,e design and
construction of the project and the selection of consultants and
contractors; and Council adoption ot a resolution approving a
program supplement Agraement.
PROGRAM SUPPLEMENT AGREEMENT
Program Supplement A9I:eements are used by Caltrans to cover
financial reimburseno.ent and ccmditions that are projec"t specific.
They serve as a supplement to a Locdl Agency-state Agreement for
CMR:147:94

Federal Ajd entered into between the City and state on April 4.
1978. For the proposed. project, tl;iO program supplements are
required, one for the design phase, 'which is the subject of this
staff report, and one i~ the near future for ~onstruction of the
project.
While a total of $621,260 is available from -,;arious funding sources
tor this project, the application for federal funds \,las in the
amount of $400.000 ($52,000 for design $348,000 for construction) ~
ot that amount, $320,000 will be covered by federal funds; $46,000
by state Transportation systems Management ~TSM) funds; and the
remaining $34~OOO by local funds.

Supplement Agreement in the amount of $52,000 for the design phase
of the. proposed project, 'Will allow the City to b~ reimbursed
$46,035 in federal funds and $5,965 in state TS~ fu~ds.
Adoption of the program Supplem~nt does not constitute a project
for purposes ~f the California Environmental Quality Act (CEQA);
however r the proposed :EIzl.barcadcro Bridge and Bike Path Extension
project would be considered a project und~r CEQA, and an environ
mental assessment would he required prior to City review of this
project.

approving the Program supplement agreement for the Embarcadero Road
Bridge and Bike. Path Project between the City of Palo Alto and
Caltrans and authorize the Hayor to execute the agreement.

WHEREAS~ the City of Palo Alto and the California
Department of T.ransportation {rrCaltransll) have entered into an
agreement entitled -Local Agency-State Agreemen~ for Fed~ral·Aid
ProjectB~· No. 04-5100~ dated April la, 1977 (the "Master
Agreement-}; and
WHEREAS, the Master Agreement sets forth the general terms
and cond.itions under which all federal a.id projects sh.:tll be
performed, but provides that terms and conditions for each specific
federal aid project st..all be set out in a "Supplelnental l.-ocal
Agency-State Agreement, ~ also referred to as a -program
supplement,-which is adopted by the City and approved by Caltrane;
and
WHEREAS, the City bas requested federal funds to finance
preliminary engineering studies for the proposed Embarcadero Bridge
and Bike Path Extension project (the Ifproject"}, which requires the
City Council to adopt a program supplsnent (No. 005) for the
proj ect; and

RESOLVE as follo~e:
SECTION 1. The Ci~y Counci~ hereby adopts program
Supplement No. OOS to the Master Agreement between the City and

Supplement for and on behalf of the City of Palo Alto~
SBCTION 2. Adoption of the Program Supplement does not
constitute a project for purposes of the Californ;'a EnvironIl'..E:ntal

thereof. This Program supplement is adopted in accordance with Paragraph 2
of Article II ot the aroreItentioned Master Agreement under allthorit~,r of

1. All maintenance, involving the physical condition and the
operation ot the improvements, referred to i~ Article VI
MAJNTENANCE of the aforementioned Master Agreement will b~
perforsed by the Loc~l Agency at regular intervals or as required
for efficient operation of th~ completed improvements.
2. The Local Agency agrees the payment of Federal funds will be
limited to the a~ounts approved by the Federal Highway
Administr~tion in the FeQaral-Aid Project Agr'eelilent (PR-:2) /Detail
Esti=ate, or its modification (PR-2A) or the FNM-76, and accepts
any increases in Local Agency Funds as shown on the Finance or
Bid Letter or its ~oditication as prepared by the Division of
Local streets and Roads.
3. This Program Supplement will be revised at a later date to
include other pbases of work.
4. In executing this Program Supplemental Agreement, Local
Aqency hereby reaffirms the -Nondiscrimination Ass~rance$"
contained in the aforementioned Master Agreement for
Federal-Aid Program.
5. Whenever the local agency uses a consultant on a cost plus basis r
the local aqency is required to submit a post audit report cover
ing the allowability of cost payments for each individual consul
tant or sub-contractor incurring over $25,000 on the project.
The audit report must state ~e applicable cost principles utili
zed by the auditor in determining allowable costs as referenced in
CFR 49, part 1B, Subpart C -22J Allowable Costs.
