California r PALO ALTO MEDICAL FOUNDATION DEVELOPMENT AGREEMEl>;"T: PUBLIC REVIEW OF COMPLIANCE Members of the Council: Report in Brief This report and the attached September 22~ 1.993 letter from the Palo ~to Medical Foundation discuss compliance with the perioaic review provision [Section 9 (al] of the Development Agreement between the City of Palo ~to and the Medical Poundation~ According to Section gee) (3) of the DevelopmenL Agreement. if the City COUncil concludes that the Medical Foundation has complied in good faith with the terms and conditions ~f this Agreement; the review shall be conclud~d with the issuance of a certificate of compliance. Jamplis, President and Chief Executive Officer of the Palo Alto Medical pOundation, de~crtbeB thP-activities of the Medica~ Foundation relating to the Development Agreement during the past year. These activities focused on deferral of plar~ing and construction activities relating to the Development Agreement and an appeal by the plaintiffs challenging the Specific PI-an and Development Agreement. Subsequently, the State Court of Appeal upheld the lower court~ Ii judgment in favor of the City. The Palo Alto Medical Foundaeion has reimbursed the City for its outside attorney~s fees in this litigation~ as required by the Agreement+ The Medical Foundation, pursuant to Section 9(£), requested that the City issue a Certificate of Compliance at the conclusion of thjs annual review, if the City f~nds that tbe Foundation is in compliance with the Agreement. • · .'~ d " .. , Staff finds that the Foundation has been in compliance with the Agreement and supports council making a finding that the Foundation complied in g~od faith with toe Agreement. Mcgnmendat: i p!l Stai! recommends that the City Council: 1. Find that the Medical Foundation has complied in good faith with the terms and conditions of the Agreement; and 2~ Direct staff to issue a Certificate of Compliance to the Medical Foundation. according to the provisions of Section 9(f} of the Agreement, stating that: a.
