This report requests that Council approve and authorize the Mayor
to execute a consultant agreement with James K. Montgomery.
Consulting Engineers, Inc. in the amount of $260,000 to assist the
City in the preparation of revisions to the Sewer Use Ordinance~
Funds are available in the FY 1992-93 Waste~ater Treatment Fund
operating bud'~et~
Background
The limits for discharging pollutants into the Bay have been
slqnificantly lowered uJ;lder the Regional Water Quality Control
Plant's (RWQCP) new discharqe permit~ Federal and: State law
mandate that corresponding revisions must be made to the limits
contained in the Sewer Use Ordinance for businesses and
institutions discharginq into the RWQCP. The requirement is also
contained in an agreement reached between CLE~ Sou'th Bay, a
collection of environmental groups. The agreement ~a9 included in
a City Attorney's report to Council on January 19 1 1993.
Discussion
This project did not appear on the July 1992 list of projects
forwarded to the Policy and Services committee or to th& Finance
Committee for consideration tor consultant selection review. It
was not clear then that the project would be needed during this
fisc~l year. We now know that the Regional Water Quality Control
Board (Regional Board) intends to issue a Cease and Desist Order
and require immediate commencement of the work leading to Se,",,'.; rUse
Ordinance revisions. In order for staff to :meet the expected
deadline of July 1, 1993 in the Cease and Desist Order, it is
recommended that the full council take action on the recQmmended
consultant AlJreemen~ rather than initially refer the matter to
either committee.
The project will involve estimating the pollutant contribution from
the residential, commercial and industrial sectors of the RWQCpis
service area. Based on this informa.tion, the allo'iJable loadings of
various pollutants from each sector will be determinsd and

correspcndinq discharge limits will he developed for inclusion in
the Sa'Wer USc ordinance. Be~ause of the extremely stringent
requirements for pollutant discharges into the lOwer South Bay, it
will be difficult to establish business lim,its that c~n be compli.ed
with in a cost effective manner. As a result, staff will meet vith
the businesses early in the process to identify possiLle
alternatives for lowering their pollutant contribution to the
RWQC?

1. Approve and authorize the Mayor to execute the attached
Agreement with James K. Montgomery, consultinq Enqineers, Inc.
in the amount of $260,000 for developing a Sewer Use Ordinance
RevL;ion.
2. Authorize the City Manager or her designee, to negotiate and
execute amendmen~s for services related to or incidental to
the scope of ~ork or services, the total value of which shall
not exceed $37,000.

SEC'rION 1 -DEFINITIONS
1.1 QTI
The term ·City-as used in this Agree.l'l'1ent shall mean and
include all the territory lying within the muniCipal boundaries o~
the City of Palo Alto~ California, as pres~ntly existing, plus all
territory which may be added thereto during the term of this
Agreement by annexation or otherwiSe.
1.2 QTI M1INl\GER
The term "'City Manager" shall mean the duly appointed
City Manager of the City of Palo Alto, California, or her
designated l.-epresent.ative.
1.3 CITY AT7\)RNEY

2.1 QTY

p~ogress and execution of this Agreement.

CONSULTANT shall assign a single PROJECT DIRECTOR to have
overall responsibility for the progress and execution of this
Agreement. for CONSULTANT. ANN FARRELL hereby is designa.ted as the

4.2.2 CONS"tJLTANT states that it is aware of the
requirements e,f the Americans '''''ith Disabilities Act. of 1990~ the
Government Code and tIl'!!! Health and Safety Code of th-':! State of
Califoznia relating to access to public buildings and accommoda
tions for persons with disabilities, and relating to faciliti~s fo~
persons with disabilities. CONSv~TANT shall comply with such
provisions in carzyins out the terms of this Agreement.
4.2.3 CONSULTANT shall furnish CITY with every
r~asonable opportunity for CITY to ascertain that the services oE
CONSw'LTANT are being perfonned in accordance with the requiremer;.ts
and intentions of this Agre~~ent.
SECTION 5 . DQTIES OF CITY
5.1 CITY shall provide full information regarding its
requirements for the Project.
5.2 CITY shall eX<:t_rTtine docu.rnents submitted by CONs~r.;./Tk."'''r and
shall render decisions pertaining thereto promptlYk to avoid
t!nreasoDo.ble delay in the progress of CONSULTANT's work.
5.3 CITY shall furnish all such inforrr~tion as are in CITY's
files or are at its disposal, as listed in Exhibit "A".
5.4 CITY shall furnish all services listed in Exhibit ~Aw.
providing sUfficient notice is give~ by CONSULTANT~
5.5 The services k infonmation, surveys and reports required
by paragraphs 5.1 and 5.3 through 5.4 inclusive shall be furnished
at CITY's expense, and CONS·ULTk~ shall be entitled to rely upon
the accuracy thereof.
5.6: If CITY observes or otherwise becomes a .... are of any fault

5.7 CITY ehall furnish information required by CONSL~TANT as
expeditiously as possible.
SECTION 6 -PAYMENT
Paynlent shall be made by CITY only for services rend€!.",=d
and upon s~~s8ion in triplicate of monthly progress payment re
quests. Each invoice shall be itemized as to the type of payment
described in this section.

In consideration for the f'..lll performance of the Basic
Services and reirribursable expenses described in Section 4.1 of th:'.,
Agreement, CITY agrees to pay CONSti'LTM"!' a fee not to exceed
Two Hundred Sixty Thousand Dollars ($260~OOO) for the Study.
6".1.1 ~llsultant9. Fees for subconsultants, hired
directly by CONSULTANT r shall be approved by CITY in advance of
incurring such fees.

exceed cost for such extra work. In no event shall CONSULTANT be
paid for design wo~k or change order preparation which is necessary
because of CONSULTANT'S errors or oversights~
6.1.3 Ca'cvlation of Direct PerSQnMLk~.
Direct personnel expense of employees engaged on the Project by
CONSULTANT includes the work of architects. engineers, designers,
job captains. draftspe~sons, specification writers and typists. in
consultation, research and design. in p=oducinq drawings, specifi
cations and other documents pertaining to the Proj ect, and in
services during construction at the site. Included in the cost of
direct personnel expense of these employees are salaries and
mandatory aad customary benefits such as statutory employee
benefits, insu~ance. sick leave~ holidays and vacations, pen~ions
a~d similar benefits.

~ION 7 -PROGRESS AND COMPLETION
7.1 TIME IS OF THE ESSBNCE
It is understood and agreed that time is of tne essence
of this Agreement, and that. following receipt of a Notice to
proceed~ CONSULTANT ehall commence work 0:1 initial tasks af study
in accordance with the t.ime schedule. Exhibit -A'll. Wark on
subsequent tasks shall proceed in accordance ~ith said time
schedule.
7.2 TIME OF COMPLET.IQ!L9£ EACH PHASE
COWSULTANT agrees to perform the phased services within
the time limits set forth in Exhibit -AI provided, however, that
any change in the scope of services or other changes due to CITY's
operating requirements, or in connection with other con~ract8rs or
consultants operations. ma.y re::p1ire a revised time table.

Between each phase of work there is a review and arJ'proval
period by CI'I'Y. CITY will exercise due diligence to complet·e these
tasksj however~ it is recognized that the interrelated exchange of
information among CITY~s various department.s rr.,akes it impossible to
set a speCific tim€: schedule. Normally, Cl'Iry~ 5 estimated period of
review and. approval will be furnished to CONSULTA."IT at the time of
submission of each phase of work.
In the event the services called for under this Agreement
are not completed by CONSULTMrr within the time specified, CITY
shall have the option to extend the time of completion. This para+
graph does not preclude the recovery of damages fo~ delay by CITY.

SECTION 8 -CHANGES IN WORK
CITY may order maj or changes in :scope or character of
work, either decreasing or increasing the ~~unt of CONSULTru~'s
Bervices~ Io the event that such changes a~e ordered, CONSULTANT
shall be entitled to fu~: compensation for all work performed prier
to receipt of Dotice of =hange. Increased compensation for major
changes shall be detenn..ned in accordance with Section 6 of the
Agreement, but in no event sr.:.all (ITY be liable for payment unless
the a."hOWlt of such extra compensation shall first have been agreed

In the event that major changes are ordered pursuant to
this section, the schedule for progress and completion in Section
7 of tr.ts Agreement and compensation shall be adjusted by negotia
tion bE: ween CONSULTANT and CIty, subject to approval~ if necessary
by the ?alo Alto City Council.
SECTION 9 -TB&~INATIQN OR SUSPENSION OF AGRE~NT

CONSULTANT may terminate this Agree.t;le:nt or suspend ..... or.~
on the Project upon thirty (30) days' written nDtice to CITY. but
only in the event of substantial failure of performance by CITY or
in the event CITY abandons or indefinitely postpones the Project.
9.2 CANCELLATION BY C;IX
Without l.im.itation to such right.s or remedies as CITY
shall ctherwise have by law, CITY shall have the right to terminate
this Agreement or suspend work on the Project for ~ny reason, upon
fifteen (IS) days' o,,;ritten notice to CONSu"'"Ll'ANT, or immediately
after submission to CITY by CONSu~T~VT of any completed item of
service specifie.d i::l Section 4 of this Agree~ent. CONSULTAA"T
agrees to cease all vork under this Agreement upon receipt of said
writtsn notice.
9.3
In the event of termination of this Agreement or
suspension of work on the Project by either CITY Or CONSULTA."lT~

presently has no interest., and shall not acquire any interest,
direct or indirect, financial or otherwise~ which would conflict in
any manner or degree with the performance of the services here

will have any financial interest under this Agreement is an officer

performance of the services listed in Section 4 of this Agree.T,ent;
provided, however l that all 6uch subconsultants shall receive prior
approval of CITY in writing and shall remain acceptable to CITY
during the term of this Agreement.

CONSULTANT agrees to indenlnify, defend and hold harmless
CITY, its council members, officers, agents and e:nployees from any
and all demandB I claims, or liability of any nature, including
death or injury to an:f person, property damage or any o':her loss,
caused by or arising out of CONSULT~~'S, its officers'l agents',
subcontractors I or employef!s' negligent acts, errors, 01· emissions,
or willful mis~onduct, or conduct for which the law imposes strict

CONSULTANT shall give its personal attenti::m to the fulfillment of
the provisionB of this Agreema,"'t by all of its employees and sub

any employee or sW:>consultant of C0NSlTLTAI'JT fails or refuses to
carL)' out the provisions of this Agreement or appears to be
incompetent or to act in a disorderly or improper ~nner. he or she
