Members of the council:
Report in Brief
staff recommends that the City Council approve the attached one-year
contract with the Palo Alto Y.M.C.A. in the amount of $28,000 for .FY
~992-93 with an option to extend the contract for two additional one-year
periods, for the firefighter's physical fitness evaluation program.
BackgrQund
The attached Agreement with the Palo Alto V.M.C.A. for fiscal year 1992-
93 provides for continuation of the Physical Fitness Evaluation Program
for Fire Department personnel which began in 1979. This agreement will
provide examinations for 54 firefighters scheduled to have examinations
each year. The Y.M.C.A. satisfactorily responded to the Request for
Proposal (RFP) process on September 18, 1992. Their low bid is $450.00
per examination. Funds for this tiscal year's Agreement are budgeted in
the Fire Department operating budget. Fun1s for FY 199)-94 and 1994-95
Agreements will be dependent upon the approved Fi~e Department budgets
for those years.
Discussion of The Firefighter Physical Fitrl..ess Evaluation Agreement
Each evaluated firefighter, through this Agreement, consists of a
physical fitness rating, medical history review, physical examination,
risk factor modification information and a specific individualized
exercise pr-ogram. {see Agreement for more detailed services.j This
evaluation program ~~S the following objectives:

personnel.
J~ Identify cardiovascular risk factors, in order that th~ incidence of
heart disease to firefighters may be reduced.
4. Educate tire personnel to reduce the risK factors of back injury.
5. Dev~lop a personal physical fitness program compatible 'With the
needs identified during the testing procedures.

7. Follow-up examinations ann\'!!I.ll}' for all personnel under age forty
whose initial evaluations had abnormal or borderline results.
8. Follow-up examinations every three years for all fire personnel
under age forty with normal tasts.
During fiscal year 1991-92, 63 firefiqhters were tested. These
evaluations proved to be of siqnificant assistance in informing
firefighters of pote.ntial health problems, i.e., high blood pressure.

are referred to their personal physicians it any corrective treatment is
advised. In addition, the Y.M.C.A. de9igns a personalized exercise
progra~ based on test results. These 6valuations serve as motivation to
the individual to improve or maintain a healthy physical condition.
The following statistics support the benefits of the physical fitness
program:
Only 9 percent of the firefighte.rs now have hifJh blood pressure.
We.iqht reduction, restriction of salt and the necessity of follow-up
with their physicians were emphasized with these firefighters.
81 percent of the firefiqhters tested completed the Department's
requirement of 12 METS (a measurement indicating the. amount of work
one's body expends at a resting metabolism). This level indicates
above-average fitness, according to the YMCA, ana because of this
proqram fire-fighters are motivated to maintain a high physical
conditioning.
Because of the high level of sound related to the fire serv~ce, a
comprehensive hea~inq evaluation was completed on all firefighters.
These evaluations provide the Depart1!lent with management data to
assist in the planning for the prevention of future hearinq losses.

It is important to have a yearly Agreement that provides annual testing
consistency and timely folloW"-up on the physical condition of

ReCommendation
Staft recommends that the city council authorize the Mayor to execute the
attached one-year contract, wit-I) renewal options for a second and a third
year, \lith the Y.M.C.A. in t-'le amount of $28,000 per year for the
firefighter'. physical fitness program.
Also, authorize the city Manaqer or his ~r her designee to exercise the
opti~n for the second and third years, in his or her discretion, and to
execute any other documents necessary to implement the second and third

progress and execution of this Agreement.
2 .2 CONTRACTOR
CONTRACTOR shall ,..sign a single PROJECT DIRBCTOR to have
overall responsibility for the progress and execution of this
Agreement fClr CONTRACTOR_ CINDlI'RUDD, R.N. is hereby designated as
the PROJ'BCT DIRBC'l"OR for CONTRACTOR. Should circumstances or
coDditions subsequent to the execution of this Agreement require a
substitute PROJECT DIRBCTOR or PROJI!CT COORDlHA'l'OR for any reason,
the appointment of PROJECT DIRBCTOR designee shall be subject to
the prior vri tten approval of the PROJI!CT MANl\GBR.

to, or prepared or assembled by, CONTRACTOR. or its subcontractors,
if any, under this Agreement shall be the property of CITY and

CONTRACTOR or its subcontractors, if any, without the prior written
appro,~ Of the City Manager.

CONTRACTOR shall provide CITY with four (4) copies of the
final report required ·.mder this Agreement upon cCX1pletion and
acceptance of the report by CITY.
3.4 ~IFXCATIQN 01 CONTRACTOR
CONTRACTOR represents that it is qualified to furnish the
8ervic:ea deacribed under thi. Agreement. As evidence thereof,
CON'l'JlAC'n)R warrants that at lease one physician and at least one
registered nurse, licensed by the State of california, shall be in
attendance during all physical examinat.ions, and that all services
to be provided under tbis Agreement shall be performed by them or

a. CONTRACTOR staff shall perform all medical
physical examinations and evaluations in
accordance with the guidelines as established
by the Palo Alto Area YMCA Medical Advisory
Corcmittee, the American College of Sports
Medicine~ and the ~~rican Heart Association.
b. A written analysis of all test results shall
be provided to each participant.
c. Any abnormal i t i ea discovered and deemed to be
potentially hanr~ul to the firefighter's
performance sha1l be documented and forwarded
to the participant and to hiS/her local medi·
ca1 doctor. (Any follow-up treatment shall be
the responsibility of the participant and
his/her physician).
d. Any publicity related to this program shall
not be released without the full disclosure to

Department.

provided, however, that the total sum to CONTRACTOR shall not

c. All Fire Department personnel who participate

that each participant may signify his/il"r
consent by Signing an authorization statement
in advance of his/her schedule test.
d. CITY shall reimburse CONTRACTOR for services
rendered upon receipt of billing from
CONTRACTOR in accordance with section 4 of
this Agreement.

SBCT+QN 6 -TBRM
The term of th16 Agreement sball he for one (1) year,
conmencillg, reeroactiv-ely, on August 1, 15192, through and. including
~ne 30 6 1993. CITY shall have the option to extend the term for
two conaecutive one-year terms to J=e 30, 1995_ P2yment by CITl(

shall not cODBtitute a waiver of a:ny liabilities incurred by
CONTRACTOR prior to said execution.
Notwithstanding the duration of this Agreement., CITY
shall have the right to cancel this Agreement, wholly or in part,
for such period. as be or sbe deems necessary due to unfavorable
condi tioDB or to the failure on the part of CONTRAC-"1'CR to perform
any provision of this Agreement.
SECTION 7 -TBMPOR.ARY SUSPBNSIQN
The City Manager shall have the authority to suspend this
Agreement l wholly or in part, for such period as he or she deems
nece~8ary due to unfavor.able conditiona or to the failure on the
pert of CONTRACTOR to perform any provision of this agreement.

In the event that the services called for under this

SECTION 9 -SUSPENSION; TERMINATION

The City Manager may suspend or terminate this Asreement
for any reason by giving thirty (30) days" prior written notice of
CONTRACTOR. Upon receipt of such not.ice, CONTRACTOR shall
immediately discontinue performance under this Agreement.
SECTION 1Q -INSPECTION
CONTRACTOR ehall furnish CITY with every reasonable
opportunity for crTl( to ascertain that the services of CONTRACTOR
are beiDg performed in accordance with the requirements and
intentions of this ,Agreement. All work done and all materials
furnishe4., if any, shall be subj ect to the PROJEcr MANAGER j s
inspection .and approval. The inspection of such work shall not
relieve CONTRAc:roR or any of its obligations to fulfill its
agreement as prescribed.

covenants that, in the performance of this Agreement l it certifies

agreed. t.hat, in the performance of the services hereunder #
COlITRAC'l'OR shall at all times be deemed an independent contractor
and not an agent or employee of CITY.
SECTION 14· I~
CONTRACTOR hereby agrees to indemnify and save har.rnless
CITY# its officers, agents, and employees of and fram any and all
demands, claims or liability of any nature caused by cr ariSing out
of the performance of this Agreement.

CONTRACTOR certifies that it is aware of th~ prov~s~oDB
of the Lebor Code of the State of California which require every
er!lployer to be insured against liability for Workers' compensat-ion
or to UllCSertake self-insurance in accordance with the provisions of
that code, and it certifies that it will comply with such provi
sions before camnencing the perfo:nna.nce of t.he work of this
Agreemeat.
SECTION 16 -INSURANCB
16.1 CONTRACTOR, at its eole cost and expense, shall
obtain and maintain in full force and eff~ct throughout the entire

term of this Agreemen't tbe foll()wing described insurance coverage,
insuring not only CONTRACTOR an~ its subcontractors, if any, but
a18o~ with the excepLion of workers' compensation and employer's
liability insurance, CITY, its officers, agents, and employees, and
each ot them, with respect to activities and services performed by
CONTR.A.C"roR. for or on behalf of CITY under the provisions of this
Agreement. The Risk Manager will specify those insurance coverages
required under this paragraph, in the Insurance Requirements for
Contractors form, attachec1 hereto and incorporated herein as
Exhil::lit • A· .
10.2 Certificates of such insurance, preferably on the
forms provided by CITY, shall be filed with CITY concurrently with
the execution of this Agreement or, with CITY's approval, within
ten (10) daya thereafter, said certificates shall be subject to
the approval of the Ri6k Manager and shall contain an endorsement
atating that said insurance is primary coverage and will not be
cancelled or altered by the insurer except after filing with the
City Clerk with at least thirty (30) days' written notice of such
cancellation or alteration, ~ t.hat the City of Palo Alto is named
as an additional insured. Current certificates of Buch insurance
.. hall be kept on file at all times during t.he term of this
agreement with the City Clerk.
§EiCTION 17 -HONPIS CR.TMIN!TION
17.1 No discrimination shall be made in the employment
of peruons under this Agreement because of the race, color,
national origin, anC:,estry, religion or sex of such person. If the
value of this Agreement is', or may be, Five Thousand Dollars
($5,000) or more, CONTRACTOR agrees to meet. all requirements of the
Palo Alto MUnicipal Code pertaining to nondiscrimInation in
employment and to complete and submit the 'Compliance Report··
Nondiacr1mination Provisions of City of Palo Altc Contract.s· on the
form furnished by CITY.
17.2 If CONTRACTOR is found in violation of the
nondiscrimination prOVisions of t.he State of California Fair
Employment:: Practices Act 0::-similar provisions of fede"ral law or
executive order in t.he performance of this Agreement, it shall
thereby be found in mat.erial breach of this Agreement. Thereupon,
CZTY sball have the power to cancel or suspend this Agreement, in
whole or in part, or to deduct from the amount payable to CONTRAC
TOR the own of Twenty·five Dollars ($25.00) for each person for
each calendar day during which such person was discriminated
against, as damages for Baid breach of contract, or both. ~y a

evidence of a violation of contract under this paragraph.
17.3 If CONTRACTOR is found in violation of the
nondiscrimdnation provisions of this Agreement or the applicable
affirmative action guidelines pertaining to thie Agre~~ent,

sECTION 18 -MUBMRNT CONTAINS llLL UNpKRSTlOOlINGS
This d~t represents the ~ntire and integrated
agreement between CITY and CONTRACTOR and supersedes all prior
negotiations, representations., or agreements, either written or
oral. This dOCUll1e!lt may be amended only by '.",itten instrument,
signed by both CITY and CONTRACTOR. All provisions of this
Ag:t'eeIDeDt are expressly made conditioLl6~ This Ag-r'eement shall be
governed under the laws of the State of California.

II. Responsibilities of contractor:
A. All medical examinations and evaluations are to be in
.ccordance with the quidelines set by the American
College of Sports Medicine and the American Heart
Association. The physical eX"a!nination is to be perfonned
by i!l licensed physician in the State of California and a
board certified cardiologist is to be, on the premises and
immediately available during the treadmill examinations.
B. Testing site location to be such that firefighting
personnel are tested on-duty and have the capability of

re.sponding to any emergency situatl.:.n, when needed,
within 5-10 minutes to any point in the City of Palo Alto
jurisdiction proper~
C. A written analysis of all t,est results shall :be provided
to each person tested.
D. Any abn.ormalities fou.'1d on medical Elxams which may
pre;sent a potential harm to the firefiqhter or his/her
performance shall be dOCl.!mented and forwarded to the
firefig'hter and to his/her persone.l physician. Follow up
treatment shall be the responsibility of the individual
and his/her personal physician.
E. Any infort!lation or publicity related to thIs program
sh&ll not be released ·without the full consent of the
contractor and the Palo Alto Fire Department.
F. A monthly bill for services shall be 6ubillitted to the
Fire Chief or deSignee (Project Managel.') ~
G~ The medical exam report tor DMV Cl~ss B drivers licensQ
will be done as an additional personal service tor Palo
Alto Fire Department personnel in need of this
certificate. The charge for this exam will be handled
separately through billing to the individual. A Class B
drivers license is not required to operate Fire
Department equipment.
H. All medical exams and laboratory tests, as delineated,
shall be. provided by the contractor at the time of the
examination.
