This report recommends that Council approve aOQ authorize the
Mayor to execute the attached agreement by and between the city
of Palo Alto ano Varian Associates, Inc., allo~inq the City to
design and install new electric substation equipment fer serving
power to a new Varian Associates electric load.
Piscussion
In August 1986, Varian Associates me~ with Utilities staff to
request an increase in electric power capacity to serve a ne~ 6
Megawatt (6,000,000 watt) test facility. At that time, varian
wanted the new facility to be ready in late fall of 1990.
statt estimated the project cost at $750,000 to design and
install the necessary electric po~er distribution equipment to
serve Variants new facility. Staff determined that the energy
consumption of the nev test facility was some~hat speculative;
and therefore, the project cost may not be economically
justified# as discussed under utility Rule and Requla~iQn 1,.
Varian agreed to reimburse the City for its expenses# provided
Varian could recover some of the cost depending on energy
consumption and Subsequent a~sociated revenue to be received by
the city.
On August 3# 1989, Council approveo a Preliminary Reimbursement
Aqre~ent with Varian Associates (ref. CMR:4CO:9) that allowed
staff to beqin engineering and purchasing long leadtime
elect~ical equipment~ To date, staff has purchased and received
about $400,000 worth of equipm~nt needed for this project. Varia~
has reimbursed the city in accordance with the Preliminary
Agreement.
Since the Preliminary Agreement ~as approved, staff has been
negotiating the terms of the attached Agreement ~ith Varian. Due
to the long negotiation process with varian (two years), staff
revisef"_ the estimated cost of the project to $820,000.00 to

reflect current construction costs. Under the terms of the
Agreement, Varian .. ::'11 cotltinue to reiJt.burse t'he City for project
expenses, Wher. the project is comp~etedl the City .... i11 pay Vt'!'ian
annually for a period of five years, ~O percent of the gross
annual revenue received by the City from the sale of electric
po~er for the new test fa~ility. In short, if Varian uses the
electric energy they estiruate, Varian ~ill recove~ their project
cost in five years. If Varian uses less energy than they
estimate I Varlan ~ill not fully recover their cost. At the end
of the five year period, the Cityrs electric a~stribution
equipment installed under this Agree!:lent will continue to serve
varian.
The subject project is categorically exe~pt from the California
Environmental Quality Act (CEQA), under section 15301 of the CEQ~
guidelines ..
Recommendation
staff recommends that council:
1. Approve the attached Agreement by and betwee~ the City of
Palo Alto and Varian Associates, l~c'$ and;
2. Authorize the Mayer to execute the Agr~ement on behalf of
the City, and;
). Authorize the City Manager to approve and execute any future
amen~ents to the Agreement that do not materially affect

This Aqreement is made at Palo Alto, California, on the

WHEREAS, Varian desires an increase in the electrical po*er
provided to its business located at 3100 Ha~sen Way, Palo Alto,
California; and
WHEREAS, Cityts Electrical EngiI".eer-ir-.g Mana.ger has determined
that varian requires additicnal t~ansfon:ne= capacity and that
Varian 1 s requirament is ot sUfficient rnagnit'.lde that it -,.ould
impair the ability of the pr-ese!1t syste!!'. to se:::-,re the normal load
and that the req..lirernents are of r.:.ncertain fe~ane!"',cy; and
WEEREAS, City has no assurance at the present time

3. SCHEDULE OF We,RE.

4.. EXCLUSIVE USE.

6. NONA§SIGNAEILITY.

7. NQNDISCRI~INAT~ON~
City shall insure t~at no discrimination shall be made in the
employment of persons to pe.rfo~ -.. 'c'rk pursuar.t to this Agreement
because of race, coler. national origin, ancestry, age, veteran
st.atus or religi:=-n of such persons. In canr.ection '.;ith the Project
City shall req'.lire its contractor and a:1Y subccntracto=, to meet all
re~irements of the Palo Alto Municipal Code pertaining to
nondiscrimination in employment and to complete and submit
"Compliance Report-NondiscrilI'.inati.::m Provisions of City of Palo
Alto Contracts" on 3 farm furnished. by City.
8. TERMINATION.
Varian shall have the right to ter~in~~e its obligations to
make paYIDents to City up.der this Agreement C"n thirty (30) days
written notice to Cityt provided, ho'Wever, that Varian shall
r-elllain fully obligated to pay City for all reasonable e:>roenses
incurred, committed or enc:.1:'!'!be!'ed by city to t~e date of such
notice and for a~l reasonacle expenses incurred, committed or
encumbered by City as a result of s~~h te~inat:cn. Such expenses
shall include. but not be limited to, restoration cf the Hansen Way
Substation site and any related adjacent: City property to its fully
operational condition as deter:ni!"lEj b'lt City.
9. INTEGR~TION: AMENDMENT~
This document represents the e~tire and ir.tegrated Agreement
between city and ~tarian and supe:rsedes all prioe negotiations,
