This report summarizes the bids for the furnishing and deLi.varing
of uniforJl.i.3 and laundry services for all city departmen'ts and
requests that council award a three-year contract to the single
bidder, Aratex Services, Inc., for approximately $85,000 per year~
Twelve years ago, the City consolidated its uniform rental and
cleaning services from. independent purchase of uniforms and laundry
services by various departments to a single contract 'With one
vendor. It was estimated that the consolidation of independent
unifo~ and laundry services saved the City about $36,000 in the
peri~ of a thcee-year contract~
Discu,aion
Aratex Services, Inc. has satisfa..:::torily providp..d services for over
200 City employees for approximately 29 City divisions through the
Memorandum of Agreement with Local 715, SEIU, for the past twelve
years. Non-uniform rentals and cleaning for items such as floor
mats, shop towels and seat covers are also i.ncluded in the bid
pricing~ Funds are currently budgeted in each depa.r-tment to cover
the cost of this contract.

these services by reason of its qualifications and experience for
perforndng such services, and CONTRAc-I'OR has offered to provide t.he
required services on the tel."mS and in the manner set forth hel-ein;
NOW, THEREFORE, in consideration of their mutual
covenante~ the parties hereto agree as tol1ows:
SECTION :+ • PSP'IPU'l'IONS
1.1 J::ll:X
The term 'CITY' as used in this Agreement ahall mean and
include all the te=itory lyhlg within the municipal boWlduies of
the City of palo Alto, california, as pr.esently existing, plus all
territory which Oldy be added thereto during the term of this
Agreement by a~exation or otherwise.
1.2 City MlIr;ager
The term 'City Manager' shall mean the duly appointed
City Manager of the City of Palo Alto, california, or his
designated representative.
1.3 City AttOrney
The term ·City Attorney· shall mean the duly appointed
City Attorney of t.be City Of Palo Alto, California, or his
designated representative.

2.1 !:U:l(
The City Manager &hall be representative Of CITY far all
purposes under this Agreement. KEN HASKINS is designated as the
~ROJBCT MANAGBR for the City Manager, and he shall supervise the
progress and execution of this Agreement.
2.2 Contractor
CONTRACTOR shall assign a single PROJECT DIRECTOR to have
overall responsibility for the progress and exe'"~tion of this
Agreement for CONTRACTOR. DAVID WIlIR horeby is designated as the
PROJECT DTABCTOR for CONTRACTOR. Should circumstances or condi
tions subsequent to the execution of this Agreement require a
substitute PROJECT DIRECTOR for any reason, the PROJE~' DIRECTOR
designee shall be subject to the prior written approval of the
PROJECT MANAGIiR.
SECTION 3 -DaTT R.S OF rnNTAACTPR
3.1 Sgrvicea to be Furnished
CONTIU.CTOR shall provide all specified services as
set torth below:
3.1.1 Furnish and deliver all uniforms in
accordance with the specific3.tioDS set forth in Exhibit ·A·
attached hereto and inco~rated herein by this reference~
3.2 ~ws to be Cbaerved
CONTRACTOR shaH:
3.2.1 Procure all permits and licenses, pay all
charges and fees J and give all notices which may be necessary and
incident to the due and 13.wfltl prosecution of the services to be
performed by CONTRACTOR under this Agreementj
3.2.2 Keep itself fully informed of all existing
and future federal J state I and local laws, ordinances, regulations,
orders, a..nd de.crees which may affect those engaged or employed
under this Agreement, any materials used ill CONTRACTOR's perform
ance under this Agreement, or the performance of the services under
this Agreement;

3.2.3 At all times observe and comply ~ith, and
cause all of its s~ontractore and employees, it any, to observe
~d comply with, all of said laws, ordinances, regulations, orders
and decrees mentioned above; and
3.2.4 Immediately report to the PROJB(.",· MANlIGER
in writing any ~i8crepancy ~r inconsistency it discovers in said
lawlSl~ ordiDaD.ces~ regulations, orde:rs, and decrees mentioned above
in relation to any plans, dra~ingB. specifications, or provisions
of this A9reement~
3.3 QualifiCAtions pf CgDtractor
CONTRACTOR represents that it is qualified to furnish the
services "-escribed unCIer this Agreement. As evidEnce thereof,
CONTRACTOR warrants that one or more members of employees of the
firm are liceosed by the State of california and Chat the servi=es
to be pr~'ided under this Agreement will be performed by them or
under their Bupervision.
SSCTIQN .. -roMpRNSATION'
For the full performance of the services describOO herein
by CONTRACTOR,. C!TY shall pay CONTRACTOR in accordance ,..ith the
attached Pee SChe~ule~ marked Exhibit 'B~ and incorporated herein
by this reference~ payable upon submission by CONTRAc..'TOR of a
B!Onthly itemized billing submitted to individual user departments.
All compensation payable here~~der shall be subject to
the appropriation of funds by CITY's Council for the appllcable
fisc.al year during Which such services are to be or are rendered~
In the event funds are not appropriated for services to be rendered
in any fiscal year during the term of this Agreement I this
Agreement shall be deemed terminated at the end of the fiecal year
for which funds are appropriated. No penalty shall accrue to CITY
in the event this Agreement is terminated pursuant to the provi~
sions of this Section 4, and CITY shall not he liable for any
future payments due or for any damages as a result of the termina~
tion of this Agreement pursuant hereto.
SRCTION 5 -TRRM
This Agreement sh3.11 comnence retroactively 00 October 1,
1992~ and shall continue from year to year until September 30,
1935, unless sooner terminated.
,i!!CTION 6 -TEMPORARY SUSPENSION
The City Manager shall llave the authority to suspend this
Agreement, wholly or in part, for such period as he deems necessary
due to unfavorable conditions or due to ~he failure on th~ part of
the CONTRACTOR to'perfor.m any provision of this Agreement.

S 8CTtON 7 _ -BXTiNS ION nOF TERM
In the event that the services called for -under this
Agreement are not completed within the time specified above, the
City ManAger shall have the option to extend the time for comple
tlon~ This paragraph does not preclude the recovery of danlages for
delay by either party.
sHCTrON 8 ~ TB:R:M1,NATION OR SuSPENSION OP AGRQM1mI
9.1 BJght to Syspend or Terminate
The City Manager may suspend or terminate this ~greem~nt
for any reason by giving thirty {30} days' written notice to
CONTRACTOR. Upon receipt of such notice, CO""l'RACTOR shall
immediately discontinue his performance under this Agreement.

on the Project upon thirty (30) days' written notice to CITY, but
only in the event of substantial failure of performance by CITY or
in the event CITY abandon. or indefinitely postpones the Project.

Upon such suspension or tennination by CITY, CON'l'RACTOR
shal.i be paid for all services actually rendered to CIT'{ to the
date of such Buspension or teDriination; provided, however .. if t.his
Agreement is suspended or tenninated for fault of CO!I'I'RACTOR, CITY
sball be obligated to cocnpeneate CONTRACTOR only for that portion
of CONTRACTOR's services which are of benefit to CITY.
B.3 Reburn of Kstteriala
Upon sucb suspeoeioQ or termination, COm"RACTOR shall
~urn over to the City Manager i1mlediately any and all copies of
studiea, sketches, drawings, computations, and other data, whether
or not completed, prepared by CONTRACTOR or itB Bubcontractor8~ if
any, or given to CONTRACTOR or its subcon.tract-ors, if any, in
connection with this Agreement. SUch materialS shall become the
permanent property of CITY. COIITRACTOR, however, sball not be
liable for CITY's use of incoa,plete materials or tor CITY'S use of
complete documen~s if used for t)ther than the Project contemplated
by this Agreement.
SECTION 9 -INDEP!!NDB~
Failure of CITY to agree ~ith CONTRACTOR's independent
findings, conclusions .. or recommendations, it the same are called
for under this Agreement, on the basis of differences in matters ot
judgtr.ent shall not be construed a. fallure on the part of CON'l'RAC
TOR to meet the requirements of this Agreement.

SB(7ION 10 -ASSIGNMRNT~SUBQQNTRACTQRS: EMPLOYEES
10.1 Asalgpwmt
Both parties shall give their person~l attention to the
faithful performance of this Agreement and shall not assign,
transfer, convey, or otherwise diapoae of this Agreement or any
right, title or 1nt~rest in or to the same or ~~y part thereof
wi~out the prior written consent of the.other party I and then only
subject to SUCh terms and conditions as the other pa.rty may
require. A consent to ODe assigIllT'.ent shall not be deemed to be a
consent to any 8'Ubsequent assignments. Any assignment 'Without such
approval shall be void and, at the option C'f the other party, shall
tdinninate this Agreement and any license or privilege granted
herein. This. Agreement and any interest herein ehall not be
assignable by qper&tion of law without the prior written consent of
the other party.
10.2 BubcontrlctQ~S

or organizatiOD~
10.3 Subcont.ractors; Rmpl,oye..e.s.
CONTRACTOR shall be responsible for employing or engaging
all pereo:tS necessary to perform the Bervices of CONTRACTOR
hereunder. No subcontractor of CONTRACTOR will be recognized by
CITY as such; rather, all subcoutractors are deemed. to be employees
of CONTRACTOR, and it agrees to be responsible for their perform
ance. CO!ITRM:TQR shall give its personal attention to the
fulfillment of the provisions of this Agreement by all of its
employees and subcontractors, if any, and shall keep the work under
its control. If any employee or s~ontractor of CONTRACTOR fails
or refuses to carry out the provisions of this Agreement or appears
to be j,ncampetent or to act tn a disorderly or improper: manner, hs
shall be dischargea immediately fram the work under this Agr~ement
on demand Of the PROJECT ~ER.
SBCIION 11 -NOTICES
All notices hereunder shall be given in writing and
mailed, postage prapaid, by certified mail, addressed as follows:

SBCTION 12 -INTERBST Of CONTRACTOR
:In accepting this Agreement, CONTRACTOR covecantB that it
presently has no interest, and shall not acquire any interest,
direct or indirect, finau~ial or otherwise, which wou!d conflict in
any manner or degree with the ~rformance of the services here
under. CONTRACTOR further covenants that, in the performance of
this Agreement, no subcontractor or person having such an interest
shall be employed. CONTRACTOR certifies that no one ... ho has or
will have any financial interest under this Agreement is an officer
or employee Of CITY_ It is expressly agreed that in the perform
ance of the professional eervices required under this Agreement
CONTRACTOR, and any of its SubcoDsultants or employees, shall at
all times be consi~ere~ independent contractors and not agents or
emp10yeeB of CITY.
S!K'TIQN 13 -INPRMNrrr
CONTRACTOR agrees to indemnify, defend and hold harmless
CITY, its officers, agents and employees from any and all demands.
claims, or liability of any natur~. including death or injury to
any person: property damage or any other loss, caused by or ariSing
out ¢f CONTRACTOR's, its officers' $ agents', sUbcontractors' or
employees' negligent acts, errors, or emissions, or willful
misconduct, or couduct for which tbe law imposes etrict liability
on CONTKAt"TOR in the performance or failure to perform this
Agreement.
SBCTION 14 ~ WORJBRS' COMPRriSATIQN
CCNTRACTOR, by executing this Agreement, certifies that
it is aware of the provisions of the Labor Code of the State of
california which require every employer to be insured against
liability tor workers' compensation or-to undertake self-insurance
in accordance with the pr~FisioDs of that Code, and certifies that
it will comply ~ith such provisions before commencin3 the perform
ance of the work of this Agreement.
CONTRACTOR, at its sole cost and expense, shall obtain
and maintain, in full force and effect throughout the entire term
of this Agreement, the insurance coverage described in Exhibit ·C·,
attached bere~o, insuring not only ~~CTOR and its subcontrac~
tors, if any, but also, with the exception Of workers' compensation
and employer's liability insurance, CITY, its officers, agents and
employees, and each of them, with respect to activities and
services performed by CONTRACTOR for or on behal f of CITY under the
proviSiOns ot this Agreement.
Certificates of such insuranc~, preferably on· the forms
provided by CITY, shall be filed with CITY concurrently with the
execution of this Agreement or, with CITY's approval, within ten
(10) working days thereafter. Said certificates shall be subject
to the approval of the CITY Risk Manager an" shall contain an

endorsement stating that said insuranc~ is primary coverage and
will not bE:: ·cancelled or altered by the insurer except after filing
with the City Clerk thirty (30) days' prior written notice o! such
cancellation or alterAtion, and that the City of palo Alto i8 named
as an additional insured (except in pol icies of professional
11abil tty insurance). CUrren!; certificates of such ir~BlJranCe shall
be kept on file at all tin~s during the term o~ this Agreement with
the City Clerk.
SECTIQN 16 -AUDITS
COflj""TR.AC'I'OR agrees 1:.0 permit CITY to audit, at any
reasonable time during the term of this Agreement and f~r three (3)
years thereaft.er, CONTRAc!oR'S records pertaining to matters
covered by this Agreement. CONTRACTOR further ag~~eB to maintain
such records for at least three (3) years after the te~ of this
Agreement.

"I'he terms, covenants, and conditions of this Agreement
shall apply to, and shall bind, the hei~s, succeSSOrs, executors,
administrators, assigDs, and subcontractors of both parties.
SECT10N ] 8 -WAIVERS
Th~ ¥aiver by either party of any breach or violatioD of
any t.erm, covel1aDt~ or condition Of this Agreement or of any
provision, ordinance, or law shall not be deemed to be a waiver of
any other te~~, covenant, condition, ordinance, or law or of any
subsequent breach or violation of the same or of any other te~,
covenant, condition, ordinance, or law. The subSlequent acceptance
by either party of any fee or other ~ey which ~y become due
hereunder shall not .be deemed to be a waiver of any preceding
breach or violation by the other party of a~y ter.m, covenant, or
condition of this Agreement or of any applicable law or ordinance.
~ON 19 -COSTS AN!? ATI'ORNEYS I FERS
The prevailing party in any action brought to enforce the
terms of tilis Agreement or arising out of this Agreement may
recover it.s reasonable costs and at,torr:.ey tees expended in
connection with such an action from the other party.

No paymentJ part.ial payment, acceptance, or partial
acceptance by CITY shall operate as a waiver on the part of CITY o~
any of its rights under this Agreement.

2.1 • .2 PENALTX FOR pISCRIMINATION
If CONTRACTOR is found in violation at t.he nondiscrimina
tion provisions of the State of California Fair Employment
Practices Act or similar provisions Of federal law or executive
order in the perfor.mance of this Agreement, it shall thereby be
found in material breach of this Agreement. Thereupon, CrTY shall
have the power to cancel or suspend thiS" Agreement, i.n whole or in
part, or to deduct tr:.n the amount payable to CONTRACTOR the ~ of
Twenty-Five Dollars ($~5) for each person for each calendar day
during which such person was discriminated a9ainBt~ as damages for
said ~reach of contract. or both. Only a finding of the State of
california Fair Employment Practices Commission or the equivalent
federal agency or officer shall constitute evidence of a vio1ation
of contract under this section.
If CONTRACTOR is found in violation of the nondis'
crimination prOVisions Of this Agreerr~nt or the applicable
affirmative action guidelines pertaining to this Agreement,
CO~~CTOR aha11 be found in material breach of this Agre~~nt.
Thereupon, CITY shall have the power to cancel or suspend this
Agreement, in whole or in part, or to deduct from the amount
payable to CONTRACTOR the sum of Two Hundred Fifty Dollars ($250)
for each calen~r day during which CONTRACTOR is found to have been
in such noncompliance as damages for s~id breach of contract, or
both.

Measurtment$ of Individuals & Uniform Ouatity
The contractor shan be res.ponsiiJre for individu31 measurements and resu!tant fit of tne uniforms.
The Purchasing Department will coordinate dates end times for measurements. Bidders are
cautiqned that women's sizes will be required and proper fits for all garments will be expected.

Initial Issue, InventQry~~s and Items
The initial issu~ of uniforms .st':ail be all new IIniforms. unwashed and unworn. The initial issue shari
be made 10 al! employees on the effective date of the contract. The contractor shaIT maintain
.sufficient stock. to provide complete uniforms within seven (7) days to employees hired after the
initial Issue has been made. The inventory per person, per week will be approximately the number
stated on the weekly usage chart. The number of changes per employee per week shall be at the
discretion of the depattmer.! and i. subject to change te meet changinG requirements of City
operations. The contractor must maintain a record of uniform size rpan!s warst and length, shirt
size, jacket size) for each employee. The City reserves the right to add, and delete items ar>d
amounts used as required to meet th6 needs of the City.
Prices appearing on the bid price schedule shall be the basis for ali charges for the duration of the
contract. For items added or subtracted. char.es shall be adjusted by multiplying the unit price of
the item by the number of such units tolfrom the tota1 charges. Discounts or price adjustments
are to be reflected in the unit prices of'.J 'totafs quoted and not st~ted separately.
The list of garments and shop supplies to be furnished by the contractor includes, but is not lirnLted
to: shirts, pants, coveralls, shop coats, smocks. wrap coats, jackets, knit slaCKS, blazers 1 walk-off
mats and shop towels. All items bid shall be in accord,mce with item specifications herein. The
