QUARRY/~~BORETUM/WELCH ROAD IMPROVE~ENTS AND RELATED EASEMENT
AGREEMENT
Members of the Council:
REPORT IN BRIEF
The purpose of this report .is to recommend that the Council:
(1) approve the proposed Quarry Road/Welc-.h Road improvements,
(2) approve the Negative Declaration prepared fo~ the project, and
(3) authorize the Mayor to execute two easement agreements ..... ith
Leland Stanford Junior University {Attachments 1 and 2).
BACKGROUND.
The construction of the new Psychiatry Building at the corner of"
Quarry and ~~boretum Ro~ds has triggered a requirement that
Stanford University ..... iden Quarry Road between Arboretum and Welch
Roads. The concHtion was imposed by Sant'l Clara county {elt the
request of the city of Pa.lo Alto). at the time th?t the county
approved the Quarry Roar! Genera 1 Plan Amendment Environmental
Impact Review.
In addition, at its o~n discretion, Stanford has elected to include
improveme~lts to two additional short roadway segments. as part of
the proposed Froject. The first is to continue the ~ideni~g of
Q"l:.arry past Welch, to match an existing four lane cross sectio!1
further to the "West {near the parking lot entrance that used to be
Blake Wilber Drive). The second is to ~iden the Welch approach at
Quarry, to add an exclusiVe left-turn lane. While the widening of
the Welch Road approach to Quarry Road is a mit j gation associated
with th.e approval of the Lucille Packard Children I 50 Hospital, it
has not been officially "triggered". Sta.nford. tlowever I has:
elect ad to constru~t it, as part of the current proposed
improvements to Quarry Road. Staff supports the inclusion of
these two additional imp~overnents.

PROJECT DESCRIPTION
CUrrently, Quarry Road is 4{J feet ... '~de from curb to curb, except
for one area ~here it is 54 feet wide for a distance of 42G feet
{plus a 9.0 fo~t taper) itt'mediately .. t":$t of Arboretum Road. The
roadway 1S striped 'With two through lanes in the wE.stbound
direction and one lane in the eastbc·und d.i_rection, .. rith excll.!sive
right .and left-turn ldnes added on the eastbour,d Quarry Road
apJ.1roach to Arboretum. No bike lanes or median currently exist on
Quarr}' Road ~
Tha proposed p~oject includes the fC"".lllowing:
1 ~ irr.'idening Quarry Road to i 2 feet from cL!rb to curb, from
Arboretum Road westerly to and past Welch Road, to a poir.:t
where there is already an existing four lane cross section
(near the parking lot entrance that used to be Blai".e Wilber
Drive) ~ The ~ide-ned roadway ... ill provide for t ... o through
l~nes in each direction, turn lanes, on-street bike lanes and
a landscaped median. A landscaped planting strip and sidewalk
outside the curb lines ~ill also be provided on Doth side~ of
the roadway.
2. Widening the 'West 3ide of Welch Road by 5 feet, north of
Quarry Road, for a distance of approximatel}" 240 feet (plus a
60 foot taper}. The road~ay is being widened to accommodate
a second left-turn lane{ and to perBit the existing signal to
be changed from a t~o-phase to a more efficient and responsive
six-phase signal.
3. Widening of up to 8 feet on the ~est side of Arboretum Road,
for a distance of 150 feet south of Quarry Road. This .... i 11
provide a better merging distance fc;r southbound traffic
merging f~om tvo lanes into one lane. Work will also include
relocating the lumina ire and associated barricade located in
this area.
4. Ro:::iTluvai of left tUrns in a:ld cut of t" .. '':) of the three drive\ola)"s
to the retail areas along Quarry Road, to reduce traf!:!.c
conflicts. The proposed landscapEd median wi 11 physically
eliminate the possibility of making left turns at the t .... 'o

The proposed project has several benefits over the existing
conditions, including the f~llowing:
1. The provision of on-street ~ike lanes along Quarry Road and
completion of a missing link between Welch R<:,~d and ArboretuTll
Road; thereby improving bicicle safety.
2. The provision of a 16 fe·ot ..,ide landscaped pedian (narrowi~q
to 5 teet next to left-turn lanes) ,,'ill physically separate
traffic moving in opposite directions.. and 'Will be an
aesthe.tic improvement compatible ",'ith the land.scaping that was
implemented as part of the Psychiatry Building project.
3. The elimination of left turns-in and out of t .... ·o of the three
dri veways along the north side cf QuarTY Road (Welch to
Arboretum) 'Will reduce traffic conflicts and improve safety.
4. The additional lanes and signal modifications at the
intersection of Quarry and Welch will iT!".prove the operationa.l
characteristics (level of service) and reduce conge.stion.
5. The provision of a bus dUCK-out ,,,rill re-mO'le buses from the
traffic flow, and provide better condi~ions for transit users.
ARCHITECTURAL R.evl Eiol' BOARD
The Architect~ral Review Board reviewed the ~roposed project at its
meeting on October 15, 1992, and pae.sed a motion adopting the
staff's recommendations, ~hic~ ~ere as follows:
a. A final landscaped plan shall be submitted for review and
approva: by the utilitie~ Energy services Division, the
City Arborist, and Planning staff l p~ior to the issuance
of a building permit. The plan shall include drought
tolerant plants and trees, ~ith a coruplete plant and tree
listing inclicating quant ity and size of plants, tree
planting details~ and a complete irrigation plan~
b. An encroachment peril.it 'Will be required from the Public
Works Department for any structures left in the pt.:blic
right-ot-way.
c. A permit for construction in a public street nust be
obtained for any construction work in the city of Palo
Alto right-of-way.
Included as Attachment 1 is a proposed Road'","ay Easement Agreement,
~hereby Stanford grants and conveys to the City an easeroent, for
street and roadway purposes related to the proposed project, to

.... iden Quarry ROild and a short section of Welch Road. A portion of
the easerne~t is on leased l~nd; therefore, the easem~nt agree~ent
references Stanford's lea&ees. Attachment 2 is an Utiliti es
Easement ~greement ~hereby Stantord conveys to the city an easement
for utility equipment pads and conduits for switch gear cabinets.
PROJE<;:!, COSTS
The estimated cost tor the proFOsed project is approximately $).0
million, including construction and other related project
development costs~ Stanford ~il1 provide the necessary easements,
and pay for all costs for implementation of the ir'!proverncnts and
rel.e.t~d changes. Thereafter, the City of Palo Alto "",ill assume
f<.111 responsibility for maintenance, traffic control, enforcement
and other ~elated functions.
ANOTHER RELATED rTEM
The Palo Alto Cit:t Council recently approved h,o agreements, one
'-lith Santa Clara county and on.;! lIlith Stanford University
(om:401:92j September 10, 1992) regarding this project. One
agreement has the effect of delegating public agency responsibility
for the design and con5truction of the roadway wideni ng project, as
"Well as maintenance ;:and traffic enforC'.ement on the completed
road'Way, from the County to the CitYi 'While the second agre.ement
holds stanford responsible for pursuing the implementation of the
project and paying all related costs.

RECOMMENPATION
Staff recomnends that the Council:

assembly and associated concrete pads (the "Conduit and Pads") for the instaHation of

AGREEMENT

of the E.a.sem""t Property or the reimbursement to Gran.or for such repair undetUken

the Facilities requited in connection with any irnprovemetits of Grantor or any lessee of
Grantor, including 9o'~thout limitation, in connection with iii rurther widening of Quarry
Road ""1uired by the City in connection with any such improvement., shall be the
responsibility of and paid for by Gran.or.
4. Grantor reserves the right to inst.ail and maintain priva[e utility lines,
conduits and other utility equipment 2.!.d facilities and landscaping, roadways,
patlJwaysJ and other similar improvements (excluding t.rees and bJL1dings.) on the
Easement Property, SUbject to compliance with all applicable governmental
requirements, including obtaining necessary pennits and approvals, provided 1&[
Grantor shall not interfere with [he operation of (he Facilities. Except as provided in
the prec.eding sentence no penn anent strucWre shall be erected 0 n the Easement
Property by Grantor or anyone claiming underGranl.or during '.he time the Easemem is
in effect without the cons-ent of Grantee. which C(lnscnl shall J"Iot be unreasonably
withheld or delayed.
5. Grantor shall be e!1titled at all :reasonable times to go upon and tnlO the
Easement Property in order [0 exercise the rights reserved under par.J.graph 4 above or
for a.ny other purpose including, without limitation, to post and keep posted theroon
notices of nonre~ns.ibility for any construction, inspection or maintenance thereon.
6. Grantee shall indemnify, defend and h..Jld Grantor and its trustees,
officers, directors J agents J and employees harmless, from and against any and all
claims, liabilities, losses J costs, damages, penalties and expenses arising out of or
.resulting from or in any way connected with Grantee', u!;e of the Easement, induding
wjtlJout limitation, inj uI)' or death of persons or damage to or loss of property arising
out of llIe exercise by Grantee or any of its agents, contradors or employees of any of

7. TIle Easement bereby granted shall cease and terminate upon nonuse of
the Easement or any portion therec;f for the purposes set fort.i herein for a periC<f of
two (2) consecutive yean. Upon the happening of ""y of such event, all right, title and
interest of Granfee in and to tbe Easement, or in the event of tennination of a portion
of the Easement for nonuse, said portiQn~ shall tenninate and :-evert to Grantor~
provicoo that Grantor shall give Grantee written notice that, due to nonuse, the
E1sement or portion thereof will termlnate pursuanllo this Paragraph 7 on a date not
less than one hundred twenty (12D) day, after the da'e of the notice. Gran,ee may
dispute the tennination of the Easement or portion thereof by written notice to Grantor
given prior to t."1e tennination date specified in Grantor's notice. If the parties are
unable to resolve such dispute, the issue may be resolved' by a ccurt haying jurisdiction.
8. Upon tennination of this Ease"'.e", or an) portion 'hereof, Grantee shall
(a) if requested in writing by Gra...lJtClT, remove the Facilities (or that portion thereof as
is located upon the portion of the Easement lenninated) and dili&enUy restore the land
as nearly as possible to jtS condition prior ttl construction and installation thereor and
(b) malee, execute, acknowledge. and deliver to Grantor a quilclaim deed conveying (0
Gimtor aU right, title and interest herein conveyed to Grantee as to Ihe EAsement or
portion of the Easement so lenninated.
9. This Easemel'lt Agreement shall bind and inure to the benefit of the
parties hereto and their rc.spective successors and assigns. This Easement Agreement,
lO~ether with the exhibits attached hereto which are inrorpo: .... aled herein by reference,
