Seiec!ion 01 a VendQr On Derember 18, 1992, eight dry deaning and ioundry estabnshments were sent notices inviting sealed bids. Bids were received from Santa Clara EI Carnine Cleaners, incorporated and Menatta Cleaners. The bids were: 1. santa Clara Ei camino Cleaners, Il1COf]Xlrated -$36,850.25 2. Menalta -$59,267,OC. Santa Clara EI Camino Cleaners, Inc<YpOrated has been under contract with the City for the past three years and has successfully fulfilled all aspects of the agreement. Santa Clara EI Camino Cleaners, IncorpO<"ated does business as Economy Cleaners in Palo Mo and EI Camino Cleaners in Santa Clara. SECTION 4 -CQ~ENSATIQN For the full performance of the services described herei-n by CO~7RACTOR. CITY shall pay C0NTRACTDR the unit pric~s shewn in Exhibit liB,· but in no event shall rates and fees be incl."eased in excess of five percent (5l) each year. Compensation is payable u~on sub~ission by CONTRACTOR of its itemized billing in triplicate~ according to the following fee schedule. SECTION 5 -DUTIES OF CTTY CITY shall provide all specified services as set forth below: 5.1 CITY shall provide two nylon laundry bags to each employee receiving cleaning services fram CONTRAC?OR. 5.2 CITY shall provide individualized items as needed for repair or alteration of uniforms. SECTION 6 -TERM The services to be performed hereunder shall commence on January 1, 1993, and shall be completed by December 31, 1993. With the mutual consent of both parties and subject to CITY's Council appropriating funds sufficient to pay for services during any fiscal year, this contract shall be extended by the City Manager for two (2) additional twal ve (12) month terms not to exceed a total of thirty-eix {36) mont.hs from the effective date:' hereof. SECTION 7 -TEMPO~~Y SUSPENSION The City Manager shall have the aut.hori ty to 3'..lspend this Agreement. wholly or in part, for such period as she deems necessary due to unfavorable conditions or due to the failure on the part of CONTRACTOR to perform any provision of this Agreement. COhTR~CTOR shall be paid far all services actua11}'" rende.::ed to CITY to the date of such suspension or termination~ provided, however, if this Agreement is suspended or terminated for fault of CONTRACTOR, CITY shall be obligated to compensate CO~~c:'roR only for that portion of OONTRAr.TORTs services which are of benefit to CITY. 9.3 Return QLMaterials Upon such suspension or termination, CONTRACTOR shall tU1~ over to the City Manager im~ediately any and all uniforms or u"lifcrm pieces whether or not completed, if any, or given to CONTRACTOR or its subcon~ractorsr if any. in connection with this Agreement. SECTION 10 -INSP~Iill! CONTRACTOR shall fUrnish CITY with every reasonable opportunity for CiTY to ascertain that the services of CO~~CTOR are being performed in accordance with the requirements and intentions of this Agf""eement. All work done and all materials furnished. if any. shall be subject to the PROJECT MANAGERls inspection and approval. This Agreement and any interest her.:!in S!lall not be assignable b}' operation of la ....... without: the prior written consent of the other party. 12.2 Contractors It ift agreed that this Agreement is for the personal servicee of CONTRACTOR and carL~at be performed by any other perEon or organization. 12.3 Subcontractors; ~~lQyees CONTRACTOR shall be responsible for employing or er..gaging all persons necessary to pe::form the services of CONTRACTOR hereunder. No subcontractGr of CONTRACTOR will be recognized by crTY as such; rather, all subcontcactorB are deemed to be employees of CONTRACTOR~ and it agrees to be responsible for their perform­ ance. CONTRACTOR shall give its personal attention to the fulfillment of t.he provisions of this Agreement by all of its employees and subcontractors, if any, and shall keep the work under i te control. If any employee cr subcont~actor of CONTRAC'roR fails or refu8es to carry out the prOVisions of this Agreement or appears to be incompetent or to act in a disorderly or improper manner, he shall be discharged immediately from the work under this Agreement on demand of t~e PROJBCT MANAGER. CONTRACTOR further covenants that, in the performance oE this Agreement, nc subcontractcr or person having such an interest shall be employed. CONTRACTOR certifies that no one who has or will have any financial interest under this Agreement is an oEficer or employee of CITY. SECTION 16 -WORKERS' COMPENSATION CONTRACTOR, by executing this Agreement, certifies that it is aware of the provisions of the Labor Code of the State of California which require every employer to be insured against liability for wGrkers' comp~nsation or to undertake self-insurance in accordance with the provisions of tfiat Code, and certifies that it will comply with such provisions before commencing the perfo~~­ ance of the work of this Agreement. llilCTION 17 -AUPIT~ CONTRACTOR agrees to permit CITY to audit, at any reasonable tLme during the term of this Agreement and for three (3) years thereafter, CONTkA~OR's records pertaining to matters covered by th:3 Agreement. CONTRACTOR further agrees to maint~tn such records for at least three (3) years after the term of this Agreement. SECTION 19 -AGRE~N'!' BINDING The terms, covenants, and conditions of this Agre~ment ehall apply to. and shall bind, the heirs, successors; executors, administrators. assigns, and su'bcontracta:.:-s of both parties. SECTION 19 .-WAIVERS The waiver by either party of anr breacb or violation of any term. covenant. or condition of this .~greement or of any provision, ordinance, or law shall not be deemed to be a waiver of any ether tSrffi, covenant, condition, ordinance, or law or of any subsequent breach or violation of the earns or of any ocher term, CCivanant, condition, ordinance. or law. SECTION 21 -!'JQ IMPLIlID WAIVER NO payment, partial payment, acceptance~ or partial acceptance by CITY shall operate as a waiver on the part of CITY of any of ita rights u~der this AgreE!m~nt. SECTION 22 -NONDISC~IMINATION; PENA4TY 22.1 DUTY OF CONTRAcrOl\ No discrimination shall be made in the employment of persons under this Agreement because of the race, color, national origin, ancest.ry, religion or sex of such person. If the vaL . .le of this Agreement is, or may be, FJ.ve Thol1sand Dollars ($5,000) or more, CONTRACTOR agrees to met all requirements of the Palo Alto Municipal Code pertaining to nondiscrimination in empl':>yment, including completing the ~Compliance Report--NondiscriMination Provisions of City of Palo ~to ContractsR on the form furnished by CITY and attached hereto as BDu~ibit ~c~ and made a part hereof by this reference. 2;;.:2 PENAL1.'Y FOR DISCRIMINATION If CONTRACTOR is found in violation of the nondiscrimina­ tion provisions of the State of california Fair Employment Pra~tices Act or similar provisions of federal law or executive order in the performance of this Agreement. it shall thereby be found in material breach of t~i8 Agree~nt. Thereupon, CITY shall have the power to cancel or suspend this Agreement, in whole or in part, or to deduct from the amount payable to CONrRAC''!'OR the sum of Twenty·Pive Dollars ($2S} for each person for each calendar day during which such person was discriminated against, as damages for said breach of contract. or both. Only a finding of the State of California Fair Employment Practices C:>rnmission or the e~~ivalent federal agency or officer shall constitute evidence of a violation of contract under this section. If CONTRACTOR is found in violation of the nondis­ crimination provisions of this Agreement or the applicable affirmative action guidelines pertaining to this Agreement, CO~"TRACTOR shall be found in r:'aterial breach of this Agreement. Contractor shall keep accurate records of all cleening transactions and sha~ do ell within his/her power to assure that unfforms are returned to the proper employee. ' G. Contractor shal! prepare a receipt, in triplicato, for each cleaning transaction. Tne employee's name, date and service performed shall appear on each receipt. The receipt must indicate whether the employee works for the poflce department or animal services. One copy of the receipt shall be given to the employee.
