This report and the attached October 23, 19~2 1etter from the PiTa Alto Medical
FoundatiD:,! discuss compliance wit,l-, tne periodic rew;e-w prOViS10ri [Section 9{a)J
of the Development Agre2ment between the City of Pa10 Alto and the Medical
Foundation. According to Section 9(c)(3) of t~e Development Agr •• ment, lf the
City Co~ncil concludes tnat the Medical Foundat:on has complied in good faith
with the terms and conditions of this Agreement t the review shall be concluded
.ith the issuance nf i certificate of complianc~. Issuance of the certificate
is reconnended.
Discussion
The attached letter of October Z3, 1991 from Robert W. Jamplis, President and
Chief Executive Officer of the Palo Alto Medical Foundatior,~ describes the
activities of i;he Me-d"ical Fcundatiotl relating to tne Deyelopment Agreement during
the past y~ar. These activities foc~sed Of! litigation and a referendum relating
tt' the Deve10pment Agreew:nt, both of "hich wue in (onforrnatioTl with the
Agreement. The Palo Alto Medfcal Foundation has reimbursed the City for its
outside attorney's fees in the ~ litigation, as required by the Agreement.
The Me<fical foundation, pursuant to Section StfJ, reqlJested that the City issue
a Certificate of Compliance at the conclusion of this annual r~view, if the City
finds that the Foundation is in comp1iance with the Agreement.
Staff finds that the Foundation has been in co~pliance with the Agreement and
supports Counc~l making a finding t~~t the Foundation complied in good faith with
the Agreement.

Pursuant to your request of October 8,1992,1 a.7i providing yOU with ffiis annual
report by the Foundation pursuant to paragrapo. 9. (a) of the Devdopm(;nt Agreement
with the city.
Duri.'1g the re .. iew period, the Foundation was prevented by outside factors fi-om
moving forwan'! with planning and construction activlties to implement the Development
Agr~nt. Those Dutside factors were, of course, the litigation and referendum
challenging the Specific Plan and the Deyelopment Agreemer.t. In conjunction with the
city, the Foundation successfully defended the attack in court on thes-e items arid waged a

For the applicable review pen ed, thes.e litigation and campaign acti':iues
constituted the Foundation's good faith compliance ..... ith the tenns of the Agreemellt. We
