Tbe DUck Pond Projeet involves re~eareh into the availability of
qroun4water and the study of the by4roloqy of the Duek Fonc2 in
order to create an efficient circulatio~ system. The project also
involves the drillinq at a sealed v~ll into Bay mu4 and
installation of a circulation system.
This professional consultant aqreement vill be accomplished in
twelve tasks. cost estimates for eacb task are li.ste4 on the
.ttached cost overview.
The result of this vork vill ~e a significant improvement in the
water quality at the Duck. Pond. AlSO, the quantity of water
curre1ltly being used. will be siqnificantly re12uced. .. nd water
quality standar~s will be maintained.

Identification No. 94-2573:90, a Nevada corporation, with offices
at 1023 Corporation Way. Palo Alto, CA 94303, hereinafter referred
to as "CONSULTANT~;
WHEREAS, CITY desires certain professional services
hereinaf~ar described; and
WHEREAS I CITY desires to engage CONSULTANT to provide
these services by reason of its qualifications and experience for
performing such services. and CONSULTANT has offered t·~ provide the
required services on the terms and in the manner set forth herein;

covenants. the parties hereto agree as follows:
SECTION ~ -PEFINITIQNS
The t9rm ~CityR as used in this Agreement shall mean and
include all the territory lying within the rr.unicipal boundaries of
the City of Palo Alto~ Californl.a r as presently existing. pluS all
territory which may be a.dded thereto d"l.lring the term of this
Agreemer..t by annexation Qr otherwise.
1 . .2 CITY MANAyER
The tenn "Cit.y Manager ll shall mean the duly appointed
City Manager of the City of Palo ~to, California, or his
designated representative.
1_3 CITY ATTORNEY
The term 'City Attorney· shall mean the duly appointed
City Attorney of the City of Palo Alto, California, or his
designated representativ~.
1..4 eI'I:'! CLERK
The term "City Clerk· shall mean the duly appointed City
Clerk of the City of Palo Alto, California, or her designated
representative.

1.5 RISK MANAGER
The term "Risk f1anager· shall mean the duly appointed
Risk Manager of the City of Palo Alto, California, O~ hiB designat
ed representative.
1.6 £RQJECT
The term ~Project· means the improvements described in
Exhibit -All entitled "Scope of Project" attached he:reto and made a
part hereof.
SEctION 2 -PROJECT cooRPINATION
The City Manager shall be representative of CITY for all
purposes under this Agreement. GORDON BAILLIB is designated as the
PROJECT MANAGER for the City Manager, and he shall Bupervise the
progress and execution of this Agreement.
2 • 2 CONSULTANT
CONSULTANT shall assigD. a single PROJBCT DIRECTOR to have
overall responsibility for the progress and execution of this
Agreement for CONSULTANT. NICK HOMAYOUNPAR hereby is deSignated as
the PROJECT 1)IRBCTOA for CONSULTANT. XINGYANG TONG shall be
assigned as PROJEcr COORDINATOR for CONSULTANT and shall represent
CONSULTAN'I' during the: day-to-~y work on the Project. Should
circumstances or conditions subsequent to the execution of this
Agreement require a substitute PROJECT DIRECTOR or PROJBCT
COORDINATOR for any reason the PROJECT DIRECTOR or PROJECT
COORDINATOR designee shall he subj ect to the prior wri tten approval
of the PROJBC'!' IrnGlNEER.

The scope of the ~roject to be executed by CONSULTANT
llnder t.he phases of the Basic Services dcscrib,ed in Section 4.1 of
this Agree:nent is as described in &xhibit ·A-attached hereto and
made a part hereof.
SEC"tION 4 -PUTIES OF CONSULTANT
4.1 BASIC SERVICBP
Unless c·theilliise indicated, CONSULTANT shall perfonn each
task and accomplish each objective described in the Study Plans
summarized and more particularly described in Exhibit -A,ft -Scope
of project.· CONSULTANT's Basic Services shall :be furnished as
described in Exhibit rA', Sections I AND II.

4.2 GENERAL DUTIES QF CONSULTANT
4.2.1 CONSULTANT represents that it is qua~ified to

fu~ther declares that one or more memb~rs or employees of his firm
and that of its sub::onsultants, if any, are licensed by the State
of California to perform their services and t.hat these seIVices

shall. furni6h to CITY for approval, prior to execution of this
Agl'eement-. a list or all firms or corporations to be employed as

4.2.2 CONSULTANT states that it is aware of t.he
requirements of the Government Code and the Health and Safety Code
of the State of califolnia relating to acc~ss to public buildings
and acconnodations for physically handicapped persons r and relating
to facilities for handicapped persons. CONSULTANT shall comply
with such provisions in carrying out the ter.ms of this Agreement.
4.2.3 CON'SULTA.'fi' shall furnish CITY wi th every
reasonable opportunity for CITY to ~~c~rtain that the services of
CONSULTANT are being performed in accordance with the requirements
and intentions of this Agreement.
SECTION 5 -CUTIES OF CITY
5.1 CITY shall p~ovide full information regarding its
requirem~nts for the Project.
5.2 CITY shall examine documents submitted by CONSULTANT and
shall render decisions pertaining thereto promptly, to avoid.
unreasonable delay in the progress of CONSULTANT's work_
5.3 CITY shall furnish all such information as one in CITY's
files or are at its disposal~ as may be listed in E~~ibit -A·.
5.4 C.ITY may furnish such services listed in Exhibit -A·,
providing sufficient notice is given by.CONS~TANT.
5~S The services, information~ surveys and reports required
by paragraphs 5.1 and 5.3 through 5.4 inclusive shall be furnished
at CITY's expense, and CONSULTANT shall be entltled to rely upon
the accuracy thereof.
5.6 If CITY observes or otherwise becomes aware of any fault
or defect in the Proj ect or nonconformance 'vii th the contract
documents, CITY shall give prompt written notice thereof to
CONSULTANT.
5.7 CITY shall furnish information required by CONSULTANT as
expeditiously as pos~jble.

Payment shall be made by CITY only for services rendered

described in this section.
6.1 QQNSULTANI'S FRRS
In consideration for the full performance of the Basic
Services and reimburscWle expen.ses described in Section 4.1 of this
Agreement~ CrTY agrees to pay CONSULTANT a fee not to exceed
$42~503 for the Study.
The amount of CONSULTANT's compensation shall be
calculated as set forth j.n Ext,ibit ·A·, Section III, Cost Estimate,
attached hereto, on a time and materials basis, up to t~e maximum
a..tlount sec forth in this paragraph 6.1. Consultant' s fees and.
rates charges for 1992 shall rerrain fixed for the duration of this
Scope of Services under this Agreement~
6.1.1. Subcopsul tants. Fees for subconBul tantB, hired
directly by CONSULTANT. shall be approved by CITY in advance of
incurring such fees.
6.1.:a Ca.lculation of Direct Person...l'l~Kwense.
Direct personnel expense of employeea engaged on the Proj ect by
CONSULTANT includes the work of architects, engineers, designers,
job captains, draftspersons, spe:ification writers and typists, in
consultation~ res~arch and design, in producing drawing8 1 specifi
cations and other documents pertaining to the Proj ect I and in
services during construction at the site. Included in the cost of
direct ~ersonnel expense of these employeeS are salaries and
mandatory and customary beneti ts such as statutory employee
benefits. insurance. sick leave, holidays and vacations, pensions
and similar benefits.
6.2 PAYMENT SCHEDULE
6.2~1 For Basic Services. PaYlr.eots for Basic
Services shaJl be made i~ monthly progress pa~ents in propcrtion
to services performed in acco=dance with Exhibit ~A~. Section III.
Final payment shall be made by CITY after CONSULTANT has
submitted all required manuals~ plansr studies and reports and
received approval thereon as well as completed construction of the
necessary wells and pumps.

Prgject. If the Project is suspended for more than three (3)
months or abando~ed in whole or in part, CONSULTANT shall be paid
its compensation for eervices performed prior to recetpt of written
notice frOtt'. CIn of such suspension or aba!1donment, t.ogether .. ith
additional and reimbursable expenses then due. If the Project is
resumed 3.!t.er b~ing suspended for more than th:!_rty (30) days, any
change in CONSULTANT's compensation shall be subject to renegotia
tion and, if necessary, approval by the Palo Alto City Council. If
this Agreement is suspended or terminated for fault of CONSULTANT,
CITY shall be obligated to compensate CONStJLTANT only for that
portion of CONSULTANT's services which are of benefit to CIT¥.
SECTION 7 -PROGRESS AND ~TICN
7.1 TIME IS OF THE ESSENCE
It is understood ar-d agreed that time is of the essence
of this Agreement, and that, following receipt of Notice to
procee'd, CONSULTANT shall commence w:)rk on initial tasks of study
in accordance with the Project schedule, Exhibit ~A·, Section IV.
Work on subsequent tasks shall proceed in accordance wi~h said time
schedule.
7 .2 1:...= OF COMPLETION OF EACH p~
CONSULTANT agrees to perform the phased services within
the time limits set forth in Bxhibit "A·, Section IV, Project
Schedule. provided, however, that any change in the scope of
services or other changes due to CITY's operating requirementB. or
in connection with other contractors or consultant~ operations, may
require a revised time table.
CITY agrees to exer~ise due diligence in performing its
tasks to implement the CONSt~TANT's time table.
7 ~3 CITY'S PEVIEW AND APPROVAL
Between each phase of work. there is a review and approval
period by CITY. Tne CITY will exercise due diligence to complete
these tasks j however. it is recognized that the interrelated
exchange af information among CITY's various departments makes it
impossible to set a specific time schedule. Normally, the CITYls
estimated period of revie:w and approvai. ...-ill be furnished to
CQNSULT~~ at the time of submission of each phase of work.
7.4 EXTENSION OF TIME OF COMPLETION
In the event the services called for under this Agreemenc
are not completed by CONSULTANT wi thin the time specified, CITY
shall have the option to extend the time of completion. This para
graph does not preclude the recovery of damages for delay of either

changes shall be determined in accordance with Section 6 of' the
Agrecment. but i.e no event shall CITY be liable for paymeut unless
the amount of such extra compensation shall firs~ have b~en agreed
to in writing by CIr{.
In the event that ~jor changes are ordered pursuant to
this section, the schedule for progr~ss and completion in S~ction
7 of this Agreement and compensation shall be adjusted by negoti~·
tionbetween CONSUT~TANT and CITY, subject to approval. if necessary
by the Palo Alto City CouDcil.
SECTION 9 -TERMINATION OR SUSPENSION OF AGREEMENT
5.1 ~~CELLATIQN BY CON$~
CONSL~TANT may terminate this Agreement cr suspend work
on the Froject l,lpon thirty (300) days' written notice to CITY. but
only in the event of substantial failure of performance by CITY or
in the event CITY ~~ons or indefinitely postpones the project.
S • :2 CANCELLATION BY CITY
Without limitation to such rights or remedies as CITY
shall otherwise have by law. CITY shall have the right to terminate
this Agreement or suspend work on the project for any reason, upon
fifteen (~S) days' written notice to CONSULTANT, or immediately
after submission to CITY by CONSUL·TANT of any completed item of
service speCified in Section 4 of this Agreement. CONSULTANT
agrees to cease all work under this Agreement upon receipt of said
written notice.
9.30 CQMpJ;NSATION OF CONSVLTANT IN __ 1,~
EVSNT OF TER.'1INATIQN Of' THIS AGREEMENT
In the ever.t of termination of this ';'greem-2Dt or
suspension of work en the i'roj ect by ei ther CITY or CONSULTANT,
CONSULTANT shall receive compensation as follows:
g~3~1 For appr~ved items of service under Section 4
of this Agreement, compensation shall be in the amount outlined
under SectioD 6 of this Agree."ent for the items of service fully
performed by CONSULTANT.
9.30.2 For items of service on which a notice to
proceed has been issued by CITY, but whi ch have not been fully
completed &ld approved r CONSULTANT shall be compensated for said
service in an amount which bears the same ratio to the total fee
otherwise payable for the performance of said service as the

service actually r~ndered bears to the total service necessa,ry for
the full perfor.mance of said item of service.
9.3.3 In no event shall the total compensation paid
in the immediately preceding paragraphs exceed the payment
specified in Section 6 for the respectivE ite~B of service to be
furnished vy CONSULTANT.
9.3 ~4 NC'twithstanding anything in the preceding para-
graphs, upon te~~nation for fault of CONSL~TANT, CITY shall be
obligated to pay for only that portion of the se:rvice which can be
incorporated in the Project.
5.4 DllTIES ()F CITY AND~SULTANT
Upon termination of this Agreement or suspension of work
on the Project by either CITY or CONSULT~~. all duties of CITY and
CONSULT~~. as set forth in Sec~ion8 4 and 5 hereinabove, ehall
terndnate.
SECTION 10 -CQNst~AN'T' S ACCOUNTING 1~ECORDS
Records of the following expenses pertaining to the
Project shall be kept by CONSULTANT on a generally recognized
a.ccounting basis and shall be available to CITY at mutually
convenient times:

10.2 EXpenses pertaining to Additional Services. (See Section

SECTION 11. OWNERSHIP OF DOCUMENTS
11.1 Subject to the provision!'i of Paragraph 11.2 below, the
origir-3.l drawings r maps, plans r designs, reco~ds of survey, work
data~ speCifications, and other documents prepared by CONSULTANT in
the perfonnanc~ of this Agreement I althousrh instruments of
professional service, are and shall be the property of CITY whether
troe Project for which they are made is executed or not.
11.2 Upon termination under Section 9 of thia Agreement and
upon CITY's paymant of the amount :Z:'equirea to be paid under same
section~ the originals and all drawings, calculations. specifica
tions and similar docll.'"Tlents become the property of CITY. and
CONSULTANT ehall transfer them to CITY upon request without
additional compensation. CITY shall have the right to utilize any
completed or uncompleted drawings, esti~tes, specifications, and
other documents prepar~d hereunder by CONSULTANT; however, CITY
shall indemnify CONSULTANT against any loss which fl1aY be caused to
CONSULTANT by such use and reuse.

SQCT!ON 12 -INTERSST OF CONfmLTANl'; CONSULTANT nID~
DSNT OF CITY
In accepting this Agreement, CONSULTA...'n' covenants that it
presently has no interest, and shall not acquire any interest,
direct or indirect~ financial or otherwise, which would conflict in
any nanne:r or degree with the performance of the services here
under. CONSULT~VT fu~ther covenants that. in the perfo~nce of
this Ag-reerner.t. no subcontractor 0:( person having such an interest
shall be employed. CONSULTANT certifies that no one who has or
~il1 have any financial interest under this Agreement is an officer
or employee of crTY~
It is expressly agreed that in the perfo!:mance of the
professional services required under this Agreement CONSULTANT, and
any of its subconsultants or employees. shall at all times be con
sid9:red independer..t contract -,rs and not agent.s or e.:nployees of
CITY.
SECTION 13 -QUTSIDE CQNSULT~AS
CONSULTANT shall be responsible fOl' employing all outside
coc.sultants (subconsultants) necessary to aid CONSULTA..'IT in the
performance of the services listed in Section 4 of this Agreementi
providf'd, however, that all su.:h subconsultants shall receive prior
approval of CITY in writing and shall remain acceptable to CITY
~uring the t~rm of this Agreement.
SEC~IQN i4 -INDEMNITY
CONSULTANT agrees to indemnify, defend and hold harmless
CITY~ its officers, agents and employees fram any and all demands,
claims, or liability of any natl.lre~ including death or injury to
any person~ property damage or any other loss. caused by or ~rising
out of CONSULTANT's, ita officers', agents', subcontractors' or
~~loyees' negligent acts l errors. or omissions, or willful
miscondGct. or conduct for which the law imposes strict liability
on CONSL'"LTANT in the performance or failure to perform thiS'
Agreement.
SECTION 15 -INSURANCE
15.1 LUlJlILITY IN~CE
15.1_1 CONSULTANT, at its sole cost and expense. shall
obtain and maintain, in full force and effect throughout the entir~
term af this Agreement, the insurance coverage described in Exhibit
·B·, attached hereto. insuring not only CONSULTANT and its
subcontractors. if any, but alBo~ with the exception of workers'
compensation and employer'S liability insurance, CITY~ its
officers, agents aod employees, and each of them, with respect to
activities and se::vices performed by CONSULTA.1'JT for or on behalf of
CITY under the provisions of this Agreement~

15.1.2 C~rtificates of such insurance, preferably on
the form .. ":; provided by C!TY. shall be tile,j with CITY concurrently
with the execution of this Agree..rnent cr, with CITY's approval,
within ten (~O) ~orking days thereafter. Saic certificates shall
be subject to t.he approval of the CITY Risk Manager and shall
contain an endorsement stating that said insurance is primary
coverage and will not be cancelled or altered by the insurer except
after filing 'With the City Cle;:-k th.irty (30) days" prior written
notice of such cancel1a~ion or alteration, and that the City of
Palo Alto is n~ned as an additional insured (except in policies of
professional liability i.z:s· ... rance). Current certificates of such
insurance SPAll be kept on file at all times during the term of
this Agreement with the City Clerk.
15. 2 ~nRBCTION OF ANY ERRORS. DMISHQl;~l!m)_~GUITI5S
IN CONTRACT OOGUMENTS
Any errors, omissions. or ambiguities in the contract
documents which are di,scovered before the Project is out for bid
shall be corrected by CONSULTANT witho~t cost to CITY. CONSULTANT
services required to mak.e changes in construction resulting from
errors, omissions. or ambiguities in the contract documents wbich
are discovered after the contract is awa~ded shall be performed by
CONSULTANT without cost to CrTY only insofar as they result in
unnecessary or non-beneficial chang2a in constru~tion. CONSULTANT
services req~ired to rr~e changes in construction resulting from
errors, omissions, or ambiguities to the contract documents which
are discovered after the contract is awarded shall be performed by
CONSULTANT and shall be paid for by CITY only insofar as they add
benefit to the constrJction work.
SECTION 15 -WORKERS' COMPENSJ1,TION
CONS~~TANT, by executing this Agreement, ce~tifies that
it is aware of the provisions of the Labor Code of the State of
Cal ifornia which require! every employer to be insured against
liability for workers' compensation or to undertake self-insurance
in accordance with the provisions of that Code. and certifies that
it will comply with such provisions before commencing the perform
ance of the work of thid Agreement.
SBCTION 17 --.M_REEMEN1' BINDING
The te~~, covenants, and conditions of this Agreement
shall apply to, and shall bind, the heirs, successors, executors,
administrators, assigns, and subcontractors of both pa:n.ies.
SECTIO~L_le -NQNASSIGNABII.ITY
18.1 PERS~NAL .SJlRVICES OF CONSULTANT
Both parties hereto recognize that this Agreement is for
the personal services of CONSULTANT and cannot be transferred,
assigned or subcontracted by CONSULTANT witho~t the prior written
consent of CITY.
