Report in Brief
This report recommends approval of the attached resolution
(Attaohment A) authorizing the City Manager or his designee to
execute a lease with the State Lands Commission for the
construction of impravements at the Palo Alto Harbor, elP 18918.
This report also recommends that Council authorize the City Manager
to sign the attached agreement (Attachment B) with the County of
Santa Clara to enable the City to accept a grant of $50~OOO for the
renovation of the Palo Alto harbor master's cottage.
Discussion
council approved the mitigated negative declaration and site and
design application for the Palo Alto Harbor Improvement project on
March 18, 1991 (CMR:181:91). The project includes construction of
a sailinq station~ public access improvements, marsh restoration I
and renovation of the harbor masterls cottage.
On May 2C~ 1991, an informational staff report on the status of the
Palo Alto Harbor Improvement Project informed Council of plan
revisio~s necessitated by information received from the Bay
con.se.rvation Development Commission (BeDC) (CMR:275: 91).
staff has reSUbmitted the plan revisions to BCDC~s staff,
reflecting changes to the parking lot and picnic area. Staft also
requested an e'Xt~nsion of time to implement t.he bar-bar
improvements.

Before construction can be;in at the Harbor, the City must obtain
approval from several regulatory agencies including the state Lands
Colt1Jnission~ ·rhe Com:ni!=sion advises that use of the lands at Harbor
Point and the sailinq station site is ~ithin their jurisdictional
authority. The Commission also acknowledges that its authority in
this area is questionable and can be challenged by the City through
expensive and time-consuming litigation.
In the spirit of interagency cooperation, staff recommends that th~
City enter into the attached lease ~ith the State Lands Commission~
The Commission has included in the ~greement an acknowledgement
that its rights have not been legally contirmed~ As a result, the
commission will enforce the agreement only on the lands confirmed
to be in state o\r;nership, as determined by a thorough and complex
legal title searcl"l. Such an investigation is not anticipated.

The City Attorney" s office has approved the lease. A similar lease
between the State Lands cOmrlisaion and City waS" previously approved
for the Syxbee Park Project and ITT Marsh Restor::ttion Project~
Therefore, staff recommends that the City Council approve the
attached resolution providing authority to the City Manager to
enter into the lease with the State Lands Commission for the Palo
Alto Harbor improvements.
Harbor Master's Cot~~
In February 1991, the City petitioned the Santa Clara County
Historical Heritage Commission for funds to rehabilitate the harbor
maste~'s cottage. The County of Santa Clara Board of Supervisors
subseql..lently approved a grant amounting to $50~ 000 to en!;;ure
restoration and repair of the cot~age~ As a condition of the
funding, the city is required to install a plaque at the site
identifying the cottage as a 1937 Work Program Administration
project, and to acknowledge the financial c~ntribution of the Santa
Clara county Board of Supervisors and Historical Heritage
Commission. The city ]l.ttorney's office and City .Auditor have
reviewed and approved the attached agreement in accordance with
city procedures.

APPROVING AND AUTHORIZING EXECUTION OF LEASE
AGREEMENT WITH THE STATE 1~~DS COMMISSION REGARD-
ING THE PALO ALTO HARBOR IMPRGVE,"!ENl'S PROJECT
WHEREAS, the state of California t thr~ugh the State Lands
Commission., has e::sserted jurisdiction over certain tid-.:l.l land~
located in the City of Palo Alto {the "Citj'lI), including the City
Harbor Poi.nt area, and has demanded that the City enter into a
lease agreement with the State for $uch property. as a condition to
tha State~s approval of the City!s harbQ~ improvements project: and
WHEREAS .. the City dispules the State's asserted jurisdic
tion, and believes that the lands are the sole property of the
City; and
WHEREAS, because resolution of the respective rights of t,he
State and the City could be costly and time consuming. tr-~e State.
has agreed to modify its general lease agree~ent to acknowledge
that its rights have not been legally confirmed; and to refrain
from enforcing the lease except on) ':l as tc, lands ..... 'hich may be

WHEREAS, in order to proceed .... ith the harbor improvements
project .... ithout undue and costly delay. the City Council des'.res to

NOW, THEREFORE, the council of the City of Palo Alto does
hereby resolve as follows:

is hereby authoriZed to execute said agreement for and on behalf of
the city.
SECTION 2. The City Mar:ager is hereby authorized to
execute any other permits and agree~ents with the State that may
become necessary in connection with the Palo .Alto harbor irnprcve
ments project~

The state alleges that the State, by reason of its sovereignty, is
the owner of :some right, title, or interest within the leased
premises resulting from its legal character as tideland or
submerged 1ands, in whole or in part. Lessee denies the State's
allegations and asserts Lessee's ownership free and clear of any
such state sovereign right, title, or intl!!rest. A final resolution
of the title dispute 'W'ill require time-consuming and costly studies
of the evidence and may also require litigation. In avoidance of
the time, expense, and uncertainties required to confirm the
respective interests of either party, this pl!!rmit is being issued
to Lessee 'Without clearing the title claims of the parties and,
except for the rights granted to L~ssee and the other terms and
conditions of this ~ermit, the issuance by State and the acceptance
by Lessee, of the w~thin permit, is without prejudice to any other
claims, demands, causes of action, contentions, or assl!!rtions by
either party at any time of their ownership of any right, title, or
interest within the leased premise~, or any portion thereof,
whether the dispute is t.he sUbjeetd-of pending litiqation, or
otherwise. Ho~ever, nothing contained herein shall prevent either

party from receiving the benefits of, or enforcing in any lawful
manne~, the other terms and cor.ditions of this permit, and state
shall take no action that will unreasonably interfere with tha uses
of the leased premises by Lessee pursuant to the terlit5 and
ccnditions o£ this permit.
Paragraph :2 {a) (2) I section ", ent! tIed IIIGeneral Provisions" is
hereby amended to provide that the State's resErved right to set a
!'\Onetary rental, if ever exercised, shall apply only to that
portion ot the property ultimately confirmed into State ownership
either by aqreement, or by a final judgement rendered by a court of
competent jurisdiction.
Paragraphs 11 (e), 12, and 5 of Section -4 are hereby amended to
provide that any right of State contair.ed in said paragraphs
authorizing the state to: repossess the leased premises; remove
persons, property~ or improve~ents from leased premises; require
Lessee to remove all improvements from leased premisesi remove
natural resources or grent leases to reI!love natural resources .from
the leased premises; if ever ex~rcised, shall apply only to that
portion of the leased premises ultimately confirmed into state
or.mership either :by agreement, or by it final judgment rendered by
a ~ourt of competent ju~isdiction.
The second sentence of paragraph 13, said paragraph entitled
"Quitclaim", in Section .c, is amended to read! ·should Lessee,
upon request by Lesser, fail or refUse to deliver the release as
aforesaid, a written notice by Lessor reciting the failure or
refusal of the Lessee to execute a~d deliver said release as herein
provided, shall Crom the date of recordation of such notice, be
conclusive evidence against Lessee and all persons claiminq unae~
Lessee of the termination of this lease,-(The wordinq Wand ~ny
claims and rights of Lessee in the Lease Premises· is deleted.)
4, The State acknowledges that the dredged materialsito be taken fro:rJI
Harber Point, approximately 198,000 cubic yardsJin connection with
the land restoration project, were placed at Harbor Point
incidental to dredging activities at the former Falo Alto Yacht
Harbor, and that a maximum of 198,000 yards will be removed from
Harbor point and used as fo~neation cover for landfill operations
at Byxbee Park, a public ~se facility.

~~e state and the City of Palo Alto acknowledge that Byxbee Park is
located in an area of disp~ted land titles, and that a non
prejudicial permit was heretofore entered into betwpen the parties,
confj.rminq in part that such land titles therein remain unresolved,
as stipulated in th3.t certain pe.rmit identified as PRe 7348.9.
The State and the City of Palo Alto agree that upon resolution of
the land title uncertainties within the lands covered in said
permit PRe 7348.9, that the dredged mate~ials to be deposited at
Byxbee Park ~hall become a part of the real property over which
they are deposited, and shall be owned in fee simple by the lawful
owner of the underlying lands at that location.

This Agreement is made and entered inlo between the COO NTY OF SANTA ClARA, a
political sc'bdMsion of the Stale 01 GaInornia (hereinafter referred to as iIle "County"), and
the CITY OF PALO ALTO (hereinafter referred to as the "City"),
V.'HEREAS. the City is the owner 01 the Palo Alto Baylands NaMe Preserve,
approximately 2000 acres, located in Santa Clara Cocnty, California; and
WHEREAS, the Harbor Master's Cottage is located with the Palo Alto Bayland; Nature
Preserve. at 2500 Emb.rcadero Road, and is owned by the City of Palo Mo; and
WHEREAS. ~ is the intenl or the Cocnty to facilitale coordination w'c!h the cities for
planning, acquisition. development and operation of parks, recrealion, and !raJls systems;
and
WHEREAS. the Palo Mo Harbor Master's Cot'.age is a rare version of the Sranish
Colonial rellival ~nage - a one-story Cottage with bled roof and veranda bui~ in 1937 of
adobe made from bay mud -made interesting by ,it construction hislory and metnod; and
WHEREAS. the City of Palo Alto has included the Harbor Masler'S Cott3ge on the City's
Historic Inventory Ust, has developed plans for the renovation or the Cottage, and has
deo1cated $50,000 in the City 01 Palo Alto 1989 Capital Improvement Fund for lhe
rerooll8lioo 01 the Cottage; and
-WHEREAS. the City petitioned the Santa Clara Cour.~1 Historical Heritage Commission
for funds to rehabilitate the Cottage in the arT\0Unl or $50,000 to ensure restoration and
repair of the Cottage; and
WHEREAS. the County Historical Herttage Commission reviewed the merits 01 the Project
and conveyed Its unanimous recommendation thai the Board Df Super'W"isors approve the
expenditure of $50,000 from the Park Charter Fund decfir.ated to historical preservation
projects for the rehabil~ation of the Cottage; and
WHEREAS. the County desire, 10 contribute funds from the County Historical Herttage
Commission 1990-91 budget necessary to preserve and restore the historical Cottage
located within the Palo Alto Baylands Nature Preserve for park and recreational purposes;

that the Project is located in Santa Clara County, that rt win b&nefit an crtizens of Santa
Clara County, and that ij serves park and recreation purpcses.
SECTION II. REHABILITATION OF PALO ALTO HARBOR MASTER'S CQTIAGE
A. Responsibility of City. The City shall have the responsibility fO( the following
matters with respect to the design and oonstructlOC for rehabilrtation purposes af
the Paro .AJto Harbor Master's Cottage, hereinafter referred to as ·ProJect,"
1. Preparation of design, plans and specifications for construction of Project
Prcject plans and other ellscretanary matters deafing with design
,;pecification, etc .• will be rev-ewed for approval by the City.
2. Hiring, contracting to.'" or otherNise retaining the prGfessional services of
architects, trades persons and other professionals as required.
3. Supervision a!1d adm[nistratio.""l of entire Project
4. Securing any and a~ approvals and permits of governmentalagendes whic'1
are requistte for the rehab,itation Project.
5. Obtaining bids in a=rd with the requirements of the City of Palo Mo and
awarding COr'1tracts for construction of the Project.
6. Securing performance acd payment bonds to assure completion of th€
Project and the payment of laborers and suppfiers of materia! as
appropriate.
B. Capital contnbu\ioos by parlies to Project
1. County W"I cootribu1e no more than Fifty TholJsand Dellars ($50,000)
towards the cost of the Project. Funds will be made aVEliiable to the City.

Cottage as a 1937 Work Program Administration CWPA) Project. Adaltionaliy, the
City shan acknowk>dge the fin anciai contribution 01 the santa Clara County Board
oi Supervisors and Historical Heritage Commission by ploviding signage to that
effect on the sne.
SEGTIONIlI. OPERATION AND MAJNTENANCIE

01 the pub~c as an asset to the Counity's historical preservation program, Maintenance
and operation 01 the completed Project shan be the responsib~ity of the CITY.
SECTION N. DISBURSEMENT OF FUNDS
COUNTY shan oontribute a sum of money not to exceed Fifty Tho<.sand Donars ($50.000)
to be used for any of the design and/or rehabilitatioo costs of the Project as described

aside by the COUNTY out of Capital Improvement Funds in the 1990-91 ~<iI year. CITY

CiTY sha.1 defend, indemnity and hold harmless COUNTY, ~s Officers, employees, and
agents lrom any loss, injury, or damage arising out of or in connection with tne acts or
omissions related to the performance 01 this Agreement by the CITY or their assigns.
SECTION \11. INSURANCE
CITY shall name COU NTY as adCrtional insured on any insurance po"cies required by the
CITY for this Project CITY shall plOvide, or hiwe the contractor provide, such certificate
or co'Jerage and/or copy or pency to the County Director of Parl<s and Recreation to
shew that the COUNTY has t~9 same lever of coverage, during the same period 01 time
as Hla! required by the CITY.
SECTION VII. TERM OF AGREEMENT

cottage is r:u::-rently c·ccupied on a part tim~ basis by
city of Palo Alto pa~k rangers vho use it as an office
~hen perfcr~ing tneir duties overseeing the 2 f OOO-acre
Baylands o~en spac~ preserv€.. The cottage is located
near the duck pond en the ncrtheyly side of the harbor
access road ar:d also ser .... ·-es as a land'rnark for l1lar.y
visitOl"S to the a.rea. Yearly visitations to the area are

The cost estima~e vas produced by an experienced cost esti~ating

re11able.
The renovated cottage ",oule have. .an interior floc~ area o~ 473 s. f.
and a total building area of 668 s.f. ~ncluding the existing front
porch and new rear porch. This produces a square footage
renovation cost of $222js.t. or $lSS/s.f. respectively base~ on the
interior or total building area· and is considered high .... hen
compared'to the. cost of similar q'..lality ne", construction, estimated
