Report in Brief
This report requests that Council approve and authorize the Mayor
to execute Amendment No. 1 to consultant agreement NQ. C-OG13S97
with Kennedy/Jenks/Cnilton Consultants. in the amount of $50,000 in
eactt of the next. two years of the tern to perform additional
services to meet new regulatory requirements. Funds for the second
year of the agreement are available in the FY 1991-92 operating
budget for the Palo Alto Regiona 1 '(tor,'3ter Quality control Plant
(RWQCPl •
Backgrou.nd
In order to reduce metals being discharged ~o San Francisco Bay,
tbe RWQCP has initiated a number of progrems to reduce these
pollutants at their sourCES bEfore they enter the City sewers. On
September 10, 1990, Council approved an agreecent 'With
Kennedy/Jenks/Chilton Consultants in the a1l1ount of $125,000 to
conduct waste minimization study reviews for larqe industries. and
public participation activities for small businesses facing new
pollution control requirements. Ttle agree:rnent was for a one-}tear
period with the possibility of continuing the contract for two
additional years. The first yea!' of the agreemti!r:t has been
successfully completed, and it is now apparen~ that the second and
third year needs will be greater than the first year.

In each of tne second and third years of the agreement. an
additional $50,000 will be required to :meet the requirements
i1tlposed by the Regional water Quality Co~t.rol Board~ The new t.a.sks
to be performed by the consultant are:
1. Progress revie .... s of pollutant reductions at industrial
facilities investigated during the first year to ~nsure that
sch~dules were met.

hereinafter referred to as "CITY," and KEh"NEDl'/JENKSICHILTml
CONSULTING ENGINEERING, INC. (Taxpayer Identification Number 9~-
214700,) ~ a California corporation, with offices at 3CJ Second
Street, Sa:'l. Francisco, CA 94107, hareinafter referred to as
1'1 CONSULTANT" ;

WHEREAS, Contract No. CD013897 was previously entered
into between CITY and COllSULTA.~T for the provision of professional
engineering consultant services related to CI1"i '5 llletals source
reduction program for discharges to the sewer system; and
WHEREAS, the parties may agree to amend said agreeme~t
from time to time;
NO~, THEREFORE, in consideration of their :mutual
covenants, the parties hereto agree as follows:
sEC!rOJ:L....l. The first paragraph of Subsection 6.1 of
Contract No. C0013897 is hereby ar;;ended to read as fo110 ..... s:
-In consideration for the full performance of
the Basic Services and rei1l'..bursable expenses
described in Section -4.1 of this Agreeme!1t,
CITI' agrees to pay CONSULTANT a fee not to
exceed One Hundred TWenty-five Thousand
Dollars ($125, 000) for tr.e first year of the
term, One Hundred Seventy-five Thousand
Dollars ($175,~ao~ for the second year of the
term and One Hundred seventy-five Thousand
Dollars {$175~D()O) for the third year of the
term ot this ..Agreement. NotwithstanLir,g the
foregoing', CITyt s obligation to pay
CONSULTANT's fees under this Agreement is
conting(:'r.t on the Cit}' Council's continued
appropriation of sufficient monies to· fund

this Agreement durilig each fiscal year of the
term. "
SECTION ~a Subsection 7.1 of Contract No. C0013S97 is
hereby a~endad to read as follo~s:
!:liThe term of tl'ds }.g::-eement is twenty
four (24) months. Ho~ever, CITY reserves the
right to cancel or modifY the Agreement
according to any changes or deletions in
r€gulatory agency reguire~ents for
CONSULTANT I 5 services. CITY IIlay renew this
Agreement with CONSULTANT for one (1)
additional :r~ear follolo,ing the second year of
the Agreement. The r~nm .. al of the Agreement
is subject to whether CONSULTANT's performance
under the Agreement is satisfactory to CITY
and whether the Palo Alto City Council
allocates funding for the Agreement for each
of the subsequent fiscal years of the term.
Prior to the renewal of this Agreement, CITY
and CONSULTA~ shall negotiate a mutually
acceptable escalation factor for fees to be
paid to CONSULT~~ for its services under th~
renewed AgreemenL If no a'3'ree:cJent can be
reached on an acceptable escalation factor,
the Agreement shall not be renewed.w
SECTION 3.. The following exhibits to Contract No.
COOl~897 are hereby amended to read as set forth in the following
exhibits attached to this Amendment and incorporated i!i full by
this reference:

provisions of and exhibits to said agreement shall remain in full
