installation of vehicle exhaus-t removal s:i"stems at fire stations 4
and 5. Funds have been appropriated in elP 18901.

attached summary. St~ff reco~ends that the base bid of $27,747~
submitted by D. B. Construction' Electrical, Inc.~ be determined
by Council to be the lowest responsible bid and that the contract
be awarded accordingly. This bid is 8 percent helcw the engineer's
estimate of $30,000.

1. Approve and authorize the Mayor to execute the attached
contract with D. B. construction' Electrical, Inc. jn
the amount of $27,747 for installation of vehicle exhaust
removal systems at fire stations 4 and 5.

2. Authorize the City Manager or his designee to ~egotiate

For and in consideration of their ~utual covenants. the parties hereto
agree as follows:
1. Contractor shall do all the ~ork and furnish all the materials necessary
to construct and complete in a good. 'Workmanlike and substantial manner,
and to the 5atis~action of the

2. This contract shall consist of the follo~ing documents on file ~ith t~~
City Clerk, all of which are incorporated herein and made a part hereof
by reference thereto:

d. Standard Specifications dated 1972, as amended, or as
superseded by other documents incorporated herein.

9. Certificate of Insurance

i. Labor and Materials Bond
j. Affirmative Action G~idelines and Co~pliance Report
k. Any and all supplemental agreements which a~end or extend
the work ccntemplated and which may be required to complete
the ~otk in a substantial and acceptable manner.
:3. In consideration of such work, CITY shall pay Contractot" the amount
specified in his bid in the manner provided in said Standard
Specifications dated 1972, as amended.
4. Concurrently with the executio:1. of this contract, Contractor ~hall
provide CITY loolith the Contractor's Labor and Material a.nd Faithful
Perfo~ance Bonds and certificates of insurance, including any 'Workers'
compensation insurance required by the la ..... s cf the State of california
or otherwise required in said specifications.
5. This contract shall not be assigned by C~ntractor.

All c13iMs by Contractor regarding extra work, charges, delay or other
disputes ar i5ing 01Jt of the Contract must be sl..lbrnitted to CITY in
vziting within ten (10) working days after the claim arose, describing
in detail the nature and value of the disputeo vork or claim.
Contractor hereby agrees to indemnify, defend and hold t:armless CITY,
its officers, agents, and e.rnployees from. any and all demands,. claims or
liability of any nature, caused by or arising out of ccntractor~s, its
officers', agents', or employees' negligent acts, errors, or omissions,
or 'Willful misconduct, or conduct for whleh the la .... imposes strict
liability on Contractor in the performance or failure to perform this
Agreement.
8. This Agreement represents the entire Agreement bet~een the parties .ith
respect to the purchase and sale of the equip!nent, materials, or
supplies or payment for services .... hich may be t~e subject of this
Contract. All prior agreements, representations, statements, negotia
tions and undertakings whether oral or .... ritten are superseded hereby.
9. No payment, partial payment, acceptance, or partial acceptance by City
shall operate as waiver on the part of City of any of its rights under
this contract.
10. Contractor agrees to permit CITY to audit, at any reasonable time during
the term of this Agreement and for three (J) years thereafter,
Contractor's records pertaining to matters covered by this Agreement.
Contractor further agrees to maintain such records for at least three
(J) years after the teem of this Agreement.
