This report recommends that the council authorize the Mayor to
execute the attached contract with Infjlco Degremont, Inc. in the
amou,nt of $502,110, to f\Jrnis"r .. c.nd install three bar screen systems
at th.:e Palo Alto Regional Wate: Quality control Plant (RWQCP) ~
Funds hav~ been appropriat.ed in elF 39700, Banninutor F,eplaceme-.n~.
and elP 39591, Plant Equipment Replacement.
Background
The first process in the pretreat>11ent facility of the RWQCP is the
removal of solids, debris, rags, and floatables fro~ the raw se~age
stream~ The purpose of this screening process is to effect proper
tr~atments and to protect the equipment downstream of the pretreat
ment process~ The existing screening equipment was installed in
1969 and is no~ beyond repair and neeos replacing. This project
will remove the existing screening equipment and replace it with
three ne~ bar screen systems.
This project first 't{ent. out for co-mpetit.ive bid cr. May 14, 1991.
Bids were received from t""'O vendors. Both bids included several
exceptions to the Ten,s and Co;,ditions of the City's bid-ding
package. These exceptions could not be re$ol ved without price
adjust1l\ents~ On ,June 11, 1991, staff recommended that Ccuncil
reject all bids~ The bidding package ~a5 revised to reinforce that
exceptions to the Terms and Conditicns of the Contract vould not be
accepted.
The project \o"3S issued for rebid on June 18, 1991. Bids were
receive-de troll! two qualified vendors. Both bids !t',et the teChnical
and ex~erience requirements of the project specifications.
However, FMC, ~ith the bid of $483,637, did not comply ~ith the
State of California Business and Professions Code~ ~hich requires
t.hat a contractor be licensed under California la~ at the time of
the bid. Therefore, the City Attorney detennined that FMC's bid

was nonresponsive and must be reject.=,d as l'equired by the
california Busi~ess and Professions Code.
Infilco Deqremont,Inc. (lDI) is the next lowest responsible bidder.
Their total bid price of $502,110 is 7 percent belo~ the engineer's
estim.ate of $540,000 for the three systerns~ Staff recoIlUtlends that
the bid of $502,110, submitted by rDI, be determined by council to
be the lowest responsible bid and that the contract be a ... arded
accordingly.
The contractor's tasks under the project ~ill include the sequen
tial and systematic removal of the three eXisting screening
equipment (barminutorsJ, the furnishing and installation of three
new screening systems (bar screens and compaction equipment) ~
system start-up, performance testing, and training of plant
personnel ..
Recontlllendat~on§:
staff recommends that Council:
1. Approve and authorize the Mayor to execute the. attt;l.ched
contract with Infilco Degremont, Inc., in the amount of
$502,11D r to furnish and install three bar screen systems at
the Palo Alto Regional Water Quality Control plant.
2. Authorize the City Manager or his designee to negotiate and
execute one or more change orders to the contract "With Infilco
Degre~on~ Inc, the value of all of such change orders no~ to
exceed $35 r ODO.

provide CITY ~ith the Contractor's Labor :~J;nd Material and Faithful
Performance Bonds and certificates of insurance. including any ~orkers'
compensation insurance required by the laws of the State of California
or otherwise required in said specifications.
5. This contract shall not be assigned by Contractor.

All claims by contractor regardinq extra work, charges, delay or cth~r
disputes arising out Qf the Contract must be submitted to CITY in
writing within ten (10) ~orkinq days ~fte~ the claim arose, describing
in detail the nature and value of the disputed ~ork or claim.
Contractor hereby agrees to indemnify, defend and h~ld harmless CITY,
its officers, agents, and employees from any and all demands, claims or
liability of ~ny nature, caused by or arising out of Contractor's, its
officers', agents', or employees' negligent acts, errors, or omissions,
or 'Willful misconduct, or conduct for which the 1a ... imposes 5trict
liability on Contractor in the perfo~ance or failure to perform this
Agreement.
8. This Agreement represents the entire Agreement b€t~een the parties with
respect to the purchase and sale of the equipment.. materials, or
supplies or payment for services which may be the subj ect of this
Contract. All prior agreements, representations, state~ents, negotia
tions and undertakings whether oral or written are superseded hereby.
9. No payment, pa~tial payment, acceptance, or partial acceptance by City
shall operate as ~aiver on the part of City of any of its rights under
this contract.
10. Contractor agre~s to permit CITY to audit# at any reasonable time during
the term of this Agreement and for three (3} years thereafter,
Contractor's records pertaining to matters covered by this Agreement.
Contractor further agrees. t.o li\aintain s·...Ich records for at least three
(3) years after the term of this Agreement.
