Members of the Council:
This report on the Downto';;n I II Underqround Proj ect recommends
th~t Council a~prove and authorize the Mayor to e~ecute the
attached construction contract with Underground construction Co.
Inc. in the amount of $1,083,688. This contract is for the
installation of underground structures for the project. Staff
also recommends that Council authorize the City Manager or his
designee to negotiate and execute one or more change orders to
the contract for any additional related but unforeseen york~ The
total value of the change orders shall not exceed $110~OOO. In
addition~ staff requests approval of tt;e UndergroiJnd utility
Construction Agreements between the city of Palo Alto, Pacific
Bell, and Cable Coop. Funds are available in the capital
Improvement Program, Electric Fund~ Downtown III Underground
Project.

At its meeting on April 15, 1991# the Council adopted Ordi~ance
No~ 4028# creatinq Underground Utility District No. 33 tor the
Oowntown III project area. AS indicated in CMR:212:91, this
project invol .... es constructing an underground distribution
system in an area which meets both the City and Pacific Eell
guidelines for undergrovndinq. The new underground system will be
installed in the public right-of-way and constructed in four
phases.

Status Qf Project
To proce6~ with Phase I of the project, a request for bids tor
utility trench and S\Wstructure was made by the City an J~ly 19,
1991. The bid package contained 93 items, comprised of trenching,
surface r~6toration and installation of various size splice
boxes I vaults and conduits, each ~ith an estimated quantity ~o be
quoted at a unit price. Based upor. these estimated quantities,
the bids received on August 6, 1991, from tiv£ qualified
contractors were as follows:

The engineer's estimate for this project ~as $1,250;000.
Based on their performance Qurinq the contract to install the
substrJcture for Crescent Park III (UUO '3D) and their extensive
experience in the substructure installation field, staft
recommends that the bid of $1,08J,688 submitted by Underground
construction Co., Inc. be determined by Council to be the lowest
responsible bid and that the contract be awarded to Underqround
con5truction Co., Inc ..
Based on the low bid, the estimated cost for the city, Pacific
Bell, and Cable coop are $585,192, $270,9~2 and $227~574
respectively ..
Joint Agreement
To lake advant~ge of the economics of joint ~se of tr~nche~~ the
City, Pacific Bell and Cable coop executed an Amended Master
Agreement in 1990 (originally a master agreement betveen city and
Paciti~ Bell exec~ted in 1975 and amended in 198~) for
participation in joint underground construction projects.
This Amended Master Agreement, however, limits the expenditures
to $25,000 per project. Whenever the amount involved in a project
exceeds the $25,000 limit, then a Specific Sypplementary
l\gree::oent is required. The supplementary agreement references the
Amended Master Agreement tor qeneral terms and conditions and
requires, when the work is contracted, the use of the exact unit
prices quoted by the contractor to determine the costs shared
between the ~tilities. Accordingly, the City, who will

administer the contract for this project, will invoice PacIfic
Bell and cable Coop on the basis of prices quoted and the terms
agreed upon in Exhibit "'A-.. Staff recommends approval of the

Staff recommends that the Council:
1. Approve and authorize the Mayor to execute the attached

Underground Conversion Project.

other parties installed in such a t~ench by CITY or COMPANY at the

Each party shall designate cne or mt')re authorized

SECTION 2. Agreement to Proceed
(a) Whenever either COMPANY or CITY detencines that it
.ill be opening a trench vithi~ t~e City of Palo Alto in connection
with its underground utility facilities, it shall send a written
notification to CABLE COOP and the other party as soon as possible
thereafter. Such notification shall include the location of the
proposed trench opening, the approximate time of the opening, and

an offer to perform the installativtl. of a Syste::n. Such offeri.~g

(b) Acceptance or rejection by CABLE COOP or the

trench shall be made in Yriting within fifteen (15) ~orking days

shall agree upon the extent and location of the System to be
installed, the t:i:ning ~ and t~e price to be paid for tl:e installa
tion, including reasonable amounts for engineering .. penIlit and
other fees, and testing as well as the method for determining each

agreed, arld bid items .. till be delineated as nearly as possible O.i

accommodate:.s a clear division of C01".?A.\'Y I s costs, CABLE COOP's
costs and CITY's costs to tbe extent practicable.
(ii) If the ir.5tallation is to be performed by
CITY's force accour:t, CITY shall endeavor tc give CABLE COOP and
CO¥.PAN:l at least four (4) days' advance notice of the propcsed
installation d~te, and C~BLE COOP and COMPANY shall each furnish,
at each's o'Llm expense, the materials to be installed in its portion
of the System. CABLE COOP and COMPANf shall deliver such -materials
to CITY at lea-c;.t two (2) ..... orkinq days prior to the propc·seo
installation. Materials discove:o:-ed by CITY to be defective dur-ing
such time shall be pr~rnptly replaced by CGMPN~Y or CABLE COOP at
COMPANY's or CAELE COOP's expense as the case :may be. Defective
materials daroagpd by CITf d~ring installation shall be replaced at

the expense of CITY 4 other material and labor costs of CA6rJE COOP
or COMFANY ~ including overhead ...... here appropriate, 'Will be calculat
ed according to the then current price list of the CITY applicable
to this Agreement. An example of the 1990 pric~ list is attached
her;:!to as Exhibit "C i '. Such price list shall be subject to revieW'"
by the parties at intervals of not less t.han twelve (l~} months nor
more than eighteen (18) months unless oth~r.ise aqreed.
(iii) If the installation is to be pertonn~d bl~ a
contractor of COMPANY on a cost plus basis and $elected from a list
of COMPANY's approved contractors; CITY and CABLE COOP shall be
consulted a~out the selecticn of such contractor at the time t~e
project is seeped pursuant to Section 2(C) of this Agreement. CITY
and CABLE CooF shall each noti.fy COMPANY \o.-hether each elscts to
proceed on such basis as soon as possible, but in no event later
than the time of approving dra· .. ings and specifications provided in.
Section 2(c} h~reof.

parties participating. Such confirmation s!:all include the cost
estimate for the installation. of the System calculated according to
the methodology aqreed upon.
SECTION 3. Perfo~ance ~f the Parties
(a} Tt'.e Trer,ching Agent shall furrlish or cause to l::e
furnished labor, transportation. tools, implements, appliances; and
c-ther things required, inclUding mat.erials whe!""€ apprcpriate; to
install the System and shall install the system to their share cf
the System and in confonr.ity .... ·ith all applicable federal; state,
county # and municipal la'Ws and ordiJ'1ances a!"ld all applicable
orders, rules, regulations, ccnditicns~ and req'.Jirenents of all
properly constitut.ed authorities.
(b) Except as -.r.ay be otherJise specified on the dra",.-ings
or in the speCifications, each party shall obtain or confi~ tte
existence of all rights-of-way necessary for installation of its
share of the System. All other permits ..... hich may be required fcr
the t.rench opening and installation ot the System shall b'=! obtained
by the Trenching Agent.
(c) The Trenching Ager.t shall perform all excavating,
backfilling, cO'Clpacting. disposi<lg of excessive scil, and restoring
of surfaces associated with the installation of the System unless
the parties agree otherwise.
Cd) The Trenching Agent shall have overall responsibili
ty for the performance and timely co~pletion of said installation
anc shall provide such inspcc.tors at the .... ork site as it deems
necessary to observe the perfonnance of the .... ork. A. .... y CO:1tract
-with employees per.forming said ,,'ork shall be made onljl' through the
Trenchinq Agent' s inspectors on the job, except in case of
etrlerg-ency.

(e) At any time or ti1tes, any party he-reto may mak.e
additions to, alterations of I deviations from or omissions (all
hereinafter referred to as ~changes~) in the System to be installed
under drawings and specifications in acco!"dance .. i th p3ragraph 2 {c)
of this Agreement:-provided, however, that it shall submit a
~ritten request for such changes to the Trenc~ing Agent, a~d the
valuarion thereof shall be added to or deducted from the charges

((} Upon completion of the installation of a System
hereunder by the Trenching Agent, and acceptance by the ether
parties of their respective shares of the System, and w'i thin forty
five (';5) days a.fter receipt of a bill therefor, the amount agreed
to by tt;~ parties for said installation of the system shall be paid
by the debtor party. Said amOl<.nt may be adjusted up ... ·ard or
do~nward for actual expenditures as compared to estimates and bids
as the project representative may ag~ee.
SECTION 4. Title
O"IJrinq and after the installation hereunder of any or all
of the mat:erials for a SJfstem in. a particular tr-2nch, title to all
materials provided for the System: shall remain in tl-.e party for

SECTION 7. warranty
Except as other~ise provided in Section 6 above, upon
completion to the satisfaction of thp. other parties, the Trenching
Agent shall have no further responsibility or obligaticns '( ... it.h

.§.:ECT I ON B. Nondiscrimination
No discrimination shall be made in the em.ployment of
persons to perform the work under this Agreement because of race,
color, naticnal origin, ancestry, or religion of such person. The
Attachment 8 entitled -Exhibit -Nondiscrimination" is hereby mace
a part of this Agreement insofar as it is applicable to chartered
California cities and, as U5ed in Att2ch~ent Br the te~ WCont~ac
tor" shall mean the City of Palo Alto. Paragraph (I) through (6)

SECTION 11. Interest of Party
Each of the parties hereto certifies that none of its
officers or elilplcyees has any interest under this Agreerr,ic1"',t
prohibited by Section 1090 of the California Government Code. It
is expressly ,greed, in the installation of any System hereunder,
that each party shall at all tim~s be considered an independent
con.tractor and not an age!'"lt or e!t\ployee of the other party ..

SECTION 12~ Independent Contractor
Each of the parties declares and agrees that it is
engaged in a business that is independent from tha~ of any other
party. Except as other.ise provided in this ~greement, each shall
perform its obl igations under this .Agreement 3.5 an independent
contractor and not as the agent, employee or servant. of the other
party.
SECTION 13. Co~plete Agreement
This docament represents the entire and integrated
agreement bet~een CABLE COOPt COMPANY and CITY~ This Agree~e~t may
:be amended only by a. ..... ritten instrument signed by all three
parties. This Agreement shall be governed by the la'lo's of the State
of California.

Cost ot trenching in all surfaces shall include all labor

spoil, backfill l compaction, and base preparation for new
surface. The cost for Pacific Bell or Cable Coop shall be:
