Funds have been appropriated j.n the F'i 1991.-92 Wastewater Fund. Discussion Suilt-up roofing bas torn off of various buildings at the RWQCP. This project 'Will repair the damaged areas and prevent further tearing of the roofs, thus deferring full replacement for approxi ~ately ten years. Bids ~ere ~eceived from five contractors as shown on the attached summary. Staff recommends that the bid of $25,236, submitted by State Roofing Systems, be determin~d by Counci~ to be the lo~est responsible bid and that the contract be a.arded accordingly~ This bid is 15 percent below the enqineer's estimate of $30 1 000. Recommendations staff recommends that COUncil: 1~ Approve and authorize the Mayor to execut~ the attached contract with State Roofing systems in the amount of $25~236 to repair the roofs of the various buildings at the Regional Water Quality Control Plant~ 2. Cor.tractor hereby agrees to indemnify, defend and hold harmless CITY, its officers, aqents, and employees from any and all demands, clai~s or liability of any nature, caused by or arising out of Contractor's, its officers', agents', or employees' negligent acts, errors, or omissions, or willful misconduct, or conduct for which the 1a-'" imposes strict liability on Contractor in ths performance or failure to perfoLm this Agreement. This ~qreement rep=esents the entire Agreement between the parties ~ith respect to the purchase and sale of the equipment, materials, or supplies or payment for services which may be the subject of this Contract. All prior agreements, representations, statements, negotia tions and undertakings whether oral or written are superseded hereby~ 9. No payment, partial payment, acceptance, or partial acceptance by City shall operate as ~aiver on ~~e part of City of any Qf its rights under this contract. 10. Contractor agrees to permit CITY to audit, at any reasonable time during the term of this Agreement and for three (3) years thereafter, Contractor's records pertaininq to matters covered ~y this Agreement. Contractor further agrees to maintain such records for at least three (J) years after th~ tErm of this Agreement.
