Rftport in Brief
This report recommends that Council approve an agreement with Emcon
Associates in the amount of $52,100 fOr" consulting services to
prepare an Assurance of Financial Responsibility Report and a
revised Report of waste Discharge for the P~lo ~lto Landfill, liS
required by the recent revisions to Articles 5 and 10 of Chapter 15
of Title 23 of the Califor~ia code of Regulations. Funds for L~ese
services have been budqeted in the Rafuse Fund FY 1991-92 operatinq
budget.
DiscussioD
Work under this agreement consists of the preparation of:
1. An Assurance of Financial Responzibility CAFR) cost estimate
fot' the cleanup of a hy-pothetical release of leachate trom the
Landfill. and.
2. A revised Report cf Waste Discharged {ROWD) which will include
proposals for water quality monitoring and response programs.
The AFR and revised ROWD are necessary to comply with the revised
Article 5 regulations implemented by the State Water Resources
Control Board (SWR~B). These revised requlation~ require landfill
owners and operators to implement qroundwa~er monitoring programs
that will detect a reasonably foreS6eable release from the landfill
~at the earliest opportunity.-They also require landfill owners
and operaters to set aside funds or establish a financial mechanism
as financial assurance for implementin9 cleanup, should such a
release occur. As part of the revised ROWD. the existing landfill
water quality monitoring' programs will be evaluated and either
demonstrated to be in compliance with the Article 5 monitoring
pe.rformance stanGards I or will be revised to satisfy the new

A Requ~st ~or Proposals was issu~d to ten consultant firms, and
seven re8pond~d.. A summary of the cost estimates for the
completion of the sc~pe of services is shown on Table 1. The
proposals were reviewed by Public Works Operations Division staff,
in accordance with the City's selection procedure tor professional
consult.ants. Three firms, bean Associates~ Wahler-Associates ar.d
Harding Lawson Associ~teB, were intervie~ed for evaluating
proposals.. ~=-on Associates was selected baseti on the firm's
experience, ability to meet the criteria established in the
proposal, and the tees rel~tive to the proposed services. Although
£mean Associates did not have the lowest cost proposal, staff
determined through proposal review and presentations that
Emcon Associates had the best ~pproach to and understanding of the
scope of w~rk and regulations.
Should the revised RO"L> indicate that additional groundwater
moni tvring wells are necessary for the implementation 'Of the
approved water qt.:Iality monitoring program, staff will return to
Council for additional authority to facilitate well installatio~.
Funas are available in the Refuse fund budqet for this additional
work, if necessary. The return to Council for this authority will
be contingent upon approval of the revised ROwe by the SWRCB.
Staff wi.!l also return to Council for approval of the required
financial assurances upon c~mpletion of the AFR report.
In FY 1989-90, fUnds were budgeted for investjgations for the
implementation of Enviror~ental Protection Agency (EPA) Subtitle 0
regulations related to solid. waste disposal facilities. These
funds have been reappropriated. each year~ as the EPA has repeated.ly
delayed the pdssage of final requl~tions. In September 1991, the
SWRCB amended the Article 5 requlations and established a June 1992
submittal date. The work under this agree!D.ent represents the first
in a series of projects for maintaining regulatory compliance, as
the State and Federal governments establish regulations for
implementation of the Subtitle D program.
This project was not presented to the Finance committee for review
when funds wer-e initially budqetec!. in FY 1989-90, because the
specific scope of subtitle 0 "Was not known. This project vas
included in the list of F¥ 1990-91 consultant work 5ubmitt~d to the
Finance and Public w~rks Committee in July 1990. The project was
not selected to be returned to the Committee for r~view.

WHEREAS~ CIT"t r:iesires certain professional services
hereinafter described; and
WHEREAS, CTr'i desires to engage CONSULTANT to provide
these services by reason of its qualifications and experience for
pe~for.ming such services, and CONSULTANT has offered to provide the
required services on the terms and in the manner set forth herein;
NOW, THEREFORE, in consideration of their mutual
covenants, the parties hereto agree as follo~s;
~IQN 1 -PEFINITIONS
1.1 ~
The term ·City~ as used in this Agree~ent shall mean and
include all the territory lying ~ithin the municipal boundaries of
the City of Palo Alto, California, as presently existing, plus all
territory which I'ilay be added thereto during the term of this
Agreement by annexation or otherwise.
1.2 CITY MANAGER
The term "City Manager" shall I:!ean the duly appointed
City Manager of the Cit)· of Palo Alto, California, or his
designated representative.

1.5 RISK MANAGER

1. 6 PROJECT
The term "project" means the i:r;pr-ovements described in
Exhibit MA" entitled "Scope of Project" attached hereto and ~ade ~

2.1 CITY
Tne City Manager shall be representative ~f CITY for all
purposes under this Agree~e~t. Chad Centola is designat~~ as the
FRO':ECT MAN.a.GER for the City Manager, and he shall supen'ise the
progress a;Jd execution of Vus Agreement, ar,d shall be aS5isted by
S~an KennedYI PROJECr ENGINEER.
2.2 CO?otSULTAtiT
CONSULTANT shell assign -3. single PROJECT DIR.ECTOR to ha-,;s
overall r-espcnsibility for the progress and execution of this
Agreement for CONSULTANT. Richard D~ Haughey hereby is designated
as the PROJECT DIRECTOR for CONSULTANT~ Tom Vercoutere shall be
assigned as PROJECT COORDINATOR for CONSULTANT and shall represent
CONSULTANT during t.he dal'-tO-C3Y ..... ork. on the project. Should
circumstances or conditions subsequent to the execution of this
Agreement require a substit~te PROJECT CIRECTOR or PROJE~
COORDINATOR for any reason the PROJECT DIRECTOR or PROJECT
COORDINATOR d~signee shall be subject to th~ prior 'written approval
of the PROJE~ ENGINEER.
SECTION 3 _~OPt Of' PHOJECT
The scope of the Prcject to be executec by CONSULTANT
under the phases of the BasiC services described in Section 4.1 of
this Agreement is as described in Exhibit "AM attached hereto and
made a part hereof.
SECTION 1 -QUTIES OF CONSULIANT

Unless otherwise indicated, CONSULTANT shall perform each
task and accomplish each objective described in Exhibit "A," "Scope

4.3.1 CONSULTANT represents that it is qualified to
furnish the services described under this Agreement. CONSULTAN1'
further declares that one or more me~bers or employees of his firm
and that of its 5ubconsultants, if any, are licensed by t~e S~ate

\:Ii11 be performed by them or under their supervision. CONSULTANT
shall furnish to CIT'i for approval, prior to executicn of this
Agreement, a list of all firms or corporations to be employed as
subconsultants.

files or are at its disposal, as listed in Exhibit "Au, Section

SECTION 6 -PAXME~T

triplicate of monthly progress payment requests. each invoice
shall be itemized as to the: type of payment described in this
section.

In consideration for the full perfo~mance of the Basic
Services describea. in Section -4.1 of this Agreement.. ar.d Reimburs
able Expenses set forth in Exhibit 8, nSchedule of Charges", which
is attached hereto and made a pa!."t tlEreof by this reference, CITY
agre-es to pay CONSULTANT a fee not to exceed Forty -r ... 'o Thousand One
Hundred Dollars ($42,100).
The amount of CONSULTJ..NT' 5 cC'mpensat i en shall be
calculated as set forth in Exhibit "B". "Schedule of Charges",
attached hereto, on a ti~e and materials b~sis. up to the maximum
amount set forth in this paragraph 6.1.
6.1.1 Subconsultants. Fees tOt" 5ubconsultants, hired

incurring such fees.

services during construction at the site. Included in the cost of
direct personnel expense of these employees ar€' salaries and
mandatory and customary benefits such a5 ste-tutory employee
benefits, insurance, sick leave, holidays and vacations, pensions
and similar benefit&.

SECTION 7 -PROGRESS AND CQBE.~9N
7.1
It is understood and agreed that time is of the essence
of this Agreement. and that, follo.i ng receipt ~f N;:)tice to
Proceed, CONSUL7ANT shall commence work on initial tasks in
a.cccrdance 'With the time schedule, Exhibit "A", sect ion IV. Work
on subsequent tasks shall proceed in accordance with said time
schedule.
7.2 TIME 9F COMpU:TION~ACH p~_S __ ~
CONSUL'1'ANT agrees to perform the services .... ·itt'.in the time
limits set ~orth in Exhibit ~A" provided, however, that any change
in the scope of services or other changes due to CITY's operating
requiz:'ements, or in connection '.dth other c.")r:tractors or consul
t .... nts operations, may require a re;\'ised til'!'.e table.
CITY agrees ~o exercise due diligence in perferming its
tasks to implement the CONSULTANT's time table.
7.3 CrTY'S REVIEW ~D __ ~PPROVAL
Between each phase of work there is a review and approval
period bj' CITY. The CITY \oIill eXercise due diligence to complete
these tasks; however, it is recognized that the interrelated
exchange of information arnong CITY's v:3ricu:; departments :takes it
impossible to set a specific time schedule. Normally, the CITyr s
esti~ated period of revie'W and approval "\Ilil1 be furnished to
CONSULTANT at the time of submission of each phase of work.
7.4 EXTENSION OF TIME OF COM~LETION
In the event tne services called fer under this Agreement
are not completed by CONSULTANT ""ithir. the time specified, C!1'Y
shall have the option to extend the time of completion. This para
graph does not precluds the recovery of daBages for delay of either
party.
SECTION 8 -CHANGES TN WORK
CITY may order major cha.nges in scope or character of
work, either decreasing or increasing the amount of CONSULTANT's
services4 In the event that such changes are ordered, CONSULT~lT
shall be entitled to full compensation for all ~ork performed prior
to receipt of notice of chan~e. Increased compensation {or major
changes shall be determined in accordance · ... 'ith Section 6 of the
Agreement, but in no eve~t shall CITY be liable for payment unless
the amount of such extra compensation shall first have been agreed
to in writing by CITY.
In the event that major changes are ordered pursuant to

9.2 QJi.CELMTTON BY CITY
Without limitation to such rights c,r r-emedies as CITY

this Agreement or suspend ~ork on the Project for any reason, upon

9.3 COMPENSATION OF CONSULTANl' ___ Ur THE

9.3.1 For approved items of service under Section 4
of this Agreement, compensation shall be iJ1 the amount autl ined

performed by CONSULTANT.

in the immediately preceding paragraphs exceed the payment
specified in Section 6 for the respective items of service to be
furnished by CONSULTANT.

provided, however, that all such subconsulta~t$ shall receive prior

SECTION 14 -INDEMNITY
CONSULTANT agrees to inden;nify~ defend and hold hanr..leS5
CITY, its officers, agents and employees fro~ any and all demands,
claims, or liability of any nature, including death or injury to
any person; property damage or any other loss, caused by or arising
out of CONSULTANT's, its officers', agents'; subcontractors' or
employees' negligent. acts, errors, or onnss~ons, or "'illful
misconduct, or conduct for ~hich the law imposes strict liability
on CONSULTANT in the performance or failure to perfcI"l!l t.t,is
Agreement.
15~1 LIABILITY INSURANCE
15. 1. ~ CONSULTANT; at its sale cost and expense, shall
obtain and maintain, in full force and effect throughout the entire
term of this Agreement, the insurance coverdge described in Exhibit
We", attached hereto, insuring ~ot only CONSULTft~T and it$
subcontractors, if any; but also, .....-ith the exception cf '.,or-xers'
compsnsaticn and employer's liability insurance, CITY; its
officers, agents and employee.s, and each of them, with respect. ta
activities ana services performed by CONSULTANT for or on behalf of
CITY under the provisions of this Agreement.
15.1.2 Certificates of such insurance, preferably on
the forms provided hy CITY, shall be filed )oIith CITY concurrently
\!lith the execution of this Agreement or, with CI'I'i's approval,
within ten (10) working days thereafter. Said certificdtes shall
be subject to the approval of the CITY Risk Manager and shall
conta in an endorsement stating that sa id insurance is primary
coverage and ~111 not be cancelled or altered by the insurer except
after filing with the City Clerk thirty (30) days' prior written
notice of such cancellation or alteration; and that the Cit)' of
Palo Alto is named as an additional insured (except in policies of
professional liability insurance). Current certificates of such
insurance shall be kept on file at all times during the term of
this Agreement ~ith the City ClerK.

have the power to cancel or suspend this Agreement r in whole or in
pa~t, or to deduct from the amoun~ payable to CONSULTANT the sum of
Twenty-Five Dollars ($25) for each person for each calendar d~y
during which such person ~as discriminated against, as damages for
said breach of contract, or both. Only a finding of the State of
California Fair Employment Practices Commission or the equivalent
federal agency or officer shall constitute evid€.nce of a viclation
of contract under this section.
If CONSULTANT is found in violation af the nondis

affirmative action guidelines pertaining to this Agreement,
CONSULTANT shall be found in material breach of this Agreement.

water quality monitOrL1g and response programs) for the Palo Alto Landfill whicb will comply
wit)o. the revised Aniele 5 & 10 regulations.
SECTION I -BASIC SERVICES
