Background The Capital Improvement ?rogram includes funding in FY 1990-91 to retain a consultant to perform a condition assessment of the existing stonn drainage system and develop recommendations for rehabilitation/replacement. In July 1990, the Finance and public Works Committee requested that the recommendation for a consultant be returned to the committ.ee for approval. On April 9, 1991, the Finance and Public Works Committee authorized staff to neqotiate with CH2M Hill California, Inc. CH2M Hill California, Inc~ was selected because of their e~tensive kno~ledge of the City's storm drainage system and maintenance management ~oftware, and the depth and qua~ity of their experience on projects of a similar nature, particularly on large-scale projects (CMR:216:91) • piscussion of Agree~ent The attached agreement with CH2M Hill California, Inc. is for a condition assessment of the city's storm drainage system. The -1- CMR: 269: 91 o consu]tant's scope of work includes evaluating the existing condition of the storm drainage system, updating existing storm drain maps and identifying undoc~ented connections to the system, as follows: • Condition Assessment The consultant will evaluate the condition of the storm drainage system by performinq video inspection of underground pipelines and manual inspection of manholes and catch basins~ The 'Work includes the identification and analysis of all system defects and recommendations for cost-effective methods of rehabilitation or replacement, incl~ding appropriate materials, ~ethods and cost esti~ates. • Storm Drain Map Update The video inspection of the storm drainage system will enable the City to update its storm drain maps. The consultant will compile accurate inventory data for each pipeline, manhole and catch basin in the system, including size, lIlaterial and system contiquration. • Illicit Connection Identification The eonsultant will identify and trace the source of all undocumented connections to the storm drainage systeIll. This task wil1 assist staft by providinq information helpful for the City's compliance with the conditions of the City's NPDES atormvater permit~ The permit requires elimination of illicit eor~ections (such as sanitary se~er 1ines and indus­ trial discharges] to the storm drainage system. EnvirOnmental Assessment As part of the 1990-$15 elP Proqram, staff indicated that future improvements to the stOrl%l drainage system may require further erwiromnenta1 as.sessment prior to implementation ~ An ;assessment of environmental impacts will be made during the design stage of any projects that may :be recommended in the condition assessment report. In addition ... the consultant's activities in connection with the attached agreement are exempt from the Califcrnia Environmental Qoalit~ Act (CEQAJ under Section 15061(b)(l) of the CEQA regulations. Hark Johnson shall be assigned as PROJECT COORDINATOR for CONSULTANT and shall represent CONSULTANT during the day-to-day wcrk on the Project. Dan Akaqi shall be assigned as CONSULTANT's PROJECT ENGINEER, and Earl Van Geerr shall b~ designated AS FI.ELD JU:PRESENTA'l'IVE. Should circu:mstances or conditions subsequent to the. execution of this Agreement require a substitute PROJECT DIRECTOR or PROJECT COORDINATOR for any reason the PROJECT DIRECTOR or PROJECT COORDl.NATOR des.ignee shall be subject to the prior written approval of the PROJECT ENGINEER. SECTION 3 -SCOPE OF PROJECT The scope of the Project to be executed by CONSULTAH'7 is as described in Exhibit -A·. Incur travel and subsistence expenses for staff beyond those normally required under Basic 442.' Pe~form any other services that may be agreed upon by the parties subsequent to the execution ot this Agreement. 4.3 GEtnUL DUTIES OF CONSULTANT '.3.1 OONSULT~ represents that it is qualified to furnish the services described under this Aqreement. CONSULTANT further declares that one or more members or employees of his fir.. and that of its subconsultants, if any, are iicensed by the State of California to perf or. their services and that these services will be perfor.ed by th~ ('!or under their supervision. CONSULTANT shall furnish to crTY for approval, prior to execution of this Agreement, a list of all firms or corporations to be employed as subconsultants. 4.3.2 CONSULTANT shall furnish CITY with every reasonab~e opportunity for CITY to ascertain that the ~ervice5 of CONSULTANT are beinq performed in accordance 'With the requirements and intentions of this Aqreement. SECTION 5 ~ DUTIES OF CITY 5.1 CITY shall provide full information reqarding its requirements for the Project. 5.2 CITY shall examine documents submitted by CONSULTANT and shall render decisions pertaining thereto promptly. to avoid unreasonable. delay in the progress of CONSUL'I'ANT's 'Work. 5.3 CITY shall furnish five (5) complete sets of CITY'. stor. drain system maps, as listed in E~~ibit -A-, Section III. CONSULTANT shall verify existing conditions by investigation durinq the Field Investiqation Phase under Exhibit A, and submit to CITY, as part ot the scope ot services under EXhibit A, any discrepancie.s found between CIT~'s maps and actual field conditions. 5.4 CITY shall furnish all o~~er services listed in Exhib­ it -A-, section III" providing sufficient notice is given by CONSULTANT. 5.S The. services, information, surveys and reports required by paragraphs 5.1 and 5.3 through 5.4 inclusive shall be furnished at CITY's expense. SECTION 6 -PAYMENT Payment to CONSULT~ shall be marie by CITY' only for services rendered and within thirty (30) days of submission in triplicate of monthly progress payment requests. Each invoice shall be itemized as to the type o~ payment described in this section. Payment shall also be continqent upon the city Council's annual authorization ot funds for this Agreement, for each CiTY fiscal year during the term of this Aqreement. 6.1 CONSULTANT1S FEES In consideration for the full perfo~ance of the basic services described in section 4.1 of this Aqreement, CITY agrees to pay CONSULTANT a fee not to exceed Seven Hundred TWenty-one Thousand Two Hundred Forty-four Dollars ($721,244) .. The amount of CONSULTANT I s compensation for the :basic services: shall be calculat­ ed as set forth in Exhibit -8-, -Fee Schedule-, attached hereto and incorporated herein by this reference, on a time and aaterials basis, up to the maximUl1l. amount set forth in this paraqraph 6~ 1. CONSULTANTls Ra~e Schedule is attached to Exhibit -B-and shall be updated on December 25th of each year. 6.1~1 SubcoD§ultants. Fees for subconsultants, hired directly by CONSULT~, sball be approved by CITY in advance of incurring such fees. 6.1. 2 For Additional Services. For CONSULTANT's additional service$, as described in Section , of this Agreement, compensation shall be as prescribed in Exhibit -B"', but not to exceed Ninety Eight Thousand Seven Hundred Fifty-six Dollars ($98,756).. The amount of CONSULTANT's compensation for the. additional services shall be calculated as set forth in Exhibit -a-, on a time and ~terial& basis, up to the maximum amount set forth in this paragraph 6.1.2. CONSULTANTls Rate Schedule is attached to Exhibit -B-and shall be updated on December 25th of each year. 6.1.3 For Extra Work or Changes. In no event shall CONSULTANT be paid tor desiqn work or change order prep~ration which is necessary because of CONSULTANT's errors or reasonable oversights. 6.2 PAYMEtf1' SCHEQULE 6.2.1 For Balia Services. payments for basic services shall be made in proqress payments in proportion to services performed in accordance with Exhibit -8-0 Final payment shall be made by CITY after CONSULTANT has submitted all re~ired video tapes and reports and rec~ived approval thereon from CITY. 6.2.2 For Additional sO!rvices. Payments for additional services of CONSULTANT as defined in Section 4 shall be made as part of the monthly proqress payments for services rendered~ 6.2.3 Payment Opon suspension or Abllndonaent of Pro10ct.. If the Project is BuspendelS by CITY for lIIoOre than three (3} IIOnthS or abandonee! in Whole or in part. CONSULTANT shall be paid its compensation for services performed prior to receipt of written notice from. CITY of such suspension or al:Iandonment, together 'With additional expenses then dUe. If the Project is resumed after being suspended for more than ninety (90) days, any chanqe in CONSULTANT's ~nsation shall be subject to reneqotia­ tion and, it necessary, approval by the Palo Alto City council. If this Agreement is suspended or te.rminated. for fault of COtIlSULTANT .. CITY shall be obI igated to compensate CONSOLTANT only for that portion of CONSULTANT's services which are of benefit to CIT~. SECTION 1 -PROGRESS AND COMPLETION 7. 1 TlME IS OF THE gsSENCE It is understood and aqreed that time is of the essence of this Agreement, and that, following receipt of Notice to Proceed, CONSULTANT shall commence its work on initial tasks under Exhibit A in accordance with the time schedule set forth in Exhibit -A-, Section IV. Work on subsequent tasks shall proceed in accordance with said time scheaule~ 7 ~ '2 Tm OF COMPLETION OF EACH TASK CONSULTANT aqrees to perform the services within the time limits set forth in Exhibit -A-provide.d., however, th.at any ebanqe in the scope: of services or other changes due to CITY's operating requirements may require a revised time table. Increased compensation for major chanqes shall be determined in aoco~ance with Section 6 of the Aqre~ent, but in no event shall CITY be liable for payment unless the a)llount of such extra compensation shall first have been agreed to in writing by CITY. 8~2 In the event that major changes are ordered pursuant to this section, the schedule for progress and completion in Section 7 of this Agreement and compensation shall be adjusted by neqotia­ tion between CONSULTANT and CITY, subject to approval, it necessary by the Palo Alto city council. 91M21 I*-002'13%2 ~N , -TERMINATION QR SUSpeNSION 01 AGREEMENT 9 • 1. CWCELUTXQN BY CONSULTANT CONSULTANT may terminate this Agreement or suspend work on the Project upon thirty (30) days' written notice tQ CITY, but only in the event of substantial failure ot performance by CITY or in the event CITY abandons O~ indefinitely postpones the Project. 9.2 CANCELLATION BX CITX Without 11.lI.itation to such. rights or rem.edies as CITY shall otherwise have by l~v, CITY shall have the right to terminate this Agreement or suspend work on the Project without cause, upon fifteen (15) days' written notice to CONSULTANT, or tm.ediately after submission to CITY by CONSULTANT at any completed item ot service specified in Section 4 of this Aqreement. CONSULTANT agrees to cease all work under this Aqreement upon receipt of said written notice. 9.3 ~SATION OF CONSULTANT IN THE EV£N>r OF TERMINATION OF THIS AGREEMENT In the event of termination of this Agreement or suspension of work on the Project by either CITY or CONSULTANT, CONSULTANT shall receive compensation as follows: 9.3.1 For approved items of service under Section 4 of this Agreement, compensation shall be in the amount outlined under Section 6 of this Agreement for the items of service fully performeci by CONSULTANT. 9. J. 2 For items of service on which a notice to proceed has been issued by CITY r but which have not been fully completed and approved, CONSULTANT shall be compensated for said service in an amount which bears the same ratio to the total tee othenrise p21yab1e for the perfonllance of said service as the service actually rendered bears to the total service necessary for the full performance of said item of se:vice. 9.3.3 In no avent shall the total compensation paid in the immediately preceding paragrapbs exceed the payment specitied in Section 6 for the respective items of service to be furnished by CONSULTANT. 9.3." CITY shall have the right to utilize any completed or uncompleted drawings, estimates, specifications, videos, reports, dOC\:Dlents and any other work product prepa.red hereunder by CONSULTANT. SEC'lIOlf 12 -IHTE;REiST OF CONSULTANT; CONSULTANT INOEPPl­ PlalT Of CITY 12 .. 1 In acceptinq this A9reement~ CONSULTANT covenants that it presently has no interest, and shall not acquire any interest, direct or indirect, financial or otherwise, which would conflict in any manner or deqr •• with the performance of the services hereunder. CONSULTANT tQrther covenants that, in the performance of this Agreeaent. no subcontractor or person having such an interest shall ~ IUlployed. SECTION 15 -INSURANCE 15 • 1 LIABILITY I!!Sl!RANCE CONSULTANT, at its sole cost and expense, shall obtain and maintain, in full force and effect throughout the entire term of this Aqreeaent, the insurance coverage descril:led in Exhibit ·c·, attached hereto and made apart hereof by this reference, insuring not only CONSULTANT and its subcontractors, it any, but also, with the exception at workers' compensation and etIIplorer's liability insurance, CITY. its officers, agents and employees, and each of them, with respect to activities and services perfo:r1lled by CONSULTANT tor or on behalf of CITY under the provisions of this AgreeJIent. CUrrent certificates of such insurance shall be kept on file at all times during the term of this Agreement with tlle City CIerI<. SECTION 16 -WORKERS' COMPENSATION CONSULTANT .. by executinq this Aqreement, certifies tb.at it is aware of the provisions Of the Labor Code of the state ot California which require every employer to be insured against liability for workers' compensation or to undertake self-insurance in accordance with the provisions of that Code,: and certifies that it will comply with such prOVisions before commencing the perform­ ance ot the work of this Agreelllent. SECTIOK 17 -AGREEMENT BINDING The terms., covenants. and conditions of this Agree~ent shall apply to, and shall bind, the heirs, successors, executors., a~inistrators., assiqns~ and subcontractors of both parties. SECTION 21 -NO LftPLIEP WAIVER No payaent, partial payment, acceptance, or partial acceptance by CITY shall opera.te as a waiver on the part of CITY-of any of its riqhts under this Agreement. PHASE 3 -Reporting Task 3.1 Draft Condition Assessment Report The drcift Condition Assessment Report will summarize the data cone~tion activities and provide a prioritized listing of recommended projects and associated costs. AD line segments must be televised complete from manhole to manhole on the same tape in a continuous fUrL Partial televising on one tape and then completing the run on another tape will be unacceptable. 4.
