The Cou"cil unanimously approved. motion 'Endorsing the Draft Joint Powers Agreement with the understanding that the provisions of Section 17 will be li.ited to the implementation of the Congest10n ~anagement Agency's (eMA) annual budget; and ReQuesting revisions consistent with the CIt] Attorney's letter of February S, 1991 to Mr. Michael Evanhoe, Executive Ofrectcr, Santa Clara CDunty Management Agency.- Subsequent to review a~d comment by the cities, the CMA revised th~ draft JPA incorporating comments fro. miny j~risdfctfons. Status of the Budget Ordinance In the February 7, 1991 st,ff report, staff indicated tn,t tne Council .ould be .sked to adopt. budget ordfnance appropriating the City's 1990-91 CMA payoent of $69,662. Most of this amount fs ant!clpated ~o be eligible for p~nt froe t~e C1ty'S gas tax subvention. A budget ordinan(e has not b~e" prepared because the CMA has not detenoined the specffic percentage of the $69,662 that c.n not be .llocated fro. gas ta. funds_ As soon as thfs percentage is dettrmtned, staff will return to the Co~n~il with the apprDpriate budget ordj~Jnce. CONGESTION l!ANAGEMENT AGENCY FOR S~.NTA CLARA COUNTY: AND APPROVING A JOINT POWERS AGREEMENT WHEREAS, the voters of the state of California approved an $~8.5 Billion Dollar transportation funding program through Propositions 111 and 108 at the June 1990 election; and WHEREAS, the voter approval included the ~equirement th~t each urbanized county in California prepare~ update, administer and enforoe a Congestion Manaqement Program; and lrdEREAS, f~r highway and rail projects to be eliqible for state funding" such projects must be included in a congestion ManagE!lDent program; and ~, if a city or county is found not to conform to the Congestion Management Program, its new 9as tax revenues pursuant to proposition 111 shall be withheld; and WHEREAS, an agency must be designated to prepare, update, administer, and enforce the Conqestion Management Program by a ~ajority of the cities rapresenting a majority of the population and the county Soard of supervisors. NOW, THEREFORE, the Council of the City of Palo Alto does hereby RESOLVE as follows: ~CTION 1. FURPOSE The purposes cf this Aq(eement are to pro~ide a means of p(eparing, 8doptirg. revising, amending, administering and enforcing the Congestion Manaqement Program (eMP) for Sa~t~ Cla~a county pursuant to Title 7. Division 1, Chapter 2.6, commencing with 650S8 of the California GovernMent Code, and a countywide transportation plan pursuant to Section 66531 of the California Government Code 4 2. OBJECTIVES The objectives of thLs Agreement are to: ~. Coordinate transportation and related land use planning within Santa Clara County, 1 '0.' I ! B. / o Implem~nt the requir~ments cf AB 471 (1989) and AB 1791 (1990) (~atz) commencing with California C~vernment Code Section 65088 and subsequent state legislation to create. administer and enforce a Congestion Managem~nt program {CMP) and establish a Congestion Hana9~ment Agency {CMA) for Santa Clara County and its member cities. c. Use where applicahle the programs and policies of the County's and cities' General Plans, Golden Triangle Task Force~ Adopted County Transportation plan, and the Santa Clara county Traffic Authority'~ strate9ic plan as el~ments in the Congestion Management program. It is a goal of the CODgestion ~anagement Agency (Agency) to fost~r early communication bet~ee~ Member agencies on projects and issues th~t impact other member cities and the Co~nty, and the designated c~p transportation systemr 3. "Golden TElangle Commuter Network C ~eans the subsidiary agency of the ~lden Triangle Task Force created to administer the Transportation Demand "anagement Programs of the Golden Triangle Task Force and its Rember Agencies. "Golden Tl"iangle Task Force" lI1eans that agency c[e~ted by the county and the cities of ftilpitas, Mountain Viev, ~al0 Alto~ San Jose and Sunnyvale to coordinate the implementation of certain growth management, housin9 and transportation demand manaqement policies and programs. D. "Member Agencies· shall mean the County of Santa Clara, the participating cities of santa clara County and the Santa Clara county 7ransit District which have duly approved and e1ecuted this Agreement. ETFECTIVE DATE This Aqreement shall become eff~ctive upon the approval of the Board of Supervisors and a majority of the cities representing a majority of the population of the citi~5 within the County. CP.EATION OF THE SANTA CLARA COUNTY CONGESTION IlANAG~"ENT AGENCY There is hereby created the Santa Clara County Conges~ion Management Agency to exercise in the manner set forth in this Agreement the po~ers common to each of the Member Agencies. The Ageney shall be a public entity separate from the Me~be[ Agencies. No debt, liability, or obligation of the Agency shall constitute a debt, liability or obligation of any Member Agency and each party's obligation hereunder is expressly limited only to the ~ppropriation and contribution of such funds as may be levied pursuant to this Agreement or as the parties hereto may ag[ee~ 4 .. . Institute a program to analyze impacts of land use decisions made by local jurisdictions on the Designated CMP Roadway System, regional, and inter-regional tcansportation systems, and air C;;:!Jality. D. Establish traffic level of service {LOS) standards. POWERS The Agency shall have the powe~ to prepare, adept, revise .. amend, administer and enforce the provisions of the congestion Management Program and to e~ecute other duties as identified in this Agreement. The Aqency is hereby authorized in its own nam~ to perfO[E all acts necessary for the exercise of said powers including but not limited to the followi~g= A. To make and entet into contracts; 8. To apply for and ~ccept grants, advances, contributions# and &ubventions; C. To employ or contract for the service! of agents .. employees .. consultants and such other persons or ftess as it deems ne~essary: 9 D. To lIlake pl!-ns and conduct studies and to revlew, recoamend or adopt revisions or amendments thereto to the extent alloyed by law; E. To rent, lease, acquire, construct, manage~ maintain, operate and conttol any buildings, yorks Or improvements necessary to perform its functions under this ~g[eement; F. To acquire, hold or dispose of pyoperty necessary to perform its functions under this Agreement; G. To sue and be sued in its own name; S. The Agency shall adopt before June 1 of each year a final budget fo! the succeeding fiscal year setting forth all administrative, operational and capital expenses for the Agency, toqether with the apportionment Qf such expenses by levy against each agency to the extent necessary to fund the adopted budget~ The fisc~l year shall be July 1 to June 30. The Agency Ehall notify and provide ~ c~py of the proposed budget to each Signatory agency thirty (!O} days prior to the adopti~n of the final budget. 11 • : '" The boundaries of the Agency jurisdiction shall be the boundaries of the County of Santa Clara. 10. ORGAlflZATIOM A. Board The Agency shall be governed by a Soard of Directors which shall e~ercise all poyers and authority on behalf of the Aqency. (4) Minutes The Governing ~oard shall cause minutes of all meetings to be kept and shall aftet each me~ting cause a copy of the minutes to be forvazded to each sember of the Board and to each Member Agency. (5) Quorum A majority of the vct~s of the Governing Board shall constitute a quorum for the ttansaction of business ~s set foytb in section 10 D., 15 •• except that less than 4 qvorum ~31 adjourn from time to time. r. Advisory Committees The C~nge6tion Hanagement Agency shall have the following standing advisory committees: o policy Advisory committee Each grouping of cities 1s to have an advisory committee comprised of one city council member from each city in the g~ouping. It is mandatory that each advisory committee meet on a regular basi~ with their cepresentative from the Agency Governing Board. Q Technical Advisory Committee (TACj The rAe is to be composed of the appropriate technical staff members from the County, cities, Transit District and the Traffic Authority. The vote shall be one vote per TAC ~emb~r Agency when a vote is necessary. o Transportation Demand Management Advisory Council There shall be an advisory council on the poliCies governing the Trip Reduction and Transportation Demand ~anagement (TDM) proqrams and related activities. The Council shall be composed of representatives of the private sector and tbe A9~ncy Governing Board. The Aqency Governing Board shall appoint the private sector representatives to the Council. B~ Other Comaittees The Agency Soard .ay establish other committees necessary to accomplish its ~esponsibilities under this Agreement. 11. The powers to be exercised hereunder shall be subject to the restrictions upon the ma~r.er of exercising t .... ose powers as limited by-law. 13. reNDS AND ACCOON?IHG SERVICES PUIsuant to the requirements of section 6505.5 of the Government Code, the Director of the Department of Finance acting as the Treasurer and Auditor-Controller of the County of Santa Clara is designated to be the d~pository and to have custody of all funds from whatever source, and to perform the fol1o~in9 functions: A. The Director of the Department of Finance shall draw warrants to pay demands against the Agency when the de~ands have reen approved by the Governing Board or by a person authorized by the Governing Board to so approve. r. The Agency will be charged for all accounting services provided by the county of santa Clara as part of this Agreement. Annually the Director of Finance vill detecmine the reasonable cost of acco'~ntln9 services provided and notify the Agency. 19 After an audit of these Cha!qe5 by the Agency's independent auditor and the approval of the Agency Governing Boa:d the charges shall be paid to the 14. ANNUAL AUDIT 'Revised from Section 13) A. The functions of auditor shall be performed for the Agency by an independent certified public accounting firm sel~cted by the C~. Governing Board. Tbe Executive Director will ensure that an audit of the accounts and records is performed at least annually as reguired by Section 6505 of the Government Code. Audits will be performed by a contracted firm of Certified Public Accountants. The 2!nimum requirements of this audit shall be those prescribed by the State Controller for special districts under section 26909 of the Government Code and the 4udit shall conform to generally accepted auditing 6tandards. 15.. DISPOSITION OF AGENCY FUNDS UPON TERMrNATION In the event of termination of the Agency, Agency funds, includinq any interest earned on depoSits 20 .. J ./ --. rem~inin9 upon termination of the Agency and aft~r payment of all obligations, shall be returned to each Membe~ Agency in proportion to the contribution of each Meaber AgeD~y during the term of thiS Agreement. All decisions of the Agency Governin9 Board with regard to determination of amounts to be retcrned to Membe~ Aqencies shall be final. 16. PROCEDURE FOR BECORING A "ERBER OF THE SANTA CLARA COUNTY CONGESTION !lhKAGEIIENT AGENCY The County and cities who ratify and sign this Agreement and who pay the annual feers) according to Section 18 of this Aqreement shall become members of the Agency. Failure by the Co~nty or any city in Santa clara county to become ~ signatory to this Agreement shall make that city or County ineligible for representation on the Gove~ning Board of the Agency. Cities inco~porated after the effective date of this Agreement may become members of the Agency and have representation to the Agency Governing ~ard by becoming signatories to this 11.. WITBJ)!lAWA!. Any such withdrawal snall be effective only on July 1 of the fiscal year following the fiscal yea~ within which notice of vithdrawal is given. said withdrawing Member Agency sh~ll be liable fo! all outstanding charges and annual fees due and payable up to and including the final date of membership in the Agency. A Member Agency who withdraws from the Agency shall be deesed ineligible for representation on the Governinq eoa~d of the Agency. c. withd~awal of .embership from the Agency automatically constitutes non-conformance with the requirements of the congestion Management Program. The Agency Gover~ing Board shall notify the State Controller of the withdrawing Member Agency's non-conformance. 18. SPECZAL PROVISIONS ~be Mekber Agency signatories to this Agreement anticipate the need for levying a reasonable ~nnual fee to defray the cost of preparing, maiotaining~ ad.lnlstering and enforcing the Congestion ~anaqement Proq[am. The ~eRbe[ Agencies hereby delegate to the Agency the power to levy o~n the Member Agencies a 22 ~--. reasonable fee to defray the cost of p~eparing, .aintainin9, administering and enforcing the Con9~stion Management Program acd other duties of the Aqency as specified in this Agcee:ent according to the Agency~s adopted annual budqet. It is presumed that such fees vill be paid by the Member Agencies from fuel tax SUbventions to local government pursuant to proposition 111, which passed at the primary election on June S, 1990, and/or any other funds available for the purpose. A Beaber Agency's failure to pay the fee{ s) Ie·oded against it to the Agency within six (6) months after the fee(s) is due shall forfeit the tight to repeeseatation on the Governing Board of the A~ency. A Member Agency's failure to pay after twelve (12) months the feels} levied against it to the Agency shall be deemed to constitute non-conformance with the reqcirements of the Congestion Managem~nt P[ogr~m.
