Agreement tOo Amend Contract No~ c- 0012417 t~ Provide consenJ._to Assignment of certain services Members of the Council: Report in Brief This report requests that Counei 1 approve the attached agreement, a.mending contract No~ C-0012417 with Safety specialists, Inc. This agreement lIrill: (I} provide the City's consent: to assignment of the. household hazardous 'iIlaste (HHW) portion of the cont.ract services to Household Har.Waste~ {2} amend the contract to allow Household HazWaste to perform the HW~ portion of t~e contract services. {3) allow safety SpeCialists, Inc. to continue to perform the City-generated hazardous waste portion of the contract services, and (4} provide the city's consent to assignment Of payment from Safe.ty Specialists, Inc. to Household RazWaste Cor services rendered at the HHW collection event of February 2, 1991. 8ackgrcund In June 1990, Council awarded a contract to Safety Specialists, Inc. for collection and disposal services ~or both city-generated and househ~ld hazardous wastes for fiscal year 1990-91 (CMR:358:0}. Tn November 1990, Council approved a Budget Amend~ent Ordinance and an increase in change order authority for that contract in the amount of $150,000 (CMR:5B5~O). To date, one quarterly and six monthly HHK collection events have been held ~nder t3is contr~ct. Discussion In January 1991, staff was informed that the assets and interests of the BHW division of Safety specialists, Inc. had been purchased by a company called Household H~z-~aste. This purchase included the contractual obligations that safety Specialists has with tbe city of Palo Alto for monthly HHW col !ection events under Contract C-0012417. Both Saf"ety SpeCialists and Household HazWaste have agreed to the assignment of the HHW contract services and have requested that the City approve and consent to this assiqnmen~. The ,servicEs related to City-generated hazard~Js wastes will remain with Safety Specialists, Inc. on the same terms and conditions in the contract. The attached a9~eement, preparad by the City Attorney's office, provides the necessary city consent to the assignment of the HHW services to Household HazWaste. RBCI'fAL8 A. WHEREAS, CITY and SSI entered into Contract Nc. C0012411 dated July 30, 19'90, attached hereto as Exhibit -A-and incorporated herein by this reference (the ·Contract-), under which SS! provides services for both the CITY-generated and the CITY's household hazardous wastes colLection and disposal programs; and 8. WHERE~S, SS! and HHW entered into an Agreement tor PUrchase and Sale of Assets dated October 31, 1990 (the -Asset Sale Agreeta:ent-) under which SSI sold its household hazardous 'Waste business (the -Household Business-) to HHW; and c. WHEREAS, the sale of the Hou:3ehold Business from SS! to BMW included the assignment by 5S1 to HHW of all of 55t IS agreements that related to the Household Business, including that portion of the Contract related to the CITY's household haza~dous waste dispos~l program; and D. WHEREAS, the proviSions of the contract prohibit such an assignment unless said contract is amended with the CITy r s consent as provided herein: and E. WliEREAS, the CIT'i and SSI desire to a:o:end the Contract to allow the assignment to BHW of the household hazardous 'Waste disposal proqram duties under th,e CONtract .. to be effective as of the date of this Agreement; and F. WHEREAS, HHW desires to undArtalte SSI's household hazardous ~aste disposal proqraD duties and obligations under the contract,. subject to all of the Contract I s current tenD6 and conditions; and G. IDf.!ii_.J!mresentations and \If~_.rranties. HHW hereby represents and varcants the following: (a) As of the effective date of this A9reement~ HHW has accepted ~ll of SSl's rights, and has assumed all ~f SSIts obligations and duties under Part II of the contract. (b) MHW has no outstanding legal obli.gations that would impair its ability to perform the services under Part II of the Contract, nor would prohibit or limit HHW from entering into this Aqreement. (c) HHW has a current state of california Depart­ ment of Health services (-DRS-) Certificate of Registration as a hazardous waste hauler and shall ensure that such certificate shall remain current d.uring the remaining term of t~'e contracL Cd) HHW has all other applicable state Certificates of Registration as a hazardous waste hauler that may be needed in order to perform the work under Part II of the Contract. (e) HHW h~s provided the CITY with a list, indicating the names. locations, and Envir~nmental Protection Agency (~EPA·) identification numbers of facilities where each item under Part II of the: contract is to be recycled, destroyed or disposed of. filiW also warrants and represents that each such facility has current appropriate permits. (f) HJiW has provlded the CITY with a list of states or countries through Which any wastes under tbe Contract may be transported and the manifesting requirements or each such state or country .. The CIT¥ and 55I agree that Paragraph 5 of the contract is hereby amended to read as follclris: "5. This contract shall not be assigned by Contrac­ tor t except as provided under that cer~ain f Agreement Between the city of Palo Alto 6 Safety Specialists 6 Inc. and Household HazWaste to A1IIend Cor.tract No. C0012417 and to Provide for the Assignment of Certain Rights, Duties and Ohligations to Household HazWaste ', as approved by the City Council on Februarf 25, 1991~· 4. COMent to Assignment of Part II of Contract. The CITY hereby approves and conse~ts to the asaiqnment by 55! to HHW of SSIls rights, obligations and duties under Part II of the Contract. All of the parties agree that sucli assignment shall become e£fective as of the date of this Agreement. 5. SSI's Duties Under Part I of the contract. SSt aqrees to retain its riqhts 6 Obligations and duties under Part I of the Contract, entitle.d IIcity Generated Wastes·, Items 1-18, and shall continue to pertorm such obligations and duties subject to the existinq terQs and conditions ~t the contract. 6. HHW's [)uti.s Under Part II of the cont;n£.t. HHW agrees to accept all of SSI's riqhts~ and assume 5S!'s duties and obligations under Part II of the Contract6 including the right to payment by the CITY as provided under the contract, and shall perform such obligations and duties subject to all of the existing terms and conditiGns of the Contract~ 7~ SSI's Assignment 9f Rights to Payment for Certain services. SSI hereby assigns to HHW all of SSI's right to payment by the crTY in the amount of Eighteen Thousand Eight Hundred NinetY-Five Dollars ($18,895) 6 for those household hazardous waste disposal services provided. under Part II of tile Contract on February 2, 1991; SSI further relinquishes and waives all rights to said funds and hereby authorizes the CITY to pay HHW directly for the services rendered. SSI warrants that the CITY's payment to HHW authorized under this paraqraph is not prohibited or limited by any outstanding 1eqal obligations of S51, including any bankruptcy or 3 \ '. reorganization proceedinqs that may he pending no .... or future~ • in the 8.. (a) This Agreement shall be governed by California law. (b) The prevailing party in any action brought to enforce the tex-.s of this Aqreement or arising out of this Agreement may recover its reasonable costs and attorneys' fees expended in connection with such an action from the other parties. (0) Except as herein modified, all other previsions of the Contract shall remain in full force and effect.
