Statement of purpose:
This report: on the Middlefield Underground Project
recommends that Council approve and au~borize the Hayor to
execute the attached construction contract vith Lewis and
Tibbitts. Inc. in the amount of $1,536~461.S0. This contract is
for the installation of underground structures for the project.
Authorization is also requested for the city Manager or hIs
designee to negotiate and execute one or more change orders
which ahall not exceed $16·0,.000 for additional work that may
become necessary~ rn addition, staff requests approval of the
Joint underground utility ConstructIon Agreements between the
City of Palo Alto, Pacific Bell. and Cable Co-op. Funds are
available in the 1990-91 capital Improvement Program. Electric
Fund, Middlefield Underground Project.

At its meeting on June 4,. 1990,. the Council adoptea ordinance
No. 3963, creating Underground Utility District No. 32 for
Middlefield. including the area from Palo Alto Aven,ue t.o
Embarcadero Road. As indicated in CMR:288:0,. this project
Involves constructing an underground distribution system in an
area which meets both the city and Paci~ic Bell guidelines for
underqroundiDg~ The new underqround system will be installed in
the public right-ot-way and constructed in four phases:

status of Project
~o proceed with Phase I of the project, a request for bids for
utility trench and substructure was ~ade by the City on Aaqust
10, 1990. The bid package contained 79 items, comprised of
trencbIng. surface restoratiGn and installation of various si~e
splIce boxes, vaults and conduits, each with an estimated
quantity to be quoted at a unit prIce. Based upon these estimated
quantitIes, the bids received on August 28 , 1990, from three
qualified contractors were as follows:

Staff recommends that the bid of $1 .. 536,461.50 submitted by Le~is
• 'Tibbitts,. Inc., be determined by council to be the 1~e5t
responsible bid and that the contract be awarded to Lewis'
Tibbitts. The enqineer's estimate for this project was
$1,.700,,000. Levis, Tibbitts are known as experts in the
business of underqrou..'ldinq and have just completed the
University-Hamilton project for Palo Alto.
Based on the low bid, the estimated cost for the city,
Pacific Bell" and Cable Coop are $783,,595 .. 5-0 .. $645 .. 314.0,0
and $107 .. 552 respectIvely.

Joint Agreement
~o take advantage of the economics of joint use or trenches,
the city and Pacific Bell executed a Kaster Agreement in 1915
(amended in December 1986) for participation in joint underground
construction projectsa This agreement is now being amended to
include Cable Coop as a joint participant In underq~ound
construction projects.
The Amended Master Aqreement It.Its the expenditures to $25,000
per project. In the event a project exceeds the $25,000 limit,
then a specific Supplementary Agreement is required. The
Supplementary Agreement references the Amended Master Agreement
for qeneral terms and conditions and requIres, when the work is
contracted, the use of the exact unit prices quoted by the
contractor to deteraine the costs shared bet~een the utilities.
Aooordinqly. the city. who will administer the contract for this
project~ will invoice Pacific Bell and Cable CO-op on the basis
of prices quoted and the teras agr6ed upon in Exhibit ·A·~
Financing
FUnds are available in the FY 1990-91 Electric Fu·nd elP. for the
Middlefield Underground Project ($1,750,000). Although this will
be adequate ~o pay for the substructure Installation contract
with Lewis , Tibbitts, it is insufficient to complete the
remaining portion of the project~ namely the installation of the
underground electric distribution systeD (cables, transtormers.
and switches). The revised estimate for the total project.
inclusive of the substructure and the underground Electric
Oistribution systeD. is $2,100,000. The increase in project cost
is mainly due to the extensive substructUre requirements for the
new underground City communication and Streetlight systems and
partially due to the slightly higher cost for installing
sUbstructure along busy Middlefield Road. Funds available in
o~er appropriate CIP Electric funds will be transferred at a
future date into the Middlefield Underground CIP budget in order
to complete the project~

be limited to, CQoduits, splice boxes, hand boles, and manholes,
all hereinafter referred to as a ·System-) belonging to any of ~he
other parties installed in such a trench by CITY or COKPANY at the
same t.ime;
NOW. THEREFORE. the parties hereto agree as follows:
Project Coordination
Each party shall designate one or more aothorized
representatives to have joint overall responsibility for perfor
~ance under this Agreement. said representatives sball have the
authority to negotiate and agree to the installation of a System
under this Agreement and to the p,rice therefor without the
necessity of a separate formal, written contract for such installa
t.ion.
SECTION 2. Agreement to Proceed
(a) Whenever either COMPANY or CITY determines that it
vi 11 be openinq a trench within the city of Palo Alto in connection
~itb its underqround utility facilities. it shall send a written
notification to CABLE COOP and the ot.her party as soon as possible
thereafter. Such notification shall include the location of the
proposed trench opening, the approximate time of the opening, and

strict accordance with said drawings and specifications. If

Cd) In deteZ'Dining the lIlethod for calClllatinq and
allocating costs, the Trenching Agent shall consider whether the
installation will be performed by (il a contractor selected by
competitive bid; (ii) CITY's force account; or (iii) by a cost
plus contract for tim~ and materials with a contractor troll.

til If the installation is by a contractor selected
by competitive bid, the bid shall include all necessary labor"
equipment., materials, insurance., bonds, and other ite~s as ~ay be
agreed, and bid items will be delineated as nearly as possible on
an individual item or a unit price basis or otber method which
accommodates a clear division of COMPANY's costs, CABLE COOP's
costs and CITyr s costs to the extent practicable.
(ii) If the installation is to be performed by
CITyrs force account r CITY shall endeavor to ~ive CABLE COOP and
COMPANY at least four (4) daysl advance notice of the proposed
installation date., and CABLE COOP and COMP~~ shall each furnish,
at each's own expense., the materials to be installed in its portion
of the system. CABLE COOP and COMPANY shall deliver such '!Iaterials
to CITY at least tW'o (2) 'Wor-1cinq days prior to the proposed
installation. Materials discovered by CITY to be defective d·urinq
such time shall be promptly replaced by COMPANY or CABLE COOP at
COKPAN'Ps or-CABLE COOP's expense as tile case may be. Defective
materials damaged by CITY during installation shall be replaced at

the expense of CITY~ Other material and labor costs of CABLE COOP
or COMPANY. inclUding overhead where appr-opriate" will be calculat
ed according to the then current price list of the CITY applicable
to this Agreement. An e~ample of the 1990 pri~e list is attached
hereto as Exhibit ·c·~ Such price list shall be subject to review
:by the parties at intervals of not Jess than tWo2'lve (12) Ilonths nor
more than eighteen (1B) months unless o·thervise agreed.
(iii) If the installation is to be perfonned by a
contractor of COMPANY on a cost plus basis and selected'from a list
of COMPANY's approved contractors., CITY and CABLE COOP shall be
consulted about the selection of such contractor at the time the
project is seeped pursuant to Section 2{c) of this Aqreement. CITY
and CABLE COOP shall each notify COMPANY whether each elects to
proceed on sucb basis as sooo as possible, but in no event later
than the time of approving drawings and speCifications provided in
Section 2ee] hereof.
(e) Wben agreement upon the details i.s reached I the
Trenching Agent shall send a written confirmation to the other
parties participating. Such confirmation shall include the cost
estimate fo·r the installation of the Syst.em calculated according to
the methodology agreed upon.
PerCormance of the Parties
(a) The Trenching Agent shall furnish or cause to be
furnished labo·r I transportation l tools l implements, appliances l and
o,ther-t:hings required l including materials where appropriate l to
install the system and shall install the System to their share of
the Syste~ and in conformity with all applicable federal. state.
county. and municipal laws and ordinances and all applicable
orders l rules., regulations. eonditions l and requirements of all
properly constituted authorities.
(b) Except as may be otherwise specified on the drawings
or in the specifications, each party shall ob,tain or confirm the
existence of all rights-of-way necessary for installation of its
sbare of the System. All other perDits which may be required for
the trench opening and installation of the System shall be obtained
by ~he Trenching Agent.
(cl The Trenching Agent shall perform all excavating.,
backfilling. compacting, disposin<J of excessive soil, and restoring
of surfaces associated with the installation of the System unless
the parties agree otherwise.
(d) The Trenching Agent shall have. overall responsibili
ty Cor the performance and timely completion of said installation
and shall provide such inspectors at the 'Work site as it. deems
necessary to observe the performancf!! of the 'Work. MY contract
with employees performing said w~rk shall be made only through the
Trenching Agent's inspectors on the job..,. exc.ept in case of
emergency.

(e) At any tilae or times,. any party bereto may make
additions to. alteratIons of. deviations from or omissions (all.
hereInafter referred to as -changes-) in ~~e System to be installed
under dra'i(ings and specifications in accordance with paragraph 2 ec)
of this Agreement; provided:" however,. that it sball submit at.
~itten request for such changes to the Trenching Agent, and the
valuation thereof shall be added to or deducted from the charges
provided for below.
(f) Upon completion of the installation o£ is Systell
hereunder by the Trenching Agent, and acceptance by the other
parties of their respective shares of the System" and within forty
five (45) days after receipt of a bill therefor" the amount agreed
to by the parties for said installation of the System shall be paid
by t.he debtor party. Said amount :may be adjustee. upW'ard or
downward for actual expenditures as compared to estimates and bids
as the project representative may a9ree~
Title
During and after the installation hereunder of any or all
of the materials for a System in a particular trench, title to all
materials provided for thO! systea shall remain in the party for
whose benefit such materials 'Were installed accordirl9 to the
approved draW'ings and specifications.

by all parties and sball continue in full force and effect until
any party terminates this Agreement by qiving thirty (30) days'

the installation or any System hereunder and shall save and hold
harmless each of the other parties hereto, their officers, agents,
and employees from any liability, loss, claims, or suits of any
nature wbatsoever, including CQsts and attorneys' fees, resultinq
therefrom.
SECTIOJil 1 .. warranty
Except as otherwise provided in section 6 above, upon
completion to the satisfaction of the other parties, the Trenching
Agent shall have no .further responsibility or obligations with
regard to System installations under this Agreement.
SECTION 8 .. Nondiscrimination
No discrillination shall be made in the employment of
persons to perform tbe work under ~~is Agreement because of race,
color, national origin, ancestry, or religion of such person. The
Atta.chment B entitled -Exhibit -Nondiscrimination-is hereby made
a part of this Agreement insofar as it is applicable to chartered
California cities and, as used in Attachment B. the term ·contrac
tor· shall mean the City of Palo Alto. Paragraph (1) through (6J
of Appendix A iSSUed by the Federal Highway Administrator of the
Bureau ~f Public Roads pursuant to Title VI of the Civil Rights Act
of 1964, and the regulations thereunder are hereby incorporated by
reference berein insofar as they are applicable to chartered
California cities.
Force Majeure
Neither party shall be deemed in default of this
Agreement to the e~ent that any delay or failure in the perfor
mance of its obligations results froll. any cause beyond its
reasonable control and without its fault or negligence, such as
acts of God, acts of civil or miliary autho~ity, embarqoes.
epidemics. war, riots, insurrections. fires, explosions, earth
quakes. floods, unusually severe weather conditions or strikes.
SECTION 10 ... Supplemental Orders , Regulations
The attached Exhibit A. -Executive Orders , Associated
Regulations·. is incorporated into this Agreement by reference.
The term ·Contractor-as used in Exhibit A. shall mean CITY.
SECTION 11. Interest of Party
Each of the parties bereto certifies that none of its
officers or employees has any interest under this Agreement
prohibited by Section 1090 of the California Government Code... It
is expressly agreed, in the installation of any System hereunder,
that each party sball at all times be considered an independent
contractor and not an agent or employee of the other party.

SEctION 11'. Independent Contractor
Each ot· the parties declares and agrees that it is
engaged in a. business that. is independent trom t.hat of any o·tber
party. Exc~pt as otherwise p~ovided in this Agreement, each shall
perf ora its obligations under this Agreement as an independent
contractor and not as the aqent, employee or servant of the other
party.

This document represents the entire and: integrated
agreeme.nt between CABLE COOP. COMPANY and CITY". This Agreement Ilay
be amended only by a written Instrument siqned by all three
parties. This Agreement shall be 90verned by the. laws of tlle State
of California.

1. trenching
cost of trenching in all surfaces Shall include all labor
and material Lor saw cutting, digging, hauling, disposal of
spoil, backfill, compaction, and base preparation for new
surface. The cost for Pacific Bell or Cable Coop shall be:
a. $8.00 per foot wben ~rench is shared by CitYI Pacific
Bell and Cable coop.
b. $12.00 per foot when trench Is shared between city and
Pacific Bell or Cable Coop.
c. $24.00 per foot when trench is for Pacific Bell or
Cable coop use only_
2. Placing Bo~es
cost of placing boxes shall include all material cost where
applicable and all labor for excavating. grading, and
backfilling around the boxes and resurfacing. The cost for
Paci~ic Bell or Cable Coop shall be:
a. $22.00 Veach for small boxes (requiring hand
excavation)
b. $11.00 Veach for larqe boxes
c. $63.00 each for city turnishe~ 11·x 17W(N-9) box and

WHEREAS, it is necessary for CIrv to open trenches in the
area of the city of Palo Alto in connection with utility District
No. 32 authorized by city of Palo Alto Ordinance No. 3963 adopted
June 4, 1990; and
WREREAS~ CITY .ill act as the Trenching Agent under the
~aster agreement and CABLE COOP and COMPANY desire to have
installed in said open trencbes certain of their own underground
facilities the share of which installation costs wi!l exceed

Notwithstanding anything in this Agreement or the
