This report requests Council approyal of the attacbed two Resolu
tions under which the city will convey two storm drainage easements
to the Santa Clara Valley water District (SCVWD). One easement is
located on Adobe creek at Alma Street; the other is on Matadero
creek near Kiddlefield Road~

Since 1985, the SCVWD has been in the process of constructinq major
flood control i~prDvements on Adobe and Matadero Creeks. On Adobe
Creek, improvements are completed downstream of Charleston Road.
Completed improvements inclUde raising the levees in the flood
basin.. reconstructing the channel from the Bayshore Freeway to
Charleston Road and replacinq the bridges at Louis, Charleston arA!
Middlefield Roads. I.prove::Dents on Adobe Creek between Charleston
Road and 11 Camino Real were delayed pending the preparation of an
Environmental Impact Report (ErR). The SCVWi) has =mpleted the EIR
process; and plans to award the contract and schedule construction
in early 1991. Improvements to be constructed include replacing
the existing trapezoidal eoncrete chanpel with a rectangular
channel and modifying the briclqe at Alma, street. The SCVWD has
eXisting riqht of way on Adobe Creek for all the proposed improve
JIlents between Charleston Road and El Camino Real e-.cept at Alma
street, ~here additionel right of way is required where the creek
crosses under the street (see Attachment A).

On Matadero ere-ale" improvements have been com.pleted from the
down&tre~ side of Bayshore Free~ay to the upstream side of Alma
Street. These iaprovements include replacement of the bridges at
Louis Road l Greer Road" Boss Road, Middlefield Road, cowper Street
and Waverley Street, and constructi~n of flood walls adjacent to
the existinq channel. rhe SCVWD has existing permanent rights on
P~tadero creek for all the above !~provement5, except for a small
re(..--tangular area on the City-owned. Winter Lodge site at 3005
Middlefield Road (see Attachment B). The improvements in this area
were constructed by the SCVWD in 1'98a" under an encroachment permit
qranted by the city pending the grantinq of the permanent rights.
The SCVWD's existing right of way at Adobe Creek and Alma Street
covers on~y a portion of t.he creu where it crosses under the
street. Therefore, the SCVWD has requested a ne~ easement in this
area in exchanq2 for the SCVWD quitclaiming their existing right of
way (see Attachment A). The easement parcels overlap, so the
quitc~ai~ deed ~ill be recorded before the Grant of Ease~ent to
alleviate any question about the ownership of the overlap.
The attached Grant of Easenent on Adobe Creek will convey 't_o the
SCVWD the necessary r8aligned right of way for water management
and/or storm drainage purposes, and rights to install and maintain
associated improvements and facilities. The easement stipulates
that following the SCVWD/s modifications to the bridqe~ any future
alteration or maintenance of the bridqe shall become the City's
responsibility, and shall include the riqht to relocate. the
existing overhead utilities on, under or within the bridge
structure. Grantinq this easement will allow the scvwo the rights
they need to maintain the channel, but will not p~ohibit the City's
riqht to unde~qround the overhead utilities in this area.

The attached Grant of Easement on Matadero Creek will convey to the
SCVWO an easement for water management and/or storm drainege
purposes, and rights to install and maintain associated improve.
.ents ar.d facilities. The area of t.his easement is not. in the
cbannel itself but rather at the top of the bank adjacent to and
level with the existing parking lot on the City's Winter Lodge
site. The easement reserves t."le rig'ht of the City to use the
easement for ingress, egress and autoDObile parkinq, except aurin9
those times the SCVWO requires access and use of the area for
construction or Eaintenance. This reservation was included in the
easement because the City .a.y need the area of the proposed
easeaent for additional parkin9'

The final environmental iapact report (EIR) tor the improvements on
Adobe Creek be.tween Charleston Road and :£1 camino l\ea1 was
certified and the project vas approved by the ~~ on April 10 1
1990. '!'he Suamary of the ErR is attached to this report. The
entire docUlllent is on reserve in the city Clerk's Office for
Council reference.. Tbe city Is considered a. re-l.Ioponsible agency tor
purposes of this project Ul"Ider the California Environmental QUality
Act (CEQAJ. The city council therefore must review and consider
the information contained in the ErR and make findinqs related to
each of the project's significant effects prior to approving the
Grant of Easeaent. Staff recommends that council adopt the SCVWD's
tlnaings and statement of ov~ridlnq considerations concerninq the
projact. They are included tor council consideration and adoption
as Exhibit A to the attached council resolution approving the
easement.
Th~ environmental i_pact assessment for the flood control project
on Matadero Creek was prepared by the SCVWD in 1988 and received a
negative declarBtiona The City is now considered the lead aqency
under CECA for purposes of the grant of permanent easement riqhts
to SCVWD~ An environmental impact assessment prepared by Palo Alto
for the Grant of Easement received a negative declaration~ A copy
of the environmental assessment is attached for Council's consider
ation and approval in connection with the Grant of Ease~ent.

site. Unt~} the pian ~s adopted, individual app1ications are reviewed to
determine their impacts en thE existi~g operation of t~e facility. Re-~s~ of
a portion of wing F b~ i non-profit grb~p ~ill not require any physical change
to the site, or generate I substantiil amount of traffic or parking demand.
The greattst parking demand on the Cubber1ey site occurs during the evening
hours when FQothill Co11ege is in 5ession. The non-profit use w1l1 not
contribute to evening parking demand because it vill operate between the hours
of 8:00 AM to 5:00 PM and have between three to five !mployees on site. The
non-profit ~rganization wiil n~t be seeing clients at the site and will use
the spa~e for administrative activities only. Tn~ artists studios and non
profit <lrgar.ization will occupy a p-ortion of the space prtviously oc(upied by
the Palo Alto Unified Schoo1 Distritt Adrninistrat1ve offices which generated a
parking demand for ]72 parking spaces. The parking spaces made available by
the departure of the Sthool Oistrict offices should be sufficient to absorb

WHEREAS, the Santa Clara Valley Water District (the
-Dietrict-J 1s undertaking flood control work on Adobe Creek from
Charleston Road to El Camino Real (the ·project-); ar.d
WHEREAS.. the Project has received eilVirol"'.mgntal review
under the California Environmental Quality Io.ct. by 'the District,
resultinq in the Board of Directors of the District {as ~~e -lead
agency·) certifying the final Environmental Impact Report C-EIR")
for the Project. adopting a statement of overridinq considerations
and approving the Project en April 10 .. 1990; and
WHEREAS. the City Council now desires to grant the District
an easement for water management and storm drain purposes on Adobe
Creek at Alma Street so that the District can improve ~~e C~eek
channel at that location and modify the Alma str£et bridget
NOW, THEREFORE, the Council of the ci,ty of Palo Alto does
hereby RESOLVE as follows:
SECTION 1. The City C~~cil has reviewed and considered
the information contained in the SIR tor the Project, which ~as
certified by the lead agency on April 10, ~990. The lea4 agency
made findings and a statement o~ overridinq considerations for the
Project sa shown in Exhibit A to this resolution, ~hich is attached
hereto and lIIade a part hereof by this reference. '!'he council .. as
a responsible lIqency "for the Project, here.by adopts the lead
aqency'5 findinqs and statement of overriding considerations fer
the Project. No circumstances or conditions relating to the
Project have changed since the lead agency's detarmination ana,
accordingly, supplemental Qr 5ub5equent environmental review is not
required.
SECTION 2. The city Council hereby approves the G~ant of
Easement for Parcel No. CE23/22--88/11~ attached hereto as Exhibit

APPROVING A GRANT OF EASEMENT BENEFITTING THE
SANTA CLARA VALLEY WATER DISTRICT AND AUTHORIZING
THE KAyeR TO EXECUTE S»IE ON BEHALF OF THE CITY
WHEREAS, the Sa~ta Clara Valley Water District (the
·Oistrict-) is undertaking flood control work on Matadero Creek;
and
""""HEREAS, the improvements on the Creek near Middlefield
Road were constructed by the District under an encroachment permit
that the City qranted pending the City's qrantinq of penanent
easement rights to the District in that location; and
WHEREAS 1 the City Council now desires to grant such rights
to the District:
NOW, TMEREFORE, the Council of the City of Palo Alto does
hereby RESOLVE as tollows:
SECTION 1. The City Council ha.s consider-ed and hereby
approves the negative declaration for the project a~ finds that
the project will have no si9nificant environmental effects,. as
shown in said negative declaration.
SECTION 2a The City Council hereby approves the Grant of
Easement for Parcel No. CE16/1l-a7/1.~ attached herato as Exhibit
A and mad~ a part hereof this reference, and further authorizes the
Mayor to execute same on behalf of the city.

Middlefield Road will have no direct pt.ysical impacts. Necessary flood
control 1mprovements (addition of ~hanhel modifications and flood walls) on
Matadero Creek have been c~pleted by SCVWD. The SCVWD has pennanent ,a,ement
r~ghts on ~atadero Creek fer all etistt~g improvement5~ except for the area ~f
this easement. The improvements in this area were constructed by the SCVWD
under an encroachment permit granted by the tity pending the granting of the
permanent rights. An environmental impact assessment for the flood control
project on Matadero Creek ~as pTep~r~d by the SCVWO io April 1988, and
