SECTION 1. Secticn 18. 08. 030 of the Palo Alto Munf~i;-/i'i n
Code, the "Zoning Mar;i," is hereby amended by changing the zoning
of certain property l~nown es 777 San l:.ntonio Road from M-1-.S-D
to P-C. Said property is shown o:i. a map attac.::he<l hereto, in-
corporated herein by reference a::d entitled 11 CHAi.'lGE or DIS·rRIC'l'
FROM M-1-S-D to P-C."
SECTION 2. The diagrams attached hereto entitled noevelopment
Plan" are incorporated herein by reference. Said Development Plan
is approved pursuant to Secti.on 18.68.070 of the Palo Alto Municipal
Code, subject to the following conditions:
a. Use: 140 market-priced living units, of which
14 shall be offared for lease to the Santa Cla=a
County Housing Authority for low-·rent housing under
Section 23 1;if the National Hou~ing Act or successor
legislation.
All of the units leased to the Santa Clara
Housing Authority under Section 23 of the National
Housing Act or succensor le~islation are hereby subject
to a right of first refn$al to purchase such unit or.
units vested in the Citv of Palo Alto or anv crove::-nme.ntal
or non-profit organization designated by the City of Palo
Alto. The right cf first refusal ~ay be exercised by
the City, or it~ desiqnee, within sixty (60) days of
written notice of the expiration of such Section 23,
or successor lease, or writt:en notice of anv other
method or mode of· b:-r.nination. If and in the event
that the City, or its designee, exercises its option to
_purchase, close of escrow of such purchase shall be
within ninety (90) days of the opening of such escrow.
Closing costs of escrow shall be pursuant to the cust:,prn
and practice in the City of Palo 1'.lto at the time of, -
the opening of such escrow. The purchase price of such
unit or units shall be fixE:~d at the J.mmst price arrived
at of the following two methods of pr.ice agreement:
i. The City, or its designee, shall have an appraisal
made by an appr.aiser of its choice to establish
the market value. The developer or its succe:;sor

or nominee sh.all have an at?Praisal made by
an appriiser of its choice to establish the
market value. If agreement cannot be reached
a third appraiser shall be chosen by the
parties to make an appraisal by which the
parties agree to be bou~d.
ii; The p~ice of each unit shall be the base price
for which an equivalent unit in the complex was
originally sold, plus that amount equivalent to
the rise in the cost of living index for the
San Francisco Bay Area as determined by the
United States Department of Laher, Bureau of
Labor Statistics.
In recognition that the southeJ:ly portion of the
development shown on the original plans a3 80 living
units to b~ financed under FHA Section 236 Program
cannot now be develcped under that program due to a
moratorium upon funding thereof by the Federal Govern
ment, all of said oortion of said develonment shall
be reserved for low/moderate income housing, as the
term is presently understood, and a public park of
approximately 1.5 acres dedicated at City's request
without cost or expense to the City.
At any time that such low/moderate income housing
is funded by the United States Government, or otherwise
becomes feasible, the developer shall file an application
to amend the zone approved herein. Developer may con
tinue the existing agricultural and residential uses
in actual operation until such time as low/moderate
income housing is approved by ordinance amendment and
actual construction commences. If such use and operation
are continued, proof of such by way of lease or other
document shall be presented and apprcved at the time of
use permit consideration. If and when such uses and
operations cease, the structures shall be forthwith
demolished and the area shall remain in undeveloped open
space until further construction is approved by amendment
to this ordinance.
b. Improvements: Structures, off-street parking, land
scaping, circulation and all other improvements shall
be substantially a~ shown on the a~proved development
plan. Th~ San Antonio Avenue-Leghorn Street inter
section shall be modified in accordance with the
requirements of the Palo Alto City Engineer.
The separation along the property line betr,.;een
the market-priced units and the low/moderate income
area shall be composed of trees, plants, and oth·-·r
landscaping. Serv1ce roads shall be a minimu.~
distance of twenty feet from the adjacent residential
property line.
c. Fire Protection: On-site fire protection facilities
Shall be provided as required by the Chief of the
City of Palo A1to Fire Deoartment.
d. Compliance: All construction and development shall
comply with all a~nlicable codes and ordinances, the
requirements of the Palo Alto City Engineer, and the
State of California Administrative Code, Title 19,
Public Safety.

plans, arc11tectural features and constructi0n of
trellises over the exterior parking shall be reviewed
and approved b~· the Planning Commission.
SECTION 3. The development schedule for the subject
property shall be as follows:
a. Start of construction of the market-priced housing
within three months of City Council approval.
b. Completion of all construction and development of
the-market-priced housing within one year of start
of construction.
SECTION 4. This ordinance shall become effective upon
the expiration of thirty days from its passage.
