A copy of said contract is attached hereto as Exhibit A and mcorporated herein by reference ..
AB a part of the application the owner shall also complete a property rental questionnaire on
a fonn prepared by the Assessor of the County of Santa Clara and shall return. the completed
questionnaire to said Assessor.
If any land included in the appliCoition is not located within an "0-S Open Space District,11
"F Flood Plain· District," or ''"P-F Public Facilitie~ District" of the City of Palo Alto, the application
shall include_ a written request to the City Council to initiate. a change of zone to either of
. those claSsifications. The application shall not be a~cepted absent such . request.
No application shall be accepted for filing uniess an applie&~ion fee of S l 00.00 is p~id at
th~ time sue~ applicati6n is·· filed; said fee shall be required to partially defray the City's cost
and expense of investigating, handling and . processing.

SECTION 4 .. TiME FOR FILING PROPoSALS AND APJ>LICATIONS. Proposals to
establish·. an agricuitutal preserve. may . be filed ~t any time. Applica~ions to include land. within
an agricultural pre~rve on or before the · tst day of March of any year shall b~ filed no later
. than the fifteenth 05) day of-December imm~diate1y preceding such year. .
, . SECTION 5.-REPORT OF PLANNING DEPARTMENT.-The City Cierk shall trarisrhit to
the City Planning Department a copy of the complet~d proposal or application. Within thlrty
(30) d~ys after its receipt thereof from the CJerk, or any extension of time granted by the City
. ' CJuncil not to exceed an additionai thirty (30) days, the Planning Department shall prepare~ and
submit a report to the City Council showing the l()cation, size, present uses, zoning and s0il
qaBsification of the 'tarid .incltJd.ed within the" proposal _or application. Tht: report shall include
a' statement. that =tlle proi)osed · agricultutal preserve is consiste~t or inconsistent with the General
Plan of the CUy ~ and inay inciude su~ other information· ot tecommerid~ti~n as the Planning

SECTION 7. LAND AREA. An agricultural preserve shall consist of no less than 100
acres; provided, that in order to meet this requirement ·two or more parcels may be combined
if they are eontiguous or if they sre in common ownership; and'provided, further, that an
agricultural preserve may consist of less than I 00 acres if the. Council finds that a sma1lefpreserve
is necessary due to the unique characteristks of the agricultural enterprises in the area and that
the establishment of the preserve of !ess· than 100 acres. is ~onsistent with the General Plan.
SECTION. 8. RECORDIJl°~:b. The City Clerk sh3'1 me a map. of the agricultural preserve,
together with a copy of the resolution of the. ·city Council establishing an agriculfural preser\.e
· with the Cou~ty Recorder and the biiector of Agrkul,ture. No later than twenty (20) days
after the City enters into a contract, the City <;lerk shall record with the County Re~order copjt!i:
· of the contract, which shall describe th1:f land subject thereto, together With a reference t? ~e

SECTION 9. NOTICE'.OF NONRENEWAL OF CONTRACTS. The City Clerk shall report'
to ·thr. Council arty valid notice of nonren~wal of a contract received ftom a landowner. Tht>
Clerk shall record the notice of n()nreriewal and file a copy with the Aue$Sof of Santa Clara
Courity. ·
The City ·clerk shall submit to the Council' at·teast 80 d~ys prior to the annual renew!tl
date of each contract a request for a determination. of the Council whether or not: it desires .·

UNIFORM LAND CONSERVATION CONTRACT
This is an agreement between the CITY OF PALO ALTO, a municipal corporation of the
State of California, hereinafter caJled 11 City," and------------------
hereinafter called "Owner."
WHEREAS, Owner p_ossesses certain reaJ -property located within the City of Palo Alto,
County of. Santa Clara, State of California, which is presently_ devQted to agricultural use and
is described-in Exhibit B attached hereto and made a patt hereof; and

and

: commenciilg as of the first-day of January next succeeding the date of execution if the date
of execution is between March 2; and Decemb_er 31. . The initial term of ten years shall be
measured commencing as of the first day of January of the year of execution if the date of
execution is between January I and March 1. Each succeeding first day of January shall be
deemed to be the annual renewal date of this contraet. This contract shall be renewed on each
succeeding January I and one additional year shall be added autr?matically to the initial te.:m
unless notice of nonrenewal Is gi\'en as provided in paragr-aph 4.
4. NOTICE-OF NONRENEWAL.
(a) If either party desires~inc any year not to renew this co,i.tract, that party shatl serve .
written notice of n.onrenewal upon the other party in advance ·o(the annual renewal date of
this contract. -Unless ~'tich written notice of nonrenewal is served by Owner at least 90 days
prior to the renewal cfate·:. oi by City. _at least 60 days prior to the· renewal date, this ·contract

(b) If either party sen'es written notite of nonrenew:al in any year within the time limits
of 4(a), ~bove, this contract shall remain in effect for the balance-of the period remaining since -
the originaJ execution or the last renewal of this contract, as the ease may be.

Owner shall not receive any payment from City in consideration ofthe obligations imposed

.LAND CONSERVATION CONTRACT
1. ~of Contract
The contract is for ten years. One additional year is added auto
matically at the end of each year, St\ the contract is always for ten
,,· years unless a notice of non-renewaliis given.

During the term of the contract, the property shall not be used for

Either party may in any year not renew the contract. The owner has
to serve written notice of non-renewal upon the other party 90 days
in advance of the annual renewal date of the contract which begins on
January 1 of each year.

SURVEY OF OPEN SPACE LEGISLATION IN CALIFORNIA
1. 1966 Proposition Three, Article XXViII of the California
Constitution.
Article XXVIII authorized the Legislatu~e to define open
space land and "enforceable restriction." It enabled the
Legislature to devise a method of assessing open space land
vhich is subjP.ct to an enforceable use restriction on a
basis other than full cash value.
2. 1967 Assembly Bill 2011, Section 421-425 Revenue S.?\d Taxation Code.
A.B •. 2011 provisionally implemented.Proposition Three. It
defined "open space land" as (1) land in an agricultural pre
serve ar1d subject to a contract or an agreement; (2) laDod
subject to a scenic restriction; (3) land subject to an open
space easement.
The. above inst:ruments qualify as 0 enforceable restrictions 0
and must be assessed by the capitalization of income method.
It provided that in assessing qualified land, both the l.nFal

METHOD OF VALU~
With the passage of Assembly Bill 2011 1 the assessor can no
longer use the Sales Approach to value land that qualifies
under an enforceable restriction.
The assessor is now requited to use the Economic App'roach to
value.
The following example of using the Inco~e Approach is based on
,net rent for al~ uses available to the property with 6.50% for
• < ·. · 1·isk and interest and· 2.50% for tr_·:es giving a gross capitali
zation ~ate of 9%.
