APPROVAL OF AMENDMENT NO. 1 TO CONSULTANT
CONTRACT WITH JAT COMPUTER CONSULTING, INC.
(C0120306) FOR THE LAWSON HUMAN RESOURCES AND
PAYROLL SYSTEM TO EXTEND CONTRACT TERM AND
INCREASE CONTRACT AMOUNT BY $146,016
RECOMMENDATION
Staff recommends that Council approve and authorize the Mayor to execute the attached
amendment to the contract with JAT Computer Consulting for continued programming
and software application development s~ervices associated with the Lawson Human
Resources and Payroll System. This amendment will extend the contract with JAT
Computer Consulting through December 2000 and increase the contract amount by
$146,016.
BACKGROUND
The Lawson Human Resources and Payroll system is the primary application used by the
Departments of Human Resources and Administrative Services - Payroll Division, to
support their respective daily operations. A Systems Analyst position remains open in
the Information Technology (IT) Division to provide support for this business critical
system. Since September 1999, JAT Computer Consulting has been providing the
necessary operational system support while the search for a full-time IT Systems Analyst
continues.
DISCUSSION
The contract with JAT Computer Consulting in the amount of $162,240 expires on March
31, 2000. The recommended contract amount will extend the contract through December
3 ~, 2000 and increase funding by $146,016, for a total contract amount of $308,256. The
additional requested amount is required in order to retain a JAT consultant on a twenty-
four hour per week basis.

RESOURCE IMPACT
Funds to cover the $146,016 additional contract amount are included in the operating budget of
the Administrative Services Department for fiscal year 1999-00, made available through salary
savings due to staffing vacancies.
POLICY IMPLICATIONS
This amendment does not represent any changes to existing City policies.
ENVIRONMENTAL ASSESSMENT
Approval of this contract amendment does not constitute a project under the California
Environmental Quality Act (CEQA), therefore, no environmental assessment is required.

This Amendment No. One to Contract No. C0120306
("Contract") is entered into this __,day of , 2000, by
and between the CITY OF PALO ALTO, a chartered city and a municipal
corporation of the State of California ("CITY"), and JAT Computer
Consulting, Inc., ("CONTRACTOR") a.California corporation, located
at 2255 Contra Costa Boulevard, Suite 201, Pleasant Hill, CA 94523
(Taxpayer~ID No. 22-2613402).
RECITALS:
WHEREAS, the Contract was entered into between the
parties for support of the Lawson Software System; and
WHEREAS, the parties wish to amend the Contract;
NOW, THEREFORE, in consideration of the covenants, terms,
conditions, and provisions of this Amendment, the parties agree:

under this agreement, upon mutual agreement of
the parties.

SECTION 3.

Subsection 4.1 of Section 4 is hereby amended

4.1 In consideration of the full performance
of the Services by CONTRACTOR, CITY will pay
CONTRACTOR the sum of One Hundred Fifty-Six
Dollars ($156.00) per hour, payable within
thirty (30) days of submission by CONTRACTOR
of its itemized billings, in triplicate;
provided, however, the total sum payable to
CONTRACTOR hereunder will not exceed Three
Hundred Eight Thousand Two Hundred Fifty-Six
Dollars ($308,256.00), including expenses,
through the term of the contract."
SECTION 4. The following exhibit to the Contract is
hereby amended to read as set forth in the attachment(s) to this
Amendment, which is incorporated in full by this reference:
a. Exhibit ~A" entitled ~Scope of Work."
SECTION 5. Except as herein modified, all other
provisions of the Contract, including any exhibits and subsequent
amendments thereto, shall remain in full force and effect.

EXHIBIT "A"
SCOPE OF WORK
CONTRACTOR shall provide day to day support for the Lawson
Human Resources and Payroll software application. The following
work may be done under this agreement:
Perform upgrade of the Lawson Human Resources and Payroll
software from PA9 to PAl.
Provide primary technical assistance with the migration of the
Lawson Human Resources and Payroll software from PA9 to PAl.
Analyze, convert and upgrade all customized City COBOL
programs to be compatible with Lawson 7.1.2.
All work by CONTRACTOR shall be performed under the general
direction of the Manager of Information Technology ("Manager").
Prior to performing any work under this agreement, CONTRACTOR’s
representative shall meet with the Manager to establish the actual
work to be performed by CONTRACTOR’s representative.
CONTRACTOR’s representative shall work at Palo Alto City Hall
every week for approximately twenty-four (24) hours per week. CITY
shall provide a dedicated work area for CONTRACTOR’s
representative.
