FOR UTILITIES CUSTOMER INFORMATION SYSTEM
RECOMMENDATION
Staff recommends that Council:
Approve and authorize the Mayor to execute the attached Amendment No. 2 in the
amount of $557,620 to the existing contract, No. C8100757, with SCT Utility
Systems Inc. (SCT).
o Authorize the City Manager or his designee to negotiate and execute one or more
change orders to Amendment No. 2 with SCT for related additional but unforeseen
work. The total value of change orders shall not exceed $120,000.
BACKGROUND
The Utilities Department initiated the Customer Information System (CIS) project in
1991. It was prompted by the recognition that the City needed to provide high quality
customer service while remaining efficient and effective in an increasingly competitive,
deregulated environment. The previous Utility Billing System (CUBIS) was created in
the mid-1970’s, and limited the ability of the City to offer unbundled rate options, to
provide convenient customer payment options, to track workflow processes, and to
provide management with information. Staff undertook a needs-assessment process to
identify system requirements and issued a Request for Proposals (RFP) to acquire a new
system. The RFP process resulted in two alternatives: develop an in-house application or
purchase software from an outside vendor. Outside vendor applications were more costly
and did not possess all of the CIS system functions required by Palo Alto. In 1993, staff
opted for in-house development of CIS.
However, the project experienced a variety of delays owing to staff vacancies, difficulty
in retaining contract staff, and a lack of training in key programming tools. At the same

time, due to significant advances in computer technology and improved vendor solutions
at more competitive prices, staff decided to again research the purchased software option.
In 1997, an RFP was issued for a CIS software package. After the responses were
reviewed, and further negotiations were conducted, in August 1997 the City Council
approved a $1.2 million fixed-price contract with SCT Corporation for acquisition and
implementation of a CIS (CMR 347:97).
DISCUSSION
The proposed Amendment No. 2 will add three components that were not included in the
original scope: upgrade of the software for which the City does not have the internal
expertise to accomplish; short-term CIS database administration; and implementation of
the Customer Web Access, a new component of the CIS Banner. SCT Corporation will
provide the following services:
Remote Application Specialist: This is to provide a CIS Banner/Oracle Database
Analyst (DBA) for the short-term while the City’s full-time DBA position is being
recruited. The support is estimated to last six months in duration. The first three
months is for full coverage, and the last three months will be at 50% wherein the SCT
DBA will transfer knowledge and area of responsibility to the newly hired City DBA.
Critical changes to the CIS application have been put on hold until database support
can be obtained. The City is also exposed to longer service outages if database
problems arise without this support.
Customer Web Access (CWA) component implementation: This component of the
Banner system will provide functionality to the City of Palo Alto utility customers by
allowing them to view their account and usage information, as well as making
payments over the Internet. This cost includes both the software license fee, and the
estimate analysis, configuration training and implementation costs. This component
is available only through SCT as the City’s CIS Banner vendor. Residents of Palo
Alto are calling the service representatives and the City Manager’s office on a regular
basis asking when they will be brought into the 21 st Century and are able to pay their
utility bills online. Some customers have gone to third party payment services to get
this functionality. The City needs to provide this added-value service.
CIS Migration: This project will have SCT migrate the Utilities CIS Banner System
from the current version 2.2.1.2 to version 2.2.1.5. Because of custom coding for the
unique needs of the City’s billing process, there is additional cost and work related to
retrofitting upgrade modifications of the new version to the City’s custom code. A
preliminary phase to analyze the additional work and scope of the migration project
was completed and paid for during FY 00-01. This cost is for the final phase of the
overall migration project. These consultant services are required at this time because
the CIS migration upgrade is required to fix defects to the major components of the

system; customer service support for the City’s current version will be discontinued
before the 2001 calendar year end.
Due to the complexity of the system, the additional $120,000 contingency money will
provide the ability to accommodate unforeseen intricacies when upgrading and modifying
the system and testing numerous custom modules.
RESOURCE IMPACT
The appropriated funding for development by SCT and other outside consultants for the
Utilities Customer Information Services is in CIP Project No. 9357. There is currently
funding available in the CIP to support this contract amendment.
POLICY IMPLICATIONS
This recommendation does not represent any change to existing City policies.
ENVIRONMENTAL REVIEW
These services do not constitute a project under the California Environmental Quality Act
(CEQA).

LICENSEE AND SCT, intending to be legally bound, agree as follows:
Defined Terms. Unless specifit,~ally defined herein, all terms defined in the Agreement, shall have the same
meaning when used in this Amendment.
2.Am.e!ldment to and Modificati0~....gf _Affeement.
Additional Licensed So~tw.are. In addition to the Component System licensed to Licensee by SCT
under the Agreement, SCT grants Licensee the right to use the additional Licensed Software identified
in Exhibit 1 attached to this Amendment on the same terms and conditions set tbrth in the Agreement as
modified by Exhibit 1, including without limitation, any software supplements attached to such Exhibit
1 (the "Software Supplements"). To the extent the terms of Exhibit l and the Software Supplements
contradict the terms of the Agreement, the terms of Exhibit 1 and the Software Supplements shall
govern. Any amounts identified in this Amendment are in additinn tn all other amounts payable under
the Agreement.
(b)Mi~atinn Services. SCT agrees to provide Professional Services to Licensee as identified in Exhibit 2
of this Amendment on a time and materials basis for purposes of migrating Licensee from Licensee’s
current production version of the Licensed Software to version 2.2.1.5 of the Licensed Software. Any
amc~unts identified in this Amendment are in addition to all other amounts payable under the
Agreement.
(c).l~ernt~te_ Application Serviee~Z Beginning on August 13, 200! and continuing through February 12,
2001 (’~erm"), SCT will provide Licensee with the services described in Exhibit 3 of this Amendment
("Scope of Services"). Any amount,, identified in this Amendment are in addition to all other amounts

3. Integration Provision. Except as expressly modified by this Amendment, the Agreement shall romain in full
three and effect. As of the Amendment Date, the Agreement, as further amended by this Amendment constitutes the
entire understanding of the parties as regards the subject matter hereof and cannot be modified except by written
agreement of the parties,

NOTICE~ To use any of the Licensed Software. Lic~nse, must also obtain, install on the Equipment and maintain
SCT-supported versions of certain Oracle Corporation database software products and certain sollware/hardware
peripherals. By this notice, SCT is advising Licensee that Licensee should consult with its SCT Professional
Services representative to obtain a written listing of such necessary Oracle Corporation databas~ software products
and soflware/hardware peripherals-
LICENSED SOFTWARE:
PROFESSIONAL SERVICES: SCT will provide Licensee with the services listed below in association with the
Component System licensed to License~ pursuant to the terms and conditions of this Amendment. Licensee will
reimburse SCT for travel and living exp~nses incurred by SCT in providing Licensee with services pursuant to this

The Scope Of Services for this Amendment consists of the following service activity:
SCT will provide services by a Remote Application Specialist who will execute the Jobs list below to assist Licensee
in the management of its production environment of the Lioensed Software. These Jobs are not intznded to he all
encompassing of applications management, but rather a series of reports and recommendations to assist L.icens~e in

Additionally, SCT will provide the following services as part of the Scope Of Sere’ices:
¯Apply Oracle patches a.s necessary to resolve problems, provided that such Oracle patches have
been provided to SCT by Licensee in order for SCT to perform such services.
¯Up~ade Oracle products when required m support the Licensed Software, provided that such
Oracle products have been provided to SCT by Licensee in order for SCT to perform such services,
Upgrades are typically performed in a test environment, then placed into the production
environment after Licensee approves an upgrade.
Assist with the application of Improvements (as that term is defined in the Technical Currency
Agrt~ement between SCT and Licensee dated September 30. 1997) of the Licensed Software in a
test environment as directed by Licensee. Assist Licensee’s project team solve unexpected
problems with the installation t)f Improvements in the production environment after License
approval.
¯Create additional database instances of the Licensed Software as requested.
¯Assist Licensee with the scheduling of batch reports and processes of the Licensed Software.
SCT will provide rnanagemont t.trr~ each month to monitor the tasks performec] as pan of the Scope Of-Services
and review th~ status of the services with the Licensee. SCT will also provide management time to plan the

Fees & Payments
During the Term, SCT wilt provide Licensee with up to 720 hours of services as identified in this Scope of Service.
SCT will provide such services on a time and materials basis at a rate of $180 per hour, SCT and Licensee agree that
regardless of whether or not the services prodded by SCT pursuant to this Exhibit 3 have been completed, if SCT
provides 780 hours of services as identified in this Exhibit 3, License will not be obligated to pay for additional
s~rvices hours above 780 hours provided pursuant to this Exhibit 3 nor will SC’T have any obligation to provide
additional services above the 780 hours provided for in this Exhibit 3 unless Licen.~e and SCT execute an
amendment to the Agreement for additional services to be provided by SCT to Licensee. Licensee will reimburse
SCT for actual travel and living expenses that SCT incurs in providing Licensee with the services provided pursuant
to this Amendment. $CT wil! invoice Licensee for all services provided under this Scope of Services on a monthly
basis, as SCT renders the services or Licensee incurs the charges, as applicable. Licensee shall pay the full amount
invoiced by not later than thirty (30) days after the invoice date.
Licensee Responsibillties
¯ Licensee will provide remote connections to databfuce servers, Licensee will provide Laplink to the server and
email from the server to SCT’s resources.
¯Licnescc will not expect SCT’s resources to work on any .~ftware systems that are not directly related to the
Licensed Software.
Licensee will provide a minimum of 72 hours notice when non-emergency work is requested to be done off-
hours.
¯Licensee will provide a minimum of 2 weeks notice when requesting weekend coverage tbr major upgrades or
other functions.
¯Absent the prior ’written consent of SCT, neither Licensee or any of its retated or affiliated persons or
organizations, will solicit for hire, offer to hire~ hire or in any way employ, engage the services of or otherwise
compensate any person who, in the preceding twelve (12) month period, was employed by SCT or its related or
affiliated persons or organization.s, until a period beginning twelve (12) months after such person’s empioytnent
with SCT terminated.
¯Licensee and SCT will mutually agree upon the following:
I.Which application processes are to be restarted by SCT, and what the process will be for restarting;
2.Procedures on when SCT should correct problems and when Licensee approval is needed;
3.How SC’T and Licensee communicate planned or emergency outages;
4.Which Licensee te~ staff are to be notified for which alert conditions;
5.How Licensee team staffare to be notified for which alert conditions.
