PRESENTATION
RECOMMENDATION
Staff recommends that Council approve and authorize the Mayor to execute the attached
amendment to contract No. $9103617 with IMServ North America LLC (IMServ) for
daily electric and gas interval data acquisition, validation and presentation, to increase the
contract amount by $20,000 for a total contract price of $84,500.
BACKGROUND
In June 1999, the City entered into a contract with Star Data .Services (SDS) in the
amount of $64,500 to provide services as the City’s selected Meter Data Management
and Billing Agent in preparation for the Electric and Gas direct access programs In
addition to providing the proper billing functions associated with a direct access
transaction, SDS also provided remote meter reading services to support the Utilities’
(CPAU) load research program. The load research provides daily energy consumption
data that is useful in the design of new rates, preparation of short and long-term energy
forecasts, and validation of customer energy bills.
In April 2000, SDS was acquired by Invensys Measurement Services (IMServ), a
subsidiary of INVENSYS. The acquisition by IMServ introduced new products,

including the ability to deliver critical, accurate, up-to-the-minute energy usage data to
CPAU and its customers. This data can be viewed, analyzed and downloaded to a
personal computer via the Intemet. This service became more important during last
year’s energy crisis by providing data needed to make informed decisions about resource
requirements, minimizing the threat of rotating blackouts to Palo Alto residents and
businesses. In addition, this service provided CPAU and its customers a tool for tracking
customer load reductions from implementing efficiency measures. This data was also
instrumental in establishing benchmarks for designing a.pilot load reduction program for
the Spring of 2001, and later the development and implementation of the Summer Load
Reduction Program (CMR:281:01).
DISCUSSION
In July 2001, staff recommended the suspension of both the electric and gas direct access
programs (CMR:259:01). In addition, the Summer Load Reduction Program of 2001 was
terminated on September 30, 2001 and, on January 4, 2002, CPAU announced that future
load management/curtailment monitoring services would be performed in-house.
Staff feels that there is a strong need to continue the load monitoring and presentation
efforts provided by IMServ through September 30, 2002, to account for any unexpected
changes in the energy market. Furthermore, the majority of the setup work needed to
continue the effort of remotely reading CPAU customer meters and posting the load data
on a secured website for further analysis has been completed. All of the infrastructure,
including the installation of special electric meters with built-in telephone modems and
dedicated telephone lines to meters at significant customer loads, were paid for and
installed as part of last year’s Summer Load Reduction Program. The extension of this
contract will allow IMServ to continue to remotely read CPAU customers’ electric and
gas meters and to continue to post the data using a program interface on IMServ’s secure
website for CPAU and its customers to access through September 30, 2002.
ALTERNATIVES TO STAFF RECOMMENDATION
Alternate solutions to extending the contract with IMServ were considered. One solution
was to extend the contract with Planergy International, the contractor that managed the
Summer Load Reduction Program last summer. However, Planergy International quoted
a slightly higher cost to do similar work as IMServ. In addition, the process that CPAU

customers must go through in order to access their load data using Planergy
International’s data access web product is cumbersome.
A second solution considered in lieu of extending the contract with IMServ was for
CPAU to purchase and maintain the program interface in-house. However, like any
proprietary software program, the cost of the software itself and the additional burden of
installing, hosting, and maintaining_ the service in-house make this alternate least
desirable, primarily from a resource point of view.
. RESOURCE IMPACT
This amendment will increase the contract amount by $20,000 for the remainder of the
contract final performance period. Funds for this contract are available in the fiscal year
2001-02 Electric Fund.
POLICY IMPLICATIONS
This does not represent a change to current City policy. This recommendation is
consistent with the Council approved Utilities Strategic Plan Strategy No.3; To
streamline and manage business processes to allow CPAU to work efficiently and cost-
effectively by not relying on existing staff resources to perform the tasks described, and
Strategy No. 4; To deliver products and services for competitive markets by providing
CPAU and its customers a tool to manage energy usage more efficiently.
ENVIRONMENTAL REVIEW
Amendment of this contract does not constitute a project under the California
Environmental Quality Act; therefore, no further environmental assessment is required.

This Amendment No. ONE to Contract No. $9103617
(~Contract") is entered into, by and between the CITY OF PALO ALTO,
a chartered city and a municipal corporation of the State of
California("CITY"), and IMServ North America LLC, a Limited
Liability Company, located at 8609 Six Forks Road Raleigh, North
Carolina 27615 ("CONTRACTOR").
RECITALS:
WHEREAS, the Contract was originally entered into by and
between the City of Palo Alto and Star Data Services. for the
provision of energy related services; and
WHEREAS~ Star Data Services was acquired by IMServ North
America LLC hereafter referred to as "IMServ"; and
WHEREAS, the parties wish to amend the Contract and
continue energy related services; and
NOW, THEREFORE, in consideration of the covenants, terms,

The Energy Service Provider ("ESP") named below ("CITY OF PALO ALTO") agrees to purchase certain Energy Related

TERMS & CONDITIONS
Services and Equipment.
In consideration of payment by CITY OF PALO ALTO of the Fees therefor, SDS hereby agrees to provide to CITY OF
PALO ALTO those of SDS’s available Energy Related Services (and Equipment) as set forth in the Service Pricing proposal
and the. attached "Scope of Work" provided to CITY OF PALO ALTO by SDS.
Term
This Agreement is effective from thedate on which CITY OF PALO ALTO .first purchases Services from SDS until
terminated. CITY OF PALO ALTO ~.@ terminate this Agreement at any time upon three (3) month’s written notice to
SDS. SDS may terminate this Agreemefit at any time if CITY OF PALO ALTO fails to substantially comply with any of
the material terms or conditions of this Agreement. Upon termination of this Agreement, CITY OF PALO ALTO agrees to
pay to SDS all amounts due, including all lease payments which are due through the end of.the lease term foreach leased
item.
Additions to Services
From time to time, CITY OF PALO ALTO may request additional Energy Related Services from SDS. CITY.OF PALO
ALTO agrees that all such Energy Related Services which is hereafter provided to CITY OF PALO ALTO by SDS shall be
governed by this Agreement. SDSmay periodically update your pricing list to reflect such changes.
¯Modifications to Agreement
All modifications to this Agreement shall be in writing. The terms of this Agreement shall govern if there are any
inconsistent or conflicting terms and/or conditions associated with any accompanying or subsequent purchase order or
agreement.

Notices
All notices pursuant to this Agreement shall be sent to the party at the address set forth above or to such other location as
party may hereafter be advised. All notices shall be either (a) personally delivered, in which case they sha.[l be effectiv
upon delivery; (b) sent by Certified mail, in which .case they shall be effective upon delivery; (c) sent by.first class or priori.t
mail, in which case they shallbe effective five (5) business days following their mailing; (d) sent by commercial overn~l
delivery service (Airborne, DHL, FedEx, UPS) or by U.S. Postal Service Express Mail, in which case they shall be effectiv
upon actual delivery; (e) sent by facsimile ("fax") in which case they shall be effective upon receipt of a confirmation fax;
(f) sent via electronic mail ("e-mail") in which case they shall be effective upon receipt of a confirmation, or reply, e-mail.
Payments
(a) All payments due SDS shall be paid within thirty (30) days of being invoiced. If any payment dueSDS has not beet
paid within thirty (30) days then SDS may charge interest on such amounts at the rate of 1.5% per month, or any portio~
thereof On all outstanding balances. All payments will be.applied first against theoldest invoice. In the event that leg~
action isrequired to coll-ect any amounts due to SDS, then CITY OF PALO ALTO agrees to pay all collection expenses
including reasonable attorney’s fdes.
(b) All dollar amounts referred to herein shall be in U.S. dollars.
Choice of Law and Venue
This Agreement and all matters relating to the construction, interpretation, and enforcement thereof shall be governed by th
laws of the State of California, U.S.A., and shall be enforceable so!ely within the Federal Courts located in San Jose
California, U.S.A.
Entire Understanding
This Agreement contains the entire and only agreement between the parties. Any representation, promise, or condition i
connection with the Licensed Products and the Licensed Patents which is not incorporated in this Agreement shall not b
binding upon either party. No modificatio|~ or waiver of this Agreement or any of its provisions shall be binding upon th
party against whom enforcement of such modification or waiver is sought, unless made in writing and signed on behalf c
siJch party by a duly authorized officer thereof.
Invalidity of any Term of this Agreement
The finding, by any court of competent jurisdiction, that any term of this Agreement is invalid or unenforceable shall nc
render any other term of this Agt’eement yinenforceable.
Limited Warranty .
(a) With respect to Meter Data Management Agent ("MDMA") services, SDS shall perform to Validation Estimation a:~l
Editing ("VEE") standards.
(b) All equipment sold pursuant to this Agreement is warranted exclusively by the manufacturer and not bySDS, althougt
SDS will handle warranty claims 3vith the manufacturer when SDS is supplying such services on the Schedule.
(c) SDS shall have no liability for any item on any Schedule which exceeds the amount paid byCITY OF PALO ALTO t<
SDS. If CITY OF PALO ALTO has a claim that is based upon the sale of Equipment, then the liability of SDS shall no
exceed the amount paid by CITY OF PALO ALTO to SDS for the Equipment. If CITY OF PALO ALTO has a clain
which is not related to Equipment then the liability of SDS shall not exceed the amount paid by CITY OF PALO ALTO fo
the services actually rendered by SDS.
(d) THE AFORESAID WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED O1~
IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY WARRANTY OF ACCURACY OR PERFORMANCE OI-
ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. CIT5

:Force Majeure
Neither party hereto shall be responsible for any failure or delayin the performance of any obligation hereunder, if suc
failure or delay is due to a cause beyond the party’s control, including, but not limited to suspension of the ESP Contract, ~
of God, flood, fire, volcano, war, labor disputes, court order or governmental acts; provided that such party shall use
reasonable efforts to promptly overcome or mitigate the delay for failure to perform. Any party whose performance
delayed or prevented by any cause or condition within the purview of this section will promptly notify the other par
thereof, the anticipated duration of the delay or prevention, and the steps being taken to overcome or mitigate the delay
failure to perform.
Intellectual Property
Any and all Intellectual Property Rights in or relating to.Intellectual Property shall belong to the Party responsible for tl
creation, purchase or development of the appropriate Intellectual Property unless the IntellectualProperty has been create,
purchased or developed to a specification provided .6y the othe~ party, and further provided that such Intellectual Properl
has been paid for by the other Party.
Each Party warrants and represents to the other" Party that it will not infringe any third party’s Intellectual Property Rights
performing its respective duties in relation to the Services. The breaching.Party agreesto indemnify the other Party again
any urad all liability, loss, damages, costs, legal expenses, professional and other expenses.of any nature incurred or suffere
by the other Party arising out of any dispute, claim, or proceedings brought against either of the Parties by a third parl
alleging infringement of any Intellectual Property Rights.
For the purpose of this Agreement Intellectual Property means, "any System(s), software and/or applications, or work an
materials relating to the Services or created during the provision of the Services"; and Intellectual Property Rights mean
"design righfs, copyrights (including rights in computer programs), patents, trademarks (whether registered or tmregistered
know-how, :trade dress, trade or service name, any licenses in respect of any such rights, and all rights to apply for registration ~
any such rights and other intellectual property rights owned by, or licensed to, any person in any part of the world.
Confidentiality
SDS undertakes to CITY OF PALO.ALTO not to use or disclose to any third party, other than as required for the purpos
of performing its obligations under this Agreement, any confidential information relating toCITY OF PALO ALTO or t,
any customer of yours obtained as a resu It of this Agreement other than, as may be permitted by CITY OF PALO ALTO, t,
permitted recipients.
CITY OF PALO ALTO undertakes to SDS not to use or disclose to any third party, other than as required for the purpos
of performing any obligations CITY O~ PALO ALTO has under this Agreement, any confidential information relating t
of SDS which is obtained by CITY OF PALO ALTO as a result of this Agreement: For the purpose of this Agreemen
"confidential information" includes: any information comprising, or relating to, the name or address of any consumer ~
electricity, details of the premises at which such customer consumes electricity, information as to the usage of electricity I:
such customer, information as to the prices which such customer has paid, pays, or will pay for .electricity supplie~
information as to the amount whicla such customer owed, o~ves, or will owe for electricity or as to the payment of any suc
amounts; and any confidential information relating to the business or activities of SDS or, as the case may be, CITY O]

Meter Data Management Agent(MDMA) Services.
Scope of Work
Star Data Services (the Contractor) will provide all of the following services on an as-needed
basis:
Electric Utility Service
1)MDMA Services within the City of Palo Alto (CPA) Service Area
a). CPA - Provide data to CPA utilizing a mutually agreed upon methodology and
format. Contractor shall provide data with at least the following:
