SUBJECT: APPROVAL OF SOFTWARE SUPPORT SERVICES CONTRACT
RENEWALS WITH ORACLE CORPORATION IN THE AMOUNT OF
$316,185 (3 YEARS AT $105,395 PER YEAR)
RECOMMENDATION
This report recommends that Council:
1) Approve and authorize the Mayor or his designee to execute the attached software
maintenance support agreement contract renewal with Oracle Corporation for one year
(7/1/2005 thru 6/30/2006) in the amount of$105,395 (plus applicable taxes).
2) Authorize the City Manager or his designee to sign the contract for the above services
and approve the renewal for the following two years provided that the vendor is
responsive to the City'S needs and the quality of the vendor's work is acceptable during
the first year of the contract (and/or other conditions which will determine the City'S
willingness to renew the contract).
DISCUSSION
This is the continuation of support services from Oracle Corporation for the Oracle database
management system and accompanying software as described in the original Oracle Enterprise
License Agreement, dated May 23, 2000. Oracle is the database standard for City applications.
Oracle is currently used with the SAP, Utilities Customer Information System, Geographic
Information System (GIS), eCLASS and others.
Support services consist of product support, including telephone technical assistance and update
subscription services providing Oracle product upgrades, maintenance releases and patches as
Oracle makes them available. The telephone assistance is in the form ofa 24 hours a day, 7 days
a week support hotline available to only designated points of contact (POC) defined by the City.
Quarterly newsletters and bulletins are sent to the POCs, as well as access to Oracle's on-line
support system and bug database system. '

The pricing model presented to the City is for an annual fee of $105,395 (plus applicable taxes),
paid in advance. This pricing represents a discount on products averaging approximately 60
percent.
RESOURCE IMPACT
The contract will be in the amount of$105,395 (plus applicable taxes) and the funds are included
in the FY 2005-2006 Applications Maintenance Internal Service Fund Budget.
ENVIRONMENTAL ASSESSMENT
Approval of this contract amendment does not constitute a project under California
Environmental Quality Act (CEQA). Therefore, no Environmental Assessment is required .

Please find attached a quotation for the above support renewal. The new service level,
named Software Update License & Support, reflects the combination of Software Updates
and Product Support service level. All licenses on which you previously had both
Software Updates and Product Support have been quoted on this renewal with Software
Update License & Support. Your access and entitlement to support services are
unaffected. For more detailed information on this change, please refer to
www.oracle.com/support. The support benefits and services you are receiving will expire
on 30-JUN-OS. This quotation is provided pursuant to the terms and conditions of the
license agreement that you executed when you acquired your licenses.
In order to renew this support and to ensure that there is no interruption to your
technical support service, please fax your purchase order or other acceptable form of
payment covering the renewal amount as detailed on the attached quotation, to my
attention, before Ol-JUN-OS. Once ordered, technical support for the term of support
defined below is non-cancelable and the related fees are non-refundable. Please note
that if your support is not renewed by the expiration date above, you may be subject to
our reinstatement rules as contained in our Technical Support Policies. If the pre-tax
value of this renewal is $2,000.00 or less, pre-payment in the form of a check or credit
card must be received. Purchase orders are no longer accepted for these transactions.

Applicable tax will be included on your invoice. If your company is tax-exempt, a copy
of your tax exemption certificate must be included with your purchase order. Unless

30 days from the invoice date.

Please note that as part of a corporate restructuring associated with our recent

its U.S. based operations, including our contracts with our customers, to Oracle USA,
Inc. effective March 1, 2005.
Accordingly, Oracle USA, Inc. is now responsible for the performance of all of the
obligations under these contracts. Correspondence and invoices relating to these
contracts will reflect ·the name of Oracle USA, Inc. Likewise, any correspondence and
payments from you also should be addressed to Oracle USA, Inc. We expect that Oracle's
addresses and your contacts will remain unchanged.
