APPROVAL OF AMENDMENT NO. TWO FOR AN ADDITIONAL
$40,000 FOR A TOTAL CONTRACT AMOUNT OF $125,000
CONSULTING SERVICES TO ASSIST UTILITIES WATER
TRANSMISSION AND DISTRIBUTION STAFF WITH THE
OPERATIONAL AND REGULATORY REQUIREMENTS.
RECOMMENDATION
Staff recommends that the Council approve and authorize the Cib7 Manager to execute the
attached contract with Water Solutions, Inc. (WSI) in the arnount of $40,000 for a total
contract amount of $125,000 for assisting Utilities Water Transmission and Distribution
Operation (WTD) staff.
DISCUSSION
In accordance with the Department of Health Services (DHS) regulations, the Palo Alto
Water Transmission and Distribution Operation (WTD) is classified as a Distribution 5 (D5)
system, requiring a D5 certification for its chief operator and a D3 certification for shift
operators. Until recently, Palo Alto had two D5 certified operators on its staff. These
operators are no longer working for the City. The current WTD’s personnel consist of one
D4, two D3 and four D2 operators. There is a serious shortage of D5 certified operators in
California and Palo Alto has been unable to hire one as an employee. Instead, the Cit3T has
contracted with Water Solutions to provide this expertise vvhile the current operators are
working toward obtaining the required certification. Extension of this contract requires
Council action.
Project Description
In compliance with the DHS requirements, this contract vdll provide a qualified D5 operator
to assist the City staff during emergencies. In addition, on a weekly basis, the consultant
will assist the WTD operation’s supervisor in conducting the following specific tasks: train

new and existing operators; audit and inspect the key facilities; assist in implementation of
unidirectional flushing plan; revise the operational manual and assist with the monthly
san~pling and reporting program.
SUMMARY OF BID PROCESS
This is a renewal of a sole source contract. Since May 2005, Water Solutions Inc (WSI) has
been retained to provide required D5 coverage for the City, and to assist the WTD operation
during the vacancies. WSI is the only consulting firm who can provide a D5 operator
locally at a very competitive rate. Due to the familiarity of WSI with the Palo Alto WTD
system, staff recommends awarding a sole source contract to WSI. The proposed contract
scope and price was negotiated with WSI.
RESOURCE IMPACT
Funding for this project is available in Water Transmission and Distribution fund for FY 05-
06.
POLICY IMPLICATIONS
This recommendation is consistem with the Council approved Utilities Strategic Plan Key
Strategy #2, "invest in utility infrastructure to deliver reliable service."
ENVIRONMENTAL REVIEW
This project is categorically exempt from California Environmental QualiU~ Act (CEQA)
pursuant to CEQA Guideline Sections 15301 (b) repair, maintenance of existing facilities.

BETWEEN THE CITY OF PALOALTOAND
WATER SOLUTIONS, INC.
This Amendment No. Two to Agreement No. S05112787
("Agreement") is entered into March 20, 2006, by and between the
CITY OF PALO ALTO ("CITY"), and WATER SOLUTIONS, INC.~ a California
Corporation±.._located at 350 Mayhews Road, Fremont, CA 94536
( "CONTRACTOR" ) .
RE C I TAL S:
WHEREAS, the Agreement was entered into between the
parties for the provision of water assessment assistance regarding
the operation and maintenance of the water system; and
WHEREAS, the parties wish to amend the Agreement;
NOW, THEREFORE, in consideration of the covenants, terms,
conditions, and provisions of this Amendment, the parties agree:
SECTION i. The section entitled "TERMS" is hereby
amended to read as follows:
"TERMS. The services and/or materials furnished under
this Agreement shall commence on April I, 2006 and shall be
completed before July 31, 2006."
SECTION 2. The section entitled "COMPENSATION" is hereby
amended, to read as follows:
2.1 in consideration of the full performance of the
services by CONTRACTOR described in Exhibit ~A", CITY will pay
CONTRACTOR a sum not-to-exceed One Hundred Twenty Five Thousand
Dollars ($125,000) per contract term payable within thirty (30)
days of submission by CONTRACTOR of its itemized billings.
SECTION 3. The following exhibit(s) to the Agreement are
hereby amended to read as set forth in the attachment(s) to this
Amendment, which are incorporated in full by this reference:
a. Exhibit A entitled Scope of Work.
b. Exhibit B entitled Rate Schedule.
Except as herein modified, all other provisions of the
Agreement, including any exhibits and subsequent amendments
thereto, shall remain in full force and effect.

Scope of Work - Operator Contract
Water Solutions, Inc. shall continue its operations and service contract with the
City of Palo Alto public drinking water system. Water Solutions shall assist both with
scheduled weekly on-site assistance and on-call troubleshooting water distribution
system issues such as water quality variations, regulatory compliance, reservoir shut
downs, leak detection, policy and staff response for main breaks or other emergencies.
The 2006 -2007 contract will allow the Public Utility Drinking Water division to
have access to the highest level of State Certified drinking water operators at the lowest
possible cost. Water Solutions staff of specialists allow the City of Palo Alto to utilize
leak detection, metallurgist, water quality, operations, emergency response and water
treatment professionals under a simple operations contract. Services provided to Palo
Alto have included procedures for tank and reservoir shutdown, pump maintenance,
Water Quality issues, regulatory issues and compliance reporting.
Work to be performed under this contract shall include the following specific items as
outlined in the scope of services developed by the City of Palo Alto:
Water Solutions Inc. shall provide a D5 state certified operator for
compliance with state law title 22.
Water Solutions Inc. shall assist in updating the standard operations
procedures for the Water Department.

procedures, and practices indicated in item 1 above as follows:

WSI shall provide training to staff on operations and maintenance of water

WSI shall provide approximately 12 hours of support per week to perform the
tasks listed in item 1 to 3 and as needed support to staff. WSI shall tour and
inspect all receiving stations, regulator stations, booster stations, and reservoir
facilities.
Deliverables
Water Solutions shall work at the discretion of the drinking water department.
Water Solutions staff shall be available from one to five days per week depending on
real time city staffing needs (average of 2 days per week).
WSI shall provide all reviews and recommendations in a technical memorandum format.
At the conclusion of each project, WSI shall summarize all technical memoranda in a
final report format for future use.
