DBA SYNERGY COMPANIES IN AN AMOUNT NOT TO EXCEED $570,000 FOR CONTINUED ADMINISTRATION OF A LOW-INCOME RESIDENTIAL ELECTRIC AND NATURAL GAS ASSISTANCE PROGRAM RECOMMENDATION Staff recommends that Council: Approve and authorize the City Manager to execute the attached contract with Synergy Companies in the amount of $190,000 for continued administration of a program to install electric and natural gas energy efficiency measures in local low-income households for FY 2008-2009. 2.Authorize the City Manager or his/her designee to exercise the option to renew the program for up to two more years: in FY 2009-2010 in the amount of $!90,000 and in FY 2010-2011 in the amount of $190,000, subject to available funds and program performance. DISCUSSION Scope of Services Description As part of the proposed FY 2008-2009 budget, utility rates are expected to increase in July 2008. This increase in the Cost of energy will cause additional hardship for the low-income residents of Palo Alto. The City of Palo Alto Utilities (CPAU) offers several key programs to help customers in need. CPAU complements its existing rate reductions for low-income residents by offering Residential Electric & Natural Gas Energy Assistance Program (REAP), which helps low- income residems in lowering their gas mad electric expenditures ttn’ough energy efficiency education, home weatherization, and other energy efficiency improvements. In addition, since CMR: 218:08 Page 1 of 4 low-income customers often live in residences with the least efficient appliances and equipment, replacing these items for affected residents will provide significant energy efficiency benefits for those in the convnunity who most need it. The REAP provides a variety of sera, ices to low- income Palo Alto residents that meet the Housing and Urban Development very low-income limits for the San Jose metropolitan area. These services are for residents in single family and multi family homes and include: energy efficiency education; home weatherization; diagnostic energy efficiency testing; minor plumbing and electrical repairs; weather stripping, caulking, insulation and other energy efficiency improvements. REAP also includes the purchase and installation of ENERGY STAR® programmable thermostats, furnaces, refrigerators, water heaters, compact fluorescent lighting, and high efficiency plumbing devices. See Attachment B for a complete scope of services. Since its initial approval in July 2005 and its full implementation in January 2006, REAP has assisted over 120 Palo Alto single-fanaily residences at an average cost of about $2,750 per home. This amount is more when the customer’s furnace and/or refrigerator need to be replaced for safety reasons. For other customers, the cost of the energy assistance is typically about $1,500 per home. The progam to date has saved Palo Alto residents 216,515 kwh of electricity, 18,179 therms of gas and has eliminated 451,947 pounds of CO2 emissions. In 2007, REAP received the California Municipal Utilities Association’s Community Service!Resource Efficiency Award for a small utilits~. This award is only offered to one small utility of less than 80,000 customers and one large utility of 80,000 or more customers each year. The award recognized CPAU’s innovative and comprehensive approach in assisting the low- income residents of Palo Alto through REAP. REAP’s goal for the next thi’ee fiscal years is to assist at least 50 single family and 25 multi- family residences per year, at a cost of no more than $190,000 per year. The energy savings will be substantial and .are anticipated to exceed current results, helping the City of Palo Alto achieve its energy savings goals. In addition, the improvements to comfo~ and reductions in utility bills for low-income customers will be even more important. In addition to REAP, CPAU offers two other low-income programs: Rate Assistance Program (RAP) and ProjectPLEDGE, to qualifying utilities customers. RAP provides energy discounts to low-income residents who are unable to pay their utilities bills. RAP also provides assistance when there is a need for more energy due to a medical condition. A 20% discount is available to qualifying utilities users on a continuous basis until the medical need or economic hardship is resolved. ProjectPLEDGE allows ratepayers to voluntarily give an amount that is added to their utilities bill charges each month. The contributions assist the elderly, disabled, and individuals or families experiencing unusual hardships. ProjectPLEDGE is designed to operate at minimal cost to CPAU by using utilities bills to collect contributions. A total of tt~ree companies were invited to bid on this program. Two companies chose not to respond due to the broad scope of services and heavy workloads. The committee carefully reviewed the firm’s qualifications and submittal in response to the criteria identified in the RFP. The committee evaluated-the firm based on four main criteria consisting of: qualifications and experience of contractor, overall expertise with low-income programs, cost effectiveness, and response to Request for Proposal. An outside contractor, Synergy Companies (SC), was chosen to implement this program because of the multiple licensing requirements required to install equipment and appliances, weatherization and appliance testing certifications, as wel! as the need for extra staffing and the overall experience needed when working on low-income programs. SC was selected based on its expertise with low-income energy efficiency programs, with over 20 yem’s of prior experience. SC has audited, educated, and installed energy efficiency and water measm’es for over 100,000 low-income dwe!ling units in California. SC is the current contractor for REAP and has assisted over 120 Palo Alto !ow-income residents with a 98% approval rating. SC is very familiar with the customer-first attitude of CPAU as well as the City’s high expectations of quali~~ service. SC has also done similar work with Pacific Gas and Electric (PG&E) on its Energy Partners Low-Income Program, San Francisco Peak Energy Pilot Program and with the cities of Fresno and Madera’s housing authority programs. SC also received favorable marks from PG&E and San Diego Gas and Electric Company. SC is a licensed B (General), C2 (insulation), C10 (Electrical), C17 (Glazing), C20 (HVAC), and ASB (Asbestos Abatement) contractor. SC will be receiving $10,000 for program design, administration, information systems and reporting cost, the remaining $180,000 will be used for weatherization and energy efficiency measures. SC will bill monthly based on measures replaced and labor costs per dwelling. The cost per dwelling can range from $75 to a maximum of $2,000 depending on the weatherization CMR: 218:08 Page 3 of 4 needs of each individual unit. Any costs that may potentially exceed the maximum allowed will need pre-approval. Attactmaent C includes a complete cost breakdown per measure replaced. RESOURCE IMPACT REAP for FY 08-11 will be funded through adopted budgets for FY 08-09, FY 09-10 and FY 10- 1 !. Unspent funds will be returned to the Electric Fund Public Benefits Reserve or the appropriate Rate Stabilization Reserve. POLICY IMPLICATIONS This recommendation is consistent with the Council approved Utilities Strategic Strategy 6: "Provide targeted customer and envirolm~entat programs and service." Plan Key ENVIRONMENTAL REVIEW Approval of this contract is categorically exempt from the California Enviromnental Quality Act (CEQA) pursuant to California Public Resources Code Section 15301 (repair, maintenance or minor alteration of existing public or private structures), and Section 15307 (actions taken by regulatory agencies for the protection of natural resources). C08125553 AGREEMENT BETWEEN THE CITY OF PALO ALTO AND SYNERGY COMPAxNIES FOR PROFESSIONAL SERVICES (Residential Energy Assistance Pro_oTam) This AGREEMENT is entered into ., by and between the CITY OF PALO ALTO, a charter city and a municipal corporation of the State of California ("CITY"), and Synergy Companies, a Utah corporation located at 28436 Satellite Street, Hayward, CA ("CONSULTANT"). RECITALS The following recitals are a substantive portion of this A~eement. A. CITY intends to hire a contractor to help install energy efficient items in low-income households in the City of Palo Alto ("Project") and desires to engage a contractor to continue an effective pro~am of energy and water efficiency assistance in connection with the Project ("Services"). -. B. CONSULTANT has represented that it has the necessaw professional expertise, qualifications, and capability;, and all required licenses and]or certifications to provide the Services. C. CITY in reliance on these representations desires to engage CONSULTANT to provide the Services as more fully described in Exhibit "A", attached to and made a part of this A~eement. NOW, THERE.FORE, in consideration of the recitals, covenants, terms, and conditions, this Ageement, the parties agee: AGREEMENT SECTION 1. SCOPE OF SERVICES. CONSULTANT shall perform the Services described in Exhibit "A" in accordance with the terms and conditions contained in this A~eement. The perfornmnce of all Services shall be to the reasonable satisfaction of CITY, SECTION 2. TEILM. The term of this Ageement shall be from the date of its full execution through "completion of the services in accordance with the Schedule of Performance attached as Exhibit "B" unless terminated earlier pursuant to Section 19 of this Ageement. SECTION 3. SCHEDULE OF PERFORM.~NCE. Time is of the essence in the performance of Services under this Ageement. CONSULT,a~NT shall complete the Services within the term of this Ageement and in accordance with the schedule set forth in Exhibit "B", attached to and made a part of this Ageement. ,amy Services for which times for performance are not specified in this A~’eement shai1 be commenced and completed by CONSULTANT in a reasonably prompt and timely manner based upon the circumstances and direction communicated to the CONSD-LTANT. SECTION 4. NOT TO EXCEED COMPENSATION. The compensation to be paid to CONSULTANT for performance of the Services described in Exhibit "A", including both pa?~nent for professional services and reimbursable expenses, shall not exceed One Hundred Nine .ty Thousand Dollars per year ($ 190,000 per year). In the event Additiona! Services are authorized, the total compensation for services and reimbursable expenses shall not exceed Nineteen Thousand Dollars ($19,000). The applicable rates and schedule of pa?anent are set out in Exhibit "C", entitled "COM-PENSATION," which is attached to and made a part of this A~eement. Additional Services, if any, shall be authorized in accordance with and subject to the provisions of Exhibit "C". CONSULTANT shall not receive any compensation for Additional Services performed without the prior written authorization of CITY. Additional Services shall mean any work that is determined by CITY to be necessau for the proper completion of the Project, but which is not included within the Scope of Services described in Exhibit "A". SECTION 5. INVOICES. In order to request pa?,Tnent, CONSULTANT shall submit monthly invoices to the CITY describing the services performed and the applicable charges (including an identification of personnel w-ho performed the services, hours worked, hourly rates, and reimbursable expenses), based upon the CONSU~TA_NT’s billing rates (set forth in Exhibit "C"). If applicable, the invoice shall also describe the percentage of completion of each task. The information in CONSULTANT’s pas,anent requests shall be subject to verification by CITY. CONSU-LT.’~NT shall send all invoices to the City’s project manager at the address specified in Section 13 below. The Cib" wi!l generally process and pay invoices within thirty (30) days of receipt. SECTION 6. QUALIFICATIONS/STANDARD OF CARE. All of the Services shall be performed by CONSULTANT or under CONSULTANT’s supervision. CONSULTA_NT represents that it possesses the professional and technical personnel necessa~, to perform the Services required by this A~eement and that the personnel have sufficient skill and experience to perform the Services assigned to them. CONSUI_.T.~NT represents that it, its employees and subconsultants, if permitted, have and shall maintain during the term of this A~eement all licenses, permits, qualifications, insurance and approvals of whatever nature that are legally required to perform the Services. All of the services to be furnished by CONSULTANT under this a~eement shall meet the professional standard and quality that prevail among professionals in the same discipline and of similar knowledge and skill engaged in related work throughout California under the same or similar circumstances. SECTION 7. COMPLIANCE WITH LAWS. CONSULTANT shall keep itself informed of and in compliance with all federal, state and local laws, ordinances, regulations, and orders that may affect in any manner the Project or the performance of the Services or those engaged to perform Services under this A~eement. CONSL%TANT shall procure all permits and licenses, pay all charges and fees, and give all notices required by law in the performance of the Services. SECTION 8. ERRORS!OMISSIONS. CONSLrLTANT shall correct, at no cost to CITY, any and Professional Services Revised 10/18/07 2 08044 all errors, omissions, or ambiguities in the work product submitted to CITY, provided CiTY gives notice to CONSI~LTANT. tf CONSULTANT has prepared plans and specifications or other desi~ma documents to construct the Project, CONSULTANT shall be obligated to correct any and all errors, omissions or ambiguities discovered prior to and during the course of construction of the Project. This obligation shall survive termination of the A~eement. SECTION 9. COST ESTIMATES. If this Ageement pertains to the design of a public works project, CONSULTA_NT shall submit estimates of probable construction costs at each phase of design submittah If the total estimated construction cost at any submittal exceeds ten percent (10%) of the CITY’s stated construction budget, CONSU-LT.QNT shall make recommendations to the CITY for alig-ning the PROJECT desig-n with the budget, incorporate CITY approved recommendations, and revise the desig-n to meet the Project budget, at no additional cost to CITY. SECTION 10. INDEPENDENT CONTRACTOR. It is understood and a~eed that in performing the Services under this A~eement CONSULTANT, and any person employed by or contracted with CONSULTANT to furnish labor and/or materials under this Ageement, shall act as and be an independent contractor and not an agent or employee of the CITY. SECTION 11. ASSIGNMENT. The parties a~ee that the expertise and experience of CONSULTANT are materiN~considerations for this Ageement. CONSU-LT.’a_NT shall not assi~a or transfer any interest in this Ageement nor the performance of any of CONSULTANT’s obligations hereunder without the prior written consent of the city. manager. CONSULTA~NT shall not subcontract any portion of the work to be performed under this Ageement without the prior written authorization of the city manager or desig-nee. CONSULTA~NT shall be responsible for directing the work of any subconsultants and for any compensation due to subconsultants. CITY assumes no responsibility whatsoever concerning compensation. CONSULT.a_NT shall be fully responsible to CITY for all acts and omissions of a subconsultant. CONSU-LT~QNT shall change or add subconsultants only with the prior approval of the city manager or his desig-nee. SECTION 13. PROJECT MANAGEMENT. CONSULTA~NT will assig-n Jim Amos as the project director to have supervisory responsibility for the performance, profess, and execution of the Sera;ices and Morgan Smith as the project coordinator to represent CONSULTANT during the day- to-day work on the Project. If circumstances cause the substitution of the project director, project coordinator, or any other key personnel for any reason, the appointment of a substitute project director and the assigT~nent of any key new or replacement personnel will be subject to the prior written approval of the CITY’s project manager. CONSLrLT.QNT, at CITY’s request, shall promptly remove personnel who CITY finds do not perform the Services in an acceptable manner, are uncooperative, or present a threat to the adequate or timely completion of the Project or a threat to the safety of persons or property. The project manager wi!l be CONSULTANT’s point of contact with respect to performance, pro~ess and execution of the Services. The CITY may desig-nate an alternate project manager from time to time. SECTION 14. OWNERSHIP OF MATERIALS. Upon delivery, all work product, including without limitation, all writings, drawings, plans, reports, specifications, calculations, documents, other materials and copyright interests developed under this A~eement shall be and remain the exclusive property of CITY without restriction or limitation upon their use. CONSULTANT a~ees that all cop)Tights which arise from creation of the work pursuant to this A~eement shall be vested in CITY, and CONSULTANT waives and relinquishes all claims to cop2Tight or other intellectual property rights in favor of the CITY. Neither CONSULTA_NT nor its contractors, if any, shall make any of such materials available to any individual or organization without the prior written approval of the City Manager or desig-nee. CONSULTANT makes no representation of the suitability of the work product for use in or application to circumstances not contemplated by the scope of work. SECTION 15. AUDITS. CONSULT~%NT will permit CITY to audit, at any reasonable time during the telTn of this Ageement and for three (3) years thereafter, CONSULTANT’s records pertaining to matters covered by this A~eement. CONSULTANT further a~ees to maintain and retain such records for at least three (3) years after the expiration or earlier termination of this Ageement. SECTION 16. INDEMNITY. 16.1. To the fullest extent permitted by law, CONSULTANT shall protect, indemnify, defend and hold harmless CITY, its Council members, officers, employees and agents (each an "Indemnified Party’’) from and against any and al! demands, claims, or liability of any nature, including death or injury to any person, property damage or any other loss, including al! costs and expenses of whatever nature including attorneys fees, experts fees, court costs and disbmsements ("Claims") resulting from, arising out of or in any maturer related to performance or nonperformance by CONSULTANT, its officers, employees, agents or contractors under this A~eement, regardless of whether or not it is caused in part by an Indemnified Party. 16.2. Notwithstanding the above, nothing in this Section 16 shall be construed to require CONSUX~TANT to indemnify an Indemnified Party from Claims arising from the active negligence, sole negligence or willful misconduct of an Indemnified Party. 16.3. The acceptance of CONSULTA_NT’s services and duties by CITY shall not operate as a waiver of the right of indemnification. The provisions of this Section 16 shall survive the expiration or early termination of this Ageement. SECTION 17. WAIVERS. The waiver by either party of any breach or violation of any covenant, term, condition or provision of this Ageement, or of the provisions of any ordinance or law, will not be deemed to be a waiver of any other term, covenant, condition, provisions, ordinance or law, or of any subsequent breach or violation of the same or of any other term, covenant, condition, provision, Professional Services Revised 10/18/07 08044 ordinance or law. SECTION 18. INSUtL’A.NCE. 18.1. CONSULT~NT, at its sole cost and expense, shall obtain and maintain, in ~11 force and effect during the term of this A~eement, the insurance coverage described in Exhibit "D". CONSULTA_NT and its contractors, if any, shall obtain a policy endorsement naming CITY as an additional insured under any general liability or automobile policy or policies. 18.2. All insurance coverage required hereunder shall be provided throuDh carriers with ,~M Best’s Key Ratin~ Guide ratings of A-:VII or higher which are licensed or authorized to transact insurance business in the State of California. Any and all contractors of CONSU-LT~NT retained to perforn~ SeN:ices under this Ageement will obtain and maintain, in iull force and effect during the term of this A~eement, identical insurance coverage, naming CITY as an additional insured under such policies as required above. 18.3. Certificates evidencing such insurance shall be filed with CITY concurrently with the execution of this A~eement. The certificates will be subject to the approval of CITY’s Risk Manager and will contain an endorsement stating that the insurance is primary coverage and will not be canceled, or materia!ly reduced in coverage or limits, by the insurer except after filing with the Purchasing Manager thirty (30) days’ prior written notice of the cancellation or modification, CONSULTANT shall be responsible for ensuring that current certificates evidencing the insurance are provided to CITY’s Purchasing Manager during the entire term of this A~eement. 18.4. The procuring of such required policy or policies of insurance will not be construed to limit CONSUETANT’s liability hereunder nor to fulfill the indemnification provisions of this A~eement. Notwithstanding the policy or policies of insurance, CONSULTANT will be obligated for the ~.fll and total amount of any damage, injury, or loss caused by or directly arising as a result of the Services performed under this A~eement, including such damage, injury:, or loss arising after the A~eement is terminated Or the term has expired. SECTION 19. TERaMINATION OR SUSPENSION OF AGREEMENT OR SERVICES. 19.1. The city manager may suspend the performance of the Services, in whole or in part, or terminate this A~eement, with or without cause, by giving ten (10) days prior written notice thereof to CONSULTANT. Upon receipt of such notice, CONSULTANT will immediately discontinue its performance of the Sere’ices. 19.2. CONSULTA_NT may terminate this Ageement or suspend its performance of the Services by giving thirty (30) days prior written notice thereof to CITY, but only in the event of a substantial failure of performance by CITY. 19.3. Upon such suspension or. termination, CONSULTANT shall deliver to the City Manager immediately any and all copies of studies, sketches, drawings, computations, and other data, whether or not completed, prepared by CONSULTANT or its contractors, if any, or given to CONSULTANT or its contractors, if any, in connection with this Ageement. Upon such suspension or termination by CITY, CONSULT,~’4T will be paid for the Services rendered or materials delivered to CITY in accordance with the scope of services on or before the effective date (i.e., 10 days after giving notice) of suspension or termination; provided, however, if this A~eement is suspended or terminated on account of a default by CONSULTANT, CITY will be obligated to compensate CONSULTANT only for that portion of CONSULT,%NT’s services which are of direct and immediate benefit to CITY as such determination may be made by the City Manager acting in the reasonable exercise of his/her discretion 19.5. No pa)~ent, partial payment, acceptance, or partial acceptance by CITY will operate as a waiver on the part of CITY of any of its rigahts under this Ageement. SECTION 20. NOTICES. All notices hereunder will be given in writing and mailed, postage prepaid, by certified mail, addressed as fo!lows: To CITY:Office of the City Clerk City of Palo Alto Post Office Box 10250 Palo Alto, CA 94303 With a copy to the Purchasing Manager To CONSULT~%NT: Attention of the project director at the address of CONSL%T~a~NT recited above SECTION 21. CONFLICT OF INTEREST. 21.1. In accepting this A~eement, CONSULT~NT covenants that it presently has no interest, and will not acquire any interest, direct or indirect, financial or otherwise, which would conflict in any mariner or degee with the performance of the Services. 21.2. CONSULT~%NT further covenants that, in the performance of this Ageement, it will not employ subconsultants, contractors or persons having such an interest. CONSULTANT certifies that no person who has or will have any financial interest under this Ageement is an officer or employee of CITY; this provision will be interpreted in accordance with the applicable provisions of the Palo Alto Municipa! Code and the Govenmaent Code of the State of California. 21.3. If the Project Manager determines that CONSLrLTANT is a "Consultant" as that term is defined by the Regulations of the Fair Political Practices Commission, CONSbETANT shall be required and agees to file the appropriate financial disclosure documents required by the Palo Alto Municipal Code and the Political Reform Act. SECTION 22. NONDISCRIMINATION. 2.30.510, CONSULT.~NT certifies that in 08044 As set forth in Palo Alto Municipal Code section the performance of this Ageement, it shall not ~rofessiona! Services Revised i0/18/07 discriminate in the emploF,rnent of any person because of the race, skin color, gender, age, religion, disability, national origin, ancestry’, sexual orientation, housing status, marital status, familial status, weight or height of such person. CONSU-LTANT acknowledges that it has read and understands the provisions of Section 2.30.510 of the Palo Alto Municipal Code relating to Nondiscrimination Requirements and the penalties for violation thereof,, and a~ees to meet all requirements of Section 2.30.510 pertaining to nondiscrimination in empl<vment, including completing the form furnished by CITY and set forth in Exhibit SECTION 23. MISCELLANEOUS PROVISIONS. 23.1. This Ageement will be governed by the laws of the State of California. 23.2. In the event that an action is brought, the parties a~ee that trial of such action will be vested exclusively in the state courts of California in the County of Santa Cl~a, State of California. 23.3. The prevailing party in any action brought to enforce the provisions of this Ageement may recover its reasonable costs and attorneys’ fees expended in connection with that action. The prevailing party shall be entitled to recover an amount equal to the fair market value of legal services provided by ~attorneys employed by it as well as any attorneys’ fees paid to third parties. 23.4. This document represents the entire and inte~ated a~eement bet-ween the parties and supersedes a]l prior negotiations, representations, and contracts, either written or oral. This document may be amended only by a written instrument, which is sig-ned by the parties. 23.5. SC wi!l send a monthly report (every 30 days) to the REAP Manager. This report will include customers’ account numbers aa~d addresses, itemized list of all work completed, cost of each measure per customer, administrative cost per measure and total implementation cost.
