RECOMMENDATION
Staff recommends that Council approve and authorize the City Manager to execute the attached
contract with Power Engineers, !aac. (Attachment A) in an amount not-to-exceed $267,422 for an
electric transmission intercomaection teclmical study and $26,742 for unforeseen additional
services.
DISCUSSION
Scope of Services Description
The scope of work to be performed under the contract is to prepare technical studies which
include determination of electric transmission line routes and permitting requirements,
perfomaance of electric fault or short-circuit studies, preparation of detailed cost estimates, and
economic analysis and documentation of results as required for two plans for potential
interconnection. Conceptual Plan 1 intercomlects the City’s electric system via two 60 kV lines
with the Stanford Linear Accelerator Center 230 kV Substation which is owned by the
Department of Energy. Alternative Plan 2 converts the PG&E Ravenswood-Palo Alto 115 kV
double circuit tower line to 230 kV. See Exhibit A for the complete scope of se~wices.
The purpose of the study is to evaluate the feasibility and economics of constructing facilities
that allow the City to make a direct comaection to the 230kV g-cid. Either of the altel-natives being
considered would reduce the mmual Transmission Access Charge (TAC) assessed on all
transmission users, including Palo Alto, by the California Independent System Operator. If the
City upNades the comaection voltage from the present ll5kV level to the 230kV Ievel. the
amaual Transmission Access Charge (TAC) cost to the City is expected to drop from $6

million/year to approximately $3 millions/year. In addition, the City gains a more robust electric
transmission connection and a more redundant/reliable power system configuration.

The RFP process allows the City to negotiate the price of the work upon selection of the
successful firm.
A Utilities staff evaluation committee reviewed the proposal received. A qualification matrix
was not developed as there was only one proposer. The committee did, however, carefully
review the firm’s qualifications and submittal in response to the criteria identified in the RFP.
Power Engineers, Inc. was selected because, though it was the sole proposer, it is highly
qualified for this type of work based on past experience with the City. It also has extensive
experience in Northern California and the San Francisco Bay Area for this tb~pe of enginee~ffng.
The price is determined to be fair and reasonable based on Utilities staffs experience with
similar studies such as PG&E’s Ravenswood - Palo Alto 230kV facilities study.
RESOURCE IMPACT
The cost of this study, $267,422 (and contingency funding of $26,742) is included in the Electric
Fund FY07i08 approved budget in CIP EL-06001 230kV Electric Intertie.
Staff recommends the use of a consultant rather than City employees as the type of detailed
analysis proposed requires staffing time that well exceeds available resources and requires
complex design that is not within staffs areas of expertise with regard to some of the scope
requirements.
POLICY IMPLICATIONS
This recommendation is consistent with the Council approved Utilities Strategic Plan Strategy t
to ensure a high level of system reliability in a cost effective and timely maturer.
ENVIRONMENTAL REVIEW
Execution of the Contract does not constitute a project for the purposes of the California
Enviromnental Quality Act (CEQA). ~l environmental review will be prepared and completed
before the selection of a contractor for any transmission intercom~ection project is undertaken.

AGREEMENT BETWEEN THE CITY OF PALO ALTO AND
POWER ENGINEERS, INC.
FOR PROFESSIONAL SERVICES
230 KV ELECTRIC INTERCONNECTION STUDY
This AGREEMENT is entered into , 2007,by and
between the CITY OF PALO ALTO, a California Charter City and a
municipal corporation of the State of California ("CITY"), and
POWER Engineers, Inc., an Idaho Corporation located at
3940 Glenbrook Drive, Hailey, Idaho ("CONSULTANT").
RECITALS
The following recitals are a substantive portion of this Agreement.
A. CITY intends to perform a transmission interconnection study
(~Project") and desires to engage a consultant to perform the
transmission interconnection study for interconnecting the City’s
electric system via two 60 kV lines with the SLAC 230 kV Substation
in connection with the Project (~Services").
B. CONSULTANT has represented that it and any subconsultants have
the necessary professional expertise, qualifications, and
capability, and all required licenses and/or certifications to
provide the Services.
C. CITY in reliance on these representations desires to engage
CONSULTANT to provide the Services as more fully described in
Exhibit ~A", attached to and made a part of this Agreement.
D. CONSULTANT has agreed to perform the Services on the terms and
conditions contained in this Agreement.
NOW, THEREFORE, in consideration of the recitals,
covenants, terms, and conditions, this Agreement, the parties
agree:
AGREEMENT
SECTION I. SCOPE OF SERVICES° CONSULTANT shall perform the Services
described in Exhibit ~A" in accordance with the terms and
conditions contained in this Agreement. The performance of all
Services shall be to the reasonable satisfaction of CITY.
SECTION 2. TERM, The term of this Agreement shall be from the
date of its full execution through completion of the services
unless terminated earlier pursuant to Section 21 of this Agreement.
SECTION 3. SCHEDULE OF PERFORMANCE° Time is of the essence in the

performance of Services under this Agreement. CONSULTANT shall
complete the Services within the term of this Agreement and in
accordance with the schedule set forth in Exhibit "B", attached to
and made a part of this Agreement. Any Services for which times for
performance are not specified in this Agreement shal! be commenced
and completed by CONSULTANT in a reasonably prompt and timely
manner based upon the circumstances and direction communicated to
the CONSULTANT. CITY’s agreement to extend the term or the
schedule for performance shall not preclude recovery of damages for
delay if the extension is required due to the fault of CONSULTANT.
SECTION 4o NOT TO EXCEED COMPENSATION° The compensation to be paid
to CONSULTANT for performance of the Services described in Exhibit
~A", including both payment for professional services and
reimbursable expenses, shall not exceed Two Hundred Sixty Seven
Thousand Four Hundred Twenty Two Dollars ($267,422.00). In the
event Additional Services are authorized, the total compensation
for services and reimbursable expenses shall not exceed Twenty Six
Thousand Seven Hundred Forty Two Dollars ($26,742.00). The
applicable rates and schedule of payment are set out in Exhibit
~C", entitled ~COMPENSATION," which is attached to and made a part
of this Agreement.
Additional Services, if any, shall be authorized in accordance with
and subject to the provisions of Exhibit ~C". CONSULTANT shall not
receive any compensation for Additional Services performed without
the prior written authorization of CITY. Additional Services shall
mean any work that is determined by CITY to be necessary for the
proper completion of the Project, but which is not included within
the Scope of Services described in Exhibit ~A".
SECTION 5o INVOICES° In order to request payment, CONSULTANT shall
submit monthly invoices to the CITY describing the services
performed and the applicable charges (including an identification
of personnel who performed the services, hours worked, hourly
rates, and reimbursable expenses), based upon the CONSULTANT’s
billing rates (set forth in Exhibit "C"). If applicable, the
invoice shall also describe the percentage of completion of each
task. The information in CONSULTANT’s payment requests shall be
subject to verification by CITY.
SECTIO}~ 6o QUALIFICATIONS/STANDAR~ OF CARE° All of the Services
shall be performed by CONSULTANT or under CONSULTANT’s supervision.
CONSULTANT represents that it possesses the professional and
technica! personnel necessary to perform the Services required by
this Agreement and that the personnel have sufficient skil! and
experience to perform the Services assigned to them. CONSULTANT
represents that it, its employees and subconsultants have and shall
maintain during the term of this Agreement al! licenses, permits,
qualifications, insurance and approvals of whatever nature that are
legally required to perform the Services.

All of the services to be furnished by CONSULTANT under this
agreement shall meet the professional standard and quality that
prevail among professionals in the same discipline and of similar
knowledge and skill engaged in related work throughout California
under the same or similar circumstances.
SECTION 7. COMPLIANCE WITH LAWS. CONSULTANT shall keep itself
informed of and in compliance with all federal, state and local
laws, ordinances, regulations, and orders that may affect in any
manner the Project or the performance of the Services or those
engaged to perform Services under this Agreement. CONSULTANT shall
procure all permits and licenses, pay all charges and fees, and
give all notices required by law in the performance of the Services
CONSULTANT shall report immediately to the CITY’s project manager,
in writing, any discrepancy or inconsistency it discovers in the
laws, ordinances, regulations, orders, and/or guidelines in
relation to the Project of the performance of the Services.
All documentation prepared by CONSULTANT shall provide for a
completed project that conforms to all applicable codes, rules,
regulations and guidelines that are in force at the time such
documentation is prepared.
SECTION 8o ERRORS/OMISSIONSo CONSULTANT shall correct, at no cost
to CITY, any and all errors, omissions, or ambiguities in the work
product submitted to CITY, provided CITY gives notice to
CONSULTANT° If~CONSULTANT has prepared plans and specifications or
other design documents to construct the Project, CONSULTANT shal!
be obligated to correct any and all errors, omissions or
ambiguities discovered prior to and during the course of
construction of the Project.This obligation shall survive
termination of the Agreement.
SECTION 9° COST ESTIMATES. CONSULTANT shall submit estimates of
probable construction costs at each phase of design submittal. If
the tota! estimated construction cost at any submittal exceeds ten
percent (10%) of the CITY’s stated construction budget, CONSULTANT
shall make recommendations to the CITY for aligning the PROJECT
design with the budget, incorporate CITY approved recommendations,
and revise the design to meet the Project budget, at no additiona!
cost to CITY.
SECTION 10. INDEPENDENT CONTRACTOR. It is understood and agreed
that in performing the Services under this Agreement CONSULTANT,
and any person employed by or contracted with CONSULTAb~ to furnish
labor and/or materials under this Agreement, shall act as and be an
independent contractor and not an agent or employee of the CITY.
The manner and means of conducting the Services are the
responsibility of and under the contro! of CONSULTANT, except to
the extent they are limited by applicable law and the express terms
of this Agreement.

CONSULTANT will be responsible for employing or engaging all
persons necessary to perform the Services. All contractors and
employees of CONSULTANT are deemed to be under CONSULTANT’S
exclusive direction and control. CONSULTANT shall be responsible
for their performance.
SECTION llo ASSIGNMENT. The parties agree that the expertise and
experience of CONSULTANT are material considerations for this
Agreement. CONSULTANT shall not assign or transfer any interest in
this Agreement nor the performance of any of CONSULTAnt’s
obligations hereunder without the prior written consent of the city
manager. Consent to one assignment will not be deemed to be
consent to any subsequent assignment. Any assignment made without
the approval of the city manager will be void.
SECTION 12. SUBCONTRACTING.
CONSULTANT shall not subcontract any portion of the work to be
performed under this Agreement without the prior written
authorization of the city manager or designee.
CONSULTA~T shall be responsible for directing the work of any
subconsultants and for any compensation due to subconsultants.
CITY assumes no responsibility whatsoever concerning such
compensation. CONSULTIuNT shall be fully responsible to CITY for
all acts and omissions of a subconsu!tant. CONSULTANT shal! change
or add subconsultants only with the prior approval of the city
manager or his designee.
SECTION 13o PROJECT M~AGEMENT. CONSULTANT will assign John
McGrew as the project director to have supervisory responsibility
for the performance, progress, and execution of the Services to
represent CONSULTANT during the day-to-day work on the Project. If
circumstances or conditions subsequent to the execution of this
Agreement cause the substitution of the project director, project
coordinator, or any other key personnel for any reason, the
appointment of a substitute project director and the assignment of
any key new or replacement personnel will be subject to the prior
written approval of the CITY’s project manager. CONSULTANT, at
CITY’s request, shall promptly remove personnel who CITY finds do
not perform the Services in an acceptable manner, are
uncooperative, or present a threat to the adequate or timely
completion of the Project or a threat to the safety of persons or
property.
The city manager will represent CITY for all purposes under this
Agreement. Tom Finch is designated as the project manager for the
CITY and will be assisted by Meraj Hoque, the Project Engineer. The
project manager will be CONSULTANT’s point of contact with respect
to performance, progress and execution of the Services. The CITY
may designate an alternate project manager from time to time.

SECTION 14. DUTIES OF C!TY. To assist CONSULTANT in the
performance of the Services, CITY will furnish or cause to be
furnished the specified services and/or documents described in
Exhibit ~A" and such other available information as may be
reasonably requested by CONSULTANT.
SECTION 15. OWNERSHIP OF MATERIALS.
15.1. All drawings, plans, reports, specifications,
calculations, documents, other materials and copyright interests
(including all copyrightable interests arising under the 1990
Architectural Works Copyright Protection Act) developed or
discovered by CONSULTANT or any other person engaged directly or
indirectly by CONSULTANT to perform the services required hereunder
shal! be and remain the property of CITY without restriction or
limitation upon their use. Neither CONSULTANT nor its contractors,
if any, shall make any of such materials available to any
individual or organization without the prior written approval of
the city manager or designee.
15.2. In addition to the provisions of Subsection 15.1.,
above, the following shall apply to all plans, drawings,
specifications, and related reports and documents, and electronic
equivalents (collectively "Plans") developed pursuant to this
Agreement:
15.1.1. CITY shall have the right to reproduce and
use the Plans forpurposes of the Project that is the subject of
this Agreement, including, but not limited to, any use associated
with construction, reconstruction, modification, management,
maintenance, and renovation of the Project.
15.2.2. CITY shall have the right to reproduce,
use and modify the PLANS, or portions thereof, in the design and
construction of any other future CITY project. CITY acknowledges
that CONSULTANT does not warrant the suitability of the PLANS for
reuse other than as needed for the Project that is the subject of
this AGREEMENT.
15.2.3. The right of the CITY to modify and reuse
the PLANS pursuant to this Subsection 15.2. is subject to the
provisions of California Business and Professions Code Sections
5536.25, 6735, 6735.3 or 6735.4, whichever is applicable.
SECTION 16. AUDITS. CONSULTANT will permit CITY to audit, at any
reasonable time during the term of this Agreement and for three (3)
years thereafter, CONSULTANT’s records pertaining to matters
covered by this Agreement. CONSULTANT further agrees to maintain
and retain such records for at least three (3) years after the
expiration or earlier termination of this Agreement.

SECTION 17o INDEMNITY. To the fullest extent permitted by law,
CONSULTANT shall protect, indemnify, defend and hold harmless CITY,
its Council members, officers, employees and agents (each an
~Indemnified Party") from and against any and all demands, claims,
or liability of any nature, including death or injury to any
person, property damage or any other loss, including all costs and
expenses of whatever nature including attorneys fees, experts fees,
court costs and disbursements (~Claims") that arise out of, pertain
to, or relate to the negligence, recklessness, or willful
misconduct of the CONSULTANT, its officers, employees, agents or
contractors under this Agreement.
The acceptance of CONSULTANT’s services and duties by CITY shall
not operate as a waiver of the right of indemnification. The
provisions of this Section 17 shall survive the expiration or
early termination of this Agreement.
SECTION !8o WAIVERS. The waiver by either party of any breach
or violation of any covenant, term, condition or provision of this
Agreement, or of the provisions of any ordinance or law, will not
be deemed to be a waiver of any other term, covenant, condition,
provisions, ordinance or law, or of any subsequent breach or
violation of the same or of any other term, covenant, condition,
provision, ordinance or law.
SECTION 19o INSURANCE.
19.1.CONSULTANT, at its sole cost and expense, shall
obtain and maintain, in full force and effect during the term of
this Agreement, the insurance coverage described in Exhibit "D".
CONSULT~hNT and its contractors, if any, shall obtain a policy
endorsement naming the City of Palo Alto as an additional insured
under any general liability or automobile policy or policies.
19.2.All insurance coverage required hereunder shall
~e provided through carriers with Best’s Key Rating Guide ratings
of A-:VII or higher which are admitted to transact insurance
business in the State of California. Any and all contractors of
CONSULTANT retained to perform Services under this Agreement wil!
obtain and maintain, in full force and effect during the term of
this Agreement, identical insurance coverage, naming CITY as an
additional insured under such policies as required above.
19.3.Certificates evidencing such insurance shall be
filed with CITY concurrently with the execution of this Agreement.
The certificates will be subject to the approval of CITY’s Risk
Manager and will contain an endorsement stating that the insurance
is primary coverage and will not be canceled, or materially reduced
in coverage or limits, by the insurer except after filing with the
Purchasing Manager thirty (30) days’ prior written notice of the

cancellation or modification, CONSULTANT shal! be responsible for
ensuring that current certificates evidencing the insurance are
provided to CITY’s Purchasing Manager during the entire term of
this Agreement.
19.4.The procuring of such required policy or
policies of insurance will not be construed to limit CONSULTANT’s
liability hereunder nor to fulfill the indemnification provisions
of this Agreement. Notwithstanding the policy or policies of
insurance, CONSULTANT will be obligated for the full and total
amount of any damage, injury, or loss caused by or directly arising
as a result of the Services performed under this Agreement,
including such damage, injury, or loss arising after the Agreement
is terminated or the term has expired.
SECTION 20. WORKERS’ COMPENSATION. CONSULTANT, by executing this
Agreement, certifies that it is aware of the provisions of the
Labor Code of the State of California which require every employer
to be insured against liability for workers’ compensation or to
undertake self-insurance in accordance with the provisions of that
Code, and certifies that it will comply with such provisions, as
applicable, before commencing and during the performance of the
Services.
SECTION 21.TERMINATION OR SUSPENSION OF AGREEME}~T OR SERVICES.
21..1.The city manager may suspend the performance of
the Services, in whole or in part, or terminate this Agreement,
with or without cause, by giving ten (i0) days’ prior written
notice thereof to CONSULTANT. Upon receipt of such notice,
CONSULTA~T will immediately discontinue its performance of the
Services.
21.2.CONSULTANT may terminate this Agreement or
suspend its performance of the Services by giving ten (i0) days
prior written notice thereof to CITY, but only in the event of a
substantial failure of performance by CITY.
21.3.Upon such suspension or termination, CONSULTANT
shall deliver to the City Manager immediately any and all copies of
studies, sketches, drawings, computations, and other data, whether
or not completed, prepared by CONSULTANT or its contractors, if
any, or given to CONSULTANT or its contractors, if any, in
connection with this Agreement. Such materials will become the
property of CITY.
21.4.Upon such suspension or termination by CITY,
CONSULTANT will be paid for the Services rendered or materials
delivered to CITY in accordance with the scope of services on or
before the effective date (i.e., i0 days after giving notice) of
suspension or termination; provided, however, if this Agreement is
suspended or terminated on account of a default by CONSULTANT, CITY

will be obligated to compensate CONSLU~TANT only for that portion of
CONSULTANT’s services which are of direct and immediate benefit to
CITY as such determination may be made by the City Manager acting
in the reasonable exercise of his/her discretion
21.5. No payment, partial payment, acceptance, or
partial acceptance by CITY wil! operate as a waiver on the part of
CITY of any of its rights under this Agreement.
SECTION 22.NOTICES.
All notices hereunder will be given in writing and
mailed,postage prepaid, by certified mail, addressed as follows:

SECTION 23 o CO}~FLICT OF IA~TEREST.
23.1.In accepting this Agreement, CONSULTANT
covenants that it presently has no interest, and will not acquire
any interest, direct or indirect, financial or otherwise, which
would conflict in any manner or degree with the performance of the
Services.
23.2.CONSULTANT further covenants that, in the
performance of this Agreement, it will not employ subconsultants,
contractors or persons having such an interest. CONSULTANT
certifies that no person who has or will have any financial
interest under this Agreement is an officer or employee of CITY;
this provision will be interpreted in accordance with the
applicable provisions of the Palo Alto Municipal Code and the
Government Code of the State of California.
23.3. If the Project Manager determines that CONSULTANT
is a "Consultant" as that term is defined by the Regulations of the
Fair Political Practices Commission, CONSULTANT shall be required
and agrees to file the appropriate financial disclosure documents
required by the Palo Alto Municipal Code and the Political Reform
Act.
SECTION 24oNO}~ISCRIMINATION. As set forth in Pa!o Alto Municipal
Code section 2.30.510, CONSULTANT agrees that in the performance of
this Agreement, it shall not discriminate in the employment of any
person because of the race, skin color, gender, age, religion,
disability, national origin, ancestry, sexual orientation, housing

status, marital status, familial status, weight or height of such
person. CONSULTANT acknowledges that it has read and understands
the provisions of Chapter 2.28 of the Palo Alto Municipa! Code
relating to Nondiscrimination Requirements and the penalties for
violation thereof, and agrees to meet all requirements of Chapter
2.28 pertaining to nondiscrimination in employment, including
completing the form furnished by CITY and set forth in Exhibit "E".
SECTION 25. MISCELLANEOUS PROVISIONS.
25.1. This Agreement will be governed by the laws of
the State of California.
25.2.In the event that an action is brought, the
parties agree that trial of such action will be vested exclusively
in the state courts of California or in the United States District
Court for the Northern District of California in the County of
Santa Clara, State of California.
25.3.The prevailing party in any action brought to
enforce the provisions of this Agreement may recover its reasonable
costs and attorneys’ fees expended in connection with that action.
25.4.This document represents the entire and
integrated agreement between the parties and supersedes all prior
negotiations, representations, and contracts, either written or
oral. This document may be amended only by a written instrument,
which is signed by the parties.
25.5.The covenants, terms, conditions and provisions
of this Agreement will apply to, and will bind, the heirs,
successors, executors, administrators, assignees, and CONSULTANTs,
as the case may be, of the parties.
25.6.If a court of competent jurisdiction finds or
rules that any provision of this Agreement or any amendment thereto
is void or unenforceable, the unaffected provisions of this
Agreement and any amendments thereto will remain in full force and
effect.
25.7.All exhibits referred to in this Agreement and
any addenda, appendices, attachments, and schedules to this
Agreement which, from time to time, may be referred to in any duly
executed amendment hereto are by such reference incorporated in
this Agreement and will be deemed to be a part of this Agreement.
25.8.This Agreement is subject to the fiscal
provisions of the Charter of the City of Palo Alto and the Palo
Alto Municipal Code. This Agreement will terminate without any
penalty (a) at the end of any fiscal year in the event that funds
are not appropriated for the following fiscal year, or (b) at any
time within a fiscal year in the event that funds are only

appropriated for a portion of the fiscal year and funds for this
Agreement are no longer available. This Section 25.8 shall take
precedence in the event of a conflict with any other covenant,
term, condition, or provision of this Agreement.
IN WITNESS WHEREOF, the parties hereto have by their duly
authorized representatives executed this Agreement on the date
first above written.

Consultant shall provide project supervision and coordination of project

approved scope of work (Work Plan).
In cooperation with Palo Alto, Consultant shall organize and facilitate
the interfaces between project team members, including Palo Alto’s team
to affect a smooth work flow. Consultant shall organize appropriate
meetings and teleconferences to effect good communications and clear
understandings of work requirements, schedules, and budgets.
Consultant shall monitor the progress of the work, enforce compliance
with procedures, require timely task completion, review status reports
and analyses, and expedite the work by coordinating, allocating or
redirecting resources.
Consultant shall require project execution in accordance with Palo Alto’s
technical, quality, schedule, and budget objectives, the project work plan

Consultant shall implement Palo Alto’s approved project review,
reporting, correspondence and general procedures, and solicit Palo Alto’s

Project, and manage and supervise the interface between the
environmental siting studies, preliminary design for stations and lines

Consultant shall prepare the Project Schedule using Microsoft Project
and update this schedule with actual start and finish dates as compared to
the planned start and finish dates, on a monthly basis. Consultant shall
monitor and track all work including the project financials.Consultant
shall include with the Monthly Status Report a financial spreadsheet
showing budgets by task, percent completes as estimated by the project
team and actual expenditures for the billing period and for the project
total. Consultant shall note and comment on any variances in the
schedule and financial report
Consultant shall prepare, publish and distribute Monthly Project Reports
in a standardized format, to allow the report to be assembled readily
from information obtained from project team members. Consultant shall
summarize the previous month’s work progress, deliverables status,
schedule status, costs status and major work items expected to be
accomplished in the next month.Consultant shall include summaries of
all of the data and reports produced for the management and control of
the project. Consultant shall address problems, trends and/or delays and
the actions being taken to bring those areas back on schedule or budget.
Consultant shall publish the reports in an electronic PDF file format for
distribution on the PWC website and as hard copy attachments to the
Monthly Invoice. Consultant shall file the status reports in the project
record and document archive.

Consultant shall obtain the existing models used by Navigant in 2004
for the Phase I analysis as well as t_he 2011 Heavy Summer Base Case
from PG&E’s Peninsula Phase II Study.
Palo Alto’s existing electric system shall be added to PG&E’s 2011
model. This addition is to be based on data supplied by Palo Alto as
well as the Navigant Phase I models.
Once Palo Alto’s existing electrical system is added to the PG&E model
and a pre-Project base load flow is successfully run, a separate model
shall be created for each of the two Plans proposed by Palo Alto. Model
data for both Plans will be provided by Palo Alto as wel! as fromthe
Navigant Phase I models.
Assumption(s):
e =Both the exiting Palo Alto portion and the Plan portions of the
Navigant model are correct.
o °The 2011 Heavy Summer Base Case from PG&E’s Peninsula Phase II
Study is correct and accurate. No attempt will be made to verify the
data in this base file.
o o Line impedance (positive and zero sequence)data is available, and
that impedance calculations will not be performed by the Consultant.
SUBTASK 1.3 LOAD FLOW ANALYSIS

o System Load Flow Results.
Consultant shall use the existing system PSLF Consultant flow
database models created in the above Task to perform a base case
Consultant flow.
Using both the Plan 1 and Plan 2 system models (post-Project),
Consultant shall run a normal system load flow to identify overloaded
facilities in the Greater San Francisco Bay Area. The results of this effort
shall be compared by Consultant to the base case to determine if the
addition of the Projects:
Results in new overloads,
Results in low voltage at a transmission bus
Increases overloads noted in the pre-Project case, or
Mitigates overloads noted in the pre-Project case.
Outage cases shall also be run by the Consultant for both the Plan 1 and
Plan 2 models. Category B and C outages shall be simulated on the
following lines; (Category C outages are only performed on double
circuit- single structure lines):

system. Mitigation alternatives shall be proposed if unacceptable flicker
is found.

SUBTASK ’!.4 DEVELOP AND TEST MITIGATION

Problem areas noted in Subtask 1.3 will require mitigation to relieve the
specific overload or voltage condition. Consultant shall identify
mitigation alternatives (alternative is meant to be a set of transmission
line and/or substation upgrades) that are likely to meet Palo Alto’s
planning criteria, based on input from Palo Alto and the familiarity with
the system gained from previous work. Consultant shall review these
alternatives with Palo Alto via telephone and email communication to
identify alternatives that may be impractical or undesirable given Palo

Alto’s detailed knowledge of their system and community. Consultant
shall gain Palo Alto’s approval of those alternatives to be tested.
Consultant shall test the approved alternatives by adding them to the
appropriate model(s) and determine if the alternatives meet Palo Alto
base case, n-1 and n-2 contingency criteria for Consultant flow and
voltage levels.
Assumption(s):
o Analysis will include Consultant flow and voltage drop calculations.
Stability runs are not included.
SUBTASK 1.5 SYSTEiVI ANALYSIS REPORT

Consultant shall assemble the draft report sections prepared in the
preceding Studies tasks and write an introduction and executive
summary for the report.

Palo Alto and make agreed upon changes to the draft report for inclusion
in the Comprehensive Project Report.

SUBTASK 2.1 DEVELOP STUDY AREA NAP

Study Area Base Map
The Study Area Base Map will be developed according to a base and
scale agreed upon by Palo Alto and Consultant. The base map will be
based on an extent that includes the alternative 60 kV transmission line
route end points of SLAC and Hanover Substations. The base mapping
will include utilities, transportation (roads, railroads, and airports),
communities, and existing linear features, in addition to section,
township and range, topography, and hydrography. The base map will
clearly indicate major political subdivision boundaries and the study
corridors (that area along the alternative routes that environmental data
will be collected within; i.e., ¼ mile either side of centerlines). The base
map will be used as the foundation GIS mapping for all other project
maps used in identifying potential impacts and selecting a preferred
route.
Assumptions:
~Consultant assumes existing digita! map data and scale will be
acceptable.
o Consultant assumse Palo Alto and County GIS databases will be
available to CONSULTANT at no cost and within a reasonable time
frame.

o Two-day driving field trip for three team members from Consultant.
SUBTASK 2.3 OBTAIN AERIAL PHOTOGRAPHY

Deliverables:
Digital Aerial Photography
Aerial photography shall be collected for the project area. Consultant
assumes that the imagery will be publicly available from Palo Alto or
through the National Agricultural Imagery Program (NAIP) which is
sponsored by the US Department of Agriculture, Farm Service Agency,
National Resources Conservation Service, and others. This is true color
imagery with a resolution of 1 meter on the ground. At the beginning of
the project, the availability will be researched. If this imagery is not
available, or is outdated, it may be necessary to purchase recent satellite
imagery. Consultant has several contacts that provide this imagery on a
regular basis.
Assumptions:
o Consultant assumes the best available existing aerial photography will
be obtained through publicly available source at no cost.
o No new ground control or aerial photography will be done.
SUBTASK 2.4 COLLECT EXISTING
ENVIRONMENTAL DATA

Consultant shall collect existing data readily available from agency
websites, aerial photography, and existing GIS databases from Palo Alto
and the surrounding county. This exercise will be primarily a GIS
function with overview and direction from the environmental resource
leads. No formal contact to agencies wil! be made during this task.
Environmental resources to be analyzed include: land use, visual
resources, geohazards, biological and cultural resources, and linear
facilities for opportunities.
Assumptions:
o No field surveys or biological surveys to acquire data will be
conducted in this task.
o Existing Palo Alto and surrounding county GIS databases will be
available at no cost and according to our schedule.
, No field visits will be necessary besides initial reconnaissance.
SUBTASK 2.5 SENSITIVITY ANALYSIS AND ROUTE
IDENTIFICATION

Alternative routes map
Following the data collection and mapping tasks, sensitivities shall be
assigned to each resource identified within the project area. The
sensitivity analysis shall identify possible constraints within the project
area. Sensitivity shall be categorized into Exclusion Areas, High
Avoidance, Moderate Avoidance, and Low Avoidance. Possible route
alternatives for the project shall then be identified avoiding the highly
sensitive areas identified during the sensitivity analysis. Assumed
centerlines shall be identified using aerial photography.

SUBTASK 3.1 ASSESS PRELIMINARY IMPACTS
AND MITIGATION

Preliminary Mitigation Package
Consultant shall develop the preliminary impact assessment
methodology and assess the preliminary impacts of the alternative routes.
Given the nature of the proposed project, it is assumed that end to end
alternative routes will be identified. Developing a network a route
segments, or links, for the impact assessment will not be necessary. It is
assumed that two alternative routes will be identified and compared for
the preferred route selection.
Consultant shall define environmental impact as the modification in the
status of the environment, as it cun’ently exists or is anticipated to exist,
brought about by the proposed project. Impacts will result if the
following conditions exist:
Environmental change or stress occurs to biotic populations or natural
resources that affect their health, safety, abundance, productivity, or
aesthetic or cultural values,
The change or stress affects the diversity and variety of individual
choice, the standard of living, or the extent of sharing amenities,
The change or stress affects the quality of renewable resources or the
recycling of depletable resources.
Consultant shall characterize environmental impacts as positive
(beneficial) or negative (adverse), as a primary result of the action
(direct) or as a secondary result (indirect), and permanent/long-lasting
(long-term), or temporary and of short duration (short-term). Impacts can
vary in degree or magnitude from no change, to slightly discernible

change, to a complete change in the environmental condition or system
(intensity).Consultant shall record and map locations of impacts.
Consultant shall record impact location by milepost and describe the area
and impact context. Consultant shall assess and record the impact level
quantitatively into an impact table for each resource and develop impact
predictions for each resource using uniform criteria, as follows:
Resource Sensitivity - the probable response of a particular resource to
activities related to the project;
Resource Quality - the condition of the resource potentially affected
before the project;
Resource Quantity - the amount of the resource potentially affected;
Duration of Impact - the period of time over which the resource would
be affected, measured as short-term (up to a few years) or long-term
(life of the project and beyond).
Applications of each model to the alternative routes will yield qualitative
judgments on levels of impact as high, moderate, low, or not identifiable,
as defined below:
High Impact - A high level of impact from the construction, operation,
maintenance, and/or abandonment if the proposed transmission line
would potentially cause a significant or substantial adverse change or
stress to an environmental resource or resources.
Moderate Impact - A moderate impact resulting from the construction,
operation, maintenance, and!or abandonment if the proposed
transmission line would potentially cause adverse change or stress
(ranging between significant and insignificant) to an environmental
resource or resources.
Low Impact - A low impact resulting from the construction, operation,
maintenance and/or abandonment if the proposed transmission line
would potentially have an insignificant or small change or stress to an
environmental resource or resources.
No Identifiable Impact - No identifiable impact would be indicated
where no impact, or no measurable change would occur to the specific
resource(s) under investigation.
Assumptions:
o Impact assessment will be preliminary and will not include assessing
initial impacts, recommending mitigation, and subsequent assessing of
residual impacts.
o All impact predictions will be based on crossing of sensitive resources
and the sensitivity level assigned to each resource component as
identified in Subtask 4.5.

Environmentally Preferred Alternative, including maps
Consultant shall rank the alternative routes and station sites according to
environmental, engineering and cost factors and select the preferred
route. Ranking and comparing the alternatives are important to
understanding the relative impacts of each. Consultant shall use multi-
objective decision-analysis process to satisfy, simultaneously and
rationally, the competing environmental interests and considerations
inherent to the alternatives.
Using Consultant’s resource team members (e.g., wildlife biologist, land
use planner, visual analyst), Consultant shall conduct comparisons or
rankings of the alternatives according to a model developed by the
project manager and approved by Palo Alto. Consultant shall use these
comparisons to synthesize "cross discipline" rankings of all alternatives.
The purpose of the rankings is to develop an ordering of all alternatives
under consideration, from most to least compatible with the
environment. The comparison of alternatives uses information and
judgments rendered within each resource study. These data are organized
around goals, most important of which is the identification of a most
environmentally compatible alternative and the overall most preferred
alternative route.

Consultant shall base route preference on a review and summary of
impact levels, significant unavoidable adverse impacts, cumulative
effects, cost, and other pertinent descriptive and impact data. Consultant

highest overall impact (including cost and engineering concerns), etc.
After a preliminary preferred alternative has been identified, Consultant

Consultant shall use the Plan 1 and Plan 2 PSLF database models created
in Subtask 1.2 to determine fault currents on the Palo Alto system.
Consultant shall compare the 115 kV and 60 kV interrupting capability
of circuit breakers and circuit switchers in Palo Alto’s substations as well
as neighboring utility substations with available fault currents predicted
by the model and identify those circuit breakers and circuit switchers that
are overstressed.
A coordination study shall also be performed for both the Plan 1 and
Plan 2 system configurations. PSLF is not capable of performing
protective device coordination. Therefore the PSLF models must be
converted into software which is able to perform this study. Consultant
shall convert the PSLF models into ASPEN’s Oneliner software. Once
the conversion is finished for each model, a few test faults shall be
performed to verify that the Oneliner model has been converted
successfully. Palo Alto’s overcurrent and distance relays will then be
input into the Oneliner models and protective device coordination shall
be performed between Palo Alto’s relays and neighboring utility’s relays.
Assumption(s):
o Ratings for the ! 15 kV and 60 kV breakers shall be provided by Palo
Alto (approximately 32 breakers).
o An up to date and comprehensive list ofPalo Alto’s existing relays and
settings is available.

facilities, environmental and permitting constraints, access, site
restrictions, geotechnical conditions, constructability, design preferences,
etc. Consideration shall be given to the fact that a portion of the route
will likely be underground. Upon narrowing down the potential routes, a
site visit shall be conducted to further refine each route’s costs and
benefits.

based upon an engineering and technical basis. The justification may

SUBTASK 8.1 ECONOMIC ANALYSIS AND REPORT

Deliverables:
Consultant shall prepare a spreadsheet model comprising the economic
analysis including but not limited to the long term ISO TAC forecast
under varying assumptions, CPAU’s load and energy forecast, the
calculations on savings associated with the low voltage TAC.
Consultant shall prepare an intermediate report comprising the findings
of the economic analysis, which would subsequently be finalized based
on Palo Alto’s input.
Consultant shall employ the following steps in performing this task:
I. Review the economic analysis performed by the CPAU Resource
Planning Group.
2. Meet with the CPAU staff and incorporate their suggestions to
develop a revised multiple CAISO LV and l-IV TAC forecast
incorporating
a. The latest transmission projects, especially the low voltage
facilities that were not used as an input to the earlier forecast.
b. Explore alternative ways to model the transmission project costs
into TRR and in turn CAISO’s methodology to calculate the
TAC rates.
c. Additional suggestions by the staff, if any.
3.Acquire Palo Alto Utilities’ (CPAU) most recent load and energy
forecast for the study period.

4.Seek input from the Technical Analysis (Task A) performed by the
Consultant Engineers to determine the amount of load that could be

Plan 1 as well as Plan 2 relative to the Status Quo. Prepare a matrix
of such savings under multiple scenarios.
6.Compare these benefits to the cost estimates of the transmission
upgrades under Plan 1 and Plan 2 developed under Task D and
provided by PG&E, respectively.
7.Prepare a draft report comprising the economic analysis, its findings
and recommendations for Pa!o Alto’s review and comment.
8. Prepare the final report incorporating Palo Alto’s suggestions.
