AGREEMENT WITH STANFORD UNIVERSITY FOR THE SAND
HILL CORRIDOR PROJECTS
REPORT IN BRIEF
The 1997 Sand Hill Corridor Development Agreement requires Stanford University to
provide an annual report to the City Council. A memorandum from Stanford Management
Company regarding 1997-98 activities is attached. This staff report reviews the report and
identifies additional major activities that have occurred since the annual report was
transmitted on September 9, 1998. These additional activities include the decision on the
City of Menlo Park versus the City of Palo Alto lawsuit; City Manager approval of a change
in project timing and phasing (phasing map attached); and recent Architectural Review Board
actions. It is recommended that the City Council find that Stanford University has complied
in good faith with the terms and conditions of the Development Agreement.

RECOMMENDATION
Staff recommends that the City Council:
Find that Stanford University has complied in good faith with the terms and
conditions of the Development Agreement; and
Direct staff to issue a Certificate of Compliance to the University, according to the
provision of Section 10(a) of the Agreement, stating that:
The Agreement remains in effect, and
Stanford University is not in default.
BACKGROUND
In June 1997, the City Council approved Comprehensive Plan amendments, zoning changes
and design applications for the Sand Hill Corridor Projects (Prbjects). The Projects include
the Stanford West Apartments, Senior Housing, Shopping Center modifications and a set of
roadway modifications, including the widening of Sand Hill Road to four lanes from Santa
Cruz Avenue to Arboretum Road and a two lane extension from Arboretum Road to E1
Camino Real. A Development Agreement vesting these approvals was entered into between
Stanford and the City and was effective on August 14, 1997. The agreement requires annual
City Council review of Stanford’s compliance.
DISCUSSION
The attached September 9, 1998 memo from Diane Healey, staff member of the Stanford
Management Company, describes the first year’s activities of Stanford related to the
Development Agreement for the Projects. These activities include refinement of project
plans consistent with City Council approved conditions and mitigations; infrastructure and
construction logistic planning; meeting with outside agencies; hiring of required
experts/consultants; demolition of the unoccupied Children’s Hospital facility; and
preparation for resolution of litigation.
Since the September 9 memo, several important activities have taken place:
On September 16, 1998, Judge Harkjoon Paik issued a decision in the case of the City
of Menlo Park versus the City of Palo Alto upholding the City’s Certified
Environmental Impact Report (EIR) and approval process for the Projects. In
December 1998, the City of Menlo Park filed an appeal of the decision.

On November 24, 1998, the City Manager approved requests from Stanford for
changes in the timing and phasing of the Projects. This approval was under the
provisions of Section 7 of the Development Agreement. All project work is still
planned for completion within the construction period identified in the project’s
Certified EIR. The phasing changes resulted from the conclusion that the extensive
utilities work in the Quarry Road right-of-way could not be completed in the first
construction season. The key phasing changes include:
The work on Quarry Road will occur over three construction seasons with the
road remaining open during Phases I and II and portions of Phase III.
Sand Hill Road from the E1 Camino Real intersection to the first Shopping
Center driveway moves from Phase II to Phase I allowing for an alternative
Shopping Center access during Phase II.
Work on E1 Camino Real (other than the Sand Hill intersection) shifts from
Phase II to Phase III. This allows Sand Hill to be open prior to disruption of
E1 Camino Real.
Vineyard Lane moves from Phase II to Phase I.
Stock Farm moves from Phase III to Phase I. The combination of Vineyard
and Stock Farm will provide alternative Campus and western Shopping Center
access.
Arboretum Road will have median area sewer line work done in Phase I and
the road work done in Phase III rather than Phase II. Thus, the major
roadwork occurs after Vineyard Lane and Sand Hill Road from E1 Camino
Real to Vineyard Lane are constructed.
The attached phasing diagram incorporates these changes.
The Architectural Review Board has considered a number of final design elements including:
October 15, 1998 - Approval of the Shopping Center Parking Garage design;
November 19, 1998 - Approval of the Stanford West Apartments design;
December 3, 1998 - Approval of the Stanford Shopping Center landscaping/parking
design; and
January 7, 1999 - Initial discussion of.the roadways design application with the item
continued to January 21, 1999.

POLICY IMPLICATIONS
This report does not represent any change to existing City policies
ENVIRONMENTAL REVIEW
Issuance of the Certificate of Compliance is not a project under California Environmental
Quality Act, and no environmental assessment is required.

Sand Hill Development Agreement
Annual Report 1998
Pursuant to the Development Agreement and the City’s Notice’dated July 31, 1998, this
report is being provided for the period from August 1, 1997 to July 30, 1998. The $2,000
annual report recovery fee is attached.
Following City Council approval, of the Project, certification of the Environmental Impact
Report and the general election ratifying the Council’s approval, Stanford met with the
City Manager and senior staff to review the conditions of approval and to commence the
Development Agreement compliance process. Since the meeting, coordination meetings
are taking place regularly with City staff to advance the project and infrastructure designs
and construction logistics planning. The plans are progressing and will be presented to
the Architectural Review Board this fall. Meetings have also taken place with outside
agencies including Santa Clara County Environmental Resources Agency, Santa Clara
County LAFCO, Santa Clara Valley Transportation, San Francisco Water Department,
State of California Native American Heritage Commission and the Santa Clara Valley
Water District.
Sever.al conditions require that the City or Stanford retain experts as consultants or
contractors. To date the City has entered into consulting contracts with a Senior Level
Planner, Arborist/Creek Specialist, Archaeologist/Historian and a Building Plan Checker.
Stanford has made the deposits required to effectuate these contracts. Stanford has
retained the services of an interpretative designer, a historian, an arborist and an
acoustical engineer to provide design input for the design and construction teams.
Stanford and the City have worked together to advance the demolition of the unoccupied
Children’s Hospital facility to mitigate health and safety problems. To date, the
demolition-related work has included asbestos removal and the installation of temporary
utilities to serve Ronald McDonald House and Children’s Health Council. The utility and
demolition work is scheduled to be completed by November 1st.

Stanford, as a real party in interest in the City of Menlo Park v. City of Palo Alto, has
consulted with the Palo Alto’s counsel and submitted issue statements and proposed
statements of decisions to the court. The initial hearing was on July 30th and was
continued on.August 19th and 20th. A decision should be forthcoming,
