PALO ALTO MEDICAL FOUNDATION DEVELOPMENT
AGREEMENT, PUBLIC REVIEW OF COMPLIANCE
REQUEST
The Palo Alto Medical Foundation, pursuant to Section 9(f) of the Development Agreement
between the Medical Foundation and the City, is requesting that the City issue a Certificate
of Compliance that the Foundation is in compliance with the Agreement.
RECOMMENDATIONS
Staff recommends that the City Council:
1.Find that the Medical Foundation has complied in good faith with the terms and
conditions of the Agreement; and
2.Direct staffto issue a Certificate of Compliance to the Medical Foundation, according
to the provision of Section 9(f) of the Agreement, stating that:
a.The Agreement remains in effect, and
b.The Foundation is not in default.
POLICY IMPLICATIONS
None.
EXECUTIVE SUMMARY
The attached letter dated August 20, 1996, from Robert W. Jamplis, President and Chief
Executive Officer of the Palo Alto Medical Foundation, describes the activities of the
Medical Foundation relating to the Development Agreement between the City of Palo Alto
CMR:425:96 Page 1 of 2
and the Medical Foundation for development of the existing Medical Foundation properties
in the vicinity of 300 Homer Street. These activities focused on preparation and approval of
the design of the new facility in the Urban Lane Area off E1 Camino Real; and the further
refinement of the design and financing of construction. Until the alternate site is avaialble
for occupancy, the Medical Foundation is not in a position to consider further activities
pursuant to the Development Agreement.
City staff finds that the Medical Foundation is in compliance with the Agreement and
issuance of the Certificate of Compliance is recommended.
FISCAL IMPACT
None
ENVIRONMENTAL ASSESSMENT
Issuance of the Certificate of Compliance is not a project under CEQA.

Re~Periodic Compliance Review for the Palo Alto Medical
Foundation Development Agreement
Dear Mr. Schreiber:

This report is provided pursuant to Paragraph 9 (a) of the Development
Agreement between Palo Alto Medical Foundation and the City. As you are aware,
planning and construction activities to implement the Development Agreement are
currently in suspension while the Foundation pursues acquisition and development of an
alternative site for its new heathcare facility. The City has granted certain legislative and
administrative development approvals for the new site.
As a result, the Foundation and the City have entered into the First Amendment to
Development Agreement, effective as of March 14, 1996, pursuant to which all
implementation of the Development Agreement has been suspended. In this set of
circumstances, the Foundation is not in a position to consider further activities pursuant to
the Development Agreement.
We request that the City issue a Certificate of Good Faith Compliance in
accordance with Section 9 of the Development Agreement. If you require any additional
information in connection with this annual review, please do not hesitate to contact me.
