SUBJECT:Approval of Amendment No. 1 of Contract with Lewis & Tibbitts,
Inc., for Electric Utility Trench and Substructure Installation
REQUEST
This is a request for approval of an amendment to an existing Construction contract (C6075675)
with Lewis &Tibbitts, Inc., of Fremont, California, to extend the performance period through
fiscal year 1996-97 and increase the contract amount by $307,650 for as-requested utility
substructure installation for electric services. This contract may be extended through 1997-98.
RECOMMENDATIONS
Staff recommends that Council:
Approve and authorize the Mayor to execute the attached amendment to contract
C6075675 with Lewis & Tibbitts, Inc. to extend the performance period through fiscal
year 1996-97 and increase the contract amount by $307,650.

EXECUTIVE SUMMARY
PROJECT DESCRIPTION
In July 1995, the City entered into a contract with Lewis & Tibbitts, Inc., in the amount of
$307,650 for Electric Utility Trench and Substructure Installation (Reference CMR:334:95).
Lewis & Tibbitts was selected as the lowest responsible bidder at that time. Lewis & Tibbitts
has been working under that contract and has performed excellently. Over 100 electric services
and small system improvements have been performed under the contract.
The existing contract allows the City and Lewis & Tibbitts to extend the contract through
the FY 1997-98. This is subject to the City of Palo Alto City Council’s annual approval
of each current years budget and appropriation of funds for this contract.
The contractor’s compliance with the terms and conditions as established by the
Invitation for Bid.
3.A mutual agreement to continue the contract with:
a.Negotiations beginning 60 days prior to each 12 month’s anniversary date;
A mutual agreement to extend the Contract completed 30 days prior to each 12
month.expiration date;
Satisfactory compliance and extensions by the Contractor with the established
certificates of insurance, licensing, permits, City’s Contract or other requirements
of the Terms & Conditions; and
d.Firm pricing for subsequent 12 month term(s ).

Lewis & Tibbitts has agreed to hold their rates and extend the contract for another year.
This amendment will extend the performance period one year, through June 30, 1997, and
increase the contract amount by $307,650.
FISCAL IMPACT
Funds for this work are included in the 1996/96 budget for the Electric Fund CIP, Major Project
Number 8928.
ENVIRONMENTAL ASSESSMENT
This project is categorically exempt from the provisions of CEQA and no further environmental
review is necessary.

AMENDMENT NO. 1 TO CONTRACT NO. C6075675
BETWEEN THE CITY OF PALO ALTO AND
LEWIS & TIBBITTS, INC.
This Amendment No. 1 to Contract No. C6075675 ("Contract")
is entered into , 1996, by and between the CITY OF
PALO ALTO, a chartered city and a municipal corporation of the
State of California ("CITY"), and LEWIS & TIBBITTS, INC., a
California corporation, located at 42700 Boyce Road, Fremont,
California 94538 ("CONTRACTOR").
RECITALS:
WHEREAS, the Contract was entered into between the
parties for the provision of trench and substructure installation
services; and
WHEREAS, the parties wish to amend the Contract;
NOW, THEREFORE, in consideration of the covenants, terms,
conditions, and provisions of this Amendment, the parties agree:
follows:
SECTION i.Section 1 is hereby amended to read as
"Pursuant to Section 1 of Contract No.
C6075675, the term is hereby extended for one
year, commencing July i, 1996 and expiring on
June 30, 1997."

SECTION 2.Section 2 is hereby amended to read as
"Pursuant to Section 1 of Contract No.
C6075675, the Base Contract amount of FY 1996-
97 shall be $307,650 for a total contract
price of $615,300."
SECTION 3. Except as herein modified, all other
provisions of the Contract, including any exhibits and subsequent
amendments thereto, shall remain in full force and effect.
