SUBJECT:APPROVAL OF AMENDMENT NO. 1 OF CONTRACT NO. C7092505
WITH CH2M HILL FOR LOS ALTOS TREATMENT PLANT SITE
DEVELOPMENT SERVICES - PHASE II
RECOMMENDATION
Staff recommends that Council approve and authorize the Mayor to execute the attached
amendment to contract C7092505 with CH2M HILL to extend the completion date to June
30, 1999, and .increase the contract amount by $186,578 for a total contract price of
$724,348.
DISCUSSION
In December, 1996, the City entered into an agreement with CH2M HILL in the amount of
$537,770 for Los Altos Treatment Plant Site (LATP) Development Services - Phase II
(CMR:503:96). This work includes preparation of an Environmental Impact Report (EIR),
preparation and submittal of permit documents and environmental assessments, and facility
design for the development of the LATP into a new corporation yard for the City’s refuse
collection contractor, a permanent household hazardous waste drop-off center, and a
staging/storage yard for utilities infrastructure contractors.
Additional funding to complete the scope of services is necessary for a number of reasons.
During the development ’of the Draft EIR, there were a number of delays imposed on the
consultant due to the complexity of the project, scheduling of meetings, coordination with
City staff and outside agencies, and delays imposed by permitting agencies on the release and
submittal of reports. There have also been more meetings that required CH2M HILL staff
participation than had been anticipated by either City and CH2M HILL staff. The extensive
project delays have also impacted consultant fees where the project schedule has been
substantially protracted and the rate schedule for CH2M HILL’s services has been updated
for FY1998-99.
The most substantial cost impact that has affected the project has been the deletion of the
Utilities staging/storage yard for utilities infrastructure contractors. The additional costs to

move forward with the reduced project are associated with responding to comments to the
Draft EIR in light of implementation of the reduced project, modification of design work
completed to date (including the development of new site plans), reconfiguration of the site
layout, preparation of new documents to support additional wetlands mitigation plans, and
additional meetings that will be necessary for reconfiguration of the project.
POLICY IMPLICATIONS
This report does not represent any change to existing City policies.
RESOURCE IMPACT
Funds for this project are available in the FY1998-99 Refuse Fund.
ENVIRONMENTAL ASSESSMENT
As part of the scope of services for this project, a draft EIR has been prepared and circulated~
and a public .and Planning Commission Hearing has been held. The additional funds will,
in part, be utilized in the preparation of the Final EIR as part of the Scope of Services for this
project.

BETWEEN THE CITY OF PALO ALTO AND
CH2M HILL, INC.
This Amendment No.One to Contract No. 7092505
("Contract") is entered into by and between
the CITY OF PALO ALTO, a chartered city and a municipal corporation
of the State of California ("CITY") and CH2M Hil!, Inc, a Florida
corporation, located at iiii Broadway, Suite 1200, Oakland,
California 94607-4046.
WHEREAS, the Contract was entered into between the
parties for professional consulting services in connection with
development of a portion of the former Los Altos Sewage Treatment
Plant as a refuse collection and hauling operations yard, a
permanent household hazardous waste facility and a paved storage/
staging area for Palo Alto’s Utilities Department field operations
and contractors as more fully described in the Contract.
WHEREAS, the parties wish to amend the Contract;
NOW THEREFORE, in consideration of the covenants, terms,
conditions, and provisions of this Amendment, the parties agree as
follows:
SECTION i: Subsections 5.1.1 and 5.1.2 of Section 5 of
the Contract are amended to read as follows:
"5.1.1 In consideration of the full performance of the
Basic Services, including any authorized reimbursable expenses,
CITY wil! pay CONSULTANT a fee not to exceed six hundred eighty-
seven thousand, three hundred and forty-eight dollars ($687,348).
The amount of compensation will be calculated in accordance with
the hourly rate schedule set forth in Exhibit "B", on a time and
materials basis, up to the maximum amount set forth in this
Section.
5.1.2 In consideration of the full performance of

expenses, CITY will pay CONSULTANT a fee not to exceed thirty-seven
thousand dollars ($37,000). The amount of compensation will be
calculated in accordance with the hourly rate schedule set forth in
Exhibit "B", on a time and materials basis, up to the maximum
amount set forth in this section."
SECTION 2" This amendment shall be effective on
__, 1998, the date of execution by CITY.
SECTION 3: Except as herein modified, all other
provisions of the Contract, including any exhibits and subsequent

amendments thereto, shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have by their duly
authorized representatives executed this Amendment on the date
first above written.
